Working Capital Escrow Fund definition

Working Capital Escrow Fund means the Working Capital Escrow Amount deposited into escrow pursuant to the Escrow Agreement.

Working Capital Escrow Fund shall have the meaning set forth in Section 2.6(d)(ii).

• The costs of such indemnification (including the costs and expenses of enforcing this right of indemnification) may be paid from the Company Stockholder Representative Fund (and in no event shall such costs be paid from either the Escrow Fund or the Working Capital Escrow Fund prior to the time such amounts are otherwise distributable to the Company Stockholders).
