WWI Common Shares definition

WWI Common Shares means shares of common stock of the Borrower, no par value.
WWI Common Shares means shares of common stock of WWI, par value $1.00 per share. " WWI Guaranty " means the Guaranty made by WWI contained in Article VIII .
WWI Common Shares is defined in the third recital.

  • The aggregate purchase price to be paid by GOLDEN for the WWI Common Shares shall be 8,141,126 post-reverse split shares of GOLDEN $.001 par value voting common stock, (the "GOLDEN Common Shares"), which shares shall be issued on a share-for-share basis for the WWI Common Shares.

  • Each SELLER warrants and represents, severally, that as of the date hereof, such SELLER is the sole owner of the WWI Common Shares listed by his or her name on Exhibit "A-1", free and clear of all liens, encumbrances, and restrictions whatsoever, except that the WWI Common Shares so listed have not been registered under the Securities Act of 1933, as amended (the "'33 Act"), or any applicable State Securities laws.
