XXXX EAF Performance Metric definition

XXXX EAF Performance Metric. Shall have the meaning set forth in Section 2.8(a) (XXXX Annual Equivalent Availability Factor and Liquidated Damages).

  • Each Party agrees and acknowledges that (i) the damages that Company would incur if the Seller fails to achieve the XXXX EAF Performance Metric for a XXXX Measurement Period would be difficult or impossible to calculate with certainty and (ii) the aforesaid liquidated damages are an appropriate approximation of such damages.

  • If the XXXX Annual Equivalent Availability Factor for such XXXX Measurement Period is less than 97% (the "XXXX EAF Performance Metric"), Seller shall pay, and Company shall accept, as liquidated damages for such shortfall, the amount set forth in the following table (on a progressive basis) upon proper demand at the end the current XXXX Measurement Period: Such liquidated damages shall be due within thirty (30) Days after the first to occur of the end of such XXXX Measurement Period or the end of Term.

  • Performance Metrics means criteria established by the Administrator relating to any of the following, as it may apply to an individual, one or more business units, divisions, or Affiliates, or on a company-wide basis, and in absolute terms, relative to a base period, or relative to the performance of one or more comparable companies, peer groups, or an index covering multiple companies:

  • Energy Performance Score means the numeric rating generated by Portfolio Manager that compares the Energy usage of the building to that of similar buildings.

  • Performance Target means the level of performance expected of the HSP in respect of a Performance Indicator or a Service Volume; “person or entity” includes any individual and any corporation, partnership, firm, joint venture or other single or collective form of organization under which business may be conducted;

  • Performance Goal means a performance goal established by the Committee pursuant to Section 10.3.

  • Performance Objective means a standard established by the Committee to determine in whole or in part whether a Performance Award shall be earned.
