Xxxxxx Action or “Xxxxxx Lawsuit”

Xxxxxx Action or “Xxxxxx Lawsuit” refers to Civil Action No. 1:17-cv-23033, entitled Xxxx Xxxxxx et al.

Xxxxxx Action means (i) any transaction with respect to the stock or assets of Xxxxxx or its Subsidiaries that occurs after the Distribution Date, (ii) any failure by Xxxxxx or Xxxxxx after the Distribution Date to maintain its status as a company engaged in the conduct of an active trade or business or (iii) (x) the failure of any representation made by Xxxxxx or its Subsidiaries in connection with the Ruling or the Xxxxxx Opinions or any subsequent ruling or opinion in connection with the Distribution, in each case with respect to Xxxxxx or its Subsidiaries or the businesses conducted by Xxxxxx or its Subsidiaries or the plans, proposals, intentions, and policies of Xxxxxx after the Distribution Date, to have been true and correct in all material respects when made, or (y) the failure by Xxxxxx or its Subsidiaries to comply with any covenant made by Xxxxxx in connection with the Ruling or the Xxxxxx Opinions or any subsequent ruling or opinion in connection with the Distribution.
