Xxxxxxx Holders definition

Xxxxxxx Holders means (i) Xxxxxx Xxxxxxx, (ii) Cobalt Recreation LLC, (iii) any Immediate Family Member of Xxxxxx Xxxxxxx, (iv) a trust, family-partnership or estate-planning vehicle or other legal entity substantially all the economic interests of which are held by or for the benefit of Xxxxxx Xxxxxxx and/or any of his Immediate Family Members and (v) any other Affiliate of Xxxxxx Xxxxxxx or any other Xxxxxxx Xxxxxx, including The Cobalt Group LLC.

Xxxxxxx Holders shall have the meaning given it in Section 3 of the Stock and Warrant Purchase Agreements.

Xxxxxxx Holders means (i) the Xxxxxxx Funds and (ii) any Affiliate, officer or employee of an Affiliate or investment fund managed by an Affiliate of the Xxxxxxx Funds, or any successor thereof, to which the Xxxxxxx Funds may transfer record and/or beneficial ownership of the Shares or the Conversion Shares.

Examples of Xxxxxxx Holders in a sentence

• In connection with any Demand Registration or any Shelf Registration hereunder, the Company will reimburse the holders of Registrable Securities covered by such registration for the reasonable fees and disbursements of (i) one counsel chosen by the Xxxxxxx Holders if the Xxxxxxx Holders are registering securities in such registration and (ii) one counsel chosen by the Impax Holders if the Impax Holders are registering securities in such registration.

• Except as otherwise provided herein, no modification, amendment or waiver of any provision of this Agreement will be effective against the Company or any holder of Registrable Securities, unless such modification, amendment or waiver is approved in writing by the Company and the Xxxxxxx Holders.

• Notwithstanding the foregoing, each Designated Holder (other than the Xxxxxxx Holders) agrees to pay or reimburse the Company for its pro rata portion of all Registration Expenses for any registration in which its Registrable Securities are included (based upon the number of Registrable Securities included in such registration (on an as converted basis)) and agrees that such expenses may be withheld by the Company from the offering proceeds payable to such Designated Holder.

• The Company will not include in any Demand Registration any securities which are not Registrable Securities without the written consent of the Xxxxxxx Holders.

• The Company agrees that it shall keep the Xxxxxxx Holders informed, on a current basis, of the status and terms of any Takeover Proposal Interest.

Xxxxxxx Charitable Trust u/d/t dated December 12, 1994, the ESBT Y TRUST u/d/t dated October 1, 2002, the ESBT S TRUST u/d/t dated October 1, 2002, the QSST A TRUST u/d/t dated October 1, 2002, the QSST M TRUST u/d/t dated October 1, 2002, the Xxxxxxx X. Xxxxxxx Holders means (i) the Xxxxxxx Funds, (ii) any Affiliate, officer or employee of an Affiliate or investment fund managed by an Affiliate of the Xxxxxxx Funds to which the Xxxxxxx Funds may transfer record and/or beneficial ownership of the Shares, the Conversion Shares, the Warrants or the Warrant Shares and (iii) any transferee of Shares, Conversion Shares, Warrants or Warrant Shares from a Xxxxxxx Holder other than a transferee of Shares, Conversion Shares, Warrants or Warrant Shares sold in either a public offering pursuant to a registration statement under the Securities Act or pursuant to a Rule 144 Transaction, except that for purposes of Section 9 hereof, such transferee shall be a Xxxxxxx Holder only if such transferee is reasonably acceptable to the Company.

Xxxxxxx Holders means, collectively, (a) Xxxxxxx Leisure and (b) any Permitted Transferee of Dory Parent Common Shares.
