Examples of Xxxxxxxx Indemnitees in a sentence
Nothing contained in this Agreement is intended to nor shall it confer upon any Person or entity, other than the parties hereto and their respective Subsidiaries, successors and permitted assigns, any benefit, right or remedies under or by reason of this Agreement, except that the provisions of Article 5 shall inure to the benefit of the Xxxxxxxx Indemnitees and the EnPro Indemnitees and the provisions of Article 6 shall inure to the benefit of the Xxxxxxxx Released Parties and the EnPro Released Parties.
Notwithstanding the terms of the preceding sentence to the contrary, the Exhibitor shall not be obligated to indemnify, defend or hold harmless the Xxxxxxxx Indemnitees: (i) to the extent such Losses are caused by the fraud, gross negligence or willful misconduct of the Xxxxxxxx Indemnitees; or (ii) from or against any of the Xxxxxxxx Indemnitees’ lost profits or indirect, special, consequential, exemplary or punitive damages.
As consideration for the various services rendered by Xxxxxxxx to the Exhibitor, whether directly or indirectly as the general services contractor for the Show, Exhibitor waives, releases, acquits and forever discharges the Xxxxxxxx Indemnitees from any and all liability whatsoever for any claims, damages, losses or injuries arising out of the matters for which Xxxxxxxx has disclaimed liability for under this Agreement.
Notwithstanding the terms of the preceding sentence to the contrary, the Exhibitor shall not be obligated to indemnify, defend, or hold harmless the Xxxxxxxx Indemnitees: (i) to the extent such Losses are caused by the fraud, gross negligence, or willful misconduct of the Xxxxxxxx Indemnitees; or (ii) from or against any of the Xxxxxxxx Indemnitees’ lost profits or indirect, special, consequential, exemplary or punitive damages.
Except as otherwise expressly provided in Section 2 of this Agreement, this Agreement shall not modify or impair the obligation of the Matrix Parties to indemnify the Xxxxxxxx Indemnitees (as this and certain other terms are defined in Section 3.5 below) as provided in Section 10 of the Purchase Agreement.
Not later than five days before the due date for payment of Taxes with respect to any Tax Returns which Xxxxxxxx or Xxxxxxxx Tanks has the responsibility to file, Matrix shall pay to Xxxxxxxx an amount equal to that portion of the Taxes shown on such return for which GSAC has an obligation to pay and discharge as contemplated in Section 2.5(b) and Matrix and GSAC have an obligation to indemnify the Xxxxxxxx Indemnitees (or any of them) pursuant to the provisions of Section 10.2 hereof.
The remedies provided in this Section 10.2 shall not be exclusive of or limit any other remedies that may be available to the Xxxxxxxx Indemnitees.

Notwithstanding the foregoing, MTI shall not have any obligation to defend, indemnify or hold harmless the Xxxxxxxx Indemnitees in the event a Third Party claim arises with respect to: (i) any Product or product incorporating any portion of the __________________________ Portions of this exhibit have been omitted pursuant to a request for confidential treatment filed with the Securities and Exchange Commission (the "Commission").
Purchaser agrees to indemnify and save the Xxxxxxxx Indemnitees harmless from and against any and all claims, liabilities or obligations with respect to brokerage or finders' fees or commissions in connection with the transactions contemplated by this Agreement asserted by any person or persons on the basis of any statement or representation made or alleged to have been made by Purchaser or any Affiliate of Purchaser.
