Xxxxxxxx Manager Control Requirements definition

Xxxxxxxx Manager Control Requirements means each of the following requirements: (i) Manager shall be and remain controlled by Xxxxxxxx Entertainment; (ii) Xxxxxxxx Entertainment shall be and remain controlled by Xxxxx X. Xxxxxxxx III and/or Xxxxxxx X. Xxxxxxxx; (iii) Manager and Xxxxxxxx Entertainment shall each be and remain at least fifty-one percent (51%) owned by the Xxxxxxxx Family Parties; (iv) Xxxxx X. Xxxxxxxx III or Xxxxxxx X. Xxxxxxxx, as applicable, control the voting of the equity interests in Manager and Xxxxxxxx Entertainment (provided that, any Xxxxxxxx Family Entity holds only an economic interest in Manager and/or Xxxxxxxx Entertainment, as applicable); and (v) either Xxxxx X. Xxxxxxxx III or Xxxxxxx X. Xxxxxxxx shall be the chief executive officer (or equivalent) of Manager and Xxxxxxxx Entertainment and shall dedicate the preponderance of his professional time and attention to the business and affairs of Xxxxxxxx Entertainment and devote reasonable time and attention to Manager’s performance of its duties under this Agreement and to the business and affairs of the Properties and Owner.

Related to Xxxxxxxx Manager Control Requirements

  • Safety Management System has the meaning given to it in the ISM Code.

  • Payroll Tax Executive Order means the Presidential Memorandum on Deferring Payroll Tax Obligations in Light of the Ongoing COVID-19 Disaster, as issued on August 8, 2020 and including any administrative or other guidance published with respect thereto by any Governmental Authority (including IRS Notice 2020-65).

  • National Ambient Air Quality Standards or “NAAQS” means national ambient air quality standards that are promulgated pursuant to Section 109 of the Act, 42 U.S.C. § 7409.

  • Quality Management System means a set of interrelated or interacting elements that organisations use to direct and control how quality policies are implemented and quality objectives are achieved;

  • Property management system means the Contractor’s system or systems for managing and controlling Government property.

  • Export Control Laws means (a) the U.S. Export Administration Regulations and all other Laws adopted by Governmental Authorities of the United States and other countries relating to import and export controls and (b) the anti-boycott regulations administered by the U.S. Department of Commerce and the U.S. Department of the Treasury and all anti-boycott Laws adopted by Governmental Authorities of other countries relating to prohibition of unauthorized boycotts.

  • Export Controls means all applicable export and reexport control Laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by OFAC and the International Traffic in Arms Regulations maintained by the U.S. Department of State and any applicable anti-boycott compliance regulations.

  • energy management system means a set of interrelated or interacting elements of a plan which sets an energy efficiency objective and a strategy to achieve that objective;

  • Environmental, Health or Safety Requirements of Law means all Requirements of Law derived from or relating to foreign, federal, state and local laws or regulations relating to or addressing pollution or protection of the environment, or protection of worker health or safety, including, but not limited to, the Comprehensive Environmental Response, Compensation and Liability Act, 42 U.S.C. § 9601 et seq., the Occupational Safety and Health Act of 1970, 29 U.S.C. § 651 et seq., and the Resource Conservation and Recovery Act of 1976, 42 U.S.C. § 6901 et seq., in each case including any amendments thereto, any successor statutes, and any regulations or guidance promulgated thereunder, and any state or local equivalent thereof.

  • Anti-Money Laundering and Anti-Terrorism Laws shall have the meaning assigned thereto in Section 3.1(f)(i).

  • Applicable Data Protection Laws means all national, international and local laws, regulations and rules by any government, agency or authority relating to data protection and privacy which are applicable to CPA Global or the Customer, including but not limited to The General Data Protection Regulation (Regulation (EU) 2016/679), (GDPR);

  • Data Protection Laws and Regulations means all laws and regulations, including laws and regulations of the European Union, the European Economic Area and their Member States, Switzerland and the United Kingdom, applicable to the Processing of Personal Data under the Agreement.

  • Sanctions and Export Control Laws means any applicable Law related to (a) import and export controls, including the U.S. Export Administration Regulations, (b) economic sanctions, including those administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury, the U.S. Department of State, the European Union, any European Union Member State, the United Nations, and Her Majesty’s Treasury of the United Kingdom or (c) anti-boycott measures.

  • Operational requirements means the need to ensure that the Agency is to be operated as effectively, efficiently and economically as possible.
