Xxxxxxxxx Designator means Xxxx Xxxxxxxxx or, upon the death or other incapacity of Xxxx Xxxxxxxxx, Xxxxxx Xxxxxxxxx or, upon the death or other incapacity of Xxxxxx Xxxxxxxxx, such other person identified by Xxxxxxxxx Partners Inc. by written notice to the Secretary of the Company.

Xxxxxxxxx Designator means Xxxxx Xxxxxxxxx, or at any time during which Xxxxx Xxxxxxxxx is not living, is unable to make decisions due to a physical or mental incapacity, or is under conservatorship, such person as has been designated to act in his place in respect of his interests in the Company pursuant to his estate planning vehicles.
