  • The Parties acknowledge and agree that YTB Travel (or its Affiliates) shall assist Purchaser in transitioning the performance of the Travel Related Services to Purchaser by providing the Transition Services pursuant to Section 7.7. Upon the expiration or earlier termination of the Transition Services Period, Purchaser shall be responsible for providing the Travel Related Services to the YTB Parties and their Affiliates on the terms and conditions contained herein.

  • Notwithstanding the foregoing, YTB Travel shall be entitled to receive all payments to which it would otherwise have been entitled under Article IV with respect to Travel Revenues generated by such Deactivated Subscriber during the period commencing on the date on which such Dissociated Subscriber ceases to become a ZamZuu Subscriber and ending six (6) months thereafter.

  • YTB Travel Network, Inc., the current subsidiary, as well as the previous corporate entity prior to the merger of December 2004, has at all times maintained the required travel agency licensing, filings, notifications and bondings which are required so that its RTA's may offer travel and travel related services throughout the 50 United States and U.S. territories and possessions.

  • Purchaser shall perform the Travel Related Services in a manner that is consistent with the standards of care exercised by YTB Travel prior to the Closing Date, but in no event shall Purchaser provide such Travel Related Services utilizing less than a reasonable standard of care.

  • Purchaser will, and will cause its employees and agents to, use diligent, consistent, good-faith efforts to cooperate with the YTB Parties and their representatives with a view toward maximizing the opportunity for YTB Travel to receive the payments contemplated by this Article IV.

Related to YTB Travel

  • Air Travel means travel by an airline/aircraft for the purpose of flying therein as a passenger.

  • Travel means all travel required to complete the tasks identified in the Scope of Work. Travel includes in-state and out-of-state travel, and travel to conferences. PIER natural gas funds should be limited to lodging and any form of transportation (e.g., airfare, rental car, public transit, parking, mileage). Use of match funds for out-of-state travel and travel to conferences is encouraged because the Energy Commission might not approve the use of its funds for such travel. If an applicant plans to travel to conferences, including registration fees, they must use match funds. Applicants should be aware of all state and shall adhere to travel restrictions of using state funds to travel to certain other states pursuant to AB 1887 (2016) and codified at California Government Code Section 11139.8.
