Contrat Apple Business Manager

Finalité

Ce Contrat Vous autorise à participer à Apple Business Manager, qui Vous permet d’automatiser l’enregistrement de produits de marque Apple pour la gestion des appareils mobiles (Mobile Device Management, MDM) au sein de Votre Institution, d’acheter et de gérer du contenu pour ces produits, de créer des identifiants Apple gérés et d’avoir accès aux outils de facilitation pour les services associés.

Remarque : une solution de gestion des appareils mobiles (par exemple, Gestionnaire de profils de macOS Server ou une solution d’un développeur tiers) doit être activée au sein de Votre Institution pour pouvoir utiliser les fonctionnalités de ce Service. 1. Définitions

Lorsque ces expressions apparaissent avec une majuscule dans ce Contrat :

« Administrateurs » désigne les employés ou les sous-traitants (ou Fournisseurs de services) de Votre société ou organisation inscrits au Service afin de gérer les comptes (administrer les serveurs, télécharger les réglages relatifs à la gestion des appareils mobiles, ajouter les appareils à Votre compte, acheter du contenu et effectuer d’autres services associés).

« Contrat » désigne le présent Contrat Apple Business Manager. À titre de clarification, ce Contrat Apple Business Manager fait suite au Contrat du Programme d’inscription des appareils d’Apple.

« Apple » désigne l’une des entités suivantes, sauf indication contraire dans les présentes :

(a) Apple Inc., situé à Xxx Xxxxx Xxxx Xxx, Xxxxxxxxx, Xxxxxxxxxx 00000, Xxxxx-Xxxx, pour les Institutions en Amérique du Nord, centrale et du Sud (à l’exclusion du Canada), ainsi que les territoires et les possessions des États-Unis, et les possessions françaises et britanniques en Amérique du Nord, en Amérique du Sud et dans les Caraïbes ; (b) Apple Canada nc., situé au 000 Xxxxxxx Xxxx., Xxxxx 0000, Xxxxxxx XX X0X 0X0, Xxxxxx, pour les Institutions au Canada ou dans ses territoires et possessions ; (c) iTunes K.K., situé à Xxxxxxxx Xxxxx, 0-00-0 Xxxxxxxx, Xxxxxx-xx, Xxxxx 000-0000, Xxxxx, pour les Institutions au Japon ; (d) Apple Pty Limited,

situé au 00 Xxxxxx Xxxxx, Xxxxxx XXX 0000, Xxxxxxxxx, pour les Institutions en Australie et en Nouvelle-Zélande, y compris les possessions insulaires, les territoires et les juridictions affiliées ; et (e) Apple Distribution International Ltd., situé à Xxxxxxxxx Xxxxxxxxxx Xxxxxx, Xxxxxxxxx, Xxxx, Xxxxxxxxxx x’Xxxxxxx, pour les Institutions de tous les autres pays ou territoires non spécifiés ci-dessus dans lesquels le Service est offert.

« Logiciel Apple » désigne les systèmes d’exploitation iOS, iPadOS, macOS et tvOS ou toute

version ultérieure de ces derniers.

« Appareils autorisés » désigne les produits de marque Apple que Vous possédez ou contrôlez, qui ont été désignés pour être utilisés par des Utilisateurs autorisés (ou des Fournisseurs

de service) uniquement, et qui sont éligibles pour être utilisés dans le cadre du Service. Nonobstant ce qui précède, les appareils personnels des Utilisateurs autorisés (c’est-à-dire, appareils « BYOD ») ou les appareils détenus ou contrôlés par une Entité autorisée ne peuvent pas être enregistrés au programme de gestion des appareils supervisés (à savoir, la gestion automatisée d’appareils) dans le cadre du Service, sauf accord préalable par écrit de la part d’Apple, et tous les appareils ne sont pas éligibles pour participer au Service.

« Utilisateurs autorisés » désigne les employés ou les sous-traitants (ou Fournisseurs de service) de Votre société ou organisation, les employés ou les sous-traitants de Votre Entité autorisée ; pour un hôpital, le terme « Utilisateurs autorisés » inclut les médecins accrédités, les médecins traitants et les cliniciens. Pour plus de clarté, vous pouvez demander, et Apple peut approuver, à sa seule discrétion, que d’autres utilisateurs similaires soient inclus en tant qu’« Utilisateurs autorisés » ; cependant, aucune autre partie ne sera incluse dans cette définition sans le consentement écrit préalable d’Apple.

« Contenu » désigne tout matériel ou toute information pouvant être acquis ou obtenu sous licence dans le cadre du Service par le biais des conditions du Contenu en volume d’Apple.

« Réglages d’inscription des appareils » désigne les réglages pour un produit de la marque Apple qui peuvent être configurés et gérés dans le cadre du Service, y compris, mais sans

s’y limiter, le flux d’inscription initial pour un appareil ainsi que les réglages pour superviser un appareil, rendre une configuration obligatoire ou verrouiller un profil MDM.

« Documentation » désigne les spécifications ou les documents de nature technique ou autre qu’Apple peut Vous fournir pour une utilisation dans le cadre du Service.

« Licence d’utilisateur final » désigne les conditions du contrat de licence du Logiciel Apple.

« Identifiant(s) Apple géré(s) » désigne un compte d’utilisateur (y compris, mais sans s’y limiter, le stockage, le calendrier, les notes et les contacts) que Vous créez et déployez par le biais de l’utilisation du Service.

« Serveur(s) MDM » désigne les ordinateurs que Vous (ou un Fournisseur de services agissant en Votre nom) possédez ou contrôlez qui ont été désignés pour communiquer avec le Service.

« Entité(s) autorisée(s) » désigne : (a) si Vous êtes un constructeur automobile, Vos concessionnaires autorisés et Vos partenaires de service agréés ; (b) si Vous êtes une société de portefeuille d’hôtels, les propriétés hôtelières exploitées sous Votre nom, marque de commerce ou marque (ou un nom, une marque de commerce ou une marque qu’elle possède ou contrôle) ; ou (c) d’autres entités similaires qu’Apple peut agréer par écrit à sa seule discrétion.

« Données à caractère personnel » désigne les données qui peuvent être raisonnablement utilisées pour identifier une personne qui est sous le contrôle de l’Institution en vertu du présent Contrat.

« Service » désigne le service Apple Business Manager (et tous les composants, fonctionnalités et caractéristiques de celui-ci) assurant l’inscription à la gestion automatisée des appareils mobiles, l’acquisition et la gestion de Contenu, la création, l’utilisation et la gestion d’identifiants Apple gérés, l’utilisation de comptes Administrateurs et d’autres services connexes prévus par

le présent Contrat, y compris le portail web et tout service ou outil fourni en vertu des présentes.

« Fournisseur de services » désigne une tierce partie qui fournit un service en Votre nom conformément aux conditions du présent Contrat.

« Jeton serveur » désigne la combinaison de Votre clé publique, de Votre identifiant Apple et d’un jeton fourni par Apple qui permet à Votre ou Vos serveurs MDM d’être enregistrés auprès du Service.

« Vous », « Votre/Vôtre/Vos » et « Institution » désignent l’institution qui conclut ce Contrat. Pour éviter toute ambiguïté, l’Institution est chargée de faire respecter ce Contrat par ses employés, sous-traitants, fournisseurs de services tiers et agents qui sont autorisés en son nom à exercer des droits au titre de ce Contrat.

Remarque : si vous êtes un fournisseur de services tiers, l’Institution avec laquelle vous travaillez doit devenir partie au présent Contrat et vous ajouter comme Administrateur, car l’entité qui possède les Appareils autorisés et prévoit de les distribuer à ses Utilisateurs autorisés doit

être inscrite au Service.

2. Clauses relatives au Service

2.1 Utilisation du Service

L’Institution reconnaît et accepte, comme conditions préalables à l’utilisation du Service :

(a) que l’Institution est autorisée à utiliser le Service uniquement pour les besoins et de la manière explicitement prévus par ce Contrat et conformément à la Documentation et à toutes les lois et réglementations applicables ;

(b) que l’Institution n’est pas autorisée à utiliser le Service (ou quelque partie de ce dernier) pour des activités illicites, inappropriées ou illégales ;

(c) que l’Institution est autorisée à utiliser le Service pour gérer des Appareils autorisés destinés uniquement à une utilisation par des Utilisateurs autorisés et non pour un déploiement général à des tiers, et que l’Institution est responsable de toute utilisation des Appareils autorisés par les Utilisateurs autorisés (par exemple, pour l’obtention de consentements et la communication d’informations appropriées aux utilisateurs à propos des fonctionnalités gérées des appareils) ;

(d) que l’Institution sera responsable pour son Entité autorisée, que toute action entreprise par l’Entité autorisée sera considérée comme ayant été exécutée par l’Institution, et que l’Institution (en plus de son Entité autorisée) sera responsable à l’égard d’Apple de ces actions. Apple se réserve le droit de fixer des limitations sur les caractéristiques ou fonctionnalités du Service que l’Institution met à disposition de son Entité autorisée (ou aux Utilisateurs autorisés de son Entité autorisée) ; et l’Institution sera responsable de son Entité autorisée et sera directement responsable vis-à-vis d’Apple de toute violation du présent Contrat par son Entité autorisée

(et par tout Utilisateur autorisé de cette Entité autorisée) ;

(e) que l’institution obtiendra tous les droits et accords nécessaires de ses Utilisateurs autorisés pour déployer ses Appareils autorisés comme permis par le présent Contrat ;

(f) que l’Institution aura le droit d’acheter et de gérer le Contenu de la manière autorisée par le Service ;

(g) que l’Institution obtiendra tous les droits et accords nécessaires de ses Utilisateurs autorisés pour créer des identifiants Apple gérés et pour permettre à Apple de fournir le Service pour les identifiants Apple gérés (y compris l’utilisation et la conservation des Données à caractère personnel) ;

(h) que l’Institution peut ajouter des Administrateurs au Service, mais uniquement si ces personnes sont des employés ou des sous-traitants de l’Institution ou des Fournisseurs de services agissant au nom de celle-ci, et que l’Institution peut les ajouter uniquement à des fins de gestion de compte ; et

(i) que l’Institution est autorisée à utiliser le Service uniquement aux fins de ses propres activités

commerciales (et celles de son Entité autorisée) et pour des besoins internes de technologie de l’information. Elle n’est pas autorisée à fournir à des tierces parties un produit ou un service intégrant ou utilisant des services ou des informations fournies par le Service ou utilisant le Service d’une quelconque manière, sauf indication écrite contraire de la part d’Apple.

2.2 Aucune autre utilisation autorisée

L’Institution accepte de ne pas exploiter le Service d’une quelconque manière non autorisée, ce qui comprend, sans s’y limiter, l’accès non autorisé, la surcharge d’un réseau ou le téléchargement de code malveillant. Le non-respect de cette disposition constituerait une violation des droits d’Apple et de ses concédants de licence. L’Institution ne peut pas concéder en licence, vendre, partager, louer, céder, distribuer ou héberger le Service (ou tout élément de celui-ci), ni en autoriser une exploitation en temps partagé ou une utilisation par une société de services commerciaux, ni le mettre d’une autre façon à disposition d’un tiers, sauf dans

la mesure expressément autorisée dans le présent Contrat. L’Institution s’engage à ne pas utiliser le Service pour traquer, harceler, tromper, abuser, menacer une autre personne ou lui nuire, ni prétendre être une personne ou entité autre que l’entité qui s’est inscrite, et Apple se réserve le droit de rejeter ou de bloquer tout compte susceptible d’être considéré comme une usurpation d’identité ou une fausse déclaration sur le nom ou l’identité d’une autre entité

ou personne. L’Institution n’interférera pas avec le Service, ni avec les mécanismes de sécurité, de signature numérique, de gestion des droits numériques, de vérification ou d’authentification mis en œuvre dans ou par le Service, par le Logiciel Apple, ou par tout autre logiciel ou technologie Apple connexe, et ne permettra pas à d’autres de le faire. Si l’Institution est une entité couverte, un associé commercial, un représentant d’une entité couverte ou d’un associé commercial (comme ces termes sont définis dans 45 C.F.R. § 160.103), ou un prestataire ou

une entité de soins de santé, l’Institution accepte de n’utiliser aucun composant, fonction ou autre installation du Service pour créer, recevoir, actualiser ou transmettre des « informations de santé protégées » (comme ce terme est défini dans 45 C.F.R. § 160.103) ou des données de santé équivalentes dans le cadre de la législation en vigueur, ni utiliser le Service d’une manière qui ferait d’Apple un associé commercial de l’Institution ou celui d’un tiers, ou qui de quelque autre façon que ce soit soumettrait directement Apple à la législation en vigueur en matière de confidentialité médicale. Tous les droits qui ne sont pas expressément accordés dans le présent contrat sont réservés et aucun autre droit, licence ou exonération, exprès ou tacite, n’est accordé par Apple, tacitement, par voie d’« estoppel » ou de toute autre manière.

2.3 Utilisation de Jeton serveur

L’Institution accepte d’utiliser le Jeton serveur uniquement à des fins d’enregistrement de son Serveur MDM dans le Service et de téléchargement des Réglages d’inscription des appareils envoyés aux Appareils autorisés lors de leur activation initiale par les Utilisateurs autorisés. L’Institution accepte de ne pas fournir, transmettre ou partager son Jeton serveur à une autre entité, à l’exception de son Fournisseur de services. L’Institution accepte de prendre des mesures appropriées pour garantir la sécurité et la confidentialité de ce Jeton serveur et de le révoquer s’il a été corrompu ou si l’Institution a des raisons de croire qu’il l’a été. Apple

se réserve le droit de révoquer ou désactiver des Jetons serveurs à tout moment et à sa seule discrétion. En outre, l’Institution comprend et accepte que le renouvellement du Jeton serveur affecte sa capacité à utiliser le Service jusqu’à ce qu’un nouveau Jeton serveur soit ajouté au Serveur MDM.

2.4 Dispositions du contrat de licence d’utilisateur final

Dans le cadre du Service, l’Institution peut choisir de laisser les Utilisateurs autorisés accepter les conditions générales d’utilisation du Logiciel Apple hors de la procédure d’activation initiale habituelle sur un appareil. L’Institution peut utiliser cette caractéristique du Service tant qu’elle accepte les clauses suivantes :

(a) les représentants autorisés de l’Institution doivent accepter les dispositions du contrat

de licence d’utilisateur final pour le Logiciel Apple sur le portail web du Service avant de mettre à disposition des Utilisateurs autorisés les Appareils autorisés exécutant le Logiciel Apple ;

(b) si les dispositions du contrat de licence d’utilisateur final du Logiciel Apple ont été modifiées, l’Institution accepte que ses représentants autorisés retournent sur le portail web du Service

et acceptent lesdites conditions sans délai lorsqu’elle en est notifiée par Apple afin de continuer à utiliser le Service. L’Institution convient qu’elle ne pourra pas utiliser le Service, y compris ajouter des Appareils autorisés supplémentaires au Serveur MDM, tant que lesdites conditions ne seront pas acceptées ;

(c) l’institution est responsable de s’assure que les dispositions du contrat de licence d’utilisateur final sont fournies aux Utilisateurs autorisés et que chacun d’eux connaît et respecte les dispositions du contrat de licence d’utilisateur final du Logiciel Apple ; et

(d) l’institution accepte d’être responsable d’obtenir tout accord nécessaire pour que ses Utilisateurs autorisés utilisent le Logiciel Apple.

2.5 Transfert d’appareil

L’Institution accepte de ne revendre aucun Appareil autorisé sur lequel des Réglages d’inscription des appareils sont activés et de supprimer ces Appareils du Service avant de les revendre ou de les transférer d’une quelconque manière à des Utilisateurs non autorisés.

2.6 Achat de Contenu

L’acquisition de Contenu est automatiquement désactivée dans le Service, et Votre utilisation est soumise aux exigences et conditions d’utilisation du Contenu en volume présentées dans le Service avant l’utilisation des Apps et des Livres. Vous pouvez décider d’autoriser Vos Administrateurs à accéder à ce Contenu par le biais du Service en leur accordant le pouvoir d’effectuer des achats et en leur permettant d’accéder aux conditions du Contenu en volume d’Apple pour acheter du Contenu à utiliser et à gérer dans le cadre du Service. Vous êtes seul responsable de tous ces achats et du respect des conditions applicables. Si Vous achetez du

Contenu dans le cadre du Service, Xxxx reconnaissez en avoir le pouvoir et Vous vous engagez à accepter les conditions applicables pour le compte de Vos Utilisateurs autorisés. Si Vous recevez un jeton VPP, Vous pouvez l’utiliser pour gérer le Contenu dans le cadre du Service, conformément à la Documentation.

2.7 Comptes d’Administrateur

Vous pouvez créer des comptes d’Administrateur que Vos Administrateurs utiliseront pour administrer le Service. Ces comptes d’Administrateur seront une combinaison d’un nom d’utilisateur unique et d’un mot de passe, qui Vous appartiendront. Lorsque Xxxx créez des comptes d’Administrateur, toutes les caractéristiques et fonctionnalités du Service que Vous sélectionnez seront activées pour ces comptes. Il Vous incombe d’activer comme il convient ces comptes d’Administrateur et de surveiller toute activité en rapport avec ces comptes (par exemple, permettre les achats de Contenu). Vous reconnaissez et acceptez que ces comptes d’Administrateur ne peuvent être utilisés que pour accéder au Service et le gérer à des fins de

gestion de comptes. Si Vous supprimez des comptes d’Administrateur, ni Vous ni l’Administrateur n’aurez accès à ces comptes d’Administrateur, et Vous reconnaissez et acceptez que cette action peut ne pas être réversible, et qu’Apple ne sera pas responsable envers Vous pour toute interruption de Service (y compris la perte de données).

2.8 Identifiants Apple gérés

Vous pouvez créer des identifiants Apple gérés auxquels les Utilisateurs autorisés peuvent accéder et qu’ils peuvent utiliser dans le cadre du Service conformément au présent Contrat et

à la Documentation. Vous êtes responsable de décider quelles caractéristiques et fonctionnalités du Service activer pour les Utilisateurs autorisés et pour la création, l’utilisation et la gestion des identifiants Apple gérés sur des Appareils autorisés.

2.9. Mises à jour ; aucune assistance ou maintenance

Apple peut développer, améliorer, suspendre, interrompre ou modifier d’une autre manière le Service (ou toute partie de celui-ci) faisant l’objet du présent Contrat, à tout moment et sans préavis, et Apple n’aura aucune responsabilité à Votre égard ou vis-à-vis de toute tierce partie en cas d’exercice de ces droits. Apple ne sera tenue de fournir à l’Institution aucune mise à jour concernant le Service. Si des mises à jour sont mises à disposition par Apple, les conditions du présent Contrat régiront lesdites mises à jour, à moins que la mise à jour ne soit accompagnée d’un contrat distinct, auquel cas les conditions de ce dernier feront foi. Si une mise à jour est mise à disposition, ses caractéristiques, services ou fonctionnalités pourront être différents de ceux présents dans le Service. Apple n’est pas tenue de fournir des services de maintenance, d’assistance de nature technique ou autre pour le Service.

2.10 Fournisseurs de services tiers

Vous êtes autorisé à utiliser un Fournisseur de services uniquement si celui-ci accède au service ou l’utilise en Votre nom et conformément à ces conditions, et s’il est lié par un contrat écrit entre Xxxx et lui comportant des conditions au moins aussi restrictives et protectrices que celles du présent Contrat. Toute action mise en œuvre par un tel Fournisseur de services en relation avec le Service et/ou découlant du présent Contrat est considérée de façon tacite comme ayant été entreprise par Vous, et Vous (en plus du Fournisseur de services) êtes responsable à l’égard d’Apple de toutes ces actions (ou omissions).

3. Obligations de l’Institution

L’institution déclare et garantit :

(a) que le représentant ou l’agent autorisé de l’institution possède le droit et l’autorité de devenir partie au présent Contrat en son nom et d’engager juridiquement l’institution par les conditions du présent Contrat ;

(b) que toutes les informations fournies par l’Institution à Apple dans le cadre du présent Contrat sont actuelles, exactes, vraies, supportables et complètes, et qu’elle notifiera Apple sans délai de tout changement concernant lesdites informations ;

(c) que l’Institution contrôlera et assumera la responsabilité de l’utilisation du Service faite par ses représentants autorisés, ses Fournisseurs de services, ses Utilisateurs autorisés, ses Administrateurs et ses Entités autorisées, et du respect par ceux-ci des conditions du présent Contrat ;

(d) que l’Institution est l’unique responsable de la totalité des coûts, des dépenses, des pertes et des responsabilités auxquels elle s’expose et des activités que l’Institution, ses représentants autorisés, ses Administrateurs, ses Fournisseurs de services, ses Utilisateurs autorisés, ses Entités autorisées et ses Appareils autorisés entreprennent, dans le cadre du Service ;

(e) que l’Institution est seule responsable de la conformité à toutes les lois sur la vie privée et la protection des données (par exemple, le Règlement (UE) 2016/679 du Parlement européen et du Conseil du 27 avril 2016 relatif à la protection des personnes physiques

à l’égard du traitement des Données à caractère personnel et à la libre circulation de ces données, et abrogeant la directive 95/46/CE (« RGPD »)) concernant l’utilisation du Service et l’utilisation ou la collecte de données, y compris les Données à caractère personnel, et les informations par le biais du Service ;

(f) que l’Institution est responsable de son activité liée aux Données à caractère personnel

(par exemple, la sauvegarde, la surveillance et la limitation de l’accès aux Données à caractère personnel, la prévention et le traitement des activités inappropriées, etc.) ; et

(g) que l’institution se conforme aux conditions et remplit les obligations du présent Contrat.

4. Modifications des clauses ou des conditions du Service

Apple peut modifier à tout moment le Service ou les conditions du présent Contrat. Afin de pouvoir continuer à utiliser le Service, l’Institution, par le biais de son représentant autorisé, doit accepter les nouvelles conditions ou clauses du présent Contrat. Si Vous n’acceptez pas les

nouvelles conditions ou clauses, Votre utilisation du Service peut être suspendue ou résiliée par Apple. Vous reconnaissez que l’acceptation desdites nouvelles conditions du Contrat peut être communiquée par voie électronique, y compris, mais sans s’y limiter, en cochant une case ou en cliquant sur un bouton « J’accepte » ou similaire.

5. Indemnisation

Dans la mesure autorisée par la loi applicable, Xxxx acceptez d’indemniser, de dégager de toute responsabilité, et à la demande d’Apple, de défendre Apple, ses administrateurs, dirigeants, employés, filiales, sous-traitants indépendants et représentants autorisés (chacun étant désigné

« Partie protégée Apple ») en cas de réclamations, pertes, dettes, dommages, dépenses et coûts de tout type, y compris, mais sans s’y limiter, les honoraires d’avocat et les frais judiciaires (collectivement, les « Pertes ») encourus par une Partie protégée Apple et découlant de ou liés

à : (a) une violation de Votre part de toute authentification, obligation, représentation, garantie ou de tout engagement concernant le présent Contrat, (b) Votre utilisation (y compris l’utilisation faite par Votre Fournisseur de services, Administrateur et/ou Entité autorisée) du Service ;

(c) toute réclamation, y compris, mais sans s’y limiter, toute réclamation de la part d’un utilisateur final, concernant Votre utilisation, déploiement ou gestion des Appareils autorisés, des Réglages d’inscription des appareils et/ou des Serveurs MDM ; et/ou (d) toute réclamation, y compris, mais sans s’y limiter, toute réclamation de la part d’un utilisateur final, concernant la fourniture, la gestion et/ou l’utilisation des Appareils autorisés, des comptes d’Administrateur, des identifiants Apple gérés, de tout Contenu utilisé sous licence ou acheté par le biais du Service et/ou toute autre utilisation du Service ; et/ou (e) toute réclamation concernant Votre utilisation ou gestion des Données à caractère personnel (y compris l’utilisation par Votre Entité autorisée ou les Utilisateurs autorisés). Vous ne pouvez en aucun cas conclure avec une tierce partie un accord de règlement ou une autre forme d’accord qui altèrerait les droits d’Apple ou engagerait Apple ou une Partie protégée Apple de quelque façon que ce soit, sans le consentement écrit préalable d’Apple.

6. Durée et résiliation

Le présent Contrat prend effet à la date à laquelle Xxxx acceptez ce Contrat dans le portail web du Service pour une durée initiale d’un (1) an à compter de la date initiale d’activation de Votre compte du Service par Apple (« Durée »). Par la suite, sous réserve du respect des conditions du présent Contrat, la Durée est automatiquement renouvelée pour des périodes successives d’un (1) an, sauf résiliation antérieure conformément au présent Contrat. Chacune des parties peut résilier le présent Contrat à sa convenance, pour une raison quelconque ou sans raison. La résiliation prend effet 30 jours après réception par l’autre partie d’un avis de résiliation par écrit.

Si Vous ne Vous conformez pas ou qu’Apple suspecte que Vous ne Vous êtes pas conformé à une quelconque clause du présent Contrat, Apple peut, à sa seule discrétion et sans Vous

le communiquer : (i) résilier le présent Contrat et/ou Votre compte, et/ou (ii) suspendre ou Vous interdire l’accès au Service (ou à toute partie de celui-ci). Apple se réserve le droit de modifier, d’interrompre ou d’arrêter le Service (ou une partie ou un contenu de celui-ci) à tout moment

et sans préavis et n’est pas redevable envers Vous ou toute tierce partie en cas d’exercice de tels droits. Apple peut également résilier le présent Contrat ou suspendre Vos droits d’utilisation des Services si Vous n’acceptez pas les nouvelles conditions du Contrat comme décrit dans l’article 4. Vous reconnaissez et acceptez que Vous ne pouvez pas accéder au Service après l’expiration ou la résiliation du présent Contrat et qu’Apple se réserve le droit de suspendre l’accès aux données ou aux informations que Vous, Vos Administrateurs, Vos Utilisateurs autorisés ou Vos Entités autorisées avez stockées par le biais de Votre utilisation du Service, ou de les supprimer. Vous devez consulter la Documentation avant d’utiliser n’importe quelle partie du Service et effectuer des sauvegardes appropriées de Vos données et informations.

Apple ne sera pas responsable envers Xxxx ou un tiers en cas d’exercice de ces droits ou pour tout dommage pouvant résulter ou survenir suite à une telle résiliation ou suspension.

Les dispositions suivantes survivront à la résiliation du présent Contrat : L’article 1, l’article 2.9, la deuxième phrase de l’article 2.10, l’article 3, l’article 5, le deuxième paragraphe de l’article 6 et les articles 7, 8, 9 et 10.

7. EXCLUSION DE GARANTIES

VOUS RECONNAISSEZ ET ADMETTEZ EXPRESSÉMENT QUE, DANS LA LIMITE DE

CE QU’AUTORISE LA LOI, VOTRE UTILISATION OU VOTRE INAPTITUDE À UTILISER LE SERVICE OU TOUT OUTIL OU TOUTE CARACTÉRISTIQUE OU FONCTIONNALITÉ FOURNI PAR LEDIT SERVICE OU ACCESSIBLE VIA CE DERNIER EST À VOS RISQUES ET PÉRILS ET QUE LA TOTALITÉ DU RISQUE RELATIF À LA QUALITÉ, AUX PERFORMANCES,

À L’EXACTITUDE ET AU MANIEMENT SATISFAISANTS REPOSE SUR VOUS.

DANS LA LIMITE MAXIMALE AUTORISÉE PAR LA LOI APPLICABLE, LE SERVICE EST FOURNI « EN L’ÉTAT » ET « SELON LA DISPONIBILITÉ », AVEC TOUS LES DÉFAUTS ET SANS GARANTIE D’AUCUNE SORTE ; APPLE, SES DIRECTEURS, CADRES, EMPLOYÉS, AFFILIÉS, REPRÉSENTANTS AUTORISÉS, AGENTS, SOUS-TRAITANTS, REVENDEURS OU CONCÉDANTS DE LICENCE (COLLECTIVEMENT DÉNOMMÉS « APPLE » AUX FINS DES ARTICLES 7 ET 8) DÉCLINENT TOUTES LES GARANTIES ET CONDITIONS CONCERNANT LE SERVICE, QU’ELLES SOIENT EXPRESSES, IMPLICITES OU PRÉVUES PAR LA LOI,

Y COMPRIS, MAIS SANS S’Y LIMITER, LES GARANTIES ET CONDITIONS IMPLICITES DE QUALITÉ MARCHANDE, DE QUALITÉ SATISFAISANTE, D’ADAPTATION À UN USAGE PARTICULIER, D’EXACTITUDE, DE JOUISSANCE PAISIBLE, DE DROIT DE PROPRIÉTÉ ET DE NON-VIOLATION DES DROITS DES TIERS.

APPLE NE PEUT GARANTIR, CERTIFIER OU DÉCLARER QU’IL N’Y AURA PAS D’INTERFÉRENCE QUANT À VOTRE UTILISATION DU SERVICE OU DE PERTE DE JOUISSANCE LIÉE À CELLE-CI, QUE LES CARACTÉRISTIQUES OU FONCTIONNALITÉS COMPRISES OU LES SERVICES OFFERTS PAR LE SERVICE RÉPONDRONT À VOS ATTENTES OU SERONT SÉCURITAIRES, QUE LE FONCTIONNEMENT DU SERVICE SERA ININTERROMPU OU EXEMPT DE TOUTE ERREUR, QUE LES DÉFAUTS OU ERREURS SERONT CORRIGÉS, QUE LE SERVICE DEMEURERA ACCESSIBLE OU QU’IL

SERA COMPATIBLE OU FONCTIONNERA AVEC TOUT LOGICIEL OU TOUTE APPLICATION DE TIERS OU AVEC D’AUTRES PRODUITS OU SERVICES APPLE, QU’AUCUNE DONNÉE OU INFORMATION STOCKÉE DANS LE SERVICE OU TRANSMISE PAR SON ENTREMISE NE SERA PERDUE, CORROMPUE, ENDOMMAGÉE, ATTAQUÉE, PIRATÉE, VICTIME D’INTERFÉRENCE OU SOUMISE À TOUTE AUTRE ATTEINTE À LA SÉCURITÉ. VOUS ACCEPTEZ QU’APPLE PUISSE, DE TEMPS À AUTRE, SUPPRIMER LE SERVICE POUR UNE DURÉE INDÉTERMINÉE, OU MODIFIER, SUSPENDRE, ARRÊTER OU ANNULER

LE SERVICE, À TOUT MOMENT ET SANS PRÉAVIS.

VOUS RECONNAISSEZ ÉGALEMENT QUE LE SERVICE N’A PAS ÉTÉ CONÇU ET NE CONVIENT PAS À UNE UTILISATION DANS DES SITUATIONS OU DES ENVIRONNEMENTS OÙ UNE DÉFAILLANCE, DES RETARDS, DES ERREURS OU DES INEXACTITUDES DANS LE CONTENU, LES DONNÉES OU LES RENSEIGNEMENTS FOURNIS À TRAVERS LE SERVICE POURRAIENT ENTRAÎNER LA MORT, DES BLESSURES OU DES DOMMAGES PHYSIQUES OU ENVIRONNEMENTAUX GRAVES, Y COMPRIS, SANS S’Y LIMITER, POUR L’EXPLOITATION D’INSTALLATIONS NUCLÉAIRES, LES SYSTÈMES DE NAVIGATION OU DE COMMUNICATIONS AÉRIENNES, LE CONTRÔLE DE LA CIRCULATION AÉRIENNE, AINSI QUE LES SYSTÈMES DE MAINTIEN DES FONCTIONS VITALES ET D’ARMEMENT.

AUCUNE INFORMATION, ORALE OU ÉCRITE, NI AUCUN CONSEIL DONNÉ PAR APPLE OU UN REPRÉSENTANT AUTORISÉ D’APPLE NE CONSTITUE DE GARANTIE NON EXPRESSÉMENT DÉCLARÉE DANS LE PRÉSENT CONTRAT. SI LE SERVICE S’AVÉRAIT

DÉFECTUEUX, VOUS ASSUMERIEZ SEUL LE COÛT TOTAL DE TOUTE RÉVISION, RÉPARATION OU RECTIFICATION NÉCESSAIRE.

8. LIMITATION DE RESPONSABILITÉ

DANS LA MESURE OÙ LA LOI APPLICABLE NE L’INTERDIT PAS, EN AUCUN CAS APPLE NE PEUT ÊTRE TENUE RESPONSABLE DE TOUT DOMMAGE CORPOREL OU DE TOUT DOMMAGE INDIRECT, ACCESSOIRE, PARTICULIER OU CONSÉCUTIF QUE CE SOIT, Y COMPRIS, MAIS SANS S’Y LIMITER, LES DOMMAGES DUS AUX PERTES DE BÉNÉFICES, AUX PERTES OU À LA CORRUPTION DE DONNÉES OU DE TOUTE AUTRE INFORMATION, AUX PERTES LIÉES À L’INTERRUPTION DES ACTIVITÉS OU TOUT AUTRE DOMMAGE COMMERCIAL DÉCOULANT DE CE CONTRAT OU DE VOTRE UTILISATION OU DE VOTRE INAPTITUDE À UTILISER LE SERVICE, MÊME SI APPLE A ÉTÉ INFORMÉE OU EST AU COURANT DE LA POSSIBILITÉ DE TELS DOMMAGES, ET SANS ÉGARD À LA THÉORIE DE LA RESPONSABILITÉ (CONTRAT, RESPONSABILITÉ CIVILE OU AUTRE). EN AUCUN CAS LA RESPONSABILITÉ TOTALE D’APPLE POUR TOUT DOMMAGE (EN DEHORS DE CE QUE LA LOI APPLICABLE POURRAIT EXIGER DANS UNE AFFAIRE IMPLIQUANT UN DOMMAGE CORPOREL) N’EXCÉDERA LA SOMME DE CINQUANTE DOLLARS (50 $). LES LIMITATIONS SUSMENTIONNÉES S’APPLIQUERONT MÊME SI LE RECOURS INDIQUÉ CI-DESSUS FAIT DÉFAUT À SA VOCATION ESSENTIELLE.

9. Sécurité et confidentialité des données

9.1 Utilisation et divulgation des Données à caractère personnel

En vertu de ce Contrat, Apple, agissant comme un prestataire de service de traitement de données pour Votre compte, peut recevoir ou avoir accès à des Données à caractère personnel, si elles sont fournies par Vous. En concluant le présent Contrat, Xxxx demandez à Apple de traiter et d’utiliser ces Données à caractère personnel pour fournir et maintenir le Service conformément à la loi applicable, Vos instructions données par le biais de l’utilisation du Service (par exemple, les instructions données par le biais du Service) et toutes autres instructions écrites que Vous avez données et qui sont acceptées et reconnues par écrit par Apple. Apple se conformera à ces instructions, le cas échéant, et sauf si la loi l’interdit, auquel cas Apple Vous informera avant de traiter ces Données à caractère personnel (sauf si la loi interdit de Vous informer pour des raisons d’intérêt public). Apple peut fournir des Données à caractère personnel à des fournisseurs de services qui fournissent des services à Apple en lien avec le Service

(« Sous-traitants »). Vous autorisez Apple à utiliser toutes les entités Apple définies dans la définition de « Apple » en tant que Sous-traitants et à utiliser tout autre Sous-traitant ; à condition que ces Sous-traitants soient liés par des obligations contractuelles de protection des données au moins aussi protectrices que celles du présent Contrat et qu’une liste de ces Sous-traitants soit disponible sur demande, si la loi l’exige. Apple peut communiquer des Données à caractère personnel sur Vous si Apple détermine que cette communication est raisonnablement nécessaire pour faire respecter les conditions générales d’Apple ou protéger les opérations ou utilisateurs d’Apple. En outre, en cas de réorganisation, fusion ou vente, Apple pourra céder toutes les Données à caractère personnel que Vous lui fournissez à la partie concernée. Si Apple reçoit une demande de tiers concernant des Données à caractère personnel (« Demande de tiers »), Apple Vous informera, dans la mesure permise par la loi, de sa réception de cette Demande de tiers et avisera le demandeur de Vous l’adresser directement. Sauf disposition contraire stipulée par la loi ou dans la Demande de tiers, vous serez chargé d’y répondre.

9.2 Incidents concernant les données

Si Apple apprend que des Données à caractère personnel ont été modifiées, supprimées ou perdues à la suite d’un accès non autorisé au Service (un « Incident concernant les données »), Apple informera l’Institution sans retard indu si la loi l’exige, et Apple prendra des mesures raisonnables pour minimiser les dommages et sécuriser les données. La notification ou la réponse d’Apple suite à un Incident concernant les données ne saura être interprétée comme

une admission par Apple d’une quelconque responsabilité vis-à-vis d’un tel Incident concernant les données. L’Institution est responsable de se conformer aux lois applicables sur la notification des incidents et de s’acquitter de toute obligation d’une tierce partie vis-à-vis des Incidents concernant les données. Apple n’accèdera pas au contenu de Vos Données à caractère personnel afin d’identifier les informations soumises à des obligations légales spécifiques.

9.3 Procédures de sécurité ; conformité

Apple est tenue d’utiliser les mesures standard de l’industrie pour protéger les Données à caractère personnel pendant leur transfert, leur traitement et leur stockage dans le cadre du Service. Dans le cadre de ces mesures, Apple utilisera également des efforts commercialement raisonnables pour chiffrer les Données à caractère personnel au repos et en transit ; assurer la confidentialité, l’intégrité, la disponibilité et la résilience du Service ; rétablir la disponibilité des Données à caractère personnel dans les meilleurs délais ; et tester, analyser et évaluer régulièrement l’efficacité desdites mesures. Apple prendra des mesures appropriées pour assurer le respect des procédures de sécurité par ses employés et Sous-traitants, et veillera à ce que toute personne autorisée à traiter les Données à caractère personnel respecte les lois applicables en matière de confidentialité et de sécurité des Données à caractère personnel en ce qui concerne le Service. Les Données à caractère personnel chiffrées peuvent être stockées à un emplacement au choix d’Apple. Dans la mesure où Apple traite des données, Apple Vous aidera à garantir Votre conformité, le cas échéant, aux articles suivants : (a) l’article 28 du RGPD (en autorisant et en participant aux audits ; à condition que les certifications XXX 00000 et XXX 00000 d’Apple soient considérées comme suffisantes aux fins de tells audits requis) ; (b) l’article 32 du RGPD (en mettant en œuvre les procédures de sécurité énoncées dans le présent article 9.3 et en maintenant les certifications XXX 00000 et ISO 27018) ; (c) les articles 33 et 34 du RGPD ou d’autres obligations équivalentes en vertu de la loi (en vous aidant à fournir la notification requise d’un Incident concernant les données à une autorité de contrôle ou à des personnes

concernées) ; (d) les lois obligeant l’Institution à effectuer des évaluations d’impact sur la protection des données ou à consulter une autorité de contrôle avant le traitement ; et (e) une enquête par un organisme de réglementation de la protection des données ou une autorité similaire concernant les Données à caractère personnel.

9.4 Accès et transfert de données ; résiliation ; Institution traitant des données

Si la loi l’exige, Apple veillera à ce que tout transfert international de données se fasse uniquement vers un pays qui assure un niveau de protection adéquat, a fourni les garanties appropriées telles que définies dans la loi applicable, telles que celles des articles 46 et 47 du RGPD (par exemple, clauses standard de protection des données), ou fait l’objet d’une dérogation à l’article 49 du RGPD. Si Vous devez conclure un contrat de transfert de données pour transférer des données vers un pays tiers, Xxxx acceptez de conclure le contrat de transfert de données applicable pour Votre juridiction comme cela est exécuté par Apple à l’adresse xxxxx://xxxxx.xxx/xxxxx/xxxxxxxxxx/xxxxxxxxxxxx.

Apple n’est pas responsable des données que Vous stockez ou transférez en dehors du système Apple. En cas de résiliation du présent Contrat pour quelque raison que ce soit, Apple détruira de manière sécurisée et dans un délai raisonnable les Données à caractère personnel stockées par Apple dans le cadre de Votre utilisation du Service, sauf pour prévenir les fraudes ou autrement requis par la loi. L’Engagement de confidentialité d’Apple est disponible à l’adresse xxxxx://xxx.xxxxx.xxx/xxxxx/xxxxxxx/ et, dans toute la mesure conforme avec cet article 9, est intégré ici à titre de référence. En cas de conflit entre l’Engagement de confidentialité d’Apple et le présent article 9, les conditions du présent article 9 prévaudront.

Dans la mesure où l’Institution conclut le présent Contrat en tant que prestataire de service de traitement de données pour une Entité autorisée, l’Institution déclare et garantit qu’elle conclut le présent Contrat en son nom et, dans la limite énoncée dans les présentes, au nom d’une telle

Entité autorisée. L’Institution déclare qu’elle détient les consentements applicables de cette Entité autorisée pour conclure le présent Contrat et engager Apple en tant que sous-traitant au nom de cette entité, et est responsable envers Apple de toute réclamation de ces Entités autorisées à cet égard.

10. Conditions légales générales

10.1 Avis de tiers

Des parties du Service peuvent utiliser ou comprendre des logiciels de tiers et d’autre matériel sujet à des droits d’auteur. Les remerciements, les modalités d’octroi de licence et les exclusions de garanties relatifs à ce matériel sont inclus dans la documentation électronique du Service ou de la partie du Service concernée, et Votre utilisation dudit matériel est régie par ces conditions.

10.2 Accord relatif à la collecte et à l’utilisation de données

Vous reconnaissez et acceptez qu’Apple et ses filiales et agents puissent recueillir, tenir à jour, traiter et utiliser des renseignements techniques, de diagnostic, d’utilisation et toute autre information connexe, y compris, mais sans s’y limiter, les identifiants de système uniques, ou de matériel, les cookies ou les adresses IP, les informations concernant Votre utilisation du Service, Votre Serveur MDM, Vos Réglages d’inscription des appareils, Vos ordinateurs, Vos appareils, Votre système d’exploitation, Vos applications logicielles et Vos périphériques, recueillis périodiquement pour assurer et améliorer le Service, pour fournir, tester et améliorer des produits et services d’Apple, pour des raisons internes telles que des vérifications, analyses de données et recherche afin d’améliorer les produits, les services et les communications d’Apple, pour Vous fournir plus facilement des logiciels ou des mises à jour logicielles, de l’assistance pour les produits et d’autres fonctionnalités liées au Service ou à tout logiciel, et pour vérifier le respect des dispositions du présent Contrat. Les données collectées en vertu du présent article seront traitées conformément à l’Engagement de confidentialité d’Apple, qui peut être consulté à la page : xxxx://xxx.xxxxx.xxx/xxxxx/xxxxxxx.

10.3 Transfert

Le présent Contrat ne peut être transféré et vos obligations en vertu du présent Contrat ne peuvent être déléguées, en totalité ou en partie, par Vous ou par toute opération juridique, fusion ou autre moyen, sans le consentement écrit préalable express d’Apple, et toute tentative de transfert sans ledit consentement sera considérée comme nulle et non avenue.

10.4 Communiqués de presse et autre publicité ; relation des parties

Vous n’êtes pas autorisé à publier de communiqués de presse ou faire toute autre déclaration publique concernant le présent Contrat, ses modalités ou la relation entre les parties, sans le consentement écrit express et préalable d’Apple, qui se réserve le droit de le refuser à sa seule discrétion. Ce Contrat ne peut être interprété comme créant une relation d’agent, un partenariat, une coentreprise, une obligation fiduciaire ou toute autre forme d’association juridique entre vous et Apple, et Vous Vous engagez à ne pas déclarer le contraire de façon expresse ou implicite, en apparence ou autrement. Ce Contrat ne peut être utilisé au profit d’un tiers quelconque.

10.5 Avis

Tout avis relatif au présent Contrat doit être communiqué par écrit. Les avis seront considérés comme communiqués par Apple après Vous avoir été envoyés à l’adresse e-mail ou à l’adresse postale que Vous avez fournie lors du processus d’enregistrement. Tous les avis adressés à Apple concernant le présent Contrat seront considérés comme ayant été remis (a) lorsqu’ils auront été remis en personne (b) trois jours ouvrés après avoir été envoyés par un transporteur commercial de nuit avec accusé de réception écrit et (c) cinq jours ouvrés après avoir été envoyés par courrier rapide ou recommandé, port payé, à l’adresse Apple suivante : Apple Inc., App Store Legal (Apple Business Manager), One Apple Park, 169-4ISM, Xxxxxxxxx,

Xxxxxxxxxx 00000 Xxxxx-Xxxx Vous acceptez de recevoir des avis par e-mail et reconnaissez que

ces avis qui vous sont envoyés par voie électronique par Apple satisfont toutes les exigences légales en matière de communication. Une partie peut modifier son adresse électronique ou postale en transmettant à l’autre partie un avis par écrit, tel que décrit ci-dessus.

10.6 Autonomie des dispositions

Si un tribunal compétent estime qu’une clause du présent Contrat est inopposable pour quelque raison que ce soit, ladite clause sera appliquée dans la mesure du possible de manière à respecter l’intention des parties, le reste du présent Contrat conservant tous ses effets. Toutefois, si la loi applicable interdit ou restreint Votre conformité complète et spécifique aux articles du présent Contrat intitulés « Exigences du Service » ou « Obligations de l’Institution » ou si elle entrave le caractère exécutoire de ces articles, ce Contrat sera immédiatement résilié et Vous devrez interrompre immédiatement toute utilisation du Service.

10.7 Renonciation et interprétation

Le manquement par Apple à appliquer une quelconque disposition du présent Contrat ne sera pas considéré être une renonciation future à l’application de la disposition concernée ou de toute autre disposition. Toutes les lois et règles selon lesquelles le langage d’un contrat doit être interprété contre l’auteur du contrat ne s’appliqueront pas au présent Contrat. Les titres de section sont indiqués à titre pratique seulement et ne doivent pas être pris en compte dans l’interprétation du présent Contrat.

10.8 Contrôle des exportations

Vous n’êtes pas autorisé à utiliser, à exporter, à réexporter, à importer, à vendre ou à transférer le Service ou le Logiciel Apple, en tout ou partie, sauf dans la mesure autorisée par la loi des États-Unis, les lois de la juridiction dans laquelle Vous avez obtenu le Service ou le Logiciel Apple, et toutes autres lois et réglementations applicables. En particulier, mais sans caractère limitatif, le Service et le Logiciel Apple ne peuvent être exportés ou réexportés (a) vers des pays soumis à un embargo décrété par les États-Unis ou (b) vers toute personne figurant sur la liste des ressortissants spécifiquement désignés (Specially Designated Nationals) du département du Trésor des États-Unis ou la liste des personnes ou entités refusées (Denied Persons List or Entity List) du département du Commerce des États-Unis ou toute autre liste de parties soumises à restriction. Par le simple fait d’utiliser le Service ou le Logiciel Apple, Xxxx déclarez et garantissez que Xxxx ne résidez pas dans l’un de ces pays ou ne figurez pas sur l’une de ces listes. Vous Vous engagez également à ne pas utiliser le Service ou le Logiciel Apple à des fins prohibées par la législation américaine, y compris, sans caractère limitatif, pour développer, concevoir, fabriquer ou produire des armes nucléaires, chimiques, biologiques ou à projectile.

10.9 Utilisateurs finaux du gouvernement

Le Service, le Logiciel Apple et la Documentation constituent des « Biens commerciaux », selon la définition de ce terme prévue à l’article 48 du C.F.R. §2.101, qui consistent en un « logiciel informatique commercial » et une « documentation relative à un logiciel informatique commercial », selon l’utilisation de ces termes stipulée à l’article 48 C.F.R. §12.212 ou

48 C.F.R. §227.7202, selon le cas. Conformément à l’article 48 C.F.R. §12.212 ou

48 C.F.R. §227.7202-1 à 227.7202-4, selon le cas, le logiciel informatique commercial et la documentation relative à un logiciel informatique commercial sont concédés sous licence aux utilisateurs du gouvernement des États-Unis (a) uniquement en tant que Biens commerciaux et

(b) uniquement assortis des droits qui sont concédés à tous les utilisateurs, conformément aux conditions du présent Contrat. Droits non publiés réservés en vertu des lois des États-Unis relatives au droit d’auteur.

10.10 Résolution de litige ; loi en vigueur

Tout règlement de litige ou de tout autre différend entre Apple et Vous découlant du présent Contrat, des Logiciels Apple ou de Votre relation avec Apple, ou lié à ceux-ci, se déroulera

devant un tribunal fédéral du district nord de la Californie, et Apple et Vous reconnaissez par les présentes la compétence personnelle et exclusive des tribunaux provinciaux et fédéraux de ce district pour ce qui est dudit règlement de litige ou différend. Le présent Contrat sera régi et interprété en conformité avec la législation des États-Unis et de l’État de Californie, à l’exception de la législation californienne portant sur les conflits de lois. Nonobstant ce qui précède :

(a) si Vous êtes une agence, un intermédiaire ou un département du gouvernement fédéral des États-Unis, ce Contrat sera régi conformément aux lois des États-Unis d’Amérique, et en absence d’une loi fédérale applicable, aux lois de l’État de la Californie. En outre, et nonobstant toute disposition contraire dans le présent Contrat (y compris, mais sans s’y limiter, la section 5 (« Indemnisation »)), toute réclamation, demande, plainte ou contestation sera soumise à la loi sur les Litiges contractuels (41 U.S.C. §§601-613), à la loi Xxxxxx (28 U.S.C. § 1346(a) et § 1491) ou la loi fédérale sur les Litiges délictuels (28 U.S.C. §§ 1346(b), 2401-2402, 2671-2672, 2674- 2680), selon le cas, ou à toute autre autorité applicable. Pour éviter toute ambiguïté, si Vous êtes une agence, un intermédiaire ou un département du gouvernement fédéral, du gouvernement d’un État ou d’un gouvernement municipal aux États-Unis, ou si vous êtes un établissement d’enseignement public accrédité, Vos obligations d’indemnisation ne s’appliquent que dans la mesure où elles ne Vous obligent pas à violer une loi applicable (par exemple, l’Anti-Deficiency Act) et où Vous avez toute autorisation légale requise ou vous y êtes autorisé par la loi ;

(b) Si Vous (en tant qu’entité partie au présent Contrat) êtes une agence ou un établissement

d’enseignement public et agréé des États-Unis, une agence gouvernementale ou un département d’un gouvernement local ou d’État des États-Unis, alors (i) le présent Contrat sera régi et interprété conformément aux lois de l’État (des États-Unis) dans lequel est domiciliée Votre entité, hormis la partie du droit de l’État concernant les conflits de lois ; et (ii) tout litige ou autre mode alternatif de résolution des litiges entre Vous et Apple résultant de ou en relation avec le présent Contrat, le Logiciel Apple, ou Votre relation avec Apple sera porté devant la cour fédérale du District Nord de Californie, et Vous et Apple reconnaissez, par les présentes, la compétence personnelle et exclusive de ce district, sauf si les lois de l’État dans lequel est domiciliée Votre entité vous interdisent expressément de donner Votre accord à ce sujet ;

(c) Si Vous êtes une organisation internationale ou intergouvernementale qui a reçu immunité de la part des tribunaux compétents nationaux à travers Votre charte ou accord intergouvernemental, toute revendication ou tout litige résultant de ou en relation avec le présent Contrat, ou tout manquement à celui-ci, sera soumis à la procédure d’arbitrage instituée par le Centre International de Résolution des Litiges conformément à son Règlement d’Arbitrage International. L’arbitrage doit avoir lieu à Xxxxxxx, Xxxxxxx-Xxx, la langue dans laquelle l’arbitrage se déroule doit être l’anglais et le nombre d’arbitres doit être égal à trois. Vous acceptez de fournir des preuves de votre statut d’organisme intergouvernemental détenant de tels privilèges et immunités à la demande d’Apple ; et

(d) Si Vous (en tant qu’entité concluant le présent Contrat) résidez dans l’Union européenne, ou en Islande, en Norvège, en Suisse ou au Royaume-Uni, la loi applicable et le tribunal compétent seront les lois et tribunaux de la République d’Irlande.

Ce Contrat ne sera pas régi par la Convention des Nations Unies sur les contrats de vente internationale de marchandises et l’application de celle-ci est expressément exclue.

10.11 Contrat intégral ; langue applicable

Le présent Contrat constitue l’intégralité du contrat entre les parties au sujet du Service envisagé dans les présentes et remplace tous les contrats antérieurs concernant ce sujet. Pour éviter toute ambiguïté, aucune disposition du présent Contrat ne remplace les contrats de licence d’utilisateur final pour le Logiciel Apple. Le présent Contrat ne peut être modifié que : (a) par un amendement signé par les deux parties, ou (b) dans la mesure expressément autorisée par le présent Contrat (par exemple, par Apple, après Vous en avoir avisé). Toute traduction du présent Contrat Vous est offerte et, en cas de litige entre la version anglaise et toute autre version, la version anglaise

du présent Contrat prévaudra, dans la limite autorisée par la loi de Votre juridiction. Si Vous Vous trouvez dans la province de Québec, au Canada, ou que Vous êtes un organisme gouvernemental en France, la clause suivante s’applique : Les parties aux présentes confirment qu’elles ont demandé que ce Contrat et tous les documents connexes soient rédigés en anglais. Les parties ont exigé que le présent contrat et tous les documents connexes soient rédigés en anglais.

10.12 Acceptation

L’institution reconnaît et accepte qu’en cliquant sur le bouton « J’accepte » ou similaire ou en cochant une case, l’institution, par le biais de son représentant autorisé, accepte les conditions du présent contrat.

Apple Business Manager-overeenkomst

Doel

Met deze Overeenkomst krijgt U toestemming om deel te nemen aan Apple Business Manager, waarmee U inschrijving van Apple producten voor Mobile Device Management (MDM) binnen Uw Instelling kunt automatiseren, materiaal voor dergelijke producten kunt kopen en beheren, beheerde Apple ID's kunt aanmaken en faciliteitshulpmiddelen voor gerelateerde services kunt openen.

Opmerking: U hebt een MDM-oplossing (zoals Profielbeheer van macOS Server of van een andere ontwikkelaar) nodig die binnen Uw instelling is ingeschakeld zodat U de functies van deze Service kunt gebruiken. 1. Definities

Indien de volgende termen hoofdletters hebben in deze Overeenkomst:

'Beheerders' betekent werknemers of contractanten (of Serviceproviders) van Uw bedrijf of organisatie die zijn toegevoegd aan de Service voor doelen van accountbeheer, zoals het beheren van servers, het uploaden van MDM-inrichtingsinstellingen, het toevoegen van apparaten aan Uw account, het kopen van materiaal en het uitvoeren van andere gerelateerde services.

'Overeenkomst' betekent deze Apple Business Manager-overeenkomst. Voor de duidelijkheid: deze Apple Business Manager-overeenkomst is de opvolger van de Apple Device Enrollment Program-overeenkomst.

'Apple' betekent het volgende, tenzij in dit document anders aangegeven: (a) Apple Inc., gevestigd te One Apple Park Way, Cupertino, Californië 95014, VS, voor Instellingen in Noord-, Midden- en Zuid-Amerika (met uitzondering van Canada), alsmede territoria en bezittingen van de Verenigde Staten; en Franse en Britse bezittingen in Noord-Amerika, Zuid-Amerika en het Caraïbische gebied; (b) Apple Canada Inc., gevestigd te 000 Xxxxxxx Xxxx., Xxxxx 0000, Xxxxxxx XX X0X 0X0, Xxxxxx, voor Instellingen in Canada of de territoria en bezittingen van Canada; (c) iTunes K.K., gevestigd te Roppongi Hills, 6-10-1 Roppongi, Minato-ku, Tokio 106-6140, Japan, voor Instellingen in Japan; (d) Apple Pty Limited, gevestigd te 00 Xxxxxx Xxxxx, Xxxxxx XXX 0000, Australië, voor Instellingen in Australië en Nieuw-Zeeland, waaronder eilandbezittingen, territoria en gelieerde rechtsgebieden; en (e) Apple Distribution International Ltd., gevestigd

te Hollyhill Industrial Estate, Hollyhill, Cork, Republiek Ierland, voor Instellingen in alle andere hiervoor niet vermelde landen of territoria waar de Service wordt aangeboden.

Onder 'Apple software' worden de besturingssystemen iOS, iPadOS, macOS, tvOS en watchOS verstaan of elke opvolgende versie daarvan.

'Geautoriseerde apparaten' zijn producten van Apple die eigendom zijn van of worden beheerd door U, zijn aangewezen voor gebruik door alleen Xxxxxxxxxxxxxx gebruikers (of Serviceproviders) en die in aanmerking komen voor gebruik in de Service. Niettegenstaande het voornoemde, apparaten die het persoonlijk eigendom zijn van een Geautoriseerde gebruiker (zoals 'BYOD'- apparaten) of apparaten die het eigendom zijn van of worden beheerd door een Goedgekeurde entiteit, mogen niet worden ingeschreven in beheerd apparaatbeheer (bijv. geautomatiseerd apparaatbeheer) als onderdeel van de Service, tenzij anderszins schriftelijk overeengekomen met Apple. Bovendien komen niet alle apparaten in aanmerking om te worden toegevoegd

aan de Service.

Onder 'Geautoriseerde gebruikers' worden werknemers en contractanten (of Serviceproviders) van Uw onderneming of organisatie verstaan, werknemers en contractanten van Uw Goedgekeurde entiteit, of als Uw Instelling een ziekenhuis is heeft de term 'Geautoriseerde gebruikers' ook betrekking op gekwalificeerde artsen, verwijzende artsen en klinische medici. Voor de duidelijkheid: U mag een verzoek indienen om soortgelijke gebruikers ook onder de definitie

van 'Xxxxxxxxxxxxxx gebruikers' te scharen en Apple kan dit verzoek geheel naar eigen inzicht goedkeuren. Er mogen echter geen partijen aan deze definitie worden toegevoegd zonder voorafgaande schriftelijke toestemming van Apple.

'Materiaal' betekent al het materiaal dat of alle informatie die via de Apple Volume Content- voorwaarden als onderdeel van de Service is gelicentieerd of verkregen.

'Apparaatinschrijvingsinstellingen' zijn de instellingen voor een Apple product die kunnen worden geconfigureerd en beheerd als onderdeel van de Service, met inbegrip van, maar niet beperkt tot, de instellingen die bij de eerste inschrijving van een apparaat gelden en de instellingen om een apparaat te beheren, de configuratie verplicht te stellen of een MDM-profiel te vergrendelen.

'Documentatie' betekent de technische of andere specificaties of documentatie die Apple aan U biedt om te gebruiken met betrekking tot de Service.

Onder 'Licentieovereenkomst voor eindgebruikers' of 'EULA' worden de voorwaarden van de licentieovereenkomst voor de Apple software verstaan.

'Beheerde Apple ID('s)' betekent een gebruikersaccount (met inbegrip van, maar niet beperkt tot, opslag, agenda, notities en contacten) die U aanmaakt en implementeert door het gebruik van de Service.

'MDM-server(s)' zijn computers die Uw eigendom zijn of die door U (of namens U door een Serviceprovider) worden beheerd en die zijn bedoeld om met de Service te communiceren.

'Goedgekeurde entiteit(en)' betekent: (a) als U een voertuigfabrikant bent, Uw geautoriseerde voertuigdealers en gecertificeerde servicepartners; (b) als U een hotelbedrijf bent, hoteleigendommen die opereren onder Uw naam, handelsmerk of merk (of een naam, handelsmerk of merk dat er eigendom van is of erdoor wordt beheerd); of (c) andere gelijksoortige entiteiten die Apple naar eigen goeddunken schriftelijke toestemming kan geven.

'Persoonsgegevens' zijn gegevens die redelijkerwijs gebruikt kunnen worden om een individu te identificeren die wordt beheerd door de Instelling onder deze Overeenkomst.

'Service' betekent de Apple Business Manager-service (en alle onderdelen, functionaliteit of functies daarvan) voor geautomatiseerde Mobile Device Management-inschrijving, de aanschaf en beheer van Materiaal, het maken, gebruiken en beheren van beheerde Apple ID's, het

gebruiken van Beheerdersaccounts en andere gerelateerde services zoals omschreven in deze Overeenkomst, inclusief het webportaal en alle services of hulpmiddelen die hieronder vallen.

Onder 'Serviceprovider' wordt een derde partij verstaan die in Uw naam een dienst verleent conform de voorwaarden van deze Overeenkomst.

'Servertoken' is de combinatie van Uw openbare sleutel, Apple ID en een token geleverd door Apple waarmee Uw MDM-server(s) kan worden geregistreerd bij de Service.

'U', 'Uw' en 'Instelling' is de instelling die deze Overeenkomst aangaat. De Instelling is verantwoordelijk voor de naleving van deze Overeenkomst door alle werknemers, contractanten, externe Serviceproviders en vertegenwoordigers die bevoegd zijn om namens de Instelling rechten uit deze Overeenkomst uit te oefenen.

Opmerking: Als U een externe Serviceprovider bent, dient de Instelling waarvoor U werkt tot deze Overeenkomst toe te treden en U toe te voegen als Beheerder, aangezien de entiteit die eigenaar is van de Geautoriseerde apparaten en de intentie heeft deze te distribueren naar Geautoriseerde gebruikers zich moet registreren voor de Service.

2. Vereisten van de Service

2.1 Gebruik van de Service

Als voorwaarde van het gebruik van de Service erkent de Instelling het volgende en gaat ermee akkoord:

(a) de Instelling heeft toestemming om de Service te gebruiken alleen voor de doelen en op de manier die expliciet zijn vermeld in deze Overeenkomst en in overeenstemming met alle toepasselijke wet- en regelgevingen, en de Documentatie;

(b) de Instelling heeft niet het recht de Service (of enig deel daarvan) te gebruiken voor onwettige, onbetamelijke, ongepaste of illegale activiteiten;

(c) de Instelling heeft toestemming om de Service te gebruiken om Geautoriseerde apparaten te beheren voor gebruik door uitsluitend Geautoriseerde gebruikers en niet voor algemene implementatie voor derden. De Instelling is verantwoordelijk voor al het gebruik van de Geautoriseerde apparaten door Xxxxxxxxxxxxxx gebruikers (bijvoorbeeld het verkrijgen

van toestemming en bieden van de juiste informatie aan gebruikers over de beheerde functies van apparaten);

(d) de Instelling is verantwoordelijk voor al het gebruik van de Service door de Goedgekeurde entiteit (en eventuele Geautoriseerde gebruikers van deze Goedgekeurde entiteit), en alle handelingen die worden ondernomen door de Goedgekeurde entiteit worden beschouwd als ondernomen door de Instelling. Bovendien is de Instelling jegens Apple (naast de Goedgekeurde entiteit) verantwoordelijk voor alle dergelijke handelingen. Apple behoudt zich het recht voor om beperkingen in te stellen voor de functies of functionaliteit van de Service waartoe de Instelling de Goedgekeurde entiteit (of Geautoriseerde gebruikers van de Goedgekeurde entiteit) toegang geeft of laat gebruiken, en de Instelling is verantwoordelijk voor de Goedgekeurde entiteit en

is jegens Apple direct aansprakelijk voor enige inbreuk op deze Overeenkomst door de Goedgekeurde entiteit (en eventuele Geautoriseerde gebruikers van deze Goedgekeurde entiteit);

(e) de Instelling xxx xxxx xxxxxxxxxxxxx xxxxxxx xx xxxxxxxxxxxxx xxxxxxxxxx van Xxxxxxxxxxxxxx gebruikers om Geautoriseerde apparaten in te zetten zoals onder deze Overeenkomst toegestaan;

(f) de Instelling heeft het recht om Materiaal te kopen en te beheren zoals toegestaan door de Service;

(g) de Instelling zorgt ervoor alle benodigde rechten en toestemmingen van Xxxxxxxxxxxxxx gebruikers te hebben verkregen voor zover deze nodig zijn om beheerde Apple ID's aan te maken en om Apple in staat te stellen om de Service voor beheerde Apple ID's te verlenen

(inclusief het gebruik en onderhoud van Persoonsgegevens);

(h) de Instelling mag Beheerders aan de Service toevoegen, maar dit mag alleen indien de desbetreffende personen werknemers of contractanten van de Instelling zijn dan wel Serviceproviders zijn die namens de Instelling handelen, waarbij de Instelling dergelijke partijen alleen mag toevoegen voor accountbeheerdoeleinden; en

(i) de Instelling heeft uitsluitend het recht de Service te gebruiken voor haar eigen interne bedrijfsvoering en informatietechnologiedoelstellingen (en die van de Goedgekeurde entiteit) en heeft niet het recht producten of services die zijn geïntegreerd met of gebruikmaken van informatie of services die worden geleverd door de Service of die op enige andere wijze gebruikmaken van de Service, te leveren aan derden, tenzij schriftelijk anders overeengekomen met Apple.

2.2 Geen ander toegestaan gebruik

De Instelling gaat ermee akkoord de Service op geen enkele manier te exploiteren, met inbegrip van, maar niet beperkt tot, door schendingen, het belasten van netwerkcapaciteit of het uploaden van kwaadwillende code. Enige poging hiertoe is een schending van de rechten van Apple en zijn uitgevers. Het is de Instelling niet toegestaan om de Service en/of onderdelen daarvan in licentie te geven, te verkopen, te delen, te verhuren, te leasen of over te dragen aan een derde, te distribueren of om de Service en/of onderdelen daarvan te hosten, ter beschikking te stellen

voor timesharing of gebruik door een servicebureau of anderszins ter beschikking te stellen aan een derde, behalve voor zover de voorwaarden van deze Overeenkomst dit toestaan.

De Instelling gaat ermee akkoord de Service niet te gebruiken voor hinderlijk volgen, lastigvallen, misleiden, misbruiken, bedreigen, schaden of de schijn te wekken iemand anders te zijn dan de ingeschreven entiteit, en Apple behoudt zich het recht voor om accounts die kunnen worden beschouwd als imitatie of misrepresentatie van een andere entiteit of de naam of identiteit van een persoon te weigeren of te blokkeren. De Instelling belemmert de Service, of andere in of door de Service of door de Apple software geïmplementeerde mechanismen voor beveiliging, digitale ondertekening, digital rights management, verificatie of authenticatie, of andere gerelateerde Apple software of technologie niet en biedt anderen niet de mogelijkheid dit te doen. Indien

de Instelling een betrokken entiteit, zakenpartner of een vertegenwoordiger van een betrokken entiteit of zakenpartner is (in de betekenis van 45 C.F.R. § 160.103) dan wel een gezondheidszorgverlener of -entiteit, gaat de Instelling ermee akkoord dat zij geen enkel onderdeel, functie of andere faciliteit van de Service zal gebruiken om enige 'beschermde gezondheidsgegevens' (in de betekenis van 45 C.F.R. § 160.103) of equivalente gezondheidsgegevens conform de toepasselijke wet- en regelgeving aan te maken, te ontvangen, te onderhouden of over te dragen of de Service op enige andere wijze te gebruiken waardoor Apple een zakenpartner van de Instelling of van enige derde zou worden of Apple anderszins rechtstreeks aan toepasselijke gezondheidsgerelateerde privacywetgeving zou onderwerpen. Alle rechten die niet expliciet zijn verleend in deze Overeenkomst, zijn voorbehouden en geen andere licenties, immuniteit of rechten, expliciet of impliciet, zijn verleend door Apple, bij implicatie, uitsluiting of anderszins.

2.3 Gebruik van Servertoken

De Instelling gaat ermee akkoord het Servertoken alleen te gebruiken om de MDM-server in te schrijven voor de Service en de Apparaatinschrijvingsinstellingen te uploaden die naar Geautoriseerde apparaten worden gestuurd wanneer deze voor het eerst worden geactiveerd door Xxxxxxxxxxxxxx gebruikers. De Instelling gaat ermee akkoord haar Servertoken niet aan een andere entiteit te geven of over te dragen en niet te delen met een andere entiteit, met

uitzondering van de Serviceprovider. De Instelling dient passende maatregelen te nemen om de veiligheid en de privacy van een dergelijk Servertoken te waarborgen en dient het Servertoken in te trekken als de veiligheid niet meer kan worden gegarandeerd of als de Instelling reden heeft om aan te nemen dat de veiligheid niet meer kan worden gegarandeerd. Apple behoudt zich

het recht voor om geheel naar eigen inzicht Servertokens op enig moment in te trekken of uit te schakelen. De Instelling erkent en gaat ermee akkoord dat het opnieuw genereren van het

Servertoken het gebruik van de Service door de Instelling kan belemmeren totdat er een nieuw Servertoken aan de MDM-server is toegevoegd.

2.4 Voorwaarden van de EULA's

Als onderdeel van de Service kan de Instelling ervoor kiezen om Geautoriseerde gebruikers de voorwaarden voor de Apple software te laten accepteren buiten het normale activeringsproces op een apparaat. De Instelling kan deze functie van de Service gebruiken zolang als de Instelling akkoord gaat met de volgende vereisten:

(a) De geautoriseerde vertegenwoordiger van de Instelling moet de EULA's voor de Apple software op het webportaal van de Service accepteren alvorens de Geautoriseerde apparaten waarop deze software wordt uitgevoerd, te distribueren naar Geautoriseerde gebruikers;

(b) Als de EULA's voor de Apple software zijn gewijzigd, gaat de Instelling ermee akkoord dat

de geautoriseerde vertegenwoordiger teruggaat naar het webportaal van de Service en dergelijke EULA's direct na de kennisgeving van Apple accepteert zodat de Instelling de Service kan blijven gebruiken. De Instelling erkent dat zij de Service, inclusief verwante aanvullende Geautoriseerde apparaten met de MDM-server pas kan gebruiken als dergelijke EULA's zijn geaccepteerd;

(c) Het is de verantwoordelijkheid van de Instelling om ervoor te zorgen dat de Geautoriseerde gebruikers dergelijke EULA's onder ogen krijgen en dat elke Geautoriseerde gebruiker bekend is met en zich houdt aan de voorwaarden van de EULA's voor de Apple software; en

(d) De Instelling stemt ermee in dat zij verantwoordelijk is voor het verkrijgen van alle eventuele benodigde toestemmingen voor het gebruik van de Apple software door de Geautoriseerde gebruikers.

2.5 Apparaatoverdracht

De Instelling zal geen Geautoriseerde apparaten met ingeschakelde Apparaatinschrijvingsinstellingen doorverkopen en stemt ermee in om dergelijke apparaten te verwijderen van de Service alvorens deze te verkopen of op enigerlei wijze over te dragen aan niet-Geautoriseerde gebruikers.

2.6 Materiaal kopen

Het kopen van Materiaal is automatisch uitgeschakeld in de Service, en Uw gebruik is onderworpen aan de Volume Content-vereisten en -voorwaarden die voorafgaand aan het gebruik van apps en boeken in de Service worden gepresenteerd. U kunt ervoor kiezen Uw Beheerders toegang te geven tot Materiaal via de Service door hun bevoegdheid voor aankopen te geven en toegang te geven tot de Apple Volume Content-voorwaarden om Materiaal te kopen voor gebruik en beheer als onderdeel van de Service. U alleen bent verantwoordelijk voor alle dergelijke aankopen en naleving van de toepasselijke voorwaarden. Als U Materiaal koopt als onderdeel van de Service, gaat U ermee akkoord dat U de bevoegdheid hebt om dergelijke toepasselijke voorwaarden namens Uw Geautoriseerde gebruikers te accepteren en dit ook

zult doen. Voor zover U een VPP-token ontvangt, kunt U dit gebruiken om Materiaal te beheren als onderdeel van de Service in overeenstemming met de Documentatie.

2.7 Beheerdersaccounts

U kunt Beheerdersaccounts maken die Uw Beheerders kunnen gebruiken voor het beheren van de Service. Deze Beheerdersaccounts zijn een combinatie van een unieke gebruikersnaam en uniek wachtwoord en zijn Uw eigendom. Als U Beheerdersaccounts maakt, worden alle functies en functionaliteit van de Service die U beschikbaar maakt, ingeschakeld voor dergelijke accounts. U bent verantwoordelijk voor het op de juiste manier inschakelen van deze Beheerdersaccounts en voor alle activiteiten met betrekking tot deze accounts (zoals het goedkeuren van aankopen van Materiaal). U erkent en stemt ermee in dat deze Beheerdersaccounts alleen mogen worden gebruikt om voor accountbeheerdoeleinden toegang te krijgen tot de Service en de Service te beheren. Als U Beheerdersaccounts verwijdert, hebben U en de Beheerder geen toegang tot dergelijke Beheerdersaccounts. U erkent en gaat ermee akkoord dat deze handeling mogelijk

niet kan worden teruggedraaid, en dat Apple niet aansprakelijk is jegens U voor de beëindiging van de Service (inclusief gegevensverlies).

2.8 Beheerde Apple ID's

U mag beheerde Apple ID's voor Xxxxxxxxxxxxxx gebruikers maken die zij in het kader van

de Service kunnen gebruiken in overeenstemming met deze Overeenkomst en de Documentatie. U bent zelf verantwoordelijk voor de beslissing welke functies en functionaliteit van de Service

U inschakelt voor Xxxxxxxxxxxxxx gebruikers en voor het aanmaken, gebruiken en beheren van beheerde Apple ID's op Geautoriseerde apparaten.

2.9 Updates; Geen ondersteuning of onderhoud

Apple kan de Service (of enig deel daarvan) onder deze Overeenkomst te xxxxx tijde zonder kennisgeving uitbreiden, verbeteren, opschorten, beëindigen of anderszins wijzigen, en Apple is niet aansprakelijk jegens U of enige andere derde partij voor het uitvoeren van dergelijke rechten. Apple is niet verplicht de Instelling te voorzien van updates voor de Service. Als Apple updates beschikbaar maakt, zijn de voorwaarden van deze Overeenkomst van toepassing op dergelijke updates, tenzij de update is voorzien van een afzonderlijke overeenkomst. In dat geval zijn

de voorwaarden van die overeenkomst van toepassing. Indien een update beschikbaar wordt gemaakt, kan deze functies, services of functionaliteit bevatten xxx xxxxxx zijn dan te vinden in de Service. Apple is niet verplicht onderhoud, technische of andere support te bieden voor de Service.

2.10 Andere Serviceproviders

U mag alleen een Serviceprovider gebruiken als de toegang tot en het gebruik van de Service door de Serviceprovider namens U en in overeenstemming met deze voorwaarden wordt uitgevoerd, en onderworpen is aan een bindende schriftelijke overeenkomst tussen U en

de Serviceprovider met voorwaarden die ten minste net zo beperkend en beschermend voor Apple zijn als de voorwaarden die hierin staan vermeld. Handelingen die worden ondernomen door een dergelijke Serviceprovider met betrekking tot de Service en/of die voortvloeien uit deze Overeenkomst worden beschouwd als zijnde ondernomen door U, en U (naast de Serviceprovider) bent verantwoordelijk jegens Apple voor alle dergelijke handelingen (of het nalaten van handelingen).

3. Verplichtingen van de Instelling

De Instelling verklaart en garandeert dat:

(a) de geautoriseerde vertegenwoordiger of agent van de Instelling het recht en de autoriteit heeft om deze Overeenkomst namens de Instelling aan te gaan en om de Instelling wettelijk te binden aan de voorwaarden van deze Overeenkomst;

(b) alle informatie die door de Instelling aan Apple is verstrekt met betrekking tot deze Overeenkomst, actueel, kloppend, nauwkeurig, te onderbouwen en volledig is; en, met betrekking tot informatie die de Instelling aan Apple verstrekt, stelt de Instelling Apple direct op de hoogte van wijzigingen aan dergelijke informatie;

(c) de Instelling het gebruik van de Service en het naleven van de voorwaarden van deze Overeenkomst door haar geautoriseerde vertegenwoordigers, Serviceproviders,

Xxxxxxxxxxxxxx gebruikers, Beheerders en Goedgekeurde entiteiten zal bewaken en hiervoor de verantwoordelijkheid aanvaardt;

(d) de Instelling als enige verantwoordelijk is voor alle kosten, onkosten, verliezen en aansprakelijkheden die uit het gebruik van de Service voortvloeien voor de Instelling, haar geautoriseerde vertegenwoordigers, Beheerders, Serviceproviders, Geautoriseerde gebruikers en Goedgekeurde entiteiten, alsmede voor alle activiteiten die in verband met de Service worden ondernomen door genoemde partijen of met gebruikmaking van de Geautoriseerde apparaten;

(e) de Instelling als enige aansprakelijk en verantwoordelijk is om erop toe te zien dat bij het gebruik van de Service en het gebruik of het verzamelen van gegevens, inclusief

Persoonsgegevens, alsook bij informatie via de Service alle privacy- en gegevensbeschermingswetten (zoals Verordening (EU) 2016/679 van het Europees Parlement en de Raad van 27 april 2016 betreffende de bescherming van natuurlijke personen in verband met de verwerking van persoonsgegevens en betreffende het vrije verkeer van die gegevens en tot intrekking van Richtlijn 95/46/EG ('AVG')) worden nageleefd;

(f) de Instelling verantwoordelijk is voor haar activiteiten met betrekking tot Persoonsgegevens (bijvoorbeeld het veiligstellen, bewaken en beperken van de toegang tot Persoonsgegevens, het voorkomen en aanpakken van ongepaste activiteiten, enz.); en

(g) de Instelling zich zal houden aan de voorwaarden van en zal voldoen aan haar verplichtingen onder deze Overeenkomst.

4. Wijzigingen van de voorwaarden of vereisten van de Service

Apple kan de Service of de voorwaarden van deze Overeenkomst te xxxxx tijde wijzigen.

Als de Instelling de Service wil blijven gebruiken, moet de Instelling, via haar geautoriseerde vertegenwoordiger, de nieuwe vereisten of voorwaarden van deze Overeenkomst accepteren en ermee akkoord gaan. Als U niet akkoord gaat met de nieuwe vereisten of voorwaarden, kan Uw gebruik van de Service worden opgeschort of beëindigd door Apple. U gaat ermee akkoord dat Uw acceptatie van dergelijke nieuwe voorwaarden van de Overeenkomst elektronisch kunnen worden aangegeven, inclusief en zonder beperking, door een vakje

aan te kruisen of op een knop met de tekst 'Akkoord' of vergelijkbare tekst te klikken.

5. Schadeloosstelling

Voor zover wettelijk is toegestaan, stemt U erin toe om schadeloos te stellen en, op Apple's verzoek, Apple en directeuren, management, werknemers, gelieerde bedrijven, onafhankelijke contractanten en geautoriseerde vertegenwoordigers van Apple (elk een 'Gevrijwaarde Apple partij') te verdedigen tegen vorderingen, verlies, aansprakelijkheden, schade, onkosten en kosten, met inbegrip van, maar niet beperkt tot kosten voor rechtsbijstand en procesvoering (gezamenlijk 'Verliezen') die zijn opgelopen door een Gevrijwaarde Apple partij en het gevolg zijn van of gerelateerd zijn aan: (a) Inbreuk door U op enige certificering, verklaring, verplichting, toezegging of garantie van Uw kant in deze Overeenkomst; (b) Uw gebruik (met inbegrip van het gebruik door Uw Serviceprovider, Beheerder, Goedgekeurde gebruiker en/of Goedgekeurde entiteit) van de Service; (c) alle eventuele vorderingen, met inbegrip van, maar niet beperkt tot, vorderingen van eindgebruikers, die voortvloeien uit Uw gebruik, implementatie of beheer van Geautoriseerde apparaten, Apparaatinschrijvingsinstellingen en/of MDM-servers; (d) alle eventuele vorderingen, inclusief maar niet beperkt tot vorderingen van eindgebruikers over

de inrichting, het beheer en/of het gebruik van Geautoriseerde apparaten, Beheerdersaccounts, beheerde Apple ID's of Materiaal met licenties via of gekocht via de Service, en/of enig ander gebruik van de Service; en/of (e) alle eventuele vorderingen in verband met Uw gebruik of beheer van Persoonsgegevens (inclusief het gebruik door Uw Goedgekeurde entiteit of Geautoriseerde gebruikers). In geen geval mag U een schikking of vergelijkbare overeenkomst met derden aangaan die op enige wijze van invloed is op de rechten of plichten van of bindend is voor Apple of een Gevrijwaarde Apple partij, zonder voorafgaande schriftelijke toestemming van Apple.

6. Termijn en beëindiging

De termijn van deze Overeenkomst gaat in op de datum waarop U deze Overeenkomst voor het eerst accepteert in het webportaal van de Service en heeft in eerste instantie een looptijd van één (1) jaar die ingaat op de dag na de datum waarop U Uw Service-account bij Apple activeert ('Termijn'). Daarna wordt op voorwaarde van naleving van de voorwaarden van deze Overeenkomst de Termijn automatisch verlengd met achtereenvolgende perioden van één

(1) jaar, tenzij de Termijn eerder wordt beëindigd in overeenstemming met deze Overeenkomst. Beide partijen hebben het recht om deze Overeenkomst te beëindigen met of zonder opgaaf van redenen. De beëindiging wordt dertig (30) dagen nadat aan de andere partij een schriftelijke kennisgeving van de beëindiging is verstrekt van kracht.

Indien U zich niet houdt aan enige bepaling van deze Overeenkomst, of Apple zulks vermoedt, heeft Apple het recht om, uitsluitend ter beoordeling van Apple en zonder kennisgeving:

(a) deze Overeenkomst en/of Uw account te beëindigen; en/of (b) toegang tot de Service (of enig deel daarvan) op te schorten of te ontzeggen. Apple behoudt zich het recht voor om de Service (of enig deel daarvan of enige inhoud daarin) zonder aankondiging te wijzigen, op te schorten

of te beëindigen, en Apple is niet aansprakelijk jegens U of enige derde partij indien Apple dit recht uitoefent. Apple kan deze Overeenkomst ook beëindigen, of Uw rechten opschorten om de Services te gebruiken, als U zich niet houdt aan de nieuwe voorwaarden van de Overeenkomst zoals beschreven in paragraaf 4. U erkent en gaat ermee akkoord dat U na het vervallen of beëindigen van deze Overeenkomst mogelijk geen toegang meer hebt tot de Service en dat Apple zich het recht voorbehoudt om toegang op te schorten tot of over te gaan tot verwijdering van gegevens of informatie die U, Uw Beheerders, Geautoriseerde gebruikers of Goedgekeurde entiteiten hebben bewaard tijdens Uw gebruik van de Service. Voordat U enig deel van de Service gaat gebruiken, moet U de Documentatie bestuderen en de juiste reservekopieën maken van Uw gegevens en informatie. Apple is niet aansprakelijk of verantwoordelijk jegens U of enige derde partij, mocht Apple dergelijke rechten uitvoeren, of voor enige schade die kan voortvloeien uit dergelijke beëindiging of opschorting. De volgende bepalingen blijven van kracht na beëindiging van deze Overeenkomst: paragraaf 1, paragraaf 2.9, de tweede zin van paragraaf 2.10,

paragraaf 3, paragraaf 5, de tweede alinea of paragraaf 6 en paragraaf 7, 8, 9 en 10.

7. AFWIJZING VAN GARANTIES

U ERKENT EN AANVAARDT UITDRUKKELIJK DAT, VOOR ZOVER WETTELIJK IS TOEGESTAAN, UW GEBRUIK VAN, OF ONVERMOGEN TOT HET GEBRUIK VAN, DE SERVICE OF ENIGE HULPMIDDELEN OF FUNCTIES OF FUNCTIONALITEIT WAARTOE DE SERVICE TOEGANG HEEFT OF WAARTOE DE SERVICE U TOEGANG GEEFT, UITSLUITEND VOOR UW EIGEN RISICO IS EN DAT HET VOLLEDIGE RISICO VOOR VOLDOENDE KWALITEIT, PRESTATIES, NAUWKEURIGHEID EN WERKING BIJ U LIGT.

VOOR ZOVER WETTELIJK IS TOEGESTAAN, WORDT DE SERVICE 'IN DE STAAT WAARIN DEZE OP HET MOMENT VAN AANKOOP VERKEERT' (OP 'AS IS'/'AS AVAILABLE'-BASIS), MET ALLE FOUTEN EN ZONDER ENIGE GARANTIE GELEVERD EN SLUITEN APPLE ALSMEDE DE DIRECTEUREN, MANAGERS, WERKNEMERS, GELIEERDE BEDRIJVEN, GEAUTORISEERDE VERTEGENWOORDIGERS, AGENTEN, CONTRACTANTEN, WEDERVERKOPERS OF LICENTIEGEVERS VAN APPLE (VOOR HET DOEL

XXX XXXXXXXXX 0 XX 0 XXXXXX XXXXXXXXXXX 'APPLE' TE NOEMEN) HIERBIJ UITDRUKKELIJK ALLE GARANTIES EN VOORWAARDEN MET BETREKKING TOT

DE SERVICE, HETZIJ EXPLICIET, IMPLICIET OF VOORTVLOEIEND UIT WETTELIJKE RECHTEN, UIT, MET INBEGRIP VAN, MAAR NIET BEPERKT TOT, ALLE DENKBARE GARANTIES EN/OF VOORWAARDEN VAN VERHANDELBAARHEID, VOLDOENDE KWALITEIT, GESCHIKTHEID VOOR EEN BEPAALD DOEL, NAUWKEURIGHEID, ONGESTOORD GEBRUIK, EIGENDOM EN NIET-INBREUK OP RECHTEN VAN DERDEN.

APPLE GARANDEERT NIET OF ZEGT NIET TOE DAT U ONGESTOORD VAN DE SERVICE GEBRUIK ZULT KUNNEN MAKEN, DAT DE FUNCTIES OF FUNCTIONALITEIT IN DE SERVICE OF DE SERVICES DIE DOOR DE SERVICE WORDEN UITGEVOERD OF GELEVERD, ZULLEN VOLDOEN AAN UW VEREISTEN, VEILIG ZULLEN ZIJN OF DAT

UW GEBRUIK VAN OF DE WERKING VAN DE SERVICE ONONDERBROKEN EN FOUTVRIJ ZAL ZIJN, DAT FOUTEN OF DEFECTEN ZULLEN WORDEN GECORRIGEERD, DAT APPLE DE SERVICE BESCHIKBAAR ZAL BLIJVEN STELLEN, DAT DE SERVICE COMPATIBEL ZAL ZIJN OF ZAL WERKEN MET SOFTWARE, TOEPASSINGEN OF MATERIAAL VAN DERDEN OF MET SERVICES VAN DERDEN OF MET ANDERE APPLE PRODUCTEN OF SERVICES, OF DAT DE GEGEVENS OF INFORMATIE DIE WORDEN OPGESLAGEN IN OF

OVERGEDRAGEN DOOR DE SERVICE NOOIT VERLOREN ZULLEN GAAN OF NOOIT BESCHADIGD, AANGEVALLEN, GEHACKT OF BELEMMERD ZULLEN WORDEN OF ZULLEN WORDEN ONDERWORPEN AAN ENIGE ANDERE BEVEILIGINGSINBREUK. U STEMT ERMEE IN DAT APPLE DE SERVICE VAN TIJD TOT TIJD OP ENIG MOMENT VOOR EEN ONBEPAALDE TIJD KAN VERWIJDEREN, WIJZIGEN, OPSCHORTEN, BEËINDIGEN OF ANNULEREN, ZONDER KENNISGEVING AAN U.

U ERKENT BOVENDIEN DAT DE SERVICE NIET IS BEDOELD EN NIET GESCHIKT IS VOOR GEBRUIK IN SITUATIES OF OMGEVINGEN WAARIN PROBLEMEN MET OF VERTRAGING IN DE UITVOERING DE SERVICE, OF FOUTEN OF ONNAUWKEURIGHEDEN IN DE INHOUD, GEGEVENS OF INFORMATIE GELEVERD DOOR OF VIA DE SERVICE, KUNNEN LEIDEN TOT DE DOOD, PERSOONLIJK LETSEL OF ERNSTIGE SCHADE AAN PERSONEN, ZAKEN OF HET MILIEU, MET INBEGRIP VAN, MAAR NIET BEPERKT TOT DE BEDIENING VAN NUCLEAIRE INSTALLATIES, DE BESTURING VAN LUCHTVAARTUIGEN, COMMUNICATIESYSTEMEN, LUCHTVERKEERSLEIDINGSYSTEMEN, MACHINES VOOR

DE INSTANDHOUDING VAN LEVENSFUNCTIES OF WAPENSYSTEMEN.

MONDELINGE OF SCHRIFTELIJKE INFORMATIE OF EEN MONDELINGE OF SCHRIFTELIJKE KENNISGEVING VAN DE ZIJDE VAN APPLE OF EEN DOOR APPLE GEAUTORISEERDE VERTEGENWOORDIGER KAN NIMMER EEN GARANTIE INHOUDEN DIE NIET AL EXPLICIET IS VERMELD IN DEZE OVEREENKOMST. MOCHT DE SERVICE GEBREKEN VERTONEN, DAN KOMEN ALLE KOSTEN VAN NOODZAKELIJKE SERVICE-, REPARATIE- OF CORRECTIEWERKZAAMHEDEN VOOR UW REKENING.

8. BEPERKING VAN AANSPRAKELIJKHEID

VOOR ZOVER WETTELIJK IS TOEGESTAAN, ZAL APPLE IN GEEN ENKEL GEVAL AANSPRAKELIJK ZIJN VOOR PERSOONLIJK LETSEL, OF VOOR ENIGERLEI INCIDENTELE, BIJZONDERE, INDIRECTE OF GEVOLGSCHADE, DAARONDER BEGREPEN ZONDER ENIGE BEPERKING SCHADE DOOR VERLIES VAN OMZET, BESCHADIGING OF VERLIES VAN GEGEVENS OF INFORMATIE, HET NIET KUNNEN VERZENDEN OF ONTVANGEN VAN GEGEVENS OF INFORMATIE, ONDERBREKING VAN DE BEDRIJFSVOERING, OF VOOR ENIGE ANDERE COMMERCIËLE SCHADE OF ENIG ANDER COMMERCIEEL VERLIES

DAT VOORTVLOEIT UIT DEZE OVEREENKOMST EN/OF UW GEBRUIK VAN OF ONVERMOGEN TOT GEBRUIK VAN DE SERVICE, ZELFS ALS APPLE IS GEWEZEN OP OF OP DE HOOGTE IS VAN DE MOGELIJKHEID VAN DERGELIJKE SCHADE EN ONGEACHT DE AANSPRAKELIJKHEIDSGROND DIE WORDT AANGEVOERD

(NIET-NAKOMING, ONRECHTMATIGE DAAD OF ANDERSZINS). IN GEEN GEVAL ZAL DE TOTALE AANSPRAKELIJKHEID VAN APPLE VOOR ALLE SCHADE (UITGEZONDERD

WAAR WETTELIJK VEREIST IN GEVALLEN DIE BETREKKING HEBBEN OP PERSOONLIJK LETSEL) MEER BEDRAGEN DAN VIJFTIG AMERIKAANSE DOLLAR ($ 50,00). DE VOORNOEMDE BEPERKINGEN ZIJN OOK VAN TOEPASSING ALS DE HIERBOVEN VERMELDE VERHAALSMOGELIJKHEID NIET AAN ZIJN WEZENLIJKE DOEL VOLDOET.

9. Privacy en gegevensbescherming

9.1 Gebruik en bekendmaking van Persoonsgegevens

Onder deze Overeenkomst kan Apple, die ten behoeve van U als gegevensverwerker optreedt, door U verstrekte Persoonsgegevens ontvangen of toegang daartoe hebben. Door deze Overeenkomst af te sluiten, geeft U Apple opdracht deze Persoonsgegevens te verwerken

en te gebruiken teneinde de Service te leveren en te onderhouden in overeenstemming met de toepasselijke wetgeving, Uw instructies zoals gegeven door Uw gebruik van de Service (bijv. instructies die via de Service zijn gegeven), en enige andere geschreven instructies van

U die schriftelijk door Apple zijn geaccepteerd en bevestigd. Apple komt dergelijke instructies na, voor zover van toepassing en tenzij dit wettelijk is verboden, in welk geval Apple U in kennis stelt

voordat dergelijke Persoonsgegevens worden verwerkt (tenzij deze kennisgeving wettelijk verboden is op grond van algemeen belang). Apple kan Persoonsgegevens verstrekken aan Serviceproviders die services aan Apple verlenen in verband met de Service ('Subverwerkers'). U geeft Apple toestemming om alle Apple entiteiten die onder de definitie van 'Apple' vallen als Subverwerker te gebruiken en om enige andere Subverwerkers te gebruiken, op voorwaarde dat dergelijke Subverwerkers contractueel aan gegevensbeschermingsverplichtingen gebonden zijn die minimaal net zo streng zijn als het bepaalde in deze Overeenkomst en dat een lijst met dergelijke Subverwerkers op verzoek overlegd kan worden, voor zover wettelijk verplicht. Apple mag Persoonsgegevens van U bekendmaken als Apple vaststelt dat dit redelijkerwijs noodzakelijk is om de voorwaarden van Apple af te dwingen of om de activiteiten of gebruikers van Apple te beschermen. Bovendien mag Apple in het geval van een reorganisatie, fusie of verkoop alle door U verstrekte Persoonsgegevens overdragen aan de desbetreffende partij.

In het geval dat Apple een aanvraag van derden ontvangt voor Persoonsgegevens ('Aanvraag van derden'), zal Apple U in kennis stellen, voor zover wettelijk toegestaan, van de ontvangst van een dergelijke Aanvraag van derden door Apple, en de aanvrager verzoeken een dergelijke Aanvraag van derden aan U te richten. Tenzij de wet of de aard van de Aanvraag van derden anders bepaalt, bent U verantwoordelijk voor de beantwoording van een dergelijke aanvraag.

9.2 Gegevensincidenten

Indien Apple ontdekt dat Persoonsgegevens zijn gewijzigd, verwijderd of verloren zijn gegaan als gevolg van onbevoegde toegang tot de Service ('een Gegevensincident'), zal Apple voor zover wettelijk verplicht de Instelling hiervan onverwijld in kennis stellen en redelijke stappen ondernemen om de schade te minimaliseren en de gegevens veilig te stellen. Melding van of reactie op een Gegevensincident door Apple wordt niet geïnterpreteerd als een erkenning door Apple van enige verantwoordelijkheid of aansprakelijkheid met betrekking tot een

Gegevensincident. De Instelling is verantwoordelijk voor het naleven van toepasselijke wetgeving inzake het melden van incidenten en voor het voldoen aan enige verplichtingen tegenover derden gerelateerd aan Gegevensincident(en). Apple zal zich geen toegang verschaffen tot de inhoud van Persoonsgegevens om gegevens te identificeren onder enige specifieke wettelijke verplichtingen.

9.3 Beveiligingsprocedures en naleving

Apple neemt als onderdeel van de Service maatregelen die standaard zijn binnen de industrie om Persoonsgegevens te beschermen tijdens de overdracht, verwerking en opslag van Persoonsgegevens. Als onderdeel van deze maatregelen zal Apple commercieel redelijke inspanningen leveren om Persoonsgegevens die zijn opgeslagen en worden verstuurd

te versleutelen; om de voortdurende vertrouwelijkheid, integriteit, beschikbaarheid en weerbaarheid van de Service te garanderen; om in geval van een probleem de beschikbaarheid van Persoonsgegevens tijdig te herstellen; en om de effectiviteit van dergelijke maatregelen regelmatig te testen, te beoordelen en te evalueren. Apple onderneemt passende stappen

om naleving te garanderen van beveiligingsprocedures door haar werknemers, contractanten en subverwerkers en Apple garandeert dat enig persoon die bevoegd is tot verwerking

van dergelijke Persoonsgegevens voldoet aan toepasselijke wetgeving inzake de vertrouwelijkheid en beveiliging van Persoonsgegevens met betrekking tot de Service. Versleutelde Persoonsgegevens mogen worden opgeslagen naar Apple's geografische keuze. Voor zover Apple in de hoedanigheid van gegevensverwerker handelt, helpt Apple U bij de naleving, voor zover van toepassing, van het volgende: (a) artikel 28 van de AVG

(door audits mogelijk te maken en daaraan bij te dragen, vooropgesteld dat de ISO 27001- en ISO 27018-certificeringen van Apple als afdoende worden beschouwd voor dergelijke vereiste auditdoeleinden); (b) artikel 32 van de AVG (door de in onderhavige paragraaf 9.3 uiteengezette beveiligingsprocedures te implementeren en door de ISO 27001- en ISO 27018-certificeringen na te leven); (c) artikel 33 en 34 van de AVG of andere soortgelijke wettelijke verplichtingen (door U te helpen bij het verplicht melden van een Gegevensincident bij een toezichthoudende

autoriteit of betrokkenen); (d) wet- en regelgeving die de Instelling verplichten

om gegevensbeschermingseffectbeoordelingen uit te voeren of voorafgaand aan de verwerking een toezichthoudende autoriteit te raadplegen; en (e) een onderzoek door een

gegevensbeschermingstoezichthouder of een vergelijkbare autoriteit inzake Persoonsgegevens.

9.4 Gegevenstoegang en -overdracht; Beëindiging; Instelling als verwerker Indien wettelijk verplicht zorgt Apple ervoor dat internationale gegevensoverdracht alleen plaatsvindt naar een land dat een adequaat beschermingsniveau biedt, afdoende voorzorgsmaatregelen heeft genomen conform de toepasselijke wet- en regelgeving, zoals

in artikel 46 en 47 van de AVG (bijvoorbeeld standaardclausules voor gegevensbescherming) of waarop een afwijking in artikel 49 van de AVG van toepassing is. Als U verplicht bent om een gegevensoverdrachtsovereenkomst aan te gaan voor de overdracht van gegevens naar een derde land, stemt U ermee in dat U deze gegevensoverdrachtsovereenkomst aangaat voor

Uw rechtsgebied zoals uitgevoerd door Apple op xxxxx://xxxxx.xxx/xxxxx/xxxxxxxxxx/xxxxxxxxxxxx.

Apple is niet verantwoordelijk voor gegevens die U buiten het Apple systeem opslaat of overdraagt. Bij beëindiging van deze Overeenkomst, om welke reden dan ook, zal Apple Persoonsgegevens die in verband met Uw gebruik van de Dienst zijn opgeslagen binnen een redelijke termijn op een veilige manier vernietigen, behalve wanneer dit niet kan met het oog op het voorkomen van fraude of wanneer de wet- en regelgeving anders voorschrijft. Het privacybeleid van Apple is beschikbaar op xxxx://xxx.xxxxx.xxx/xxxxx/xxxxxxx en maakt, voor zover het overeenstemt met onderhavige paragraaf 9, een integraal onderdeel hiervan uit. Als er sprake is van een conflict tussen het privacybeleid van Apple en onderhavige paragraaf 9, hebben de voorwaarden van onderhavige paragraaf 9 voorrang.

Voor zover de Instelling deze Overeenkomst aangaat in de hoedanigheid van gegevensverwerker voor een Goedgekeurde Entiteit, verklaart en garandeert de Instelling dat zij deze Overeenkomst namens haarzelf en, binnen de alhier vastgelegde beperkingen, de desbetreffende Goedgekeurde Entiteit aangaat. De Instelling verklaart dat zij de toepasselijke toestemmingen van de desbetreffende Goedgekeurde entiteit heeft om deze Overeenkomst aan te gaan en om Apple namens de desbetreffende Goedgekeurde entiteit in de arm te nemen als Subverwerker, en dat zij jegens Apple verantwoordelijk is voor eventuele vorderingen van dergelijke Goedgekeurde entiteiten in verband hiermee.

10. Algemene juridische voorwaarden

10.1 Kennisgevingen van derden

Gedeelten van de Service omvatten mogelijk of maken mogelijk gebruik van software van derden of ander materiaal waarvan het auteursrecht bij andere fabrikanten berust. Erkenning van rechten, licentievoorwaarden en beperkingen van aansprakelijkheid met betrekking tot dergelijke materialen zijn vervat in de elektronische documentatie bij de Service of het toepasselijke deel daarvan, en op Uw gebruik van dergelijke materialen zijn de respectieve voorwaarden van de desbetreffende materialen van toepassing.

10.2 Toestemming voor verzameling en gebruik van gegevens

U erkent en gaat ermee akkoord dat Apple en zijn gelieerde bedrijven en agenten mogelijk diagnostische, technische, gebruiks- en gerelateerde informatie verzamelen, onderhouden en verwerken, met inbegrip van, maar niet beperkt tot, unieke systeem- of hardware-ID's, cookies of IP-adressen, informatie over Uw gebruik van de Service, Uw MDM-server, Apparaatinschrijvingsinstellingen, computers, apparaten, systeem- en programmasoftware, en andere software en randapparatuur, die periodiek wordt verzameld om het aanbieden van services aan U met betrekking tot de Service mogelijk te maken, om producten en services van Apple te bieden, te testen en te verbeteren, voor interne doeleinden zoals auditing, gegevensanalyses en onderzoek om producten, services en klantcommunicaties van Apple

te verbeteren, om het leveren van software of software-updates, productsupport en andere services aan U (indien van toepassing) met betrekking tot de Service of enige dergelijke software mogelijk te maken voor beveiligings- en accountbeheerdoeleinden, en om de naleving van de voorwaarden van deze Overeenkomst te controleren. Gegevens die naar aanleiding

van deze paragraaf worden verzameld, worden behandeld volgens het privacybeleid van Apple, dat te vinden is op: xxxx://xxx.xxxxx.xxx/xxxxx/xxxxxxx.

10.3 Opdracht

Deze overeenkomst mag niet worden overgedragen en Uw verplichtingen ingevolge deze Overeenkomst mogen niet door U worden gedelegeerd, geheel of gedeeltelijk, middels de wet, een fusie of andere middelen zonder voorafgaande schriftelijke toestemming van Apple. Elke poging tot overdracht zonder toestemming is nietig en ongeldig.

10.4 Persberichten en andere publiciteit; Relatie tussen partijen

U mag geen persbericht uitgeven of andere publieke uitspraken doen over deze Overeenkomst, de voorwaarden van de Overeenkomst of de relatie van de partijen zonder de uitdrukkelijke voorafgaande schriftelijke toestemming van Apple, die naar goeddunken van Apple kan worden onthouden. Deze Overeenkomst zal niet worden geïnterpreteerd alsof hierdoor een agentrelatie, partnerschap, joint venture, fiduciaire verplichting of ander juridisch verband tussen U en Apple tot stand komt; het is U niet toegestaan om expliciet of impliciet het tegendeel te beweren of anderszins die indruk te wekken. Derden kunnen geen rechten aan deze Overeenkomst ontlenen.

10.5 Mededelingen

Mededelingen met betrekking tot deze Overeenkomst moeten schriftelijk worden gedaan. Mededelingen worden als gedaan beschouwd door Apple wanneer deze naar U zijn verzonden op het e-mailadres of postadres dat U hebt opgegeven tijdens het aanmeldproces. Mededelingen aan Apple in verband met deze Overeenkomst worden als gedaan beschouwd (a) bij persoonlijke aflevering, (b) drie werkdagen na verzending per xxxxxxx met schriftelijk bewijs van ontvangst,

en (c) vijf werkdagen na verzending per aangetekende post, port betaald, naar het volgende Apple adres: Apple Inc., App Store Legal (Apple Business Manager), One Apple Park, 169-4ISM, Xxxxxxxxx, Xxxxxxxxxx 00000 U.S.A. U stemt in met de ontvangst van kennisgevingen via e-mail en U verklaart dat dergelijke elektronische kennisgevingen die Apple aan U stuurt aan de wettelijke communicatievereisten voldoen. Een partij kan het e-mailadres of postadres wijzigen door de andere partij hiervan schriftelijk op de hoogte te stellen zoals hierboven beschreven.

10.6 Scheidbaarheid

In het geval dat enige bepaling van deze Overeenkomst door een bevoegde rechter nietig of anderszins niet-verbindend wordt verklaard, zal genoemde bepaling van deze Overeenkomst van kracht zijn voor zover als dit door de toepasselijke wetgeving is toegestaan om de intentie van

de partijen zo goed mogelijk te verwezenlijken. De overige bepalingen van deze Overeenkomst blijven onverminderd van kracht. Indien de toepasselijke wetgeving U echter verbiedt of Uw mogelijkheid beperkt om geheel en uitdrukkelijk te voldoen aan de paragrafen van deze Overeenkomst getiteld 'Vereisten van de Service' of 'Verplichtingen van de Instelling', dan wel

de afdwingbaarheid van deze paragrafen onmogelijk maakt, zal deze Overeenkomst onmiddellijk worden beëindigd en moet U het gebruik van de Service onmiddellijk stopzetten.

10.7 Verklaring van afstand en opbouw

Als Apple bepalingen van deze Overeenkomst niet kan naleven, wordt dit niet beschouwd als een vrijstelling voor toekomstige naleving van dergelijke bepalingen. Wetten of regelgevingen waarin is opgenomen dat het taalgebruik van een contract wordt opgebouwd aan de hand van een concept, zijn niet van toepassing op deze Overeenkomst. Paragraafkoppen dienen alleen

ter informatie en moeten niet worden gebruikt voor het opbouwen of interpreteren van deze

Overeenkomst.

10.8 Exportcontrole

U mag de Service of Apple software, of enig deel daarvan, niet gebruiken, uitvoeren, opnieuw uitvoeren, invoeren, verkopen of overdragen, behalve wanneer toegestaan door de Amerikaanse wetgeving, de wetten van de jurisdictie waarin U de Service of Apple software hebt verkregen en enige andere toepasselijke wet- en regelgeving. De Service en de Apple software mogen in het bijzonder, maar zonder beperking, niet worden uitgevoerd of opnieuw uitgevoerd (a) naar landen waarvoor de VS een embargo heeft ingesteld of (b) naar personen die op de lijst met specifiek aangewezen personen (Specifically Designated Nationals) van het Amerikaanse ministerie van Financiën of op de lijst met geweigerde personen of entiteiten van het Amerikaanse ministerie van Handel of enige andere lijsten met beperkte partijen staan. Door gebruik te maken van

de Service of Apple software, verklaart U en garandeert U dat U niet in een dergelijk land bent gevestigd of op een dergelijke lijst staat. U mag de Service of Apple software evenmin gebruiken voor doeleinden die verboden zijn bij de Amerikaanse wet, waaronder, zonder beperking, de ontwikkeling, het ontwerp, de fabricage of de productie van nucleaire, ballistische, chemische

of biologische wapens.

10.9 Eindgebruikers van de overheid

De Service, Apple software en documentatie zijn 'Commercial Items' (Commerciële Goederen) in de zin van 48 C.F.R. § 2.101, bestaande uit 'Commercial Computer Software' (Commerciële Xxxxxxxxxxxxxxxx) en 'Commercial Computer Software Documentation' (Documentatie voor Commerciële Xxxxxxxxxxxxxxxx) in de zin van 48 C.F.R. § 12.212 c.q. 48 C.F.R. § 227.7202.

In overeenstemming met 48 C.F.R. § 12.212 c.q. 48 C.F.R. § 227.7202-1 t/m 227.7202-4 worden Commerciële Xxxxxxxxxxxxxxxx en Documentatie voor Commerciële Xxxxxxxxxxxxxxxx als volgt in licentie gegeven aan eindgebruikers binnen de Amerikaanse overheid: a) uitsluitend als commerciële goederen en b) met alleen die rechten die op grond van de hierin vervatte voorwaarden aan alle andere eindgebruikers worden verleend. Ongepubliceerde rechten

zijn voorbehouden op grond van de auteursrechtwetgeving van de Verenigde Staten.

10.10 Oplossen van geschillen; Toepasselijk recht

Iedere procedure of andere geschiloplossing tussen U en Apple die voortkomt uit of gerelateerd is aan deze Overeenkomst, de Apple software, of Uw relatie met Apple zal plaatsvinden in het 'Northern District' van Californië, en U en Apple stemmen hierbij in met de persoonlijke jurisdictie van en exclusieve relatieve competentie in de staat en federale rechtbank binnen dat District met betrekking tot dergelijke procedure of geschiloplossing. Op deze Overeenkomst is het recht van de Verenigde Staten en de Staat van Californië van toepassing en deze Overeenkomst is volgens dit recht opgesteld, uitgezonderd de Californische wetsbepalingen inzake wetsconflicten. Niettegenstaande het voornoemde:

(a) Indien U een agentschap, orgaan of afdeling van de federale overheid van de Verenigde Staten bent, is deze Overeenkomst onderworpen aan het recht van de Verenigde Staten van Amerika, en bij afwezigheid van toepasselijk federaal recht zullen de wetten van de Staat van Californië van toepassing zijn. Verder, en ongeacht of ergens in deze Overeenkomst het tegengestelde staat (met inbegrip van, maar niet beperkt tot, paragraaf 5 (Schadeloosstelling)), zullen alle aanspraken, eisen, klachten en geschillen zijn onderworpen aan de 'Contract Disputes Act' (41 U.S.C. §§ 601-613), de 'Xxxxxx Act' (28 U.S.C. § 1346(a) en § 1491) of de 'Federal Tort Claims Act' (28 U.S.C. §§ 1346(b), 2401-2402, 2671-2672, 2674-2680), indien toepasselijk,

of andere toepasselijke besturende autoriteit. Voor de duidelijkheid: als U een agentschap, orgaan of afdeling van de federale, xxxxxx- of lokale overheid van de VS bent of een openbare en erkende onderwijsinstelling in de VS, dan zijn Uw vrijwaringsverplichtingen alleen toepasselijk voor zover zij er niet toe leiden dat U enig toepasselijk recht zult schenden (bijvoorbeeld de Anti- Deficiency Act), en voor zover U enige wettelijk vereiste machtiging of machtigende wet hebt;

(b) Indien U (als entiteit die deze Overeenkomst aangaat) een openbare en erkende onderwijsinstelling of een agentschap, orgaan of afdeling van de xxxxxx- of lokale overheid in de Verenigde Staten bent, zal (i) deze Overeenkomst worden geïnterpreteerd in overeenstemming met en onderworpen zijn aan de wetten van de staat (binnen de Verenigde Staten) waarin Uw entiteit is gevestigd, met uitzondering van de wetten en bepalingen van Uw staat die betrekking hebben op de strijdigheid met wettelijke bepalingen, en (ii) iedere procedure of andere geschiloplossing tussen U en Apple die voortkomt uit of gerelateerd is aan deze Overeenkomst, de Apple software, of Uw relatie met Apple plaatsvinden voor de federale rechtbank in het 'Northern District' van Californië, en U en Apple stemmen hierbij in met de persoonlijke jurisdictie van en exclusieve relatieve competentie van zo'n District behalve als deze instemming nadrukkelijk is verboden bij de wetten van de staat waarin Uw entiteit is gevestigd;

(c) Indien U een internationale, intergouvernementele organisatie bent aan wie immuniteit is verleend van de jurisdictie van nationale rechtbanken door Uw intergouvernementele handvest of overeenkomst, dan zal elke controverse of claim voortvloeiend uit of in verband met deze overeenkomst, of het schenden van, behandeld worden door arbitrageprocedure voor het International Centre for Dispute Resolution op basis van zijn Internationale Arbitrage Rules.

De arbitrage zal plaatsvinden in Londen, Engeland; de taal is Xxxxxx, en er zullen drie arbiters zijn. U gaat ermee akkoord om op verzoek van Apple bewijs te leveren van Uw status als intergouvernementele organisatie met de voornoemde privileges en immuniteiten; en

(d) Indien U (als een entiteit die deze Overeenkomst aangaat) in de Europese Unie, IJsland, Noorwegen, Zwitserland of het Verenigd Koninkrijk gevestigd bent, zullen het recht en de rechtbanken van de Republiek Ierland de toepasselijke wetgeving zijn.

Deze Overeenkomst zal niet onderworpen zijn aan het Weens Koopverdrag. De toepassing van dit verdrag wordt uitdrukkelijk uitgesloten.

10.11 Volledige overeenkomst; Geldend taalgebruik

Deze Overeenkomst vormt de volledige overeenkomst tussen de partijen met betrekking tot de Service die alhier is omschreven en heeft prioriteit over alle voorgaande afspraken en overeenkomsten met betrekking tot het onderwerp. Ter voorkoming van twijfel: niets in deze Overeenkomst heeft voorrang op de EULA's voor de Apple software. Deze Overeenkomst kan

alleen worden gewijzigd: (a) door een wijziging die is ondertekend door beide partijen, of (b) voor zover dat uitdrukkelijk bij deze Overeenkomst is toegestaan (bijvoorbeeld door een kennisgeving die Apple U doet toekomen). Vertalingen van deze Overeenkomst worden U als gunst geboden, en wanneer er een conflict is tussen de Engelse versie en een niet-Engelse versie, heeft de Engelse versie van deze Overeenkomst voorrang, voor zover niet verboden door lokale wetgeving in Uw jurisdictie. Als U zich in de provincie Quebec, Canada, bevindt, of een overheidsorganisatie in Frankrijk bent, is de volgende bepaling van toepassing: de partijen bevestigen hierbij dat deze Overeenkomst en alle daarmee samenhangende documenten op hun verzoek in het Xxxxxx zijn opgesteld. 10.12 Aanvaarding

De Instelling erkent en stemt ermee in dat door te klikken op een knop met de tekst 'Akkoord' of een vergelijkbare tekst of door een vakje aan te kruisen, de Instelling door middel van haar geautoriseerde vertegenwoordiger verklaart in te stemmen met de voorwaarden van deze Overeenkomst.

Apple Business Manager Agreement

Purpose

This Agreement permits You to participate in Apple Business Manager, which allows You to automate enrollment of Apple-branded products for Mobile Device Management (MDM) within Your Institution, to purchase and manage content for such products, to create Managed Apple IDs, and to access facilitation tools for related services.

Note: You will need to have an MDM solution (e.g., Profile Manager from macOS Server or from a third-party developer) enabled within Your Institution so that you can utilize the features of this Service. An MDM solution enables You to configure, deploy, and manage Apple-branded products. For more information, see xxxxx://xxx.xxxxx.xxx/xxxxxxxx/xxxxxxxxx/.

1. Definitions

Whenever capitalized in this Agreement:

“Administrators” means employees or contractors (or Service Providers) of Your company or organization who have been added to the Service for purposes of account management, e.g., administering servers, uploading MDM provisioning settings, adding devices to Your account, purchasing content, and performing other related services.

“Agreement” means this Apple Business Manager Agreement. For clarity, this Apple Business Manager Agreement is a successor to the Apple Device Enrollment Program Agreement.

“Apple” means the following, unless otherwise specified herein: (a) Apple Inc., located at One Apple Park Way, Cupertino, California 95014, U.S.A., for Institutions in North, Central, and South America (excluding Canada), as well as United States territories and possessions; and French and British possessions in North America, South America, and the Caribbean; (b) Apple Canada Inc., located at 000 Xxxxxxx Xxxx., Xxxxx 0000, Xxxxxxx XX X0X 0X0, Xxxxxx, for Institutions in Canada or its territories and possessions; (c) iTunes K.K., located at Roppongi Hills, 6-10-1 Roppongi, Minato-ku, Tokyo 106-6140, Japan, for Institutions in Japan; (d) Apple Pty Limited, located at 00 Xxxxxx Xxxxx, Xxxxxx XXX 0000, Xxxxxxxxx, for Institutions in Australia and New Zealand, including island possessions, territories, and affiliated jurisdictions; and (e) Apple Distribution International Ltd., located at Hollyhill Industrial Estate, Hollyhill, Cork, Republic of Ireland, for Institutions in all other countries or territories not specified above in which the Service is offered.

“Apple Software” means the iOS, iPadOS, macOS, tvOS, and watchOS operating system software, or any successor versions thereof.

“Authorized Devices” means Apple-branded products that are owned or controlled by You, have been designated for use by Authorized Users (or Service Providers) only, and that are eligible for use in the Service. Notwithstanding the foregoing, devices that are personally-owned

by an Authorized User (e.g., “BYOD” devices) or devices that are owned or controlled by a Permitted Entity are not permitted to be enrolled in supervised device management (e.g., automated device management) as part of the Service, unless otherwise agreed by Apple in writing, and not all devices are eligible to be added to the Service.

“Authorized Users” means employees and contractors (or Service Providers) of Your company or organization, employees and contractors of Your Permitted Entity, or if You are a hospital, the term “Authorized Users” also includes credentialed physicians, referring physicians and clinicians. For clarity, You may request, and Apple may approve, in its sole discretion, other similar users to be included as “Authorized Users”; however, no other parties shall be included in this definition without Apple’s prior written consent.

“Content” means any material or information that may be licensed or acquired as part of the Service through Apple’s Volume Content terms.

“Device Enrollment Settings” means settings for an Apple-branded product that can be configured and managed as part of the Service, including but not limited to the initial enrollment flow for a device, and settings to supervise a device, make configuration mandatory, or lock an MDM profile.

“Documentation” means the technical or other specifications or documentation that Apple may provide to You for use in connection with the Service.

“End User License Agreement” or “EULA” means the software license agreement terms and conditions for the Apple Software.

“Managed Apple ID(s)” means a user account (including but not limited to storage, calendar, notes, and contacts) that You create and deploy through the use of the Service.

“MDM Server(s)” means computers owned or controlled by You (or a Service Provider acting on Your behalf) that have been designated to communicate with the Service.

“Permitted Entity(ies)” means: (a) if You are a vehicle manufacturer, Your authorized vehicle dealerships and certified service partners; (b) if You are a hotel holding company, hotel properties operating under Your name, trademark or brand (or a name, trademark or brand it owns or controls); or (c) other similar entities that Apple may approve in writing in its sole discretion.

“Personal Data” means data that can be reasonably used to identify an individual that is under the control of the Institution under this Agreement.

“Service” means the Apple Business Manager service (and any components, functionality or features thereof) for automated mobile device management enrollment, acquisition and management of Content, the creation, use, and management of Managed Apple IDs, the use of Administrator accounts, and other related services as contemplated in this Agreement, including the web portal and any services or tools provided hereunder.

“Service Provider” means a third-party who provides a service on Your behalf in accordance with the terms of this Agreement.

“Server Token” means the combination of Your public key, Apple ID and a token provided by Apple that permits Your MDM Server(s) to be registered with the Service.

“You,” “Your,” and “Institution” means the institution entering into this Agreement. For

avoidance of doubt, the Institution is responsible for compliance with this Agreement by its employees, contractors, third-party service providers, and agents who are authorized to exercise rights under this Agreement on its behalf.

Note: If you are a third-party service provider, you need to have the Institution with whom you are working enter into this Agreement and add you as an Administrator since the entity that owns the Authorized Devices and plans to distribute such Devices to its Authorized Users must enroll in the Service.

2. Service Requirements

2.1 Use of the Service

As a condition to using the Service, Institution acknowledges and agrees that:

(a) Institution is permitted to use the Service only for the purposes and in the manner expressly permitted by this Agreement and in accordance with all applicable laws and regulations, and the Documentation;

(b) Institution is not permitted to use the Service (or any part thereof) for any unlawful, improper, inappropriate, or illegal activity;

(c) Institution is permitted to use the Service to manage Authorized Devices for use only by Authorized Users and not for general deployment to third parties, and Institution will be responsible for all use of the Authorized Devices by Authorized Users (e.g., obtaining consents and providing appropriate information to users about the managed features of devices);

(d) Institution will be responsible for all use of the Service by its Permitted Entity (and any Authorized Users of such Permitted Entity), and any actions undertaken by its Permitted Entity shall be deemed to have been taken by Institution, and Institution (in addition to its Permitted Entity) shall be responsible to Apple for all such actions. Apple reserves the right to set limitations on the features or functionality of the Service that Institution may allow its Permitted Entity (or Authorized Users of its Permitted Entity) to access or use, and Institution will be responsible for its Permitted Entity and be directly liable to Apple for any breach of this Agreement by its Permitted Entity (and any Authorized Users of such Permitted Entity);

(e) Institution will obtain all necessary rights and consents from Authorized Users to deploy Authorized Devices as permitted hereunder;

(f) Institution will have the rights to purchase and manage Content as may be permitted through the Service;

(g) Institution will obtain all necessary rights and consents from Authorized Users where necessary to create Managed Apple IDs and to allow Apple to provide the Service for Managed Apple IDs (including using and maintaining Personal Data);

(h) Institution may add Administrators to the Service, but only if such individuals are employees or contractors of Institution or are Service Providers acting on Institution’s behalf, and Institution may add such parties only for account management purposes; and

(i) Institution is permitted to use the Service only for its own (and its Permitted Entity’s) internal business operations and information technology purposes and is not permitted to provide a product or service to third parties that integrates with or leverages services or information provided by the Service or uses the Service in any way, unless otherwise agreed by Apple in writing.

2.2 No Other Permitted Uses

Institution agrees not to exploit the Service in any unauthorized way whatsoever, including, but not limited to, by trespass, burdening network capacity, or uploading malicious code. Any attempt to do so is a violation of the rights of Apple and its licensors. Institution may not license, sell, share, rent, lease, assign, distribute, host, permit timesharing or service bureau use, or otherwise make the Service (or any components thereof) available to any third-party, except as expressly permitted in this Agreement. Institution agrees that it will not use the Service to stalk, harass, mislead, abuse, threaten or harm or pretend to be anyone other than the entity that has enrolled,

and Apple reserves the right to reject or block any accounts that could be deemed to be an impersonation or misrepresentation of another entity or person’s name or identity. Institution will not interfere with the Service, or with any security, digital signing, digital rights management, verification or authentication mechanisms implemented in or by the Service or by the Apple Software or any other related Apple software or technology, or enable others to do so. If Institution is a covered entity, business associate, representative of a covered entity or business associate (as those terms are defined at 45 C.F.R § 160.103), or otherwise a health care provider or entity, Institution agrees that it will not use any component, function or other facility of the Service to create, receive, maintain or transmit any “protected health information” (as such term is defined at 45 C.F.R § 160.103) or equivalent health data under applicable law, or use the Service in any manner that would make Apple a business associate of Institution or any third-party or otherwise directly subject Apple to applicable health privacy laws. All rights not expressly granted in this Agreement are reserved and no other licenses, immunity or rights, express or implied are granted by Apple, by implication, estoppel, or otherwise.

2.3 Server Token Usage

Institution agrees to use the Server Token only for purposes of enrolling Institution’s MDM Server into the Service and uploading Device Enrollment Settings that will be sent to Authorized Devices when they are initially activated by Authorized Users. Institution agrees not to provide or transfer its Server Token to any other entity or share it with any other entity, excluding its Service Provider. Institution agrees to take appropriate measures to safeguard the security and privacy of such Server Token and to revoke it if it has been compromised or Institution has reason to believe it has been compromised. Apple reserves the right to revoke or disable Server Tokens at any time in its sole discretion. Further, Institution understands and agrees that regenerating the Server Token will affect Institution’s ability to use the Service until a new Server Token has been added to the MDM Server.

2.4 EULAs Term and Conditions

As part of the Service, Institution may elect to have Authorized Users accept the terms and conditions for the Apple Software outside of the normal initial activation process on a device. Institution may use this feature of the Service as long as Institution agrees to the following requirements:

(a) Institution’s authorized representative must accept the EULAs for the Apple Software on the Service web portal prior to deploying Authorized Devices running such Apple Software to Authorized Users;

(b) If the EULAs for the Apple Software have changed, Institution agrees to have its authorized representative return to the Service web portal and accept such EULAs promptly upon notice from Apple in order to continue using the Service. Institution acknowledges that it will not be able to use the Service, including associating additional Authorized Devices with its MDM Server, until such EULAs have been accepted;

(c) Institution is responsible for ensuring that such EULAs are provided to Authorized Users, and that each Authorized User is aware of and complies with the terms and conditions of the EULAs for the Apple Software; and

(d) Institution agrees to be responsible for obtaining any required consents for Authorized Users’ use of the Apple Software.

2.5 Device Transfer

Institution will not resell any Authorized Devices with Device Enrollment Settings enabled and agrees to remove such Devices from the Service prior to reselling them or transferring them to non-Authorized Users in any way.

2.6 Purchasing Content

Acquisition of Content is automatically disabled in the Service, and Your use is subject to the

requirements and terms for the use of Volume Content presented in the Service prior to the use of Apps and Books. You may choose to enable Your Administrators to access Content through the Service by granting them purchasing authority and allowing them to access Apple’s Volume Content terms to purchase Content for use and management as part of the Service. You are solely responsible for all such purchases and compliance with the applicable terms. If You purchase Content as part of the Service, You agree that You have the authority to and will accept such applicable terms on behalf of Your Authorized Users. To the extent that You receive a VPP token, You may use it to manage Content as part of the Service in accordance with the Documentation.

2.7 Administrator Accounts

You may create Administrator accounts for Your Administrators to use in administering the Service. These Administrator accounts will be a combination of a unique user name and password, which will be owned by You. When You create Administrator accounts, all features and functionality of the Service that You select to be available will be enabled for such accounts, and You are responsible for appropriately enabling these Administrator accounts and for all activity in connection with these accounts (e.g., permitting Content purchases). You acknowledge and agree that these Administrator accounts may be used only to access and manage the Service for account management purposes. If You delete any Administrator accounts, then neither You nor the Administrator will have access to such Administrator accounts, and You acknowledge and agree that this action may not be reversible, and that Apple shall not be liable to You for any discontinuation of Service (including data loss).

2.8 Managed Apple IDs

You may create Managed Apple IDs for Authorized Users to access and use as part of the Service in accordance with this Agreement and the Documentation. You are responsible for deciding which features and functionality of the Service to enable for Authorized Users and for the creation, use, and management of Managed Apple IDs on Authorized Devices.

2.9 Updates; No Support or Maintenance

Apple may extend, enhance, suspend, discontinue, or otherwise modify the Service (or any part thereof) provided hereunder at any time without notice, and Apple will not be liable to You or to any third-party should it exercise such rights. Apple will not be obligated to provide Institution with any updates to the Service. If Apple makes updates available, the terms of this Agreement will govern such updates, unless the update is accompanied by a separate agreement in which case the terms of that agreement will govern. Should an update be made available, it may have features, services or functionality that are different from those found in the Service. Apple is not obligated to provide any maintenance, technical or other support for the Service.

2.10 Third-Party Service Providers

You are permitted to use a Service Provider only if the Service Provider’s access to and use of the Service is done on Your behalf and in accordance with these terms, and is subject to a binding written agreement between You and the Service Provider with terms at least as restrictive and protective of Apple as those set forth herein. Any actions undertaken by any such Service Provider in relation to the Service and/or arising out of this Agreement shall be deemed to have been taken by You, and You (in addition to the Service Provider) shall be responsible to Apple for all such actions (or any inactions).

3. Institution’s Obligations

Institution represents and warrants that:

(a) Institution’s authorized representative or agent has the right and authority to enter into this Agreement on its behalf and to legally bind Institution to the terms and obligations of this Agreement;

(b) All information provided by Institution to Apple in connection with this Agreement will be current, true, accurate, supportable and complete; and, with regard to information Institution provides to Apple, Institution will promptly notify Apple of any changes to such information;

(c) Institution will monitor and be responsible for its authorized representatives, Service Providers, Authorized Users, Administrators’, and Permitted Entities’ use of the Service and their compliance with the terms of this Agreement;

(d) Institution will be solely responsible for all costs, expenses, losses and liabilities incurred, and activities undertaken by Institution, its authorized representatives, Administrators, Service Providers, Authorized Users, Permitted Entities, and Authorized Devices, in connection with the Service;

(e) Institution is solely liable and responsible for ensuring compliance with all privacy and data protection laws (e.g., Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of Personal Data and on the free movement of such data, and repealing directive 95/46/EC (“GDPR”)) regarding the use of the Service and use or collection of data, including Personal Data, and information through the Service;

(f) Institution is responsible for its activity related to Personal Data (e.g., safeguarding, monitoring, and limiting access to Personal Data, preventing and addressing inappropriate activity, etc.); and

(g) Institution will comply with the terms of and fulfill Institution’s obligations under this Agreement.

4. Changes to Service Requirements or Terms

Apple may change the Service or the terms of this Agreement at any time. In order to continue using the Service, Institution, through its authorized representative, must accept and agree to the new requirements or terms of this Agreement. If You do not agree to the new requirements or terms, Your use of the Service may be suspended or terminated by Apple. You agree that Your acceptance of such new Agreement terms may be signified electronically, including without limitation, by checking a box or clicking on an “agree” or similar button.

5. Indemnification

To the extent permitted by applicable law, You agree to indemnify and hold harmless, and upon Apple’s request, defend, Apple, its directors, officers, employees, affiliates, independent contractors and authorized representatives (each an “Apple Indemnified Party”) from any and all claims, losses, liabilities, damages, expenses and costs, including without limitation attorneys’ fees and court costs, (collectively, “Losses”) incurred by an Apple Indemnified Party and arising from or related to any of the following: (a) Your breach of any certification, covenant, obligation, representation or warranty made in this Agreement; (b) Your use (including Your Service Provider’s, Administrator’s, Authorized User’s, and/or Permitted Entity’s use) of the Service; (c) any claims, including but not limited to any end user claims, about Your use, deployment or management of Authorized Xxxxxxx, Device Enrollment Settings, and/or MDM Servers; (d) any claims, including but not limited to any end user claims, about the provision, management, and/or use of Authorized Devices, Administrator accounts, Managed Apple IDs, or Content licensed or purchased through the Service, and/or any other use of the Service; and/or (e) any claims regarding Your use or management of Personal Data (including use by Your Permitted Entity or Authorized Users). In no event may You enter into any settlement or like agreement with a third- party that affects Apple’s rights or binds Apple or any Apple Indemnified Party in any way, without the prior written consent of Apple.

6. Term and Termination

The term of this Agreement shall commence on the date You first accept this Agreement in the Service web portal and extend for an initial period of one (1) year following the initial activation date of Your Service account by Apple (“Term”). Thereafter, subject to Your compliance with the terms of this Agreement, the Term will automatically renew for successive one (1) year terms, unless sooner terminated in accordance with this Agreement. Either party may terminate this

Agreement for its convenience, for any reason or no reason, effective 30 days after providing the other party with written notice of its intent to terminate.

If You fail, or Apple suspects that You have failed, to comply with any of the provisions of this Agreement, Apple, at its sole discretion, without notice to You may: (a) terminate this Agreement and/or Your account; and/or (b) suspend or preclude access to the Service (or any part thereof). Apple reserves the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time without notice to You, and Apple will not be liable to You or to any third-party should it exercise such rights. Apple may also terminate this Agreement, or suspend Your rights to use the Services, if You fail to accept any new Agreement terms as described in Section 4.

You acknowledge and agree that You may not be able to access the Service upon expiration or termination of this Agreement and that Apple reserves the right to suspend access to or delete data or information that You, Your Administrators, Authorized Users, or Permitted Entities have stored through Your use of the Service. You should review the Documentation prior to using any part of the Service and make appropriate back-ups of Your data and information. Apple will not be liable or responsible to You or to any third-party should it exercise such rights or for any damages that may result or arise out of any such termination or suspension. The following provisions shall survive the termination of this Agreement: Section 1, Section 2.9, the second sentence of Section 2.10, Section 3, Section 5, the second paragraph of Section 6, and Sections 7, 8, 9, and 10.

7. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF, OR INABILITY TO USE, THE SERVICE, OR ANY TOOLS OR FEATURES OR FUNCTIONALITY ACCESSED BY OR THROUGH THE SERVICE, IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND APPLE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AUTHORIZED REPRESENTATIVES, AGENTS, CONTRACTORS, RESELLERS, OR LICENSORS (COLLECTIVELY REFERRED TO AS “APPLE” FOR THE PURPOSES OF SECTIONS 7 AND 8) HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICE, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

APPLE DOES NOT GUARANTEE, REPRESENT OR WARRANT AGAINST INTERFERENCE WITH YOUR USE OR ENJOYMENT OF THE SERVICE, THAT THE FEATURES OR FUNCTIONALITY CONTAINED IN, OR SERVICES PERFORMED OR PROVIDED BY, THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE SECURE, THAT YOUR USE OF OR THAT THE OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS OR ERRORS WILL BE CORRECTED, THAT THE SERVICE WILL CONTINUE TO BE MADE AVAILABLE, THAT THE SERVICE WILL BE COMPATIBLE OR WORK WITH ANY THIRD-PARTY SOFTWARE, APPLICATIONS, CONTENT, OR THIRD-PARTY SERVICES OR ANY OTHER APPLE PRODUCTS OR SERVICES, OR THAT ANY DATA OR INFORMATION STORED OR TRANSMITTED THROUGH THE SERVICE WILL NOT BE LOST, CORRUPTED, DAMAGED, ATTACKED, HACKED, INTERFERED WITH OR SUBJECT TO ANY OTHER SECURITY INTRUSION. YOU AGREE THAT FROM TIME TO TIME APPLE MAY REMOVE THE SERVICE FOR INDEFINITE PERIODS OF TIME OR MODIFY, SUSPEND, DISCONTINUE, OR CANCEL THE SERVICE AT ANY TIME, WITHOUT NOTICE TO YOU.

YOU FURTHER ACKNOWLEDGE THAT THE SERVICE IS NOT INTENDED OR SUITABLE FOR USE IN SITUATIONS OR ENVIRONMENTS WHERE THE FAILURE OR TIME DELAYS OF, OR ERRORS OR INACCURACIES IN THE CONTENT, DATA OR INFORMATION PROVIDED BY OR THROUGH THE SERVICE COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE, INCLUDING WITHOUT LIMITATION THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, LIFE SUPPORT, OR WEAPONS SYSTEMS.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY APPLE OR AN APPLE AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT. SHOULD THE SERVICE PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

8. LIMITATION OF LIABILITY

TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL APPLE BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, CORRUPTION OR LOSS OF DATA OR INFORMATION, FAILURE TO TRANSMIT OR RECEIVE ANY DATA OR INFORMATION, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES ARISING OUT OF THIS AGREEMENT AND/OR YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF APPLE HAS BEEN ADVISED OR IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), AND EVEN IF APPLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL APPLE’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED THE AMOUNT OF FIFTY DOLLARS ($50.00). THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9. Data Privacy and Security

9.1 Personal Data Usage and Disclosure

Under this Agreement, Apple, acting as a data processor on Your behalf, may receive or have access to Personal Data, if provided by You. By entering into this Agreement, You instruct Apple to process and use this Personal Data to provide and maintain the Service in accordance with applicable law, Your instructions given through the use of the Service (e.g., instructions given through the Service), and any other written instructions given by You that are accepted and acknowledged in writing by Apple. Apple shall comply with such instructions, if applicable, and unless prohibited by law, in which case Apple will inform You before processing such Personal Data (unless prohibited by law from informing You on grounds of public interest). Apple may provide Personal Data to service providers who provide services to Apple in connection with the Service (“Sub-processors”). You authorize Apple to use all the Apple entities set forth in the definition of “Apple” as Sub-processors and to use any other Sub-processors; provided such Sub- processors are contractually bound by data protection obligations at least as protective as those in this Agreement, and a list of such Sub-processors will be available upon request, if required by law. Apple may disclose Personal Data about You if Apple determines that disclosure is reasonably necessary to enforce Apple’s terms and conditions or protect Apple’s operations or users. Additionally, in the event of a reorganization, merger, or sale, Apple may transfer any and all Personal Data You provide to the relevant party. In the event Apple receives a third-party request for Personal Data (“Third-Party Request”), Apple will notify You, to the extent permitted by law, of its receipt of the Third-Party Request, and notify the requester to address such Third- Party Request to You. Unless otherwise required by law or the Third-Party Request, You will be

responsible for responding to the Request.

9.2 Data Incidents

If Apple becomes aware that Personal Data has been altered, deleted, or lost as a result of any unauthorized access to the Service (a “Data Incident”), Apple will notify Institution without undue delay if required by law, and Apple will take reasonable steps to minimize harm and secure the data. Notification of, or response to, a Data Incident by Apple will not be construed as an acknowledgment by Apple of any responsibility or liability with respect to a Data Incident.

Institution is responsible for complying with applicable incident notification laws and fulfilling any third-party obligations related to Data Incident(s). Apple will not access the contents of Personal Data in order to identify information subject to any specific legal requirements.

9.3 Security Procedures; Compliance

Apple shall use industry-standard measures to safeguard Personal Data during the transfer, processing, and storage of Personal Data as part of the Service. As part of these measures, Apple will use commercially reasonable efforts to encrypt Personal Data at rest and in transit; ensure the ongoing confidentiality, integrity, availability and resilience of the Service; in the event of an issue, restore the availability of Personal Data in a timely manner; and regularly test, assess, and evaluate the effectiveness of such measures. Apple will take appropriate steps to ensure compliance with security procedures by its employees, contractors and Sub-processors, and Apple shall ensure that any persons authorized to process such Personal Data comply with applicable laws regarding the confidentiality and security of Personal Data with regards to the Service. Encrypted Personal Data may be stored at Apple’s geographic discretion. To the extent Apple is acting as a data processor, Apple will assist You with ensuring Your compliance, if applicable, with the following: (a) Article 28 of the GDPR (by allowing for and contributing to audits; provided, that Apple’s ISO 27001 and XXX 00000 certifications shall be considered sufficient for such required audit purposes); (b) Article 32 of the GDPR (by implementing the security procedures set forth in this Section 9.3 and by maintaining the ISO 27001 and XXX 00000 Certifications); (c) Articles 33 and 34 of the GDPR or other equivalent obligations under law (by assisting You with providing required notice of a Data Incident to a supervisory authority or data subjects); (d) laws requiring Institution to conduct data protection impact assessments or to consult with a supervisory authority prior to processing; and (e) an investigation by a data protection regulator or similar authority regarding Personal Data.

9.4 Data Access and Transfer; Termination; Institution as Processor

If required by law, Apple will ensure that any international data transfer is done only to a country that ensures an adequate level of protection, has provided appropriate safeguards as set forth in applicable law, such as those in Articles 46 and 47 of the GDPR (e.g., standard data protection clauses), or is subject to a derogation in Article 49 of the GDPR. If You are required to enter a data transfer agreement to transfer data to a third country, You agree to enter into the applicable data transfer agreement for Your jurisdiction as executed by Apple at xxxxx://xxxxx.xxx/xxxxx/xxxxxxxxxx/xxxxxxxxxxxx.

Apple is not responsible for data You store or transfer outside of Apple’s system. Upon termination of this Agreement for any reason, Apple shall securely destroy Personal Data stored by Apple in connection with Your use of the Service within a reasonable period of time, except to prevent fraud or as otherwise required by law. Apple’s Privacy Policy is available at xxxx://xxx.xxxxx.xxx/xxxxx/xxxxxxx, and, to the extent consistent with this Section 9, is incorporated herein by reference. If there is a conflict between Apple’s Privacy Policy and this Section 9, the terms of this Section 9 shall take precedence.

To the extent that Institution enters into this Agreement as a data processor for a Permitted Entity, Institution represents and warrants that Institution is entering into this Agreement on behalf

of itself, and, to the limited extent set forth herein, such Permitted Entity. Institution represents that it has the applicable consents from such Permitted Entity to enter into this Agreement and to engage Apple as a sub-processor on such entity’s behalf, and is responsible to Apple for any claims from such Permitted Entities with respect thereto.

10. General Legal Terms

10.1 Third-Party Notices

Portions of the Service may utilize or include third-party software and other copyrighted material. Acknowledgements, licensing terms and disclaimers for such material are contained in the electronic documentation for the Service or applicable part thereof, and Your use of such material is governed by their respective terms.

10.2 Consent to Collection and Use of Data

You acknowledge and agree that Apple and its affiliates and agents may collect, maintain, process and use diagnostic, technical, usage and related information, including but not limited to unique system or hardware identifiers, cookies or IP addresses, information about Your use of the Service, Your MDM Server, Device Enrollment Settings, computers, devices, system and application software, and other software and peripherals, that is gathered periodically to facilitate the provision of services to You related to the Service, to provide, test and improve Apple’s products and services, for internal purposes such as auditing, data analysis, and research to improve Apple’s products, services, and customer communications, to facilitate the provision of software or software updates, product support and other services to You (if any) related to the Service or any such software, for security and account management purposes, and to verify compliance with the terms of this Agreement. Data collected pursuant to this Section will be treated in accordance with Apple’s Privacy Policy, which can be viewed at: xxxx://xxx.xxxxx.xxx/xxxxx/xxxxxxx.

10.3 Assignment

This Agreement may not be assigned, nor may any of Your obligations under this Agreement be delegated, in whole or in part, by You by operation of law, merger, or any other means without Apple’s express prior written consent and any attempted assignment without such consent will be null and void.

10.4 Press Releases and Other Publicity; Relationship of Parties

You may not issue any press releases or make any other public statements regarding this Agreement, its terms and conditions, or the relationship of the parties without Apple’s express prior written approval, which may be withheld at Apple’s discretion. This Agreement will not be construed as creating any agency relationship, or a partnership, joint venture, fiduciary duty, or any other form of legal association between You and Apple, and You will not represent to the contrary, whether expressly, by implication, appearance or otherwise. This Agreement is not for the benefit of any third parties.

10.5 Notices

Any notices relating to this Agreement shall be in writing. Notices will be deemed given by Apple when sent to You at the email address or mailing address You provided during the sign-up process. All notices to Apple relating to this Agreement will be deemed given (a) when delivered personally, (b) three business days after having been sent by commercial overnight carrier with written proof of delivery, and (c) five business days after having been sent by first class or certified mail, postage prepaid, to this Apple address: Apple Inc., App Store Legal (Apple Business Manager), One Apple Park, 169-4ISM, Xxxxxxxxx, Xxxxxxxxxx 00000 U.S.A. You consent to receive notices by email and agree that any such notices that Apple sends You electronically will satisfy any legal communication requirements. A party may change its email or mailing address by giving the other written notice as described above.

10.6 Severability

If a court of competent jurisdiction finds any clause of this Agreement to be unenforceable for any reason, that clause of this Agreement shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect. However, if applicable law prohibits or restricts You from fully and specifically complying with the Sections of this Agreement entitled “Service Requirements”, or “Institution’s Obligations” or prevents the enforceability of any of those Sections, this Agreement will immediately terminate and You must immediately discontinue any use of the Service.

10.7 Waiver and Construction

Failure by Apple to enforce any provision of this Agreement shall not be deemed a waiver of future enforcement of that or any other provision. Any laws or regulations that provide that the language of a contract will be construed against the drafter will not apply to this Agreement.

Section headings are for convenience only and are not to be considered in construing or interpreting this Agreement.

10.8 Export Control

You may not use, export, re-export, import, sell or transfer the Service or Apple Software, or any part thereof, except as authorized by United States law, the laws of the jurisdiction in which You obtained the Service or Apple Software, and any other applicable laws and regulations. In particular, but without limitation, the Service and the Apple Software may not be exported or re- exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department’s list of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons List or Entity List or any other restricted party lists. By using the Service or Apple Software, You represent and warrant that You are not located in any such country or on any such list. You also agree that You will not use the Service or Apple Software for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture or production of nuclear, missile, chemical or biological weapons.

10.9 Government End-users

The Service, Apple Software and Documentation are “Commercial Items”, as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end-users (a) only as Commercial Items and (b) with only those rights as are granted to all other end-users pursuant to the terms and conditions herein. 10.10 Dispute Resolution; Governing Law

Any litigation or other dispute resolution between You and Apple arising out of or relating to this Agreement, the Apple Software, or Your relationship with Apple will take place in the Northern District of California, and You and Apple hereby consent to the personal jurisdiction of and exclusive venue in the state and federal courts within that District with respect any such litigation or dispute resolution. This Agreement will be governed by and construed in accordance with the laws of the United States and the State of California, except that body of California law concerning conflicts of law. Notwithstanding the foregoing:

(a) If You are an agency, instrumentality or department of the federal government of the United States, then this Agreement shall be governed in accordance with the laws of the United States of America, and in the absence of applicable federal law, the laws of the State of California will apply. Further, and notwithstanding anything to the contrary in this Agreement (including but not

limited to Section 5 (Indemnification)), all claims, demands, complaints and disputes will be subject to the Contract Disputes Act (41 U.S.C. §§601-613), the Xxxxxx Act (28 U.S.C. § 1346(a) and § 1491), or the Federal Tort Claims Act (28 U.S.C. §§ 1346(b), 2401-2402, 2671-2672, 2674- 2680), as applicable, or other applicable governing authority. For the avoidance of doubt, if You are an agency, instrumentality, or department of the federal, state or local government of the U.S. or a U.S. public and accredited educational institution, then Your indemnification obligations are only applicable to the extent they would not cause You to violate any applicable law (e.g., the

Anti-Deficiency Act), and You have any legally required authorization or authorizing statute;

(b) If You (as an entity entering into this Agreement) are a U.S. public and accredited educational institution or an agency, instrumentality, or department of a state or local government within the United States, then (i) this Agreement will be governed and construed in accordance with the laws of the state (within the U.S.) in which Your entity is domiciled, except that body of state law concerning conflicts of law; and (ii) any litigation or other dispute resolution between You and Apple arising out of or relating to this Agreement, the Apple Software, or Your relationship with Apple will take place in federal court within the Northern District of California, and You and Apple hereby consent to the personal jurisdiction of and exclusive venue of such District unless such consent is expressly prohibited by the laws of the state in which Your entity is domiciled;

(c) If You are an international, intergovernmental organization that has been conferred immunity from the jurisdiction of national courts through Your intergovernmental charter or agreement, then any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be determined by arbitration administered by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules. The place of arbitration shall be London, England; the language shall be English; and the number of arbitrators shall be three. Upon Apple’s request, You agree to provide evidence of Your status as an intergovernmental organization with such privileges and immunities; and

(d) If You (as an entity entering into this Agreement) are in the European Union, or in Iceland, Norway, Switzerland, or the United Kingdom, the governing law and forum shall be the laws and courts of the Republic of Ireland.

This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

10.11 Entire Agreement; Governing Language

This Agreement constitutes the entire agreement between the parties with respect to the Service contemplated hereunder and supersedes all prior understandings and agreements regarding its subject matter. For avoidance of doubt, nothing in this Agreement supersedes the EULAs for the Apple Software. This Agreement may be modified only: (a) by an amendment signed by both parties, or (b) to the extent expressly permitted by this Agreement (for example, by Apple by notice to You). Any translation of this Agreement is provided as a courtesy to You, and in the event of a dispute between the English and any non-English version, the English version of this Agreement shall govern, to the extent not prohibited by local law in Your jurisdiction. If You are located in the province of Quebec, Canada, or are a government organization within France, the following clause applies: The parties hereby confirm that they have requested that this Agreement and all related documents be drafted in English. 10.12 Acceptance

Institution acknowledges and agrees that by clicking on the “Agree” or similar button or by checking a box, Institution, through its authorized representative, is accepting and agreeing to the terms and conditions of this Agreement.
