CONDITIONS GENERALES DE VENTE - SIMEX

Les équipements et les pièces de rechange sont fournies aux conditions générales de vente suivantes dont l’acceptation est implicite per

l’acheteur.

PRIX_ils ne comprennent pas la TVA qui reste à la charge de l’acheteur ;

les prix indiqués sont susceptibles de variations sans aucune obligation de préavis ;

les prix ne comprennent pas les frais d’emballage qui, sur demande, seront facturés à part ; le présent tarif annule et remplace tous les précédents.

PORT_départ usine SIMEX Srl, San Xxxxxxxx in Persiceto (BO) Italie.

TRANSPORT_la marchandise voyage au risque et périls de l’acheteur, même si elle a été expédiée franco de port avec notre camion.

En cas d’absence d’instructions spécifiques de la part de l’acheteur, les expéditions seront effectuées avec le moyen de transport le plus

opportun, les frais engendrés seront facturés au coût.

LIVRAISON_ les délais de livraison standard est de 30 jours. Les délais de livraison indiqués sur notre confirmation de commande sont indicatifs et ne sont pas contraignants. Ils se

réfèrent à la date de mise à disposition auprès de notre usine.

SIMEX ne peut pas s’assumer la responsabilité pour des retards d’enlèvement ou de livraison causés par les transporteurs.

les retards dus à des cas de force majeure ou indépendants de notre volonté n’impliquent pas notre responsabilité, par conséquent le

client n’a pas droit ni d’annuler sa commande ni de réclamer des indemnités en aucun cas. RESERVE DE PROPRIETE_la vente est stipulée avec réserve de propriété en faveur de SIMEX SRL jusqu’au paiement total du prix

reporté sur notre confirmation de commande.

RECLAMATIONS_Réclamations ou contestations éventuelles devront parvenir à SIMEX sous 8 (huit) jours à compter de la date de

réception de la marchandise.

La restitution sera acceptée uniquement après autorisation SIMEX et la marchandise devra être expédiée franco de port.

MODIFICATIONS_SIMEX SRL, dans le but d’améliorer constamment ses produits, ou pour des raisons de marché, se réserve le droit

de modifier ses équipements à n’importe quel moment sans obligation de préavis et sans pour cela donner droit à l’acheteur de résilier

le contrat.

LITIGES_Tout aspect contractuel est réglé par la loi italienne. Pour tout litige qui devrait surgir, seul le Tribunal de Bologne sera

compétent en exclusivité.

Die Maschinen und die Ersatzteile werden von uns zu folgenden allgemeinen Bedingungen geliefert,deren vollständige Annahme durch

den Xxxxxx bei Übermittlung der entsprechenden Bestellungen vereinbart ist.

PREISE

- verstehen sich ohne Mehrwertsteuer

- die angegebenen Preise sind unverbindlich

- die Preise enthalten keine Verpackungskosten, welche wenn gewünscht, separat in Rechnung gestellt werden

- diese Preisliste ersetzt alle früheren Preislisten

LIEFERUNG_ab Werk der SIMEX srl, San Xxxxxxxx in Persiceto (BOLOGNA)

TRANSPORT_Die Ware reist auf Risiko und Gefahr des Käufers, auch wenn sie portofrei ist oder mit unseren Fahrzeugen ausgeliefert

wird.

Beim Fehlen spezifischer Anweisungen durch den Xxxxxx wird die Auslieferung auf dem für uns angemessen Wege ausgeführt und die

entsprechenden Kosten in Rechnung gestellt.

ÜBERGABE_Der Satndard-Lieferzeit beträgt 30 Tage. Bei den in unseren Auftragsbestätigungen angegebenen Lieferfristen handelt es sich um unverbindliche Richtwerte, die

sich auf das Datum der Bereitstellung in unserem Werk beziehen. Die Firma SIMEX übernimmt keine Haftung für eine verspätete

Abholung oder Verzögerungen bei der Auslieferung, die den Speditionen zuzuschreiben sind. Verzögerungen auf Grund höherer Gewalt, ziehen keine Haftung unsererseits nach sich. In diesem Fall hat der Xxxxxx weder das

Recht, den Auftrag zu stornieren noch Entschädigungen zu fordern. EIGENTUMSVORBEHALT_Die Ware bleibt bis zur vollständigen Bezahlung Eigentum der Firma SIMEX.

REKLAMATIONEN_Eventuelle Reklamationen und Beanstandungen müssen die der Firma SIMEX bis spätestens 8 (acht) Tage nach

Erhalt der Ware eingehen.

Zurückgesandte Xxxx wird nur mit unserer schriftlichen Bestätigung und bei Lieferung frei Werk SIMEX akzeptiert.

ÄNDERUNGEN_Die Firma SIMEX behält sich vor, im Rahmen ihrer ständigen Bemühung um die Verbesserung ihrer Produkte

diese jederzeit zu ändern, ohne dass die Pflicht zu einer vorherigen Information besteht, und ohne dass dies dem Xxxxxx das Recht zur

Auflösung des Vertrages gibt.

STREITIGKEITEN_Alle vertraglichen Aspekte werden durch das italienische Gesetzt geregelt. Für alle Streitigkeiten, die entstehen

sollten, ist ausschließlich der Gerichtshof Bologna zuständig.

Le macchine e le parti di ricambio vengono da noi fornite alle seguenti condizioni generali la cui accettazione integrale è implicita da

parte dell’acquirente nel conferimento degli ordini relativi.

PREZZI_Non sono comprensivi di IVA che rimane a carico dell’acquirente. I prezzi indicati sono suscettibili di variazioni senza alcun

obbligo di preavviso. I prezzi non comprendono i costi di imballo che, se richiesto, verrà addebitato a parte. Il presente listino annulla

e sostituisce tutti i precedenti.

RESA_Franco stabilimento SIMEX Srl, X. Xxxxxxxx in Persiceto, Bologna

TRASPORTO_La merce viaggia a rischio e pericolo dell’acquirente anche se spedita in porto franco o con nostro automezzo.

In mancanza di specifiche istruzioni da parte dell’acquirente le spedizioni verranno eseguite con il mezzo ritenuto più opportuno,

addebitando i costi relativi.

CONSEGNA_Il tempo di consegna standard è di 30 giorni. I termini di consegna indicati nelle nostre conferme d’ordine sono indicativi e non impegnativi e sono comunque riferiti

alla data di messa a disposizione presso il nostro stabilimento. SIMEX non può assumersi responsabilità per tardato ritiro o ritardi di

consegna dovuti ai trasportatori.

Xxxxxxx dovuti a motivi di forza maggiore o non dipendenti dalla nostra volontà non implicano una nostra responsabilità, pertanto

l’acquirente non ha il diritto di annullare l’ordine nè di reclamare indennizzi di alcun genere. PAGAMENTO_Le condizioni di pagamento indicate nella presente conferma d’ordine sono da intendersi valide salvo accettazione

da parte dell’amministrazione SIMEX SRL, la quale potrà insindacabilmente, su propria iniziativa o su indicazione dell’istituto che

assicura i crediti di Simex Srl, modificarne la forma ed i termini lasciando impregiudicati gli altri estremi del contratto.

RISERVA DI PROPRIETÀ_La vendita è stipulata con riserva di proprietà a favore di Simex Srl fino ad avvenuto totale pagamento

del prezzo indicato nelle nostre conferme d’ordine.

RECLAMI_Eventuali reclami e contestazioni dovranno pervenire alla Simex Srl entro e non oltre 8 (otto) giorni dal ricevimento della

merce.

Si accetta xxxxx xxxx solo dopo autorizzazione Simex. La xxxxx xxxx dovrà essere inviata a Simex in porto franco.

MODIFICHE_Simex Srl nel costante impegno di migliorare i propri prodotti, o per ragioni di mercato, si riserva il diritto di modificare

i propri prodotti in qualsiasi momento, senza obbligo di preavviso e senza che ciò dia diritto all’acquirente di risolvere il contratto.

CONTROVERSIE_Ogni aspetto contrattuale è regolato dalla legge italiana. Per ogni controversia che dovesse insorgere è competente,

in via esclusiva, il Foro di Bologna.

GENERAL SALES CONDITIONS - SIMEX SRL

Machines, accessoires and spare parts are supplied at the following general conditions. The buyer accepts conditions in full when placing

an order.

PRICES_Do not include VAT. Prices indicated may be changed without prior notice. Prices do not include packaging costs which, if

applicable, shall be charged separately. This price list supersedes and makes void any previous ones.

DELIVERY TERMS_Ex-works factory SIMEX srl, San Xxxxxxxx in Persiceto (Bologna) TRANSPORT_Goods are transported at the risk and hazard of the buyer even if sent with carriage paid or using our transport means.

Unless otherwise instructed by the buyer, the goods shall be sent with the most suitable transport means and the cost will be charged

to the buyer.

DELIVERY TIME_The standard delivery time is 30 days. The delivery time indicated in our order confirmations is indicative and not binding and in any case refers to the

date on which the goods are available at our factory for the customer for collection. SIMEX shall not be liable for any delay in the

collection or delivery caused by forwarding agents. We shall not be liable for delays caused by force majeure or delays due to reasons

beyond our control, therefore the buyer shall not have the right to cancel the order or claim indemnities or compensation of any kind.

CONDITIONAL SALE_The property of the goods shall pass to the buyer only when the payment of the total amount on our confirmations

has been received.

CLAIMS_Any claims or complaints must be sent to SIMEX within and no later than 8 (eight) days from receipt of the goods.

Returned goods shall only be accepted if previously authorised by SIMEX. The goods will have to be returned to SIMEX at customers

charge.

MODIFICATIONS_In the constant pursuit for improvement or for market reasons, SIMEX srl reserves the right to modify its products

at any moment without prior notice; the buyer shall not have the right to terminate the agreement for this reason.

DISPUTES_All contractual aspects shall be governed by Italian law. Any dispute that may arise shall be referred to the Court of Bologn,

which shall have sole jurisdiction.
