Reserve Bank of India (The Bank), Estate Department, New Delhi (the Bank) has prepared
this tender document. The information is provided to prospective Bidders to enable them to bid for Annual Service Contract for providing Housekeeping services at Bank’s Office and Annexe Building, New Delhi from the date specified in the contract as per the terms and conditions set out in this tender and any other terms and conditions related to such information.

of any kind. The purpose of this tender is to share requirements of the Bank with all interested parties in order to enable them to submit their Bid. While the Bank has taken due care in the preparation of the information contained herein, the Bank does not claim that the information is exhaustive. 1. E-tenders in two parts are invited for Annual Service Contract for providing Housekeeping services at Bank’s Office and Annexe Building, New Delhi. This is an open tender. However, only those bidders/vendors who fulfil the required pre-qualification criteria and having required stipulated in the tender are eligible to participate in this tender. Bidders are advised to upload the documents in support of their eligibility for the tender during the submission.
2. E tender is invited for “Housekeeping Services at Bank’s Office and Annexe Building, New Delhi. The work is estimated to cost Rs 131 lakh per annum including GST and is for the initial
period of one year i.e., from April 01, 2023 to March 31, 2024. E-Tendering forms can be downloaded from the website xxxxx://xxx.xxxxxxxxxxxxx.xxx and uploaded along with all the information / documents, mentioned in the commercial terms and conditions of the tender.
3. Pre-Qualification Criteria:
Online tender will be allowed to be viewed /downloaded to all firms from 10:00 AM of February 04, 2023. The firms which do not comply with the following pre-qualification criteria and do not submit EMD by stipulated date and time i.e. On or before 12:00 hrs on February 20, 2023. will not be considered for opening of their tender Part-II.
i) The intending tenderers must have minimum 5 years of experience in the field of undertaking similar works viz., Housekeeping & Cleaning Services (including toilet cleaning of buildings or complexes of residential / commercial / industrial nature) before December 31, 2022. Supporting documents like work orders and other documents as deemed fit issued by the client in this regard may be submitted.
ii) The intending tenderers must have executed successfully similar works, as mentioned above, during last five years ending December 31, 2022 (i.e. from January 2018 to December 2022), These works should be either of the following:
a) Three previous works, each costing not less than the amount equal to 40% of the estimated cost (the amount of completed work carried out during one financial year/ calendar year only will be considered for working out the qualifying amount of each work i.e. 40% of the estimated cost)
Or
b) Two previous works, each costing not less than the amount equal to 50% of the estimated cost (the amount of completed work carried out during one financial year/ calendar year only will be considered for working out the qualifying amount of each work i.e. 50% of the estimated cost)
Or
c) One previous work, costing not less than the amount equal to 80% of the estimated cost (the amount of completed work carried out during one financial year/ calendar year only will be considered for working out the qualifying amount of the work i.e. 80% of the estimated cost).
iii) Tenderers should submit copies of the detailed work order indicating scope and value of works and completion certificate for the qualifying works.
iv) Tenderers should also provide a list of completed works with all the details as per the proforma at Annexure ‘J’.
v) Tenderers should have full-fledged office setup at New Delhi/NCR region for rendering services or give an undertaking for providing the same on award of work.
4. The tenderers shall invariably furnish the below mentioned information in writing and upload copies of relevant documents along with Part I of the tender to satisfy the Bank about their eligibility for participating in the tendering process. Further, the tenderers should submit the originals of the documents to the Bank when demanded to qualify for further tendering process.
(a) | Composition of the firm | Full particulars (whether tenderer is an individual or a partnership firm or a company etc.) of the composition of the firm of tenderers in detail should be submitted along with the name(s) of the partners, copy of the Articles of association/power of Attorney/any other relevant document. |
(b) | Work experience and completion of similar works of specified value during the specified period | Copies of the detailed work orders for the qualifying works indicating date of award, value of awarded work, time given for completing the work, etc. and the corresponding completion certificates indicating actual date of completion and actual value of executed similar works should be enclosed in proof of the work experience. The details along with documentary evidence of previous experience if any, of carrying out similar works for the Reserve Bank of India at any center, should also be given. |
(c) | Turnover (100% of Estimated Cost) | Audited financial statements for the last three financial years i.e., 2019-20, 2020-21 and 2021-22 along with a certificate of Chartered Accountant indicating the turnover of these financial years. |
(d) | Creditworthiness of the tenderer and their turnover | The latest final accounts of the business of the tenderer duly certified by a Chartered Accountant should be enclosed in proof of their creditworthiness and turnover for last three years. |
(e) | Name(s) and Address (es) of the Bankers and the relevant contact persons. | Written information about the names and address of their bankers along with full details like names, postal addresses, e- mail IDs, telephone (land and mobile) nos. fax nos. etc. of the relevant contact persons (i.e., the persons who can be contacted at the office of their bankers by the Bank, in case it is so needed) should be furnished. |
(f) | Details of bank accounts | Full particulars of tenderers bank accounts like account no. type, when opened, etc., should be given. |
(g) | Name(s) and address (es) of the Clients and their relevant contact persons. | Written information about their clients along with full details, like names, postal address, e- mail IDs, telephone (landline and mobile) nos. etc. of the contact persons (i.e. the persons |
who can be contacted at the office of their clients by the Bank in case it is so needed) should be furnished. | ||
(h) | Details of completed works | The client-wise names of work(s), year(s) of execution of work(s), awarded and actual costs (s) of executed work(s), completion time stipulated in the contracts(s) and actual time taken to complete the work(s), names and full contact-details of the officers/ authorities/ departments under whom the work(s) was/were executed should be furnished. |
5. The bidder must not have been suspended / delisted / blacklisted/ banned or any such process initiated against the company/entity or its directors, by any Statutory Authorities/organizations including Reserve Bank of India at any location in India on any grounds for last 5 years ending on December 31, 2022.
6. There should not be any proceedings pending or order passed by any Authority/Court for violation/deficiency of statutory provisions such as EPF, ESI, Bonus, Minimum Wages or other payments for last 5 years ending on December 31, 2022.
7. The bidder should not have rescinded/abandoned any contract awarded by any of his clients before the expiry of prescribed period of contract for last 5 years ending on December 31, 2022.
8. Track record of a bidder should be clean without any involvement in unlawful/ illegal activities or financial Banking frauds. There should not be any case with the Police/ Court/ Regulatory authorities against the bidder or proprietor/partners/directors in case of Proprietorship/Partnership firm/company respectively involving the above. Note: The intending bidder who satisfied the above parameters must submit Declaration/ Undertaking in its Letter Head for the same
9. In the event of intending tenderer's failure to satisfy the Bank, the Bank reserves the right to reject the bid submitted by the bidder.
10. A pre-bid meeting (off-line mode) of the intending tenderers will be held on February 08, 2023
at 03.00 PM. Tenderers, requiring any clarification regarding tender document, shall contact RBI in writing to the mentioned email addresses (xxxxxxxx@xxx.xxx.xx and xxxxxxxxxxx@xxx.xxx.xx) provided in this document not later than one day before the date of the pre-Bid meeting or raise enquiries during the pre-Bid meeting. The minutes of pre-bid meeting will constitute part of tender.

w.e.f. February 04, 2023 from 10:00 AM to February 20, 2023 till 12:00 PM.
12. The certificates should be addressed to Regional Director, Reserve Bank of India, Estate Department, New Delhi and shall be uploaded along with the tender.
13. Part I of the tenders will be opened on-line at 3:00 PM on February 20, 2023 in the presence of the authorized representative of the tenderers who choose to be present. Part-II (Price bid) of the eligible tenderer shall be opened on a subsequent date which will be intimated to the tenderers in advance.
14. The Bank will evaluate the said reports/documents before evaluation of price bid of the tenders. If any tenderer is not found to possess the required eligibility for participating in the tendering process at any point of time and/or his performance reports received from his clients and/or his bankers are found unsatisfactory, the Bank reserves the right to reject his offer even after opening of Part-I of the tender. The Bank is not bound to assign any reason for doing so.
15. The Bank is not bound to accept the lowest tender and reserves the right to accept either in full or in part any tender. The Bank also reserves the right to reject all the tenders without assigning any reason there for.

1 Process of e-Tender:
A) Registration: The process involves vendor’s registration with MSTC E-procurement portal which is free of cost. Only after registration, the vendor(s) can submit his/their bids electronically. Electronic Bidding for submission of Technical Bid as well as Commercial Bid will be done over the internet. The Vendor should possess Class III signing type digital certificate. Vendors are to make their own arrangement for bidding from a P.C. connected with Internet. MSTC is not responsible for making such arrangement. (Bids will not be recorded without Digital Signature).

On selecting NEFT, the vendor shall generate a challan by filling up a form. Once the payment gets credited to MSTC’s designated bank account, the transaction fee shall be auto authorized and the vendor shall be receiving a system generated mail. Transaction fee is non-refundable. A vendor will not have the access to online e-tender without making the payment towards transaction fee. NOTE: Bidders are advised to remit the transaction fee well in advance before the closing time of the event so as to give themselves sufficient time to submit the bid. |
5 | Information about tenders /corrigendum uploaded shall be sent by email only during the process till finalization of tender. If this application is not run then the vendor will not be able to save/submit his Technical bid. |
d) After filling the Technical Bid, vendor should click ‘save’ for recording their Technical bid. Once the same is done, the Commercial Bid link becomes active and the same has to filled up and then vendor should click on “save” to record their Commercial bid. Then once both the Technical bid & Commercial bid has been saved, the vendor can click on the “Final submission” button to register their bid. e) Vendors are instructed to use Attach Doc button to upload documents. Multiple documents can be uploaded. f) In all cases, vendor should use their own ID and Password along with Digital Signature at the time of submission of their bid. g) During the entire e-tender process, the vendors will remain completely anonymous to one another and also to everybody else. h) The e-tender floor shall remain open from the pre-announced date & time and for as much duration as mentioned above. i) All electronic bids submitted during the e-tender process shall be legally binding on the vendor. Any bid will be considered as the valid bid offered by that vendor and acceptance of the same by the Buyer will form a binding contract between Buyer and the Vendor for execution of supply. j) It is mandatory that all the bids are submitted with digital signature certificate otherwise the same will not be accepted by the system. k) Buyer reserves the right to cancel or reject or accept or withdraw or extend the tender in full or part as the case may be without assigning any reason thereof. l) No deviation of the terms and conditions of the tender document is acceptable. Important Note
In the price bid due to number of words limitation of 2000 characters, complete description could not be accommodated, and description given thereof is brief. Before quoting rates, all the contractors must read the complete details of each items given in the un-priced bill of quantities (BOQ) given in Part-I of the tender. For execution and rate purpose, the details given in Unpriced Bill of Quantities in Part-I of the tender will be implemented.

ANNUAL SERVICE CONTRACT FOR PROVIDING HOUSEKEEPING SERVICES AT BANK’S OFFICE and ANNEXE BUILDING, NEW DELHI FROM 01 April 2023 TO 31 March 2024.
Having examined the requirements, conditions and schedule of quantities relating to the captioned work and having visited and examined the site of the works and also having acquired the requisite information relating thereto as affecting the tender, I/We hereby offer to take up the service contract for providing housekeeping services at the Bank’s Office and Annexe Building, New Delhi at the rates mentioned in the attached schedule of quantities and in accordance with the conditions of the tender and conditions of contract attached hereto.

2. We also agree that our tender will remain valid for acceptance by the Bank for 90 days from the date of opening of the tender and this period of validity can be extended for such period as may be mutually agreed between the Bank and us in writing.
3. Should this Tender be accepted, I/we hereby agree to abide by and fulfil all the terms and conditions of the Tender and in the event of any default thereof, to forfeit and pay to you or your successors, or assignees or nominees such sums of money as are stipulated in the conditions contained in the tender document together with the written acceptance of the Contract.
4. I/We understand that you reserve the right to accept or reject any or all the tender either in full or in part without assigning any reason therefor. We have deposited a sum of Rs. 2,62,000/- as earnest money with Reserve Bank of India, which amount is not to bear any interest. Should we fail to execute the contract when called upon to do so, we do hereby agree that this sum shall be forfeited by us to the Reserve Bank of India.
5. The Tender is submitted in two parts. Part I contains all commercial terms and conditions, technical particulars and Part II contains only the price bid in the Bank's proforma.

The RESERVE BANK OF INDIA, New Delhi, having its Central Office at Mumbai, constituted under the provisions of the Reserve Bank of India Act, 1934 (Hereinafter called the "The Bank") of the other part,

हेतु वात्तषवक सेवा करार के त्तिए इच्छु क है।
WHEREAS The Bank is desirous of entering into Annual Service contract (ASC) for
Housekeeping services at Reserve Bank of India, Office Building & Annex Building, New Delhi.
और जबत्तक संत्तवदाकार मूि एएमसी के अनुसार सहमत त्तनयम एवं शतों और कायव-क्षेत्र के ब्योरे के अनुरूप और बाद में आपसी सहमत्तत के अनुसार कायव में कु छ जोड़ने/ घटाने के कारण कायव में होने वािी वृखि/ कमी, प्रकट और त्तनत्तहत रूपों में मूि रूप से दोनों द्वारा सहमत्तत अनुसार और स्वयं एएमसी की प्रकृ त्तत से उत्पन्न होनेवािी शतों (त्तजसे इसके बाद सामूत्तहक रूप से कत्तथत “शतें" कहा गया है) के अनुसार काम को जो उक्त कायव-क्षेत्र में वत्तणवत है उसे एएमसी में त्तनिावररत दर के गणना पर या ऐसी अन्य देय रात्तश पर (इसके बाद इसे कत्तथत “संत्तव दा रात्तश" कहा गया है) कायव करने के त्तिए सहमत है।
AND WHEREAS THE CONTRACTOR HAS AGREED TO execute upon and subject to the conditions set forth in the original AMC entered into and detailed in the scope of work and as amplified /curtailed by subsequent additions/deletions mutually agreed upon, originally agreed both expressly and impliedly and also naturally flowing out of the nature of AMC (all of which are collectively hereinafter referred to as the said "CONDITIONS") the works described in the said scope of work at the AMC rate as shall become payable thereunder (xxxxxxxxx referred to as the said AMC contract amount).
कायव-क्षेत्र (Scope of Work)
अब एततद्वारा वनम्नर्त रूप में सहमवत व्यक्त की जाती हैैः
NOW IT IS HEREBY AGREED AS FOLLOWS:
1. संत्तवदा के कत्तथत शतों/एएमसी अवार्व पत्र में उखल्लखित तरीके के अनुसार कत्तथत संत्तवदा रात्तश का भुगतान उखल्लखित शतों के अिीन कायव-क्षेत्र में वत्तणवत कायव पूरा करने पर त्तकया जायेगा।
In consideration of the said AMC, contract amount to be paid in the manner set forth in the said conditions/AMC Award Letter, the CONTRACTOR shall upon and subject to the said conditions execute and complete the work described in the said scope of work.
2. बैंक संत्तवदाकार को कत्तथत संत्तवदा रात्तश उखल्लखित शतों में त्तवत्तनत्तदव ष्ट समय और तरीके से अदा करे गा।
The Bank shall pay the CONTRACTOR the said contract amount at the time and in the manner specified in the said conditions.
3. बैंक आयकर त्तवभाग द्वारा समय-समय पर जारी और वतवमान में िागू त्तदशा त्तनदेशों के अनुरूप स्रोत पर कर की कटौती (टीर्ीएस) और अन्य त्तकसी कानून के अंतगवत िागू कटौती करे गा। संबंत्तित कानून के तहत कटौती नही ं त्तकए जाने के त्तिए उपयुक्त प्रमाण पत्र, त्तनिावररत समय सीमा के अंदर एवं बैंक द्वारा ऐसी कटौती त्तकए जाने से पूवव, प्रस्तुत करने की त्तजम्मेदारी संत्तवदाकार की होगी।
The Bank shall deduct Tax deducted at Source (TDS) at the appropriate rate as per extant guidelines of the Income Tax department provided from time to time and such other deduction under any other statute and the onus of producing appropriate certificate for non- deduction as provided in the relevant statute by way of intimation within the time limit and before such tax and other such deduction is being made by the bank shall be on the contractor.
4. सहायक महाप्रबंिक, संपदा त्तवभाग, नई त्तदल्ली बैंक की ओर से प्रात्तिकृ त प्रात्तिकारी हैं।
The Assistant General Manager, Estate Department, New Delhi is the Authority authorized on behalf of The Bank.
5. एएमसी के तहत त्तनिावररत कायव और शतों का दायरा करार और ठे के दार द्वारा सहमत और जमा त्तनत्तवदा दस्तावेज़ के िंर् संख्या I, II एवं III के अनुसार होगा, त्तजसको कायव त्तनष्पात्तदत करते समय ठे के दार द्वारा कड़ाई से पािन त्तकया जायेगा।
The scope of work and conditions prescribed under the AMC shall be as per Section No. I, II & III of the Tender agreed by the Contractor. The Contractor shall strictly abide by the same while executing the work and the same shall form an integral part of the entire AMC.
6. यह संत्तवदा कायाविय एवं एनेक्सी भवन हेतु (वस्तु एवं सेवा कर सत्तहत) और इसके अिीन ऐसी अन्य दे य रात्तश (त्तजसे इसके बाद "कत्तथत अनुबंि रात्तश" कहा जाएगा) शात्तमि हैं, की दर पर है।
This contract is at the rate of (@) (including GST) for Office building as therein arrived at or such other sum as shall become payable there under (herein after referred to as ‘the said Contract Amount’).
7. संत्तवदाकार द्वारा त्तनयुक्त व्यखक्तयों के कृ त्ो/ं गित्ततयों के कारण या संत्तवदाकार के कृ त्ो/ं गित्ततयों के कारण बैंक को हुए त्तकसी नुकसान/हात्तन की भरपाई संत्तवदाकार द्वारा की जाएगी।
The CONTRACTOR shall make good for any damages/loss caused to the Bank due to the actions/omissions of persons employed by him or because of his actions/omissions during the execution of this contract.
8. यह संत्तवदा 01 अप्रैल 2023 से 31 मार्व 2024 तक के त्तिए वैि है और इस संत्तवदा के त्तकसी भी शतों के उल्लघंन या संत्तवदाकार की सेवा से संतुष्ट नही ं होने पर बैंक के पास एक महीने का अविम नोविस देकर इस
संत्तवदा को समाप्त करने का अत्तिकार है और ऐसी खथथत्तत में संत्तवदाकार त्तकसी प्रकार की क्षत्ततपूत्ततव/भरपाई के त्तिए हकदार नही ं होगा।
This contract is valid for a period from April 01, 2023 to March 31, 2024 and the Bank is entitled to terminate the contract by giving advance written notice of one month
in case of violation of any of the Terms of this Contract or in case Bank is not satisfied with the Service of Contractor in which case, the Contractor is not entitled for any Compensation/damages.
9. संत्तवदा को समाप्त त्तकए जाने या इसका समय पूरा हो जाने पर संत्तवदाकार बैंक पररसर को िािी करे गा और बैंक से संबंत्तित सभी सामान/सामग्री/संपत्ति बैंक को वापस करे गा।
On termination of the Contract or on expiry of the Contract, the Contractor shall Vacate the premises of the Bank and shall hand over or return all the articles/ Material/ property pertaining to the Bank.
10. इस संत्तवदा के अंतगवत बैंक द्वारा सभी भुगतान के वि नई त्तदल्ली में त्तकए जाएं गे।भुगतान मावसक आिार पर त्तबि प्रस्तुत करने पर त्तकया जाएगा। तथात्तप सेवाएं दैवनक आिार पर प्रदान की जाएगी।
All payment by the Bank under this contract will be made only at New Delhi. Payment shall be made on Monthly basis on submission of bills. However, services will have to be provided on Daily basis.
11. इस करार के तहत या इससे जुड़े त्तकसी भी कारण से उत्पन्न त्तववाद नई त्तदल्ली में उत्पन्न त्तववाद समझा जाएगा और उसके त्तनपटान का क्षेत्रात्तिकार नई त्तदल्ली में ही खथथत न्यायाियों का त्तनिावररत क्षेत्रात्तिकार होगा।
All disputes out of or in any way connected with this agreement shall be deemed to have arisen at New Delhi and only courts in New Delhi shall have jurisdiction to determine the same.
12. यह सूत्तित त्तकया जाता है त्तक संत्तवदाकार इस करार के संबंि में अपने संत्तवदात्मक दात्तयत्ों को पूरा करने के दौरान ठे कदार को त्तमिने वािी कोई भी जानकारी, सामग्री तथा बैंक के बुत्तनयादी ढांिा/त्तसस्टम/उपस्करों आत्तद के संबंि में त्तमिने वािी जानकारी का प्रत्क्ष याअप्रत्क्ष रूप से प्रकटीकरण त्तकसी अन्य पक्षकार को नही ं करे गा तथा हमेशा इसे अत्ततगोपनीय बनाए रिेगा।िागू कानून का अनुपािन करने या संत्तवदा के अिीन अपने दात्तयत्ों को पूरा करने के त्तिए आवश्यक होने की खथथत्तत को छोड़कर संत्तवदाकार इस संत्तवदा के ब्यौरों को त्तनजी दायरे में और गोपनीय रिेगा। त्तनयोक्ता की पूववत्तिखित अनुमत्तत के त्तबना संत्तवदाकार त्तकसी व्यापाररक या तकनीकी पेपर में या अन्यत्र कायव के त्तववरण को न तो प्रकात्तशत करे गा, नही प्रकाशन की अनुमत्तत दे गा और न ही इसका प्रकटीकरण करे गा। त्तकसी गोपनीय जानकारी के प्रकटीकरण के पररणामस्वरूप बैंक को हुई हात्तन के त्तिए संत्तवदाकार बैंक को क्षत्ततपूत्ततव करे गा। उपयुवक्त शतों का पािन न करना संत्तवदाकार द्वारा संत्तवदा भंग माना जाएगा और बैंक हुई क्षत्तत का दावा करने तथा कानूनी उपाय करने का हकदार होगा। इस करार के अिीन गोपनीय जानकारी का प्रकटीकरण न त्तकए जाने के दात्तयत् को सुत्तनत्तित करने के त्तिए संत्तवदाकार अपने कमविाररयों के संबंि में सभी उत्तित कारव वाई करे गा।प्रकटीकरण न करने और गोपनीयता के संबंिमें संत्तवदाकार का दात्तयत् इस करार के समाप्त होने या त्तकसी भी कारण से समाप्त त्तकए जाने तक बना रहेगा।
It is advised that the contractor shall not disclose directly or indirectly any information, materials and details of the Bank’s infrastructure/ systems/equipment etc., which may come to the possession or knowledge of the contractor during the course of discharging its contractual obligations in connection with this agreement, to any third party and shall at all times hold the same in strictest confidence. The Contractor shall treat the details of the contract as private and confidential, except to the extent necessary to carry out the obligations under it or to comply with applicable laws. The Contractor shall not publish, permit to be published, or disclose any particulars of the works in any trade or technical paper or elsewhere without the previous written consent of the Employer. The Contractor shall indemnify the Employer for any loss suffered by the Employer as a result of disclosure of any confidential information. Failure to observe the above shall be treated as breach of contract on the part of the Contractor and the Employer shall be entitled to claim damages and pursue legal remedies. The Contractor shall take all appropriate actions with respect to its employees to ensure that the obligations of non-disclosure of confidential information under this agreement are fully satisfied. The Contractor’s obligations with respect to non-disclosure and confidentiality will survive the expiry or termination of this agreement for whatever reason.
13. उखल्लखित शतें इस करार के साथ पढी जाएं गी और इस करार का भाग मानी जाएं गी और इससे संबंत्तित दोनों पात्तटवयां उक्त शतों का पािन करें गी औरअपने-अपने भाग को कत्तथत शतों के अनुसार पूरा करें गी।
The said conditions shall be read and construed, as forming part of this agreement and the parties hereto shall respectively abide by and submit themselves to the said conditions and perform the agreement of their part respectively in the said conditions contained.
14. त्तक इस संत्तवदा के त्तवत्तभन्न भागों को संत्तवदाकार ने पढ और पूरी तरह से समझ त्तिया है, इसके साक्ष्य के रूप में संत्तवदाकार ने अपनी मुहर (यत्तद कोई हो तो) िगाई है और बैंक ने भी अपने प्रात्तिकृ त अत्तिकारी के माध्यम से दोनों की उपखथथत्तत में उपयुवक्त त्तििे गए त्तदन, माह और वषव को दो प्रत्ततयों में दोनों पक्षों द्वारा हस्ताक्षर त्तकए गए हैं।
That the several parts of this contract have been read by the CONTRACTOR and fully understood by the CONTRACTOR, in witness whereof the CONTRACTOR has caused its seal (if any) to be affixed hereunto and The Bank has set its hands to these presents through its duly authorized official and the said two duplicates has caused these presents hereof to be executed on its behalf the day, month and year first here above written.
15. संत्तवदाकार संत्तवदा में त्तदए गए कायों के स्तर और भारतीय ररज़वव बैंक को इसकी संतोषजनक खथथत्तत सुत्तनत्तित करने के त्तिए कायव की प्रगत्तत की अपेत्तक्षत दर और कायव की गुणविा बनाए रिने के त्तिए पयावप्त संख्या में मजदू रों की त्तनयुखक्त करे गा। संत्तवदाकार कायव के संबंि में ऐसे त्तकसी भी व्यखक्त को काम पर नही ं िगाएगा जो 18 वषव से कम की आयु के हो।ं
The Contractor shall employ its labour in sufficient numbers to maintain the required rate of progress and of quality to ensure workmanship of the degree specified in the Contract and to the satisfaction of the RBI. The Contractor shall not employ in connection with the Works any person who has not completed eighteen years of age.
16. संत्तवदाकार द्वारा काम पर िगाए गए सभी श्रवमक या कमवर्ारी संवर्दाकार के कमवर्ारी माने जाएं गे और ऐसे श्रत्तमको/ं कमविाररयों के संबंि में भारतीय ररज़र्व बैंक पर वकसी भी प्रकार का दावयत्व/वजम्मेदारी नही ं होगी।
All the workers or employees deployed by the contractor shall be considered as the employees of contractor and RESERVE BANK OF INDIA shall not have any liability whatsoever in nature in regard to such workers/employees.
17. संत्तवदाकार द्वारा काम पर िगाए गए श्रत्तमकों के संबंि में अनुबंि श्रम त्तवत्तनयमन में उल्लखित सभी त्तवत्तनयमनों का अनुपािन करे गा।
The Contractor shall in respect of labour employed by him comply with the Contract Labour Regulation in regard to all matters provided therein.
18. संत्तवदाकार xxxx xx xxxxxxxxxxx, 1936, न्यूनतम मजदू xx अत्तित्तनयम, 1948, त्तनयोक्ता दात्तयत् अत्तित्तनयम, 1938
,कमवकार प्रत्तत कर अत्तित्तनयम, 1923,औद्योत्तगक त्तववाद अत्तित्तनयम, 1947, मातृत् िाभ अत्तित्तनयम, 1970,कायवथथिपर मत्तहिाओं का यौन उत्पीड़न (रोकथाम, त्तनषेि और त्तनवारण) अत्तित्तनयम, 2013 या उसमें त्तकए गए त्तकसी प्रकार के संशोिन या इस से संबंत्तित अन्य कानून और समय-समय पर बनाए गए त्तनयमों का पािन करे गा।
The contractor shall comply with the provisions of the payment of Wages Act, 1936, Minimum Wages Act, 1948, Employers Liability Act, 1938.Workmen’s Compensation Act, 1923, Industrial Disputes Act,1947, Maternity Benefit Act,1970, Prevention of Sexual Harassment of women at workplace (Prevention, Prohibition and Redressal) Act, 2013, or any modification t hereof or any other law relating thereto and rules made there under from
time to time.
19. संत्तवदाकार त्तनम्न के संबंि में भारतीय ररज़वव बैंक के पक्ष में बीमा करवाएगा और उसे िागू रिेगा
i) कायव के त्तनष्पादन से/दौरान होने वािी तीसरी पाटी के नुकसान/ व्यखक्त या संपत्ति को हुए नुकसान से उत्पन्न दावा
ii) कायव के त्तनष्पादन के दौरान संत्तवदाकार द्वारा काम पर िगाए गए कामगार के कारण हुए नुकसान/क्षत्तत से उत्पन्न दावा
iii) िागू पीएफ/श्रमकानूनो, ईएसआई,त्तवत्तनयमोआत्तदका अनपािु न न त्तकए जाने के कारण उत्पन्न कोई दावा
The Contractor shall indemnify and keep indemnified the RESERVE BANK OF INDIA against:
i) Any claim arising out of third-party loss/damage to life or property caused by/ during execution of the work.
ii) Any claim arising out of loss/damage to the work men engaged by the contractor
during execution of the work.
iii)Any claim due to non-compliance of applicable PF/ Labour laws, ESI, regulations etc.
20. “मत्तहिाओं का कायवथथि पर िैंत्तगक उत्पीड़न (त्तनवारण, प्रत्ततषेि एवं प्रत्तततोष) अत्तित्तनयम, 2013” के प्राविानों के पूणव अनुपािन के त्तिए ठे के दार/एजेंसी त्तजम्मेदार होगी। बैंक पररसर में अपने कमविाररयों के खििाफ यौन उत्पीड़न की त्तशकायत के मामिे में, त्तशकायत ठे के दार /ऐजेंसी द्वारा गत्तठत आंतररक त्तशकायत सत्तमत्तत के समक्ष की जाएगी और इस त्तशकायत के संबंि में ठे के दार / एजेंसी द्वारा इस अत्तित्तनयम के तहत उत्तित कारव वाई सुत्तनत्तित की जाएगी।
The Contractor / Agency shall be solely responsible for full compliance with the provisions of "the Sexual Harassment of women at work place (Prevention, Prohibition and Redressal) Act, 2013", In case of any complaint of sexual harassment against its employee within the Premises of the Bank, the complaint will be filed before the Internal Complaints Committee constituted by the Contractor / Agency and the Contractor/Agency shall ensure appropriate action under the said Act in respect to the complaint.
21. बैंक के त्तकसी भी कमविारी के त्तवरुि ठे के दार के त्तकसी भी पीत्तड़त कमविारी के िैंत्तगग उत्पीड़न की त्तशकायत का संज्ञान बैंक द्वारा गत्तठत क्षेत्रीय त्तशकायत सत्तमत्तत द्वारा त्तिया जाएगा।
Any complaint of sexual harassment from any aggrieved employee of the contractor against any employee of the Bank shall be taken cognizance of by the Regional Complaints Committee constituted by the Bank.
22. यत्तद इस मामिे में ठे के दार का कमविारी शात्तमि हो और ठे के दार के कमविारी द्वारा त्तकए गए िैंत्तगग त्तहंसा सात्तबत होती है तो ठे के दार त्तकसी भी त्तविीय मुआवजे के त्तिए त्तज़म्मेदार होगा उदाहरणत: बैंक के कमविारी को कोई भी मौत्तद्रक राहत। The contractor shall be responsible for any monetary compensation that may need to be paid in case the incident involves the employees of the contractor, for instance any
monetary relief to Bank's employee, if sexual violence by the Employee of the contractor is proved.
23. कायवथथि पर यौन उत्पीड़न की रोक थाम और अन्य संबंत्तित मुद्दों पर अपने कमविाररयों को त्तशत्तक्षत करने की त्तजम्मेदारी संत्तवदा कार की होगी।
The contractor shall be responsible for educating its employees about prevention of sexual Harassment at work place and related issues.
24. ठे के दार अपने कमविाररयों को कायवथथि पर िैंत्तगग उत्पीड़न की रोकथाम और संबंत्तित मुद्दों पर त्तशत्तक्षत करने के त्तिए त्तजम्मेदार होगा।
The contractor shall keep a complete and updated list of its employees who are deployed within the Bank's premises which shall be readily available when called for by the Bank.
25.अप्रत्यावशत घिना संबंधी शतें (क़रारनामा अर्वध के दौरान लागू और बाद में प्रवतबद्ध दोष दावयत्व अर्वध
(डीएलपी) और व्यापक र्ावषवक रखरखार् अनुबंध (सीएएमसी) के वलए लागू)
यत्तद त्तवफिता कोई अप्रत्ात्तशत पररखथथत्ततयों के कारण या ऐसी त्तवफिता को रोकने के त्तिए सवोिम प्रयासों को पूरा करने के बावजूद भी िूककताव पाटी के त्तनयंत्रण से परे होने के कारण हुई हो और ऐसी त्तवफिता में दै वीय कायव, युि, दं गे, प्रत्ततबंि, हमिे, िॉकआउट, त्तकसी भी सरकारी प्रात्तिकारी द्वारा की गई कारव वाई, कानून के तहत िाइसेंस प्राप्त/अस्वीकार करने में दे xx, आगजनी अथवा बाढ शात्तमि हो सकते है (िेत्तकन के वि इन तक सीत्तमत नही ं है), की खथथत्तत में अपने उिर दात्तयत् को पूरा न कर पाने के त्तिए कोई भी पाटी उिरदायी नही ं होगी।
Force Majeure conditions (applicable during the currency of the contract period)
Neither Party shall be responsible for any failure to perform due to unforeseen circumstances or due to cause beyond the defaulting Party’s control even after exertion of best efforts to prevent such failure, which failure may include, but not be limited to, acts of God, war, riots, embargoes, strikes, lockouts, acts of any Government authority, delays in obtaining licenses or rejection of applications under the statutes, fire or floods.

Section III
General instructions to tenderer(s) & special conditions
I. General Instructions:
1.Reserve Bank of India, New Delhi invites tenders from the firms/ companies for Housekeeping Services at its Office and Annexe Building for maintenance of cleanliness/hygiene for an initial period of 1 year w.e.f April 01, 2023 to March 31, 2024 as per laid down contractual obligations. However, the contract can be extended for further period of two years (one year at a time) subject to satisfactory performance of the house keeping/ cleaning services provided, satisfactory performance of the staff deployed and adherence to contractual obligations by the concerned firm/company/contractor.
2.The estimated numbers of cleaning/housekeeping persons to be deployed will be minimum 37 workers details of which is as under:

The Bank reserves the right to increase or decrease the number of persons to be deployed before awarding the work or any time during the period of contract. The Bank also reserves the right to award work to one or more firm/company separately by splitting the work or even cancel the tender. The monthly payment will be made as per the total manpower deployed (man days) during the month as per contract subject to the submission of prescribed documents. (Any absence from duty will attract 100/- per day per person penalty beside deduction of prorate monthly amount).
3. The aim and objective is to provide a high level of clean, hygienic and presentable look to the entire area. Pre-designated supervisors of the contractor will supervise the awarded work. Mechanized / manual cleaning may be done as far as possible with proper equipment using sufficient quantity of prescribed Bio-degradable/Eco friendly cleaning material that meet green seal standard (GS-37) or other Indian/European equivalent standards for all building applications at their own cost and the Bank will not provide the same. It may be noted that cleaning, sweeping, dusting etc. must be of a very high standard failing which it would be deemed that the agency has failed to perform as per the agreement
and penalty including cancellation of contract and forfeiture of security amount may be resorted to in that case.
4. Resources Requirement:
The contractor has to provide high standard housekeeping services with sufficient number of latest cleaning equipment/ machines such as SCRUBBING MACHINE, WET/DRY VACCUM CLEANER (at least one), HIGH PRESURE JET as applicable at their own cost and the Bank will not provide the same. The tenderer has to employ/place sufficient number of manpower & machines / equipment so as to ensure high quality services. Computerized record of number of manpower deputed, machines, equipment & materials used may be maintained and submitted to Bank’s official on weekly basis or as and when requested.
The contractor shall keep all the machines and tools in working conditions at all times.
5. Waste Disposal Management:
The contractor will ensure collection, mechanized screening/manual of dry and wet garbage in the earmarked area. Finally, the contractor will arrange to suitably transport and dispose garbage from the earmarked area to the nearest Municipal Corporation bin outside Bank’s premises. The contractor will ensure collection of segregated dry and wet waste.
The Contractor shall keep sufficient number of bins of suitable size and specification at the collection area. Contractor will be responsible for any wear and tear of the bin and its replacement. The contractor will deploy his staff for the collection/ disposal work. The garbage will have to be disposed off at least twice a day. The contractor will also arrange for Bio-degradable garbage bags of appropriate size (as advised by the Bank’s Officer) i.e blue and green bags for dry and wet waste respectively.
6. Bank will provide space for a storeroom cum office to the Contractor in the premises. The storekeeper/supervisor deployed by the contractor will store all their liveries, materials, equipment in the storeroom and maintain a computerized record of the store items which shall be opened to inspection by authorized official of Bank during working hours. The keys of the storeroom will be made available at the caretaker office, Main Gate and wherever required as directed by Bank Official. The contractor shall ensure that NO inconvenience should be caused to the residents during carrying out of the work.
II. Scope of Work:
A) Scope of Work in Bank’s Office Building:
i. Cleaning of toilet pots, seats/urinal pots, platform, sink, wash basins, tiles, floor, racks, glass mirrors etc.; minimum four times a day.
ii. Thorough sweeping, washing, mopping and scrubbing the floors and wall dado inside the toilets; minimum four times a day.
iii. Removing the cobwebs, stains, dirt from wall, ceiling, pelmet and inaccessible spots at all heights & levels at least fortnightly.
iv. The cleaning includes floor, wall dado, plumbing and sanitary fittings & fixtures, glazed ventilators etc. on daily basis.
v. Cleaning of walls, windows, windowpanes, grills, doors, ventilators, exhaust fans, ceiling, lobby, staircases etc.; on fortnightly basis.
vi. Cleaning of accessories provided in the washrooms like Buckets/mugs/soap cases, etc. on daily basis.
vii. All the cleaning material and equipment shall be provided by the service provider/ contractor/ firm at their own cost and the Bank would not provide the same.
viii. The firm has to ensure on a daily basis that all the accessories/ equipment in the toilets like Taps /Sinks /Geyser/Flush /Shower / other sanitary fittings etc are in working condition and if not, then timely report it to the Caretaker. Complaints regarding civil, electric, plumbing etc. observed in the washrooms/ toilets/ must be resolved by reporting to Caretaker /Protocol & Security Officer (P&SO) within reasonable time limit and to the satisfaction of the office.
ix. The cleaning material used should be of standard quality and GS-37 or other Indian European equivalent standards approved to avoid damage to CP
Fixture / tiles/flooring etc.
x. The contractor should use following approved/ any other equivalent cleaning materials as approved by Bank:
a. Cleaning material – that meet green seal standard (GS-37) or other Indian/European equivalent standards, for all building applications like cleaning of windowpanes /fans/ mirrors/Glass/electric accessories etc.;
b. Eco-friendly (GS-37 or equivalent standard) Room fresheners/Toilet fresheners
c. Good quality tissue papers in Senior Officers’ toilets;
d. Mug, Bucket & good quality branded Hand wash liquid meeting green seal standard (GS-37) or other Indian/European equivalent standards
xi. Cleaning of Window Glasses fortnightly (twice in a month)
xii. Cleaning/Upkeep of Cash Area, Treasurer Cabin, Counters, Claims Section, Vaults (FNV, CNV and DTDV), CVPS, SBS and other common areas.
xiii. Cleaning/Upkeep of CCTV Console Room, area outside cash entrance, Banking Department, Banking Hall and Security Officers Cabin on daily basis.
xiv. Cleaning/Upkeep of Staff Xxxxxxxx, Senior Officers Chamber. Cleaning as well as mopping of Common areas, lift lobby and staircases on daily basis.
xv. Cleaning of RD’s Chamber and upkeep of RD’s Secretariat, Banking Ombudsman Office, Board Room on daily basis.
xvi. Cleaning staircases and filling water in Air Coolers located at different places in office building on daily basis.
xvii. Cleaning of Lifts in Office building on daily basis.
xviii. Deep Cleaning of Vertical Blind folds, Cupboards, Chic blinds, Storerooms on Quarterly basis.
xix. Cleaning of security guard rooms,
xx. Cleaning of AC plant Room, Air handling Unit, Substation Block, DG Room, EPABX room, Lift Machine Unit, (in presence of Electrician/Electrical staff), CVPS, Banking Hall, Police Guard Room, UPS Room fortnightly basis in presence of the representative from P & SO and Cash Department for the concerned places. All Saturdays will be used for this work mentioned above or otherwise and any other area as specified by the Bank’s Officials.
xxi. Contractor should keep/provide sufficient stock of cleaning materials/ machines for use to ensure state of the art cleaning such as scrubbing machines, vacuum cleaner, dusters/ mopes, brooms, sponges, garbage sacks, ladder, cobweb brush with pole, different types of brushes for dusting, etc.
xxii. Cleaning of fountain fortnightly and Collection of Garbage on daily basis at Bank’s Office building. Plan, manage collection, mechanized manual screening/segregation of dry and wet garbage in the earmarked area and efficient transport and disposal of the garbage in the Organic Waste Convertor/disposal area. Organic Waste convertor has to be used on a regular basis and output collected from the convertor has to be optimally utilised for composting and subsequent use as organic manure. The work should be carried out in a Green eco-friendly manner.
(xxiii). The Firm /Contractor have to employ minimum 37 persons (01 supervisor & 36 cleaning personnel) on daily basis. The Supervisor will have to be present on all the working days including Saturdays to supervise cleaning work. Supervisors and the housekeeping persons may have to work in shifts as per requirement.
The required number of persons in each shift will be intimated by the Caretaker or P&SO.

Note: 1) Rate shall be inclusive of cleaning materials, biodegradable polybags for waste collection, Tools & Plant, contractor’s profit & overhead, insurance, uniform charges, mobile charges, transport charges of workers/ supervisors, washing allowance for janitors &
supervisors, and other dues if any including GST as may be levied by statutory authorities from
time to time.
2) Duty hours are indicative. Staggered duty hours may be applicable as per site requirements.
3) Services as indicated at Section III, shall be provided while complying with statutory provision including those related to minimum wages.
III Special Conditions of the Contract:
1. Interpretation Clause
In construing these Conditions, the Specifications, Schedule of Quantities and Contract Agreement, the following words shall have the meanings herein assigned to them except where the subject or context otherwise required.
a) “Employer” | Shall mean the Reserve Bank of India and shall include its assigns and successors. |
b) “Contractor” (in the case of partnership) | “Contractor” shall mean and trading in the name and style |
(in the case of individual) (in the case of Company) | of and having a place of business at and shall include the partners for the time being of the said firm and the legal representatives of a deceased partner. “Contractor” shall mean Shri trading in the name and style of and shall include his heirs, successors and legal representatives. “Contractor shall mean a company incorporated under and having its registered office at and shall include its successors and assigns. |
c) “Site” | Shall mean the site of the contract works including any Buildings and erections thereon and any other land (inclusively) as aforesaid allotted by the Employer for the Contractor’s use. |
d) “This Contract” | Shall mean the Article of Agreement, the Special Conditions, the Conditions, the Appendix, the Schedule of Quantitates and Specifications etc., attached hereto and duly signed. |
e) “Notice in writing” | Or written notice shall mean a notice in written, typed or printed or written notice characters sent (unless delivered personally otherwise proved to have been received) by registered post to the last known private or business address or registered office of the addressee and shall be deemed to have been received when in the ordinary course of post it would have been delivered. |
f) “Act of Insolvency” | Shall mean any Act of insolvency as defined by the Presidency Towns Insolvency Act, or the Provincial Insolvency Act or any Act amending such original. |
g) “The works” | Shall mean Annual Service Contract for providing Housekeeping services at Bank’s Office and e Building, New Delhi |
h) Government of India (GoI) | Central Government of India |
Word importing persons include firms and corporations. Word importing the singular only also include the plural and vice-versa where the context requires.
2. Eligibility Criteria- As detailed at para 3 of NIT.
a. Tenders should consist of the following documents supported by documentary evidence:
i. Self-attested copy of PAN no. card under Income Tax Act;
ii. Self-attested copy of Goods & Service Tax Registration Number;
iii. Self-attested copy of Valid registration No. of the Agency/ Firm/ Company;
iv. Self-attested copy of Provident Fund Registration Number;
v. Self-attested copy of valid ESIC Registration Number;
vi. MSME Registration Certificate for MSME firm;
vii. Self-attested copy of valid License and Number under Contract Labour Act and under any other Acts/Rules;
viii. Any other document/Brochure /write up etc that the bidder wishes to be considered in terms of the selection criteria mentioned in this document.
Note: Only firm/company having valid registration under Contract Labour Act, ESI, EPF & other Statutory law required for providing Housekeeping Services shall apply.
b. Should have their own service set up in New Delhi or should provide the same.
c. Tendering firms/companies should have current account in scheduled banks and should give an undertaking that they are ready to receive the payments through NEFT.
d. Should have a National/Local presence and market reputation.
e. Rates quoted by the agency should be in accordance with the Contract Labour Act 1970 & latest applicable Central Government Minimum Wages. Tender having quoted rates below the prescribed rates will be rejected. The rates should be all inclusive.
f. Should furnish solvency certificate (as on September 30, 2022) specifically for the purpose of the work issued by the Bank (Contractor’s banker), amounting to Rs. 131 Lakhs.
3. Interested Firms / Agencies shall submit the tenders in prescribed form in two parts.
4. Part-I of the tender will contain the tenderers covering letter, tenderers’ additional conditions, if any and Part II of the tender will contain no conditions but tenderers’ price bid only, to be submitted on or before 14:00 hrs on February 20, 2023 in the manner enumerated in the tender form.
5. Tenders received after 14:00 hrs on February 20, 2023 will not be accepted under any circumstances whatsoever.
6. The tenderer shall upload/deposit an earnest money (EMD) along with Part-I of the tender amounting to Rs. 2,62,000/- (Rupees Two Lakhs Sixty-Two Thousand only) by way
of a NEFT/DD//BG. DD//BG should be in favour of "RESERVE BANK OF INDIA” and drawn on scheduled commercial bank. The earnest money will be returned to the tenderer, without any interest thereon, if his tender is not accepted. Any tender received without EMD by the stipulated date and time would not be considered.
7. The Earnest Money Deposit of Rs.2,62,000/- paid by the successful tenderer along with his tender, After submission of Performance Bank Guarantee (as per annexure- B), EMD of Rs. 2.62 lakhs will be released. No interest shall be paid on the said deposit.
8. a) Part-I of the tender will be opened on February 20, 2023 at 15:00 hrs on line through MSTC portal. The tenderers or their representatives may choose to be present for opening of part-I. However, presence is not compulsory for participants.
b) Part-II of the tender only for those tenderers which meet the requirement of the Bank will be opened on a subsequent date which will be intimated to the contractors who have qualified as per Part-I evaluation well in advance.
9. a) The tender form must be filled in English or Hindi.
b) Amount per month should be quoted both in figures and words in columns specified for it. Any change in rate or conditions, after opening of the tender, will not be entertained.
c) English version of tender shall prevail in matter of interpretation.
d) Each of the Tender Documents should be signed by the person or persons submitting the tender in token of his/their having acquainted himself/ themselves with the Conditions of contract, scope of work, special conditions etc. as laid down therein. Any tender with any of the documents not so signed will be rejected.
e) The tenderer must ensure to make use of the forms issued by the Bank only to fill in the rates. Any addition/alteration in the text of the tender form made by the tenderer shall not be valid and shall be treated as null and void. Tender/application submitted by email will not be accepted.
f) The tender submitted on behalf of the firm shall be signed by all the partners of the firm or by a partner who has the necessary authority on behalf of the firm to enter into the proposed contract or by a person holding the power of attorney in the case of a company. Otherwise, the tender may be rejected by the Bank.
10. The Reserve Bank of India does not bind itself to accept the lowest or any tender and reserves to itself the right to accept or reject any or all the tenders, either in whole or in part, without assigning any reasons for doing so.
11. If awarded, the Contractor shall not assign/ sublet any or all portion of the contract except with the written consent of the Bank. In case of breach of these conditions, the Bank
may serve a notice in writing on the Contractor rescinding the contract whereupon the security deposit shall stand forfeited to the Bank, without prejudice to the other remedies available to the Bank against the contractor.
12. The tenderer must obtain for himself on his own responsibility and at his own expenses all the information which may be necessary for the purpose of making tender and for entering into a contract and must inspect the site of the work, acquaint himself with all local conditions, means of access to the work, nature of the work and all matters pertaining thereto.
13. The tenderer should submit the reports on past performance of his firm/company from his clients and bankers along with the part I of the tender. If any tenderer is not found to possess the required eligibility for participating in the tendering process at any point of time and/or his performance reports received from his clients and/or his bankers are found not satisfactory, the Bank reserves the right to reject his offer even after opening of Part -I of the tender and his sealed cover containing Part-II of the tender will be returned to him. The Bank is not bound to assign any reason for rejecting the tender.
14. After scrutiny, if any of the contractors is found not satisfying the required eligibility criteria, the tender submitted by him will not be processed further. Before finalization of tender, the committee of members formed for deciding the tender may visit the place of work where tenderer is carrying out the work presently to check their quality of work. This will be one of the criteria for selection.
15. Tender shall remain valid for acceptance by the Bank for a period of three months (90 days) from the date of opening of the tender (Part I), the period of which may be extended by mutual agreement and the tenderer shall not cancel or withdraw the tender during this period. Thus, the rate quoted by the tenderer will remain constant for a period of minimum 3 months, even if the rate changes.
16. Total Lumpsum Bid Amount (inclusive of GST) is to be quoted in Part-II which will include the following:
A. Total Monthly wages (inclusive of GST) for deputing 1 Nos. Supervisor (Semi- skilled) and 36 Nos. Janitor (Unskilled) as per Xxxxx-X of the tender document. Any
change/variation in minimum wages as declared by Central Government of India from time to time should be immediately applied for by the vendor for payment of Wages towards their workers. The revision of the Minimum Wages shall be done by the Bank every six months in accordance with the basic minimum wage rate revised by GOI.
B. Total Monthly Service Charges (inclusive of GST) which includes cost of cleaning material, bio-degradable polybags, insurance, uniform, mobile and washing charges of uniform for supervisors & janitors, transportation cost, Tools & plant, Contractor’s profit & any other expenses. The annual revision/review of the service charges will be based on following formula:

17. (a). The service charge quoted will cover the cost of contractor’s profit & overhead, cleaning material, biodegradable polybags, insurance, Mobile charges, Uniform charges, Washing charges, Transportation Charges, Tools & plant, any statutory dues /obligation on the part of the contractor etc. The payment thereon will be made after the same is duly certified by the Protocol & Security Officer that the services have been provided satisfactorily and after deducting all statutory dues/taxes, etc.
Total monthly wages of Rs. 9,20,914/- (including GST) for deputing 1 Nos. Supervisor (Semi- skilled) and 36 Nos. Janitor (Unskilled) as per terms and conditions mentioned in Part-1 of tender documents (as explained in the Annex-K of the tender document), will be re-imbursed over and above the service charges.
(b). Please note that any bid equal to or below the minimum wages i.e. Rs. 9,20,914.00 per month will be rejected. In other words, the Monthly Service Charge component of Price Bid (excluding Monthly Minimum Wages Component) cannot be zero or negative.
The Bank will re-imburse the service charges as above and the monthly wages as explained. No other charges will be re-imbursed.
18. The successful bidder/contractor shall depute required numbers of supervisor and cleaning staff to render the cleaning services. The successful bidder/contractor shall commence the work only after furnishing to the Bank the following:
i. Labour License,
ii. Provident Fund code Number,
iii. E S I Code Number,
iv. Registration Number,
v. Ensure registration as per CLRA Act, 1970,
vi. Undertaking for complying for Payment in respect of Bonus Act 1965 (as per applicability) and submitting documents.
19. In addition, in this regards, successful bidder will have to submit Performance Bank Guarantee (PBG) of 5% of the contract value (inclusive of GST) within 14 days from
the date of award of work, for successful execution of the contract having a validity period of further six months from the expiry of the contract. After submission of Performance Bank Guarantee (as per annexure-B), EMD of Rs. 2.62 lakhs will be released. Thus, the Performance Bank Guarantee will be released on completion of successful execution of work on yearly basis. This PBG is renewable in case the Bank extend the contract for the subsequent year to its satisfaction. No interest shall be paid on the said deposit.
20. The successful bidder/contractor shall:
a. Ensure that he/she deploys only adult, well trained and competent persons who are physically & medically fit and are not suffering from any chronic or contagious diseases, for carrying out the maintenance works.
b. Be responsible for and arrange to bear costs of such equipments, materials and other paraphernalia as Bank considers necessary for effectively rendering the services required by the Bank.
c. Be responsible and liable for the payment of wages and all other dues which they are entitled to receive under the various labour laws and other statutory provisions. Salary to the workers should be paid by 3rd of subsequent month irrespective of holiday. Payment to every workman should be done through banking channels (through NEFT/ ECS) only. The contractor shall maintain a register of attendance, register of wages and shall issue a wage slip to every workman employed by him/them and obtain their signature or thumb impression on the wage slips in the presence of the Bank’s authorized officer assigned for this work. A copy of such wage slip or bank account details/ passbook copy shall be submitted to the Bank after every payment as a proof of payment to the workmen. The contractor should pay minimum wages stipulated by the Central Government of India, Ministry of Labour from time to time and submit monthly compliance certificate (with details of wage paid) on payment of minimum wages for the workers deployed in Bank’s premises along with payments of ESIC & EPF etc. These will be considered as essential documents for release of monthly payment to the contractor.
d. Insurance Clause-
The contractor shall take necessary insurance covers (Workmen Compensation Policy), third party / public liability with an Insurance Company approved by the Employer a policy of Insurance in the joint names of the Employer and the Contractor (name of the former being placed first in the policy) against such risks and deposit such policy or policies before commencement of the works. The Minimum cover under (Workmen Compensation Policy) shall be in accordance with the minimum wages paid to the workman deployed for the fulfilment of the contract. The Minimum cover under third party / public liability shall be for a minimum of Rs.2.00 lakh.
e. Take necessary insurance cover (of appropriate amount) against the personal injuries likely to be suffered by the workers while doing the Bank’s work. He shall ensure that the insurance cover is kept alive during the tenure of this agreement. Contractor shall provide a copy of insurance cover (valid for entire contract period) to Reserve Bank of India.
f. Maintain neatly, completely and legibly registers, records, reports & returns for inspection by various authorities at short notice.
g. Provide information as required in respect his compliance of P.F., ESI, etc.
h. Ensure that all persons employed by him/her, for the purposes for rendering the services required by the Bank, are insured with Government of India recognized insurance companies, for which no extra payment will be made by the Bank. The contractor shall be responsible for any injury or damages to any persons, animals or any other things.
i. Ensure that his/her employees, while on the premises of Bank or while carrying out their obligations, observe the standards of cleanliness, decorum, security, safety, good behaviour and general discipline as laid down by the Bank or its authorized agents and the Bank shall be the sole judge as to whether or not the contractor and /or his employees have observed the same.
j. Personally and exclusively supervise or employ sufficient supervisory personnel, exclusively to supervise the work of his/her employees so as to ensure that the services rendered are carried out to the satisfaction of the Bank.
k. Ensure that no employee of the contractor will enter or remain in the Bank's premises beyond the specified time limits unless and absolutely necessary for fulfilling contractors’ obligations.
l. Be liable for any damage caused to the Bank or its premises or any part thereof or to any fixtures or fittings thereof or any property of the Bank and therein by any act, omission, default or negligence of the contractor or his employees or agents.
m. Supply identity cards to his/her employees or agents who shall be doing the subject job at the Bank's premises. All the employees and agents should bear the identity card for all the times they are working in Bank's premises.
n. Provide distinct uniform to his/her employees or agents different from the Bank's employees. The uniform should have logo of the contractor's firm/company and shall be kept neat, tidy and in a wearable condition.
o. Obtain Police Verification report on character and antecedents of its personnel and other details relating to age, educational qualification, name and permanent address to be provided under this contract along with their passport size photographs before engaging them for duty in Bank’s Premises. Only able bodied, physically fit, well trained, literate, disciplined and honest personnel shall be deployed.
p. The cleaning material used will be of standard quality (GS-37 certified) and bio- degradable to avoid damage to CP fixture/ tiles/flooring etc.
q. Ensure that their supervisors are equipped with mobile phone number in working condition.
21. The Bank will not provide accommodation to the contractor in the Bank's premises.
22. In the event of termination of the contract for any reason whatsoever, the contractor/ or persons employed by him or his agents shall not be entitled for any sum or sums whatsoever from the Bank by way of compensation, damages or otherwise.
23. In addition, he/they have to provide essential amenities like drinking water, first aid facility etc. to its employees as per Contract Labour Act 1970. The agency/ contractor has to give undertaking on Non Judicial Stamp Paper of applicable value before the award of the work that he undertakes to actually pay wages to all the labourer of all descriptions to be engaged by him for completion of that particular job/work at the rate which is not less than the one prescribed under minimum wages under CLRA Act and also keep the Principal Employer indemnified against all the actions that may be initiated against the Principal Employer by the Statutory Authorities for his failure to pay such wages and provide the essential amenities.
24. The contractor shall be required to obtain a license, provided under section 12(1) of the Contract Labour (Regulation & Abolition) Act, 1970 read with section 21 Contract Labour (Regulation & Abolition) Central Rules, 1971 and also comply with the other requirements of the above Act or any other law as applicable, failing which he alone would be responsible for actions/ proceedings ensuring thereto. The Bank shall not be held responsible for acts, commissions or omissions of the contractor and shall in no way be made liable to the labourers engaged by the Contractor.
25. The contractor shall indemnify and keep indemnified the Bank against all losses and claims, damages or compensation for breach of any provisions of the Payment of Wages Act, 1936, Minimum Wages Act, 1948, Contract Labour (Regulation and Abolition) Act, 1970 or any other labour law/statute in force in this regard. The contractor only shall be responsible for liabilities, if any, in this regard.
26. The successful contractor shall have to execute an Agreement with the Bank in this regard in the enclosed format, in duplicate, on receipt of intimation from the Bank of the acceptance of his/their tenders. The cost of the same would be borne by the contractor.
27. Contractor has to work with due diligence and ensure that Housekeeping work in proper condition for entire period as per contract. If contractor fails to execute the work as per tender terms and condition and does not carry out work timely, the Bank at its sole discretion will get the work done at contractor’s risk and cost. Expenditure incurred so will be recovered from any sum payable to the contractor by the Bank.
Contractor has to arrange the services of the workers for the period as detailed at table at para 2 of section III to fulfil his obligation as per AMC including making alternate arrangement of workers. In case of shortage in mandays on daily basis of supervisor
/ janitor (less than the prescribed daily requirement), a penalty would be deducted
@ Rs. 500/- per manday in addition of amount of per day employer’s cost (minimum wage as applicable+ employer’s contribution of ESIC & PF) for each manday. In no case, property should remain unattended of Housekeeping services. Whenever and wherever it is found that the cleanliness is not up to the mark, it will be brought to the notice of the supervisory staff of the Contractor by the Bank’s officer and if no action is taken within two days, penalty @ Rs. 2000/- per complaint can be imposed. The decision of the Bank’s Officer shall be final, in this regard.
28. That the persons deployed by the contractor for the services mentioned above shall be the employees of the contractor for all intents and purposes and that the persons so deployed shall remain under the control and supervision of the contractor and in no case, a relationship of employer and employee between the said persons and the RBI, New Delhi shall accrue/arise implicitly or explicitly. It will be the responsibility of the contractor to ensure that no liability on this count should come on Reserve Bank of India, New Delhi in respect of workers deployed by him.
29. That on taking over the responsibility of the work assigned, the Contractor shall formulate the mechanism and duty assignment of work to its xxxxxxxxx xx xxxxxxxxxxxx with P& SO/ Caretaker/Asst. caretaker. The contractor shall further be bound by and carry out the directions/ instructions given to him by the P& SO/ Caretaker/Asst. caretaker from time to time.
30. P&SO/ Caretaker/Asst. caretaker shall be at liberty to carry out surprise check on the persons as deployed by the contractor in order to ensure that persons deployed by him are doing their duties.
31. That in case any of the persons so deployed by the contractor does not come up to the mark or does not perform his duties properly or commits misconduct or indulges in any unlawful acts or disorderly conduct, the contractor shall immediately withdraw and take suitable action against such persons on the report of the RBI, New Delhi in this respect. Further, the contractor shall immediately replace the particular person so deployed on the demand of the RBI, New Delhi in case any of the aforesaid acts on the part of the said person.
32. That contractor shall deploy his persons observing all the applicable statutory requirements. The Contractor shall provide relievers for the employees on off-duty / sick / leave without any disruption to the work. However, the cost for such arrangement has to be borne by the contractor and should be included in their monthly service charges and no additional cost will be paid separately for such arrangement. Labourers/Workers if deployed on National Holidays shall be compensated appropriately as per applicable laws by contractor and the charges/expenditure for the same are to be borne by the contractor. The same may be accounted for during submission of price bid in monthly service charges.
33. That the contractor shall submit the proof of having deposited the amount of ESI and EPF contributions towards the persons deployed at RBI, New Delhi in their respective
names before submitting the bill for the month. The contractor shall also submit the proof of depositing the salary to the account of employees during submission of bills.
34. That all precautions will be taken by the contractor towards the safety of its employees and it will be the sole responsibility of the contractor towards any untoward incident i.e. compensation, etc. to its employees.
35. The Quantity prescribed in the scope of work is only indicative and shall be subject to change at the Bank’s discretion. Payment shall be made based on the actual quantum of work executed which includes manpower deployed (man-days) and attention should be drawn to the fact that rates for each and every item should be correct, workable and self- supporting.
36. Clarifications and Pre-bid meeting
i) A Pre-bid meeting of the intending applicants will be held at 15:00 hrs. on February 08, 2023 to clarify any point/doubt raised by them in respect of the tender form.
ii) If the bidders have any doubt as to the meaning of any portion of the general conditions, or the special conditions or the scope of the work or any other matter concerning the tender, she/he shall in good time, before the scheduled date of Pre-bid meeting, put forth the particulars thereof and submit them to the RBI, in writing, addressed to the Tender Inviting Authority, in order that such doubts may be clarified authoritatively during Pre-bid meeting and shall be conveyed to all the bidders in due course. Once a tender is submitted, the matter will be decided according to tender conditions in the absence of such authentic pre-clarification.
iii) The bidders are advised to peruse the tender and visit the site and submit any matter requiring clarification to the RBI latest by 5:00 PM on the previous working day of the date fixed for pre-bid meeting. In case the bidder wishes to include any condition while tendering for the work, he will have to submit the same before the pre-bid meeting to enable the RBI to examine/ consider the same. All the bidders are advised to attend the Pre-bid meeting in their own interest. Any tender received with any deviation/ Condition is liable for rejection. No further doubts/clarifications shall be entertained after the pre- bid meeting.
37. The intending tenderers are advised to inspect the site on before submission of Tender documents with the prior permission from the Bank and ascertain the exactness of the area to be maintained and the work to be executed before quoting their rates.
38. The Sexual Harassment of women at workplace:
The Contractor / Agency shall be Solely responsible for full compliance with the provision of “the Sexual Harassment of women at workplace (Prevention, Prohibition and Redressal) Act, 2013.
(a) In case of any complaint of sexual harassment against its employee within the premises of the Bank, the complaint will be filed before the Internal Complaints Committee constituted by the Contractor / Agency and the Contractor / Agency shall ensure appropriate action under the-said Act in respect to the complaint.
(b) Any complaint of sexual harassment from any aggrieved employee of the contractor against any employee of the Bank shall be taken cognizance of by the Regional Complaints Committee constituted by the Bank.
(c) The contractor shall be responsible for any monetary Compensation that may need to be paid in case the incident involves the employees of the contractor, for instance any monetary relief to Bank’s employee, if sexual violence by the employee of the contractor is proved.
(d) The contractor shall be responsible for educating its employees about prevention of sexual harassment at workplace and related issues.
39. Labour License from CLC: -
The contractor shall abide by and fulfil all requirements laid down under the contract labour (Regulation and Abolition) Act and the rules framed in the act.
40. Non-Disclosure:
The contractor shall not disclose directly or indirectly any information, materials and details of the Bank’s infrastructure/ system / equipment’s etc. which may come to the profession or knowledge of the contractor during the course of discharging its contractual obligations in connection with the agreement, to any third party and shall at all times hold the same in strictest confidence. The contractor shall treat the details of the contract as private and confidential, except to the extent necessary to carry out the obligations under it or to comply with applicable laws. The contractor shall not publish, permit to be publish, or disclose ant particulars of the works in any trade or technical paper or elsewhere without the previous written consent of the Employer. The contractor shall indemnify the Employer for any loss suffered by the Employer as a result of disclosure of any confidential information. Failure to observe the above shall be treated as breach of contract on the part of the contractor and the Employer shall be entitled to claim damages and pursue legal remedies. The contractor shall take all appropriate actions with respect to its employees to ensure that the obligations of non-disclosure of confidential information under this agreement are fully satisfied. The contractor’s obligations with respect to non-disclosure and confidentiality will survive the expiry or termination of this agreement for whatever reason.
41. Provision of Rule 144 (xi) of the GFR 2017: Compliance with the Rule 144 (xi) of GFR 2017 inserted vide Office Memorandum (OM) F.No.6/18/2019-PPD dated July 23, 2020
issued by Public Procurement Division, Department of Expenditure, Ministry of Finance, Government of India, the Public Procurement Orders issued in furtherance thereto, and their subsequent revisions shall be mandatory.
In this regard, Xxxxxx shall submit a copy of Undertaking / Declaration / Certificate on their letter head duly sealed and signed by the authorized signatory in the format given at Annexure ‘D’. If the Undertaking / Declaration / Certificate submitted by the bidder is found to be false, his/her/its tender / work order will be immediately terminated, and legal action in accordance with law including forfeiting of Earnest Money Deposit / Performance Bank Guarantee / Security Deposit may be initiated and the Bank may also debar the bidder from participating in the tenders invited by the Bank in future.
42. List of Documents to be submitted along with Monthly Bill:
Copies of following documents for a month duly certified by the contractor to be submitted along with monthly bill for payment. Payment of the bills will be made on Monthly basis for Block Cleaning work. The bill must contain:
a. Copy of Attendance Register duly checked and verified by Caretaker/Asst.Caretaker.
b. Detailed record of the maintenance/service job carried out by the contractor duly verified by respective Caretaker/Asst. Caretaker and certified by Protocol and Security Officer (P&SO).
c. Declaration for compliance of Contract Labour Act & Minimum Wages Act.
d. Detailed schedule/breakup of salary paid to employees clearly stating respective statutory payments (Minimum Wages, Bonus, EPF and ESI) remitted.
e. The contractor should credit the salary directly to the bank a/c of their staff and submit monthly Bank statement (documentary evidence) showing payment of salary (inclusive of bonus) made to deployed personnel along with invoice.
f. A copy of receipt of payment made by the contractor towards Employees Provident Fund to the Employees Provident Fund Organization (EPFO) through any scheduled bank, like e-Pay Order of the State Bank of India.
g. A copy of receipt of payment made by the contractor towards Employees insurance to the Employees’ State Insurance Corporation (ESIC).
h. The details of cleaning of all washrooms should be enclosed along with the bill and if any washroom is found to be not cleaned would be charged ₹500/- per washroom per day will be levied for not carrying out cleaning of washrooms in the Bank’s Main Office Building and Annex Building.
i. Due acknowledgement from concerned departments for cleaning work (Weekly/Quarterly/Half yearly) may be done.
j. Any other logbooks/document as directed by Estate Dept. in charge may be maintained. The bills submitted without the above said documents shall not be processed for payment.
43. The contractor shall comply with the provisions of all labour legislation including the requirement of –
a) The payment of Wages Act,
b) Employers liability Act, including P.F Act, Gratuity Act, etc.,
c) Workmen’s Compensation Act,
d) Contract Labour (Regulation and Abolition) Act,
e) Apprentices Act,
f) Payment of Bonus Act 1965,
g) Any other act or enactment relating thereto, and rules formed there under from time to time.
44. Termination of Agreement by the Bank:
Without prejudice to what is contained hereinabove, the Bank shall at its sole and absolute discretion, be entitled to terminate this agreement forthwith by written notice of one month without assigning any reason and without payment of any compensation, if
i. In the opinion of the Bank (which shall not be called in question by the contractor and shall be binding on the contractor) the contractor fails or refuses to implement this agreement to the Bank’s satisfaction and/or
ii. The contractor commits a breach of any terms and conditions of this agreement and/or
iii. The contractor is adjudged an insolvent or a compromise is entered by him with his creditors or if distress or execution or other process is levied upon or receiver is appointed for any part of the assets or property of contractor and/or
iv. For any reason whatsoever, the contractor becomes disentitled in law to perform his obligations under this agreement and/or
v. There is any variation in the ownership/ partnership or management of the contractor or his business without the prior approval in writing of the Bank to such variation.
vi. In the event of termination of this agreement for any reason whatsoever, the contractor/or persons employed by him or his agents shall not be entitled for any sum or sums whatsoever from the Bank by way of compensation, damages or otherwise.
45. Termination of Contract by Contractor
If the work is stopped for three months under the order of the Employer or by any injunction or other order of any Court of Law, then and in any of the said cases, the Contractor shall be at liberty to determine the Contract by written notice of three months to the Employer and he shall be entitled to recover from the Employer, payment for all works executed and for any loss he may sustain upon any plant or materials supplied or purchased or prepared for the purpose of the Contract.
In arriving at the amount of such payment, the net rates contained in the Contractor’s original Tender shall be followed.
46. Amendment to Tender document
i) At any time prior to the deadline for the submission of tender/ Bids, RBI may, for any reason, whether at its own initiative or in response to a clarification or query raised by a prospective Bidder, modify any part of the tender document by an amendment.
ii) The amendments would be made available on the website of RBI and MSTC website.
iii) The Bidders, are strongly advised to regularly visit the website xxx.xxx.xxx.xx to ensure that they are aware of the amendments, if any. The addendum (s)/ corrigendum, if any, issued will form part of the contract document.
iv) In order to afford prospective Bidders reasonable time for preparing their Bids after taking into account such amendments, the RBI may, at its sole discretion, extend the deadline for submission of Bids.
47. Preparation of bid and Cost of bidding
The bidder must obtain for himself on his own responsibility and at his own expenses all the information which may be necessary for the purpose of making a tender and for entering into a contract and may inspect the site of the work and acquaint herself/himself with all local conditions, nature of the work and all matters pertaining thereto.
48. Bid Due Date
Reserve Bank of India may, in exceptional circumstances, and at its sole discretion, can extend the Bid due date.
49. Opening of Bids
i) The uploaded tender Part I, EMD, technical details, etc., called Part I of the tender, will be opened on the time and date, as specified in NIT, at office, by the tender inviting authority or her/his authorized representative. Intending tenderers may participate in the opening of Part – I.
ii) The price bid, containing the duly filled-in tender-Part II, of those bidders, who are found qualified after scrutiny of Part I of the tender documents, would be opened on a subsequent date which will be intimated to all the qualified bidders. Eligible bidders may participate in the opening of Part – II, details for the same would be provided separately.
50. Acceptance of Tender and Award of Work
i) On receipt of intimation from the RBI of the acceptance of her/his/their tender, the successful bidder shall be bound to execute/perform the contract and within fourteen days thereof, the successful bidder shall sign an agreement in accordance with the draft articles of agreement. In the event the Bidder fails to perform work after acceptance of tender, the bidder shall be liable to be debarred/disqualified for five years from participating in any tender or executing any work in the Bank.
ii) The cost of required stamp paper for execution of the agreement shall be borne by the successful bidder.
51. Bank’s right to accept or reject any or all the bids
Notwithstanding anything mentioned above, RBI reserves the right to accept or reject any Bid at any time prior to award of Contract without thereby incurring any liability to the affected Bidder or Bidders. RBI shall not assign any reason for rejection of any or all Bids.

We undertake to indemnify you and keep you indemnified from time to time to the extent of INR INR( only) against any loss or damage caused to or suffered by or that may be caused to or suffered by you by reason of any breach or breaches on the part of the Contractor of any of the terms and conditions contained in the said Contract and in the event of the Contractor making any default or default in carrying out any of the work under the said Contract or otherwise in the observance and performance of any of the terms and conditions relating thereto in accordance with the true intent and meaning thereof, we shall forthwith on demand pay to you such sum or sums not exceeding in total the said sum of INR (INR only) as may be claimed by you as your
losses and/or damages, costs, charges or expenses by reason of such default on the part of the Contractor.
2. Notwithstanding anything to the contrary, your decision as to whether the Contractor has made any such default or defaults and the amount or amounts to which you are entitled by reasons thereof will be binding on us and we shall not be entitled to ask you to establish your claim or claims under this Guarantee but will pay the same forthwith on your demand without any protest or demur.
3. This guarantee shall continue and hold good until it is released by you on the application by the Contractor after expiry of the relative guarantee period of the said Contract and after the contractor had discharged all his obligations under the said Contract and produced a certificate of due completion of the work under the said contract and submitted a “No Demand Certificate”, provided always that this guarantee shall in no event remain in force after the day of without prejudice to your claim or claims arisen and demanded from or otherwise notified to us in writing before the expiry of six months from the said date which will be enforceable against us notwithstanding that the same is or are enforced after the said date.
4. Should it be necessary to extend this guarantee on account of any reason whatsoever, we undertake to extend the period of this Guarantee on your request till such time as may be required by you. Your decision in this respect shall be final and binding on us.
5. You will have the fullest liberty without effecting this guarantee from time to time to vary any of the terms and conditions of the said contract or extend the time of performance of the Contractor or to postpone for any time or from time to time any of your rights or powers against the Contractor and either to enforce or forbear to enforce any of the terms and conditions of the said Contract and we shall not be released from our liability under this guarantee by the exercise of your liberty with reference to matters aforesaid or by reason of any time being given to the Contractor or any other forbearance, act or omission on your part or any indulgence by you to the Contractor or by any variation or modification of the said contract or any other act, matter or things whatsoever, which under the law relating to sureties would but for the provisions hereof have the effect of so releasing us from our liability hereunder provided always that nothing herein contained will enlarge our liability hereunder beyond the limit of INR (INR only) as aforesaid.
6. This guarantee shall not in any way be affected by your taking or varying or giving up any securities from the Contractor or any other person, firm or company on its behalf or by the winding up, dissolution, insolvency or death as the case may be, of the Contractor.
7. In order to give full effect to the guarantee herein contained you shall be entitled to act as if we were your principal debtors in respect of all your claims against the Contractor hereby guaranteed by us as aforesaid and we hereby expressly waive all our rights of surety-ship and other rights, if any, which are in any way inconsistent with any of the provisions of this guarantee.
8. Subject to the maximum limit of our liability as aforesaid, this guarantee will cover all your claim or claims against the contractor from time to time arising out of or in relation to the said contract and in respect of which your claim in writing is lodged on us before expiry of six months from the date of expiry of this guarantee.
9. Any notice by way of demand or otherwise hereunder may be sent by special courier, telex, fax or registered post to our local address as aforesaid and if sent by post, it shall be deemed to have been given when the same has been posted.
10. This guarantee and the powers and provisions herein contained are in addition to and not by way of limitation of or substitution for any other guarantee or guarantees heretofore given to you by us (whether jointly with others or alone) and now existing un cancelled and that this guarantee is not intended to and shall not revoke or limit such guarantee or guarantees.
11. This guarantee shall not be affected by any change in the constitution of the contractor or us nor shall it be affected by any change in your constitution or by any amalgamation or absorption thereof or therewith but will ensure to the benefit of and be available to and enforceable by the absorbing or amalgamated company or concern.
12. Any forbearance, act or omission on the part of the Bank in enforcing any of the conditions of the said tender or showing of any indulgence by the Bank to the Tenderer shall not discharge the Surety in any way and the obligations of the Surety under this guarantee shall be discharged only on the intimation thereof being given to the Surety by the Bank.
13. This guarantee is irrevocable during the period of its currency and shall not be revoked without your previous consent in writing.
14. We further agree and undertake to pay you without demur the amount demanded by you in writing notwithstanding any difference or dispute or controversy that may exist or arise between you and contractor or any other person.
15. Notwithstanding anything contained herein above our liability under this guarantee is restricted to INR (INR only). Unless a written claim is lodged on us for payment under this guarantee within six months from the date of expiry, including extensions if any, of this guarantee all your rights under the guarantee shall be forfeited and we shall be deemed to have been released and discharged from all liabilities there under, irrespective of whether or not the original guarantee is returned to us.
16. We have power to issue this guarantee in your favour under the Memorandum and Articles of Association of our Bank and the undersigned has full power to execute this Guarantee under the Power of Attorney granted to him by the Bank.

1. We undertake to pay the amount claimed by the RBI within a period of one week from the
date of receipt of the notice as aforesaid.
3. We confirm that our obligation to the RBI under this guarantee shall be independent of the agreement of agreements or other understandings between the RBI and the Tenderer.
This guarantee shall not be revoked by us without prior consent in writing of the RBI.
We hereby further agree that: -
(a) Any forbearance or commission on the part of the RBI in enforcing the conditions of the said agreement or in compliance with any of the terms and conditions stipulated in the said tender and/or hereunder or grating of any time or showing of any indulgence by the RBI to the Tenderer or any other matters in connection therewith shall not discharge us in any way and our obligation under this guarantee. This guarantee shall be discharged only by the performance by the Tenderers of their obligations and in the event of their failure to do so, by payment by us of the sum not exceeding Rs. /- (Rupees only).
(b) Our liability under these presents shall not exceed the sum of Rs. /- (Rupees only).
(c) Our liability under this agreement shall not be affected by any infirmity or irregularity on the part of our said constituents/clients for the said work or their obligations there under or by dissolution or change in the constitution of our said constituents.
(d) This guarantee shall remain in force up to (six months from the last date of receipt of tender) provided that if so desired by the RBI, this guarantee shall be renewed for a further period as may be indicated by them on the same terms and conditions as contained herein.
(e) Our liability under this presents will terminate unless these presents are renewed as provided hereinabove on the or on the day when our said constituents comply with their obligations, as to which a certificate in writing by the RBI alone is the conclusive proof whichever
date is later. Unless a claim or suit or action is filed against us within
