MASTER LICENSE AGREEMENT

भारत के राष्ट्रपति, दक्षिण रेलवे मदुरै मंडल के मंडल रेल प्रबंधक(वाणिज्य) (इसके बाद से रेलवे के रूप में संदर्भित, जो अभिव्यक्ति, तात्पर्य या संबंधी संदर्भ के विपक्ष में न होने के सिवा, इसके उत्तराधिकारियों, अनुमत व्यक्ति शामिल है) प्रथम भाग के पार्टी के रूप में हैं। The President of India , acting through the Divisional Railway Manager (Commercial), Madurai Division, Southern Railway, (herein after referred to as “Railway” which expression shall, unless repugnant to the meaning or context thereof, be deemed to mean and include its successors, permitted assigns) as party of the First Part;

अंग्रेज़ी पाठ में उल्लिखित कंपनी जो कानून के अधीन इंकार्पोरेटड किया गया है a company incorporated under the laws of [•] तथा इसके पंजीकृत कार्यालय अंग्रेज़ी पाठ में उल्लिखित स्थान पर है (इसके बाद लाइसेंसदार के रूप में संदर्भित, जो अभिव्यक्ति, तात्पर्य या संबंधी संदर्भ के विपक्ष में न होने के सिवा, इस करार में बताए गए ऐसी संबद्धो एवं उत्तराधिकारियो, अनुमत व्यक्ति तथा लाइसेंसदार के संबंध को माना व शामिल किया जाएगा) दूसरे भाग का पार्टी होगा। and having its registered office at [•] (hereinafter referred to as “Licensee” which expression shall, unless repugnant to the meaning or context thereof, be deemed to mean and include its such defined affiliates as set forth herein this Agreement, successors, permitted assigns and affiliates of Licensee) as party of the Other Part;

रेलवे और लाइसेंसदार इसके बाद सामूहिक तौर पर पार्टी माना जाएगा।

"Railway" and "Licensee" shall hereinafter be collectively referred to as 'Parties'.

जबकि WHERE AS:

1. खान पान नीति 2017(पॉलिसी) के अधीन यात्रियों को अन्य बातों के साथ साथ स्तरीय खाद्य और पेय सेवाएँ प्रदान करने और सुधार लाने के लिए, रेलवे ने अधिकार-पत्र दिया है। Railway has mandate under the Catering Policy 2017 (“Policy”) to improve, inter-alia, the quality of catering services for providing food and beverage services to passengers.

2. लाइसेंसदार अन्य बातों के साथ साथ वर्तमान तौर पर खान पान सेवाओं में लगे हैं। The Licensee, inter-alia, is currently engaged in the business of catering services.

3. अंग्रेज़ी पाठ में उल्लिखित बिड सूचना द्वारा लाइसेंस के लिए एक बिड फ्लोट किया गया है। Railway, pursuant to Bid Notice Number U/C 79/CATG/TENDER/GMU/D&E/3/2018 dated 28.03.2018, floated a Bid for the license for “Provision of Catering Services at General Minor Unit Number/Name [•] at [•] station of [•] category (“GMU”).

4. लाइसेंसदार सहित रेलवे को प्राप्त विभिन्न अन्य बिड में से, चयन के आधार पर, अर्हता तथा बिड दस्तावेज में विहित अन्य शर्तों के आधार पर, रेलवे ने लाइसेंसदार को पुष्टीकृत किया है कि, यह चयनित बिड्डर है। On the basis of the selection from the various Bids received by Railway, including the Bid response by the Licensee, Railway has confirmed to the Licensee that it is established as the ‘Selected Bidder’ on the basis of the eligibility and other conditions laid down in the bid document;

5. बिड के शर्ताधीन, लाइसेंसदार के प्रस्तुतियों के अधीन, दोनों पार्टी एतद्वारा लाइसेंस व्यवस्था को यहाँ प्रस्तुत ऐसी शर्तों व स्थितियों, बिड की आवश्यकताओं की व्यवस्था के अनुल्लंघनीय मानने के पश्चात, पुष्टीकृत करने के लिए सहमत हैं। In terms of the Bid, the submissions of the Licensee, the Parties hereby agree to confirm the license arrangement on such terms and conditions as set forth herein, after regarding the requirements of the bid as the sacrosanct basis for the arrangement.

अब अतः, पार्टियों के बीच के पारस्परिक संविदा और समझौतों को ध्यान में रखते हुए, एतद्वारा निम्नलिखितानुसार स्वीकृत करते हैं- NOW THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS AND UNDERSTANDINGS HEREIN SHARED BETWEEN THE PARTIES, THE PARTIES, HEREBY AGREE AS FOLLOWS:

अनुच्छेद ARTICLE 1: प्रबंधन की सीमा SCOPE OF THE ARRANGEMENT

1. पार्टी सहमत हैं कि सेवा का उद्देश्य मूलतः परिचालन के प्रारंभिक तारीख से,जीएमयू पर केटरिंग सेवाओं का प्रारंभ, प्रबंधन और आपूर्ति करनी होगी। रेलवे स्टाल स्थापित करने के लिए जगह की व्यवस्था करेगी। लाइसेंस के प्रारंभिक तारीख ही स्टाल की स्थापना के बाद होनेवाले बिक्रय की तारीख होगी या रेलवे से जगह प्रबंधन की सूचना की प्राप्ति से 30 दिन के बाद, इनमें से जो भी पहले हो होगा। The parties agree that the scope of services shall be principally to operate, manage and supply catering services on the GMU from the commencement date of operations. Railway will provide space for erecting the stall. The commencement date of license will be the date of commencement of sale after erection of stall, or 30 days from the date of receipt of communication informing provision of space from Railway, whichever is earlier.

2. करार पुष्टीकृत एवं स्थापित करता है कि पार्टियों के बीच व्यवस्था का उद्देश्य अनुबंध । के प्रावधानों द्वारा शासित होगा (लाइसेंसदार द्वारा की जानेवाली सेवाएँ)। This Agreement confirms and establishes that the scope of the arrangement between the parties shall be governed by the provisions of Annexure I (Scope of services to be rendered by the Licensee).

3. यह लाइसेंसदार द्वारा स्वीकृत किया जाता है कि जीएमयू पर केटरिंग सेवाएं प्रदान करने के लिए दिए जानेवाला शुल्क संबंधी नीति इस करार के अनुबंध ।। में दिए गए पूर्व निर्णित मूल्य पर निर्भर है। लाइसेंसदार एतद्वारा पुष्टीकृत एवं स्वीकृत करते हैं कि रेलवे को, लाइसेंसदार से पूर्व-परामर्श किए बिना अनुबंध ।। में बताए गए मूल्यों को परिवर्तित और संशोधित करने का संपूर्ण अधिकार है तथा रेलवे के निर्णयों को, लाइसेंसदार, इस करार की अवधि के दौरान, सख्त रूप से पालन करना होगा। It is agreed by the Licensee that the norms with regard to catering charges payable to Licensee for providing catering services on the GMU are also subject to the pre-determined prices as set forth in Annexure II of this Agreement. The Licensee also hereby confirms and acknowledges that Railway shall have the absolute right and discretion to change and modify the prices set forth in Annexure II without any need for prior discussion with the Licensee and the decision of Railway shall be strictly enforced by the Licensee during the Term of this Agreement.

अनुच्छेद ARTICLE 2: लाइसेंस के तहत संचालन का प्रारंभ COMMENCEMENT OF OPERATION UNDER THE LICENSE

2.1 लाइसेंसदार द्वारा प्रदान की जानेवाली सेवाओं के क्रम में, पार्टी सहमत होंगे कि प्रारंभ करने की योजना, पार्टियों द्वारा किया जाएगा। लाइसेंसदार का कर्तव्य एवं उनकी अपनी बाध्यता होगी कि, वे परिचालन के प्रारंभ की योजना का प्रस्ताव करेंगे, जो रेलवे के अनुमोदन पर निर्भर होगा। प्रस्तावित योजना में सुझाव किए गए कोई परिवर्तन को लाइसेंसदार, प्रारंभ करने के पूर्व क्रियान्वित करेंगे। फिर भी, लाइसेंसदार, परिचालनों को इस लाइसेंस करार के अनुच्छेद 1.1 में बताए गए आनुसार, शुरु करेंगे। Pursuant to the scope of services to be provided by the Licensee, the parties agree that the plan for the commencement of operations shall be undertaken by the parties. It shall be the duty and the exclusive obligation of the Licensee to propose the plan for commencement of operations which shall be subject to the approval by Railway. Any changes suggested by Railway in the proposed plan shall be also duly implemented by the Licensee prior to commencement of operations. Howsoever, the licensee shall commence operations as laid down in Article 1.1 of this license agreement.

2.2 लाइसेंसदार एतद्वारा सहमत हैं कि लाइसेंसदार, इस करार में अन्यथा स्वीकृत किए गए विषयों के बिना, बिड में किए गए सभी प्रस्तुति, बाध्यता व प्रत्यावेदनों का अनुपालन करेंगे। The Licensee hereby undertakes that Licensee shall be bound to comply with all submissions, commitments & representations made in response to the Bid unless agreed otherwise in this Agreement.

अनुच्छेद ARTICLE 3: करार की अवधि TENURE OF THE AGREEMENT

3.1 करार की अवधि प्रारंभ करनेवाली तारीख से, अनुच्छेद 1.1 में दिए अनुसार, पांच(5) वर्ष मात्र के रूप में होगी और अनुच्छेद 9 और अनुच्छेद 17 के निम्नलिखित प्रावधानों पर, अगर रद्द न किया गया हो, निर्भर है। The Tenure of the Agreement will commence on the Commencement Date, as provided in Article 1.1, as Five (5) years only and subject to the provisions of Article 9 and Article 17 herein below, if not terminated.

3.2 कोई विस्तार/नवीकरण नहीं होगा।

There will be no extension/renewal.

अनुच्छेद ARTICLE 4: वित्तीय नियम और शर्तें FINANCIAL TERMS AND CONDITIONS

4.1 लाइसेंसदार द्वारा राजस्व वसूल

Collection of Revenue by the Licensee

लाइसेंसदार को, जीएमयू पर खान पान सेवाएं प्रदान करने के लिए, यात्रियों से सीधा इन्वाइस जारी करके, राजस्व (कर सहित) वसूल करने को, प्राधिकृत किया जाता है। The Licensee is authorized to collect revenues (inclusive of tax) on issue of invoice directly from passengers in consideration of having rendered catering services on the GMU.

4.2 लाइसेंस फी License Fee

1. लाइसेंस फी, लाइसेंस की पूरी अवधि के अंग्रेज़ी पाठ में उल्लिखितानुसार होगा - The License Fee, for the entire duration of License is Rs. [•] (Rupees [•] only) (hereinafter “License Fee). The annual breakup of the License Fee will be as follows:

प्रथम वर्ष/First Year Rs. [•] (Rupees [•] only

द्वितीय वर्षSecond Year Rs. [•] (Rupees [•] only

तृतीय वर्ष/Third Year Rs. [•] (Rupees [•] only

चतुर्थ वर्ष/Fourth Year Rs. [•] (Rupees [•] only

पाँचवाँ वर्ष/ Fifth Year Rs. [•] (Rupees [•] only

2. प्रदान की जानेवाली सेवाएँ तथा लाइसेंसदार के बिड प्रस्तुतियों को ध्यान में रखते हुए, लाइसेंसदार रेलेवे को लाइसेंस की पूरी अवधि के दौरान एक सहमत वार्षिक लाइसेंस फी का भुगतान करेंगे। In consideration of the provision of the services and the Bid submissions of the Licensee, the Licensee shall pay to Railway an agreed sum of Annual License Fee every year in the entire duration of the license.

2. लाइसेंसदार (चयनित बिड्डर) वार्षिक लाइसेंस फी को, लाइसेंस के पहले पर्ष के एलओए की प्राप्ति से 15 दिनों के अंदर भुगतान करेंगे। The licensee (Selected bidder) shall pay the annual license fee within 15 days on receipt of LOA for the first year of license.

3. दूसरे वर्ष से, लाइसेंस के प्रति वर्ष के प्रारंभ से 15 दिनों के पूर्व, हर वर्ष अग्रिम में वार्षिक लाइसेंस फी का भुगतान करेंगे। The Annual License Fee shall be payable in advance for each year fifteen (15) days prior to the commencement of each year of the license, from second year onwards.

4. लाइसेंसदार को लाइसेंस दिए जाने के पक्ष में, लाइसेंसदार को वार्षिक लाइसेंस फी का भुगतान करना होगा। लाइसेंस फी पहले तीन सालों के लिए नियत किया जाएगा और चौथे वर्ष में दस प्रतिशत बढाया जाएगा। चौथे और पांचवे वर्ष के लिए लाइसेंस फी समान होगा। In consideration of the award of the License to the Licensee, the Licensee shall be liable to pay Annual License Fee. The license fee will be fixed for the first three years and in the fourth year it will be enhanced by 10% . License fee for the fourth and fifth year will remain same.

2. लाइसेंसदार द्वारा रेलवे को दिए जानेवाले लाइसेंस फी टैक्स एट सोर्स(टीडीएस) अगर लागू हो, तो उसकी कटौती करने के बाद के नेट राशि, करार की अवधि के दौरान समय समय पर शासित कानून के अधीन, होगा। The License Fee payable to Railway by the Licensee shall be net of the deduction of tax at source (TDS), if applicable, under the governing law from time to time during the tenure of the Agreement.

2. बिजली और पानी किराए को छोडकर, मकान/भूमि,वेंडर फी और कन्सर्वेंसी किराया आदि के लिए कोई भी अलग भाडा नहीं होगा। बिजली और पानी किराए वास्तविक उपभोग पर आधारित होगा । There will be no separate charges payable towards rent for building /land, vendor’s fee and conservancy charges etc., except electricity and water charges, which will be based on actual consumption.

2. लाइसेंसी को सभी किराया, ठेका करार के अनुसार तथा सभी कानूनी कर्तव्य/किराया/शस्ति/कर आदि(जीएसटी सहित) भी,जब कभी कोई नए कर सूचित किए जाने पर, देना होगा। The licensee will be required to pay all the charges as per the contract agreement and all statutory duties/charges/levies/taxes, etc. (including GST) would also be borne by the licensee as and when due or whenever any new tax is notified.

4.3 लाइसेंस फी के जमा में विफलता/देरी Failure/ Delay in deposit of License Fee

इस करार में रेलवे को उपलब्ध अन्य किसी अधिकार पर कोई पक्षपात के बिना,या अन्यथा,लाइसेंस फी के भुगतान में कोई विलंब के लिए वार्षिक व्याज 18प्रतिशत होगा, जो डीफाल्ट के कुल दिनों के लिए गिना जाएगा। अगर लाइसेंसदार देय तारीख से 90 दिनों के अंदर भुगतान करने से चूकते हैं, तो रेलवे लाइसेंस को समाप्त करने का अधिकार रेलवे के पास है। Without prejudice to any other right that may be available to Railway in this Agreement or otherwise, any delay in payment of License Fee shall attract interest @18% per annum, calculated for the number of days of default. Railway reserves the right to terminate the license, in case the licensee fails to make payment within 90 (ninety) days of the due date.

4.4 कर भुगतान Payment of taxes

टारीफ जीएसटी सहित है। लाइसेंसदार सहमत हैं कि, बिक्री कर, सेवा कर, जीएसटी आदि सहित लाइसेंस प्रदान करने में देय सभी कर, केवल लाइसेंसदार को देना है और कि,रेलवे उसके लिए,अवधि के दौरान किसी भी समय जिम्मेदार नहीं होगा। इसके साथ,अगर नया कर लगाया जाए या वर्तमान कर को लाइसेंसदार की सेवाएँ/सुपुर्दगियों पर लागू कानून के अधीन बढाया गया हो, तो लाइसेंसदार को यात्रियों से नया/पुनरीक्षित कर वसूल करने के लिए अनुमत किया जाएगा, सरकार एजंसी को कर भुगतान करने का दायित्व भी लाइसेंसदार का होगा। The tariff is inclusive of GST. Licensee, thus, agrees that all taxes payable on account of the grant of license including sales tax, Service Tax, GST etc. shall be borne by the Licensee exclusively and that the Railway shall not be responsible towards the same at any time during the term. Furthermore, in the event that any new tax is imposed or an existing tax enhanced under a governing law upon the services/deliverables of the Licensee, then the licensee will be permitted to collect the new/revised tax from the passengers; the liability of payment of Tax to the Government agency shall be also borne by the Licensee exclusively.

4.5 भुगतान का माध्यम Mode of Payment

लाइसेंसदार द्वारा इस करार के अधीन देय किसी भुगतान को लाइसेंसदार के अपने खाते से डीडी या बैंकर्स चेक को,वरिष्ठ मंडल वित्तीय प्रबंधक, दक्षिण रेलवे के नाम पर मदुरै पर भुगतान करने हेतु करना है। Any payment payable by the Licensee to Railway under this Agreement shall be paid through the Licensee’s own account vide demand draft or banker’s cheque made in favour of Senior Divisional Finance Manager, Southern Railway payable at Madurai.

4.6 बकाया वसूल Recovery of outstanding dues

इस करार में उपलब्ध किसी बात के होते हुए भी, रेलवे को लाइसेंसदार से जुर्माना सहित किसी भुगतान/अनिर्णित देय को, निजी व्यक्ति के रूप में या एक पार्टनरशिप फर्म के रूप में लाइसेंसदार द्वारा भारतीय रेलवे से किए गए ठेके में, जिसमें वे सदस्य हैं, लाइसेंसदार द्वारा दिए गए सुरक्षा जमा से, काटा जाएगा और काटने के बाद रेलवे लाइसेंसदार को ऐसी कटौतियों के बारे में सूचित करेंगे। इसके लिए रेलवे हकदार है। ऐसी घटना में, लाइसेंसदार को यह सुनिश्चित करने की बाध्यता है कि, सुरक्षा जमा को,ऐसी कटौती से 7 कार्य दिवस के अंदर, उसके मूल में वापस किया गया है,अन्यथा उसको,लाइसेंसदार द्वारा मेटीरियल ब्रीच माना जाएगा और रेलवे को इस करार को समाप्त करने को प्राधिकृत कर देगा। Notwithstanding anything contained in this Agreement, the Railway shall be at liberty to receive any payments /outstanding dues including penalties against the Licensee, in any of the contracts over Indian Railway entered in to by the license as an individual or by a partnership firm in which he is a member, from the Security Deposit provided by the Licensee after which Railway shall communicate to the Licensee of such deductions. In such an event, the Licensee shall be obligated to ensure that the Security Deposit is restored to its original value within seven (7) working days from such deduction failing which the same shall be deemed as material breach by the Licensee and entitle the Railway to terminate this Agreement.

अनुच्छेद ARTICLE 5: सुरक्षा जमा SECURITY DEPOSIT

5.1 इस करार में कहीं बताए अनुसार, लाइसेंसदार रेलवे को (रेलवे को स्वीकृत तरीके एवं माध्यम से) एक सुरक्षा जमा, जो लाइसेंस की पूरी अवधि के पूरे लाइसेंस शुल्क के (दस प्रतिशत)10% का बराबर राशि, एलओए की पावती के 15 दिनो के अंदर, देंगे। As mentioned elsewhere in this Agreement, the Licensee shall furnish to Railway (in the manner and form acceptable to Railway) a Security Deposit for an amount equal to 10% (ten percent) of the Total License Fee for the entire duration of the License, within 15 (fifteen) days on receipt of LOA.

5.2 सुरक्षा जमा बैक ड्राफ्ट/निष्पादन बैंक गेरंटी(पीबीजी)/नकद(रेलवे के मुख्य रोकडिया से जमा) के रूप में भुगतान किया जा सकता है। उक्त पीबीजी को बिड में बताए अनुसार भुगतान किया जा सकता है। उक्त पीबीजी को करार की अवधि के लिए तथा करार की अवधि से 6 महीने तक विस्तार होनेवाली अवधि के लिए लागू,अध्याय 1(अनुबंध 8)में दिए गए प्रपत्र में दिया जाना है। सुरक्षा जमा को,ठेका को सफलता पूर्वक पूरा करने के बाद, लाइसेंसदार द्वारा यूनिट को खाली करके करार के पारा 6.25 के अनुसार रेलवे को सौंपने के बाद तथा लाइसेंसदार से कोई देय अनिर्णित न होने पर, 90 दिनों के अंदर,वापस किया जाएगा। Security Deposit shall be paid in the form of Bank Draft/Performance Bank Guarantee (PBG)/Cash (deposited with Chief Cashier of the Railway). The said PBG shall be paid for in the manner as set forth in the bid. The said PBG shall be given in format provided at Chapter 1 (Annexure 8), valid for the Term of the Agreement and a period extending 6 months beyond the Term of the Agreement. Security Deposit will be returned within 90 days after the contract has been completed successfully, the unit has been vacated by the Licensee and handed over to Railway as per para 6.25 of the Agreement, and there are no dues pending on the Licensee.

5.3 करार के अधीन लाइसेंसदार द्वारा किसी डीफाल्ट या बाध्यता का उल्लंघन करने पर, रेलवे अपने एकमात्र स्वैच्छिक निर्णयानुसार, इस करार में बताए गए किसी भी बात के होते हुए भी,सुरक्षा जमा को निकालकर,जुर्माना लगाकर या अन्यथा, इस करार के अधीन कोई अन्य उपाय के होते या न होते हुए भी,लाइसेंसदार के विरुद्ध इसके दावे की पूर्ति कर सकता है। Notwithstanding anything mentioned in this Agreement, upon any default or breach of obligations by the Licensee under the Agreement, Railway may at its sole discretion draw upon the Security Deposit to satisfy its claims against the Licensee by imposition of Penalties or otherwise, irrespective any other remedy under this Agreement.

अनुच्छेद ARTICLE 6: लाइसेंसदार के अधिकार व बाध्यता RIGHTS ANDOBLIGATION OF THE LICENSEE

1. सामान्य/General

1. लाइसेंसदार एतद्वारा बिड में विवरित सभी तकनीकी एवं वाणिज्य मांगे पूरी करने तथा बिड के प्रति उत्तर के रूप में किए गए सभी बाध्यताएं पूरा करने के लिए सहमत हैं। The Licensee hereby agrees to fulfill all technical and commercial requirements set forth in the Bid as well as all the commitments made in its response to the bid.

2. उपरोक्त पर कोई पक्षपात के बिना, लाइसेंसदार द्वारा यह प्रस्तुत किया जाता है कि सभी सेवाएँ इसके कार्मिक द्वारा व्यावसायिक तरीके में किए जाएँगे और कि उक्त लाइसेंसदार के निष्पादन,ठेका ।। के विशेष शर्त में वर्णित अपेक्षित निष्पादन स्तर में बताए अनुसार तथा समय समय पर रेलवे द्वारा सूचितानुसार होंगे। Without prejudice to the aforesaid, it is represented by the Licensee that all services will be performed in a professional manner by its personnel and that the said performance by Licensee shall be in accordance with the ‘Desired Performance Levels’ as described in Special Condition of Contract –II and as communicated by Railway from time to time.

3. लाइसेंसदार से अपेक्षित है कि इस करार की अवधि के देौरान, लाइसेंसदार के लिए ,सभी स्थितियों में यह जिम्मेदारी होगी कि,जीएमयू पर केटरिंग सेवा अत्यन्त ध्यान और बुद्धिमत्ता से किए जाने की बात सुनिश्चित करेंगे। The Licensee warrants that during the Term of this Agreement, the Licensee shall at all times be responsible for ensuring that the catering service at the GMU is undertaken with utmost care and diligence.

4. लाइसेंसदार एतद्वारा,करार के अधीन सभी खाद्य तथा संबंधी सेवाओं का स्तर, उपयुक्तता और वारंटी को, रेलवे को वांछित निष्पादन स्तर से भी अधिक करने का आश्वासन देते हैं। लाइसेंसदार प्रतिनिधित्व तथा वारंट करते हैं कि केटरिंग सेवा का स्तर, उपयुक्तता और वारंटी के मूल दायित्व लाइसेंसदार की होगी और कि,सभी पदार्थ पॉलिसी के अपेक्षानुसार तथा रेलवे द्वारा समय समय पर निर्धारितानुसार होगी। लाइसेंसदार एतद्वारा वादा करता है कि,खाद्य और तत्संबंधी सेवाओं के लिए लाइसेंसदार के स्तर, गेरंटी व आश्वासन के लिए पूरा उत्तरदायी होगा। The Licensee also hereby assures Railway of the quality, suitability and the warranties of all the food and related services under the Agreement, over and above the ‘Desired Performance Levels’ assured to Railway. The Licensee represents and warrants that the principle liability for the quality, suitability and warranties for catering service shall be of the Licensee and that all products will be in conformity with the requirements of the law as well as those stipulated by Railway from time to time. The Licensee hereby covenants that no exception to the liability, guarantee & assurance of the Licensee shall apply with regard to food and the services thereof.

6.2 प्रमाणपत्र /अनुमति Certificates/Permissions

लाइसेंसदार कानून के लिए आवश्यक प्रमाण पत्र/अनुमति, जैसे एफ एस एस ए आई पंजीकरण,आइएसओ प्रमाणीकरण,विभिन्न खाद्य मदों आदि,के लिए परीक्षण रिपोर्ट या सक्षम प्राधिकारियों से स्थानीय नियमों के अनुसार प्राप्त करेंगे। आवश्यक प्रमाण पत्र/अनुमति को प्राप्त करने में कोई अपराध या कोई चूक होने पर,लाइसेंसदार उसकी शस्ति और परिणामों के लिए एकमात्र जिम्मेदार होंगे। The Licensee shall obtain necessary certificates/permissions required by law such as FSSAI Registration, ISO Certification, test reports for various food items, etc. or as required as per the local regulations from the competent authorities. In case of any offense or failure to obtain the necessary certificates/permissions, the Licensee will be solely responsible for its penalty and consequences.

6.3 मेनु और दर आदि को दर्शाना Display of menu and tariff, etc.

लाइसेंसदार रेलवे द्वारा समय समय पर स्वीकृतानुसार, मेनु,टारीफ और जीएमयू में बेचे जानेवाले खाद्य मदों की सूची,दर्शाएंगे। लाइसेंसदार यह भी सुनिस्चित करेंगे कि,छपे गए मेनु कार्ड जिसमें संबंधी रेलवे का नाम लगाया हुआ हो,उसे भी जीएमयू में उपलब्ध कराना है और यात्रियों को मांग पर देना है। लाइसेंसदार मेनु कार्ड छापने के पूर्व,रेलवे से पूर्वानुमति प्राप्त करेंगे। इकाई में टारीफ व्यवस्ता का अनिवार्य एवं प्रमुख प्रदर्शन होगा। स्टेटिक केटरिंग इकाइयों द्वारा बेचे जानेवाले सभी पके खाद्य पद्रथों पर, भार, उत्पादक/ठेकेदार का नाम,पेकेजिंग की तारीख,शाखाहारी/मांसाहारी कोड,स्केन किए योग्य क्यू आर कोड(अगर संभव हो)के साथ मूल्य का दर्शाना भी अनिवार्य होगा। The Licensee shall exhibit menu, tariff and list of food items to be sold in the GMU as may be agreed upon from time to time by the Railway. The Licensee shall also ensure that printed menu cards bearing the name of the concerned Railway should always be available at the GMU and provided to the passengers on demand. The Licensee shall seek prior approval of the Railway before printing of menu cards. There shall be compulsory and prominent display arrangements of tariff in the unit. Display of weight, name of manufacturer/contractor, date of packaging, veg/non-veg. code, price, along with scannable QR code (if possible) on all cooked food items to be sold by the static catering units will also be mandatory.

6.4 रेलवे के पूर्व अनुमति के साथ बिक्री Sale of items with the Railway prior approval

लाइसेंसदार रेलवे द्वारा अनुमोदित मदों के आलावा किसी भी अन्य मदो को नहीं बेचेंगे। अनुमोदित मदों के विरोध में अनधिकृत मदों को बेचे जाने को पहचाने जाने पर,रेलवे ऐसी मदों को अभिग्रहण कर सकता है और अनधिकृत अभिग्रहित मदों को ऐसी उल्लंघन के लिए किसी दंड के अतिरिक्त, रेलवे की नीति के अुसार नष्ट कर सकता है। The Licensee shall not sell items other than those approved by the Railway. If sale of unauthorized items is detected in contravention to approved items, Railway may seize such items and the unauthorized seized items shall be disposed off as per policy of the Railway in addition to any penalty to be imposed for such contravention.

6.5 केवल उपयोगकर्ता का अधिकार Right of user only

जीएमयू में केटरिंग सेवाएँ केवल लाइसेंसदार प्रदान करेंगे और उनको उपयोगी का अधिकार केवल छुट्टी और लाइसेंस के आधार पर होगा। The License will only provide the catering services on the GMU and will have the right of user only on leave and license basis.

6.6 खाद्य अपवर्तन कानून और अन्य सांविधिक कानूनों का अनुपालन Compliance of Food Adulteration Laws and other statutory laws

लाइसेंसदार, खाद्य संरक्षा एवं मानक अधिनियम 2006 या उसके अन्य संशोधन जैसे लागू कानूनों के अनुपालन करने के लिए जिम्मेदार होंगे। इकाई के एफएसएसएआई प्रमाणीकरण व्यवस्थाओं का अनिवार्य तथा प्रमुख प्रदर्शन किया जाना है। The Licensee shall be responsible for compliance with applicable laws such as Food Safety & Standard Act, 2006 or any other amendments thereto. There shall be compulsory and prominent display arrangements of FSSAI certification in the unit.

1. लाइसेंसदार जीएसटी, भविष्य निधि, लेबर कानून या अन्य किसी लागू नियम जो तत्काल के लिए लागू कानूनों के अनुपालन के लिए जिम्मेदार होंगे। The Licensee shall be responsible for compliance with applicable laws such as GST, provident fund, labour laws or any other applicable laws for the time being in force.

2. लाइसेंसदार रेलवे प्रशासन को ,उनके द्वारा नियुक्त कर्मचारियों की मासिक सूची प्रस्तुत करेंगे और इस सूची में कर्मचारी के नाम,आधार सं.,बचत बैंक खाता संख्या, ईपीएफओ संख्या, सामूहिक बीमा सं.,अगर हो तो,पेन कार्ड सं., मोबाइल सं.ईएसआईसी सं. का विवरण उपलब्ध होना है। The licensee shall submit a monthly list of staff employed by him/her to the Railway Administration and the list should also contain the details of Name of employee, Aadhar No., Savings Bank Account number, EPFO Number, Group Insurance No., if any, PAN CARD No., Mobile No., ESIC No.

3. लाइसेंसदार कर्मचारी को, एक छपी वेतन विवरणी जिसमें वेतन के सभी विवरण कटौतियाँ सहित तथा भुगतान किए जानेवाले नेट वेतन बैंक खाता संख्या ,जिसमें वेतन क्रेडिट किया जाता है उसके साथ,देंगे। The licensee shall provide the employee with a printed salary statement giving all details of salary along with deductions and net salary payable along with bank account number to which salary has been credited.

3. लाइसेंसदार के कर्मचारी के पास एक लागू चिकित्सा स्वस्थ प्रमाण पत्र और पुलिस क्लीयरेंस प्रमाण पत्र सदा के लिए उपलब्ध होना है। The employee of the licensee should have a valid Medical Certificate of fitness and Police clearance certificate at all times.

4. केटरिंग,कर,उनके कर्मचारियो या किसी अन्य संबंधी मामलों से संबंधित केटरिंग कार्य करने के लिए लागू कानूनों के अनुपालन के लिए रेलवे जिम्मेदार नहीं होगा। इस संबंध में लागू सभी कानूनों के अनुपालन करने के लिए,लाइसेंसदार मात्र ही जिम्मेदार होंगे। रेलवे को कोई हानि होने के मामले में,लाइसेंसदार उसकी क्षति पूर्ति करेंगे। Railway shall not be responsible for compliance of any laws applicable with respect to carrying out the catering activity by the licensee relating to catering, tax, its employees or any other related matter. The licensee shall be solely responsible for following all the laws applicable in this regard. In case of any harm to Railways, it shall be indemnified by the licensee.

6.7 उचित स्वच्छता, सफाई, आदि का रख-रखाव Maintenance of proper hygiene, cleanliness, etc.

सही स्वास्थ्य एवं सफाई को कच्चा माल ,खाद्य की तैयारी पेकेजिंग, आपूर्ति, सेवा आदि को एतद्वारा स्पष्ट किए गए पेरामीटर और बिड दस्तावेजों में स्पष्ट किए गए अनुसार स्तर और मात्रा में होना सुनिश्चित करने के लिए लाइसेंसदार जिम्मेदार होंगे। लाइसेंसदार, इस संबंध में रेलवे द्वार समय समय पर जारी किए गए अनुदेशों का पालन करना होगा। The Licensee shall be responsible for ensuring the quality and quantity, maintaining proper hygiene and cleanliness while handling raw materials, preparation, packaging, supply, service, etc. of food in accordance with the parameters specified herein and in the Bid documents. Licensee shall abide by the instructions issued by the railway from time to time in this regard.

6.8 सीलिंग लिमिट Ceiling Limits

लाइसेंस प्रदान करने के दौरान, रेलवे सुनिश्चित करेगा कि, सीलिंग सीमाएँ केटरिंग नीति 2017 में निर्धारितानुसार तथा समय समय पर यथा संशोधित अनुपालित किए जाते है। लाइसेंसदार ,बिड्डिंग के दौरान निर्धारित प्रपत्र में,मंडल में उनके पास उपलब्ध केटरिंग इकाइयों को घोषित करते हुए एक शपथ पत्र प्रस्तुत करेंगे। रेलवे लाइसेंस प्रदान करने के दौरान इन ब्यौराओं को सत्यापित करने के लिए एक डाटा बेस का रखरखाव करेंगे। इसे रेलवे वेबसाइट द्वारा यह सूचित किया जाएगा तथा नियमित आधार पर समाधान किया जाएगा। वर्तमान सीलिंग सीमा के अनुसार प्रति मंडल के लिए अधिकतम पांच (5)इकाइयाँ हैं। At time of awarding of license, Railway shall ensure that the ceiling limits as prescribed in the Catering Policy 2017 and as amended from time to time are complied with. The Licensee shall submit an affidavit declaring the details of the catering units held by him on division in the prescribed format at the time of bidding. Railway shall maintain a data base for verifying these details at the time of award of license. It will be notified through Railway websites and also reconciled at regular basis. The current ceiling limit is maximum of five (5) units per division.

6.9 कोई गैरकानूनी / अवैध गतिविधि नहीं No unlawful/illegal activity

लाइसेंसदार और/या उनके कर्मचारी जीएमयू में और/या स्टेशनों में, किसी गैर कानूनी, गैर चारित्रिक या गैर विधिपूर्ण कार्य नहीं करेंगे। यह स्पष्ट किया जाता है कि, अगर लाइसेंसदार रेलवे द्वारा या किसी अन्य सक्षम प्राधिकारी द्वारा गैर विधिपूर्ण कार्य में लगने के लिए या किसी कानून के उल्लंघन के लिए प्रतिबंधिक किए जाने के कारण हुए किसी नष्ट या क्षति के लिए, किसी भी तरह की प्रतिपूर्ति पाने का हक लाइसेंसदार को नहीं होगा। The Licensee and/or its staff shall not carry on any unlawful, immoral or illegal activity in the GMU and/or at the station(s). It is clarified that if the Licensee suffers any loss or damage on account of the Licensee being restrained by the Railway or any other competent authority for indulging in illegal activities or any contravention of any law, the Licensee shall not be entitled to any compensation whatsoever.

6.10 सुझाव / शिकायत पुस्तिका का प्रावधान Provision of suggestion/complaint book

लाइसेंसदार एक सुझाव/शिकायत पुस्तिका को यात्रियों को बिना किसी कठिनाई से उनके सुझाव /शिकायतों को पंजीकृत करने योग्य यथोचित स्थान में रखेंगे। यह सुझाव/शिकायत पुस्तिका क्रमानुसार नंबर लगाया होगा और रेलवे द्वारा पूर्वप्राधिकृत किया होगा। The Licensee shall keep a suggestion/complaint book at a conspicuous place where the passengers can register their suggestions/complaints without any difficulty. This suggestion/complaint book shall be serially numbered and pre-authenticated by the Railway.

6.11 प्लास्टिक सामग्री का कोई उपयोग नहीं No use of plastic material

लाइसेंसदार केटरिंग सेवाएं प्रदान करते समय,खाद्य पदार्थों की आपूर्ति के लिए प्लास्टिक सामग्री का उपयोग नहीं करेंगे बल्कि एको फ्रेंडली/बयो डीग्रेडबल पेकेजिंग खाद्य सामग्री, चाय/काफी आदि देने के लिए अच्छे स्तर के ग्लास/पेपर कप का उपयोग करेंगे। The Licensee shall, in rendering catering services, not use plastic material but eco-friendly/biodegradable packaging material for supply of food items, good quality glasses/paper cups for serving tea/coffee, etc.

6.12 कचरा संग्रह Collection of garbage

लाइसेंसदार समुचित स्थानों में पर्याप्त संख्या में कूडे दान की उपलब्धता/प्रबंध करने के लिए जिम्मेदार होंगे। लाइसेंसदार सरल निपटारा एवं ठीक हैंड्लिंग के लिए बयो डीग्रेडबल बैग को कूडे दान में रखने की बात सुनिश्चित करेंगे। इनको उत्पादन क्षेत्र के बाहर साफ किया जाना है। लाइसेंसदार मेटालिक कूडेदान,जो कुछ अवधि के बाद जंग लग जाने के कारण,का उपयोग न करें। कूडे अलग करते समय बयो डीग्रेडल और नान बयो डीग्रेडबल के रूप में करना है। रेलवे /मंडल द्वारा बनाए गए अनुदेशों के अनुसार कूडे दान के समुचित रूप से हटाने के लिए लाइसेंसदार जिम्मेदार होंगे। सभी कूडे दानों को नियमित रूप से लेबल करके, साफ करके तथा स्वच्छ बनाए रखना है। स्वास्थ्य, यांत्रिक और वाणिज्य निदेशालयों द्वारा जारी किए गए कूडे दान हटाने संबंधी अनुदेशों का पालन करना चाहिए। Licensee shall be responsible for availability/provision of adequate number of garbage bins at appropriate places. Licensee shall also ensure to place bio-degradable bags in garbage bins for easy disposal and proper handling. These should be cleaned outside the production area. Licensee shall avoid use of metallic dustbins, which become rusted over a period of time. Segregation of waste should be done as bio-degradable and bio non-degradable. Licensee shall be responsible for disposing the garbage suitably as per the instructions framed by Railway/ Division. All garbage bins must be labeled, cleaned and sanitized regularly. All instructions in regard to disposal of garbage issued by Health, Mechanical and Commercial Directorate are to be adhered to by licensee.

6.13 उचित बिल आदि जारी करना Issue of proper bills, etc.

लाइसेंसदार,जीएमयू के ग्राहकों को खाद्य पदार्थ/पेय बेचने के लिए सही बिल/रसीद जारी करना है। लाइसेंसदार यह भी सुनिश्चित करेंगे कि,इकाई में बेचे जानेवाले सभी पदार्थों के लिए कम्प्यूटरीकृत बिल लगाया गया है और वे,भारत सरकार या रेल मंत्रालय द्वारा रोकडरहित आदान प्रदान के लिए लागू किए गए पीओएस/स्वाइप मशीन,बीएचआईएम,मोबाइल वालट,भारत क्यूआर कोड, कोई नई योजनाएँ/टूल/यंत्र आदि अनिवार्यतः इकाई में उपलब्ध होने की व्यवस्था करेंगे। The Licensee shall issue proper bill(s)/receipts(s) against the sale of food items/beverages to the customers of the GMU. The licensee shall also ensure computerized billing for all the items sold in the unit and the licensee shall provide the facility for cashless transaction viz. POS/Swipe machine, BHIM, Mobile Wallets, Bharat QR code, any new schemes/tools/instruments introduced by Government of India or Ministry of Railways for promoting cashless transaction etc. compulsorily available in the unit.

6.14 जीएमयू में पकाना Cooking in the GMU

अन्यथा बिड दस्तावेज में तथा/अथवा इस करार में बताए गए हो,लाइसेंसदार जीएमयू में किसी भी चीज का नहीं पकाएंगे। Except or otherwise provided in the Bid document and/or this Agreement, the Licensee shall not cook anything in the GMU.

6.15 उत्पाद की बिक्रि पर रोक Ban on sale of products

लाइसेंसदार, जीएमयू पर कानून द्वारा मना किए गए तंबागू पदार्थ, वाइन, बीर या किसी अन्य अल्काहालिक पेय या किसी अन्य पदार्थों को नहीं बेचेंगे /वितरित करेंगे। इसके आगे, लाइसेंसदार बीफ/पोर्क को, किसी भी रूप में,ग्राहकों को दिए गए किसी भी खाद्य पदार्थों मे नहीं उपयोग करेंगे। The Licensee shall not sell/distribute tobacco products, wine, beer or any other alcoholic drink or any other item prohibited by law on the GMU. Further, the Licensee shall not use beef/pork in any form in any food items served to customers.

6.16 जमीन आदि पर खाद्य पदार्थों को नहीं रखना Food articles not to be kept on floor, etc.

1. लाइसेंसदार सुनिश्चित करेंगे कि केटरिंग कर्मचारी जीएमयू के फ्लोर में किसी भी खाद्य पदार्थ को नहीं रखते हैं। लाइसेंसदार यह सुनिश्चित करेंगे कि केटरिंग कर्मचारी अपने जेब में /कार्ड पेटियों में/मिनरल वाटर कार्तों आदि में खाद्य पदार्थों को नहीं xx जाते हैं तथा इस कार्य के लिए केवल कंटेनर का उपयोग किया जाना है। The Licensee shall ensure that the catering staff shall not keep any food article on the floor of the GMU. The Licensee shall ensure that the catering staff shall not carry any food item in their pockets/card boxes/mineral water cartons, etc. and only container should be used for these purposes.

2. लाइसेंसदार स्टाल के बाहर या प्लेटफार्म पर कोई भी पदार्थ स्टाक नहीं करेंगे। यदि ऐसा पाया गया तो उसे सीज़ किया जाएगा और तदनुसार कार्रवाई की जाएगी। The Licensee shall not stock any items outside the stall or on the platform, if found the items will be seized and action will be taken accordingly.

6.17 लाइसेंसदार/प्राधिकृत प्रबंधक की उपस्थिति Presence of Licensee/authorized Manager

लाइसेंसदार या एक विधिवत प्राधिकृत और सक्षम प्रबंधक जिसे लाइसेंसदार द्वारा नियुक्त और भुग्तान किया गया है, वे इस करार के उपबंधों के अधीन किए जानेवाले व्यापार का प्रबंध या पर्यवेक्षण करने के लिए निजी तौर पर उपस्थित रहेंगे और सुनिश्चित करेंगे कि इस करार के अधीन लाइसेंसदार की बाध्यता को विधिवत किया जा रहा है तथा ध्यान से देखा जाता है। इसके अतिरिक्त लाइसेंसदार या एक विधिवत प्राधिकृत और सक्षम प्रबंधक जिसे लाइसेंसदार ने नियुक्त किया है वे, रेलवे की संतोषजनक निष्पादन के लिए प्रशासन की सुविधानुसार पार्टियों के बीच आपसी तौर पर निर्णित स्थल पर रहेंगे। प्रबंधक के नाम(नामों)को लाइसेंसदार द्वारा रेलवे को समय समय पर सूचित किया जाएगा। The Licensee or a duly authorized and competent Manager appointed and paid by the Licensee shall remain present in person to manage or supervise the business to be carried on under the provisions of this agreement and to ensure that the obligations of Licensee under the Agreement are duly performed and observed. In addition, Licensee or a duly authorized and competent Manager, appointed by the Licensee shall remain available at the location mutually decided between the parties for ease of administration of performance of license to the satisfaction of the Railway. The name(s) of the Manager will be advised by the Licensee to the Railway from time to time.

6.18 स्टाफ वर्दी, पहचान पत्र आदि Staff Uniform, Identity cards, etc.

1. लाइसेंसदार केटरिंग कर्मचारियों के उनके पहचान पत्रों के साथ विशिष्ट वर्दी प्रदान करेंगे। वर्दी की स्टाइल और पेटर्न क्षेत्रीय रेलवे/मंडल द्वारा अनुमोदित किया जाएगा। मंडल नियुक्त वेंडिग कर्मचारी को अनुमोदित करेगा और ऐसे अनुमोदन की प्रति को सभी परिस्थितियों में स्टॉल में रखना होगा। The Licensee shall provide distinctive uniforms for catering staff with their identity cards. The style and pattern of the uniform shall be as approved by the Zonal Railway/Division. Division shall approve the vending staff employed, the copy of such approval to be available in the stall at all points of time.

2. लाइसेंसदार सुनिश्चित करेंगे कि सभी समय केटरिंग कर्मचारी नाम xxxx के साथ काम कर रहे हैं। The Licensee shall ensure that the catering staff at all times display the nameplate.

3. लाइसेंसदार सुनिश्चित करेंगे कि जीएमयू में तैनात केटरिंग कर्मचारी को साफ-सुथरा है। The Licensee shall ensure that the catering staff to be deployed at the GMU must be well groomed.

6.19 लाइसेंसदार के बोनाफाइड स्टाफ Bonafide Staff of the Licensee

1. लाइसेंसदार जीएमयू में कार्य करने के लिए लाइसेंसदार के वास्तविक कर्मचारियों के अलावा, किसी भी अन्य को अनुमत नहीं करेंगे और सुनिश्चित करेंगे कि,कर्मचारी निर्धारित बाध्यता को निभाने के लिए आवश्यक वस्तु के अलावा अन्य वर्णन की किसी वस्तु को साथ नहीं xx जाते हैं। The Licensee shall not permit anyone except the bonafide staff of the Licensee to staff the GMU and ensure that the staff shall not carry any article of any description other than those required for the fulfillment of the obligations contained herein.

2. लाइसेंसदार के कर्मचारी लागू प्राधिकार एवं खाद्य तैयारी और सेवा में लगे कर्मचारी को कोई संक्रमण रोग नहीं होने की बात सुनिश्चित करने के लिए लाइसेंसदार के अनुरोध पर पंजीकृत चिकित्सक द्वारा जारी, चिक्त्सा प्रमाण पत्र xx जाना है। लाइसेंसदार सुनिश्चित करेंगे कि कर्मचारी के पहचान पत्र रेलवे द्वारा अनुप्रमाणित किया गया है। The staff of the licensee will carry valid authority and medical fitness certificate to be issued by the Registered Medical Practitioner on the request of the Licensee to ensure the staff handling preparation and service of food are not suffering infectious diseases. The Licensee shall ensure that the identification card of the staff should be duly attested by the Railway.

6.20 लाइसेंसधारक के कर्मचारियों के पूर्ववर्ती पूछताछ Enquiry into the antecedents of the Licensee’s employees

लाइसेंसदार किसी बुरे चरित्र वाले को या किसी व्यक्ति जिसके पूर्ववृत्त का पुलिस प्राधिकारियों/ सांसद/एमएलए/एसएलसी/काउंसिलर/ग्राम पंचायत सर्पांच/ प्रथम श्रेणी मेजिस्ट्रेट/राजपत्रित अधिकारी द्वारा जांच/प्रमाणित नहीं किया गया है नियुक्त नहीं करेंगे और जिनको नियुक्ति प्रमाण पत्र(लाइसेंसदार द्वारा हस्ताक्षरित) दिये है उसमें नियुक्त कर्मचारी की फोटो उनके या उनकी बाएं/दाएँ हाथ का अंगूठा निशान होना है जिसे वे अपने साथ जब आन् ड्यूटी में हैं साथ xx जाना है। इस सत्यापन के खर्च को लाइसेंसदार उठाना है। The licensee shall not in any capacity employ any person of bad character or any person, whose antecedents have not been investigated / certified by the Police Authorities/MP/MLA/MLC/ Councilor/ Gram PanchayatSarpanch/1st Class Magistrate / Gazetted Officer and shall issue an appointment certificate (signed by the Licensee) which shall contain a photograph of the employed with his or her left/right hand thumb impression affixed thereon in Printer’s ink which he will carry with him/her while on duty. The expenses for such verification are to be borne by the Licensee.

6.21 उपकरण की व्यवस्था Provision of equipment

लाइसेंसदार सेवाओं को संतोषजनक प्रदान करने के लिए,अपने ही उपकरण की व्यवस्था करेंगे। The Licensee will arrange his own equipment for satisfactory provisions of services.

6.22 प्रथम चिकित्सा बक्स की व्यवस्था Provision of first aid box

लाइसेंसदार जीएमयू में केटरिंग कर्मचारियों को प्रथम चिकित्सा देने के लिए प्रथम चिकित्सा पेटी को प्रदान एवं रखरखाव करेंगे और संबंधी केटरिंग पर्यवेक्षकीय कर्मचारियों को चिकित्सा प्राधिकारियों से प्रशिक्षण दिलवाएंगे। लाइसेंसदार सुनिश्चित करेंगे कि इससे संबंधित आवश्यक प्रमाण पत्र जीएमयू प्रबंधक के पास उपलब्ध है। The Licensee shall provide and maintain First Aid box for rendering first aid to the catering staff in the GMU and shall provide training to the concerned catering supervisory staff from the medical authorities. The Licensee shall ensure that requisite certificates in this regard should be available with the GMU Manager.

6.23 उचित रिकार्ड आदि का रखरखाव Maintenance of proper records, etc.

लाइसेंसदार जीएमयू से संबंदित,सही और संपूर्ण दस्तावेज अर्थात, लेखा, वाउचर, बिल, बिक्री रजिस्टर, कर आदि का रखरखाव करेंगे और ग्रास सेल्स टर्नोवर जानने के लिए, रेलवे द्वारा निरीक्षण के लिए उपलब्ध कराएंगे। The Licensee shall maintain proper and full records viz., accounts, vouchers, bills, sales register, tax, etc. pertaining to the GMU and make it available for inspection by the Railway to ascertain the Gross Sales Turnover.

6.24 रेलवे संपत्ति की क्षति Damage to Railway Property

लाइसेंसदार रेलवे संपत्ति को.लाइसेंसदार के कर्मचारियों के द्वारा हुए ओमिशन या कमिशन के कार्यों से हुई किसी क्षति के लिए, जिम्मेदार होंगे। The Licensee shall be responsible for any damage caused to Railway property provided arising due to the acts of omission or commission of the staff of the Licensee.

6.25 करार की समाप्ति पर जीएमयी को वापस सौंपना Handing over of GMU on expiration/termination of the Agreement

करार की कालावधि या समाप्ति पर, लाइसेंसदार तुरंत(72 घंटे के अंदर)जीएमयू को खाली कर देंगे और जीएमयू की खाली स्थिति में रेलवे को, रेलवे फिक्स्चर व फिट्टिंग्स को अच्छी स्थिति में, सौंप देंगे। डीफाल्ट में, रेलवे को जीएमयू में प्रवेश करके उसे खब्जा करने तथा उसी को ताला बंद करके या लाइसेंसदार के फर्नीचर व अन्य सामग्रियों को, जो वहाँ पडे हैं, और उनको हटाने और बेचने या अन्यथा द्वारा निकालने, किसी क्षति के लिए दायित्व हुए बिना, निकालने का संपूर्ण अधिकार है और इस सिल सिले में हुए सभी खर्च को रेलवे द्वारा बिक्री से प्राप्ति से या सुरक्षा जमा से प्राप्ति से या लाइसेंसदार के अनिर्णित देय से कटौती किया जाएगा। Upon expiration or termination of this Agreement the Licensee shall immediately (within 72 hours) vacate the GMU and shall deliver the vacant possession of the GMU to the Railway along with the Railway’ fixtures and fittings therein in good condition. In default, the Railway shall be entitled to enter and take possession of the GMU and to lock up the same or remove the furniture or other articles of the Licensee that may be lying there and to dispose of the same by sale or otherwise without being liable, for any damages, and all expenses incurred in connection therewith, shall be deducted by the Railway from the sale proceeds or from the Security Deposit or outstanding dues of the Licensee.

6.26 सूचना Information

लाइसेंसदार सभी सूचनाएं,दस्तावेज आदि को समय समय पर रेलवे द्वारा अपेक्षितानुसार दस दिनों के अंदर प्रदान करेंगे, अन्यथा रेलवे को करार समाप्ति सहित,समुचित दंड लगाने का संपूर्ण अधिकार है। The Licensee shall furnish all information, record, etc. within ten (10) days as may be required by the Railway from time to time, failing which the Railway reserve the right to impose suitable penalties on the Licensee including termination of the Agreement.

6.27 निर्देशों का अनुपालन Compliance of Instructions

लाइसेंसदार बेहत्तर सेवाएँ सुनिश्चित करने के लिए समय समय पर रेलवे द्वारा जारी किए गए अन्य किसी अनुदेशों का अनुपालन करेंगे। The Licensee shall comply with any other instructions issued by the Railway from time to time as may be necessary to ensure better services.

अनुच्छेद ARTICLE 7: रेलवे के अधिकार और दायित्व RIGHTS AND OBLIGATIONS OF RAILWAY

7.1 सामान्य General

1. रेलवे द्वारा स्वीकृत किया गया है कि, करार के अधीन लाइसेंसदार के लिए रेलवे के प्रधान बाध्यता,परिचालन के शुरुआत की योजना के अंतिम प्रक्रिया के दौरान,लाइसेंसदार को सहायता प्रदान करना(जैसा पार्टियों द्वारा आपस में सहमत) होगा। It is agreed by Railway that the principal obligation upon Railway towards the Licensee under the Agreement, shall be to render assistance (as mutually agreed by the parties) to the Licensee during the finalization of the plan for commencement of operations.

2. अगर लाइसेंसदार पार्टियों द्वारा आपस में सहमत सहायता के अतिरिक्त,रेलवे से कोई न्यायपूर्व सहायता की आवश्यकता है,तो उसी को रेलवो को लाइसेंसदार सूचित करेंगे, जिसके अनुरोध को रेलवो द्वारा बिना कारण के मना न किया जाना है।If the Licensee requires any xxxxxxxxxx xxxxxxxxxx from Railway in addition to assistance mutually agreed by the parties, then the same may be conveyed by the Licensee to Railway which request shall not be unreasonably denied by Railway.

3. रेलवे लाइसेंसदार और उनके कर्मचारियों को जीएमयू पर सेवाएं प्रदान करने के लिए प्राधिकार जारी करेगा। The Railway shall issue authority to the Licensee and its staff for providing services on the GMU.

7.2 रेलवे द्वारा खाद्य पदार्थों का परीक्षण Test/Inspection of food samples, etc. by the Railway

1. रेलवे को खाद्य नमूने/कच्चा माल संग्रहित करके,लाइसेंसदार की खर्च में, अनुमोदित प्रयोगशालाओं में परीक्षण करने का अधिकार है।The Railway reserve the right to get the food samples/raw materials collected and tested at approved laboratories at the cost of the Licensee.

2. रेलवे को, लाइसेंसदार द्वारा प्रदान की गई सेवाओं के मानक, स्तर और भिन्न खाद्य मदों की, डिस्पोसल व्यवस्था आदि का कभी भी निरीक्षण/जांच करने का अधिकार है और लाइसेंसदार के निष्पादन को पता लगाने के लिए किसी व्यक्ति या एजंसी को प्राधिकृत करने का अधिकार है। किसी भी तरह के गैर संतोषजनक निष्पादन या शिकायत के मामले में, रेलवे को करार समाप्ति सहित, करार के शर्तों के अधीन लाइसेंसदार के विरुद्ध समुचित कार्रवाई शुरु करने का अधिकार है। The Railway shall have the right to inspect/check the services provided by the Licensee for reviewing its standards, quality and variety of food items, disposal systems, etc. at any time and may authorize any person or agency for this purpose to access the performance of the Licensee. In case of unsatisfactory performance or complaint of any nature, the Railway will be entitled to initiate the suitable action against the Licensee including termination of this Agreement as per the terms and conditions of this Agreement.

7.3 लाइसेंसधारी द्वारा असंतोषजनक सेवाओं आदि की स्थिति में विकल्प व्यवस्था करने का अधिकार Right to make substitute arrangement in the event of unsatisfactory services, etc. by the Licensee

1. गैर संतोषजनक सेवा, निम्न स्तर की सामग्रियाँ, यात्रियों से निरंतर शिकायत और अपेक्षित निष्पादन स्तर की सेवाएं या लाइसेंसदार द्वारा रेलवे की (जो एक मात्र न्यायाधीश होगा और उसका निर्णय अँतिम होगा) सहमति हेतु,करार के शर्तों व उपबंधों को निभाने में कोई खराबी या कभी कोई डीफाल्ट के मामले में,इस करार के अधीन या अन्यथा रेलवे को उपलब्ध अन्य किसी उपाय की पक्षपाती के बिना, रेलवे मात्र को, किसी भी तरीके से, किसी दूसरी व्यवस्था अपनाने,जिसे वह लाइसेंसदार के रिस्क व लागत पर समुचित मानता है उसे अपनाने का अधिकार है। In the event of unsatisfactory service, poor quality of articles, persistent complaints from passengers, and services below the desired performance level or any failure or default at any time on the part of the Licensee to carry out the terms and provisions of the agreement to the satisfaction of the Railway (who will be sole judge and whose decision shall be final), then without prejudice to any other remedy that may be available to the Railway under this Agreement or otherwise, the Railway reserve the right to make any substitute arrangement in any manner, it may deem fit at the risk and cost of the Licensee.

2. लाइसेंसदार सभी लागत और खर्च का.उपरोक्तानुसार दूसरी व्यवस्था करवाने में रेलवे को हुए खर्च समाधान करने को स्वीकृत करता है। The Licensee agrees to make good all cost and expenses, if any incurred by the Railway for making the substitute arrangements referred to above.

7.4 ग्राहक फीडबैक Customer’s feedback

लाइसेंसदार की सेवाओं पर यात्री संतुष्टि के स्तर जानने के लिए, रेलवे को इंडिपेंडेंट यूसर फीड बेक की सहायता लेने का अधिकार है। The Railway shall be entitled to take independent user’s feedback to know the level of passenger satisfaction of the Licensee’s services.

7.5 जीएमयू के स्वामित्व को फिर से पाने का अधिकार Right to resume the possession of GMU

रेलवे संचालन कार्य के लिए आवश्यकता होने पर जीएमयू की संपत्तियों को पुनस्थापित करने का एकमात्र अधिकार रेलवे को है। Railway reserves the right to resume the possessions of the GMU if required for the purpose of working of the Railway.

आर्टिकल ARTICLE 8: मेनु और दर में परिवर्तन CHANGES IN MENU AND TARIFF

8.1 रेलवे को,लाइसेंस एवार्ड करने के बाद, जीएमयू के केटरिंग मेनु तथा टारीफ को कभी भी परिवर्तित करने का संपूर्ण अधिकार है। रेलवे द्वारा ऐसी किसी परिवर्तन के मामले में, लाइसेंसदार, जीएमयू पर यात्रियों को खाद्य की तैयारी,आपूर्ति और सेवा का उसी स्तर और स्वास्थ्य स्तर बनाए रखेंगे जिस प्रकार परिवर्तन के पूर्व था। Railway reserves the rights to change catering menu and tariff for the GMU at any time after the award of the License. In the event of any such change by the Railway, the Licensee shall maintain the same quality and hygiene standards for preparation, supply and service of food to passengers on the GMU as it were prior to such change.

8.2 केटरिंग टारीफ में किसी चढती पुनरीक्षण के मामले में, लाइसेंसदार को यात्रियों को खाद्य पदार्थ बेचने को अनुमत किया जा सकता है। इस मामले में, रेलवे को देय लाइसेंस फी परिवर्तित नहीं होगा। In the case of any upward revision in catering tariff, the Licensee shall be allowed to sell food at the revised rates to the passengers. In this event, the license fee payable to Railway shall not change.

8.3 लाइसेंसदार केवल रेलवे अनुमोदित पीएडी पदार्थों को बेचेंगे। पीएडी मदों का भार और दर,खुला बाजार में उपलब्ध भार व दर से भिन्न नही होना चाहिए। The licensee shall sell only the Railway approved PAD items. The weight and the rate of the PAD items should not vary from that available in the open market.

अनुच्छेद ARTICLE 9: प्रदर्शन स्तर गारंटी अनुपालन PERFORMANCE LEVEL GUARANTEE COMPLIANCE

9.1 लाइसेंसदार एतद्वारा ग्रहण करते एवं वादा करते हैं कि यह करार की अवधि के दौरान, अनुबंध । में निर्णितानुसार स्कोप आफ वर्क तथा अनुबंध ।।। में निर्णितानुसार अपेक्षित निष्पादन स्तर का पालन करेंगे। The Licensee hereby undertakes and represents that it shall adhere to the Scope of Work as determined in Annexure – I and the ‘Desired Performance Levels’ as determined in the Annexure - III at all time during the Term of the Agreement.

9.2 लाइसेंसदार ग्रहण करते हैं तथा सहमत हैं कि अगर अपेक्षित निष्पादन स्तर का अनुपालन नहीं किया गया हो, तो रेलवे को,अनुबंध ।।। में बताए अनुसार लाइसेंसदार पर सेवा स्तर दंड लगाने का अधिकार है।The Licensee undertakes and agrees that in the event that the ‘Desired Performance Levels’ are not complied with, then Railway has the right to impose service level penalties (Penalties) on the Licensee as also set forth in Annexure III.

9.3 उपरोक्त अनुच्छेद 9.2 की सामान्यता को किसी पक्षपात किए बिना, लाइसेंसदार एतद्वारा स्वीकृति देते हैं तथा सहमत हैं कि, रेलवे द्वारा दंड लगाने का अधिकार अटल और निर्विवाद है और कि लाइसेंसदार को रेलवे को स्वचालित रूप से जब कभी लाइसेंसदार द्वारा निष्पादन स्तर का डीफाल्ट होने पर, दंड लगाने से रोकने का किसी भी प्रकार का अधिकार नहीं है। Without prejudice to the generality of the above Article 9.2, the Licensee hereby acknowledges and agrees that the right for the imposition of Penalties by Railway is irrevocable and undisputed & that the Licensee shall not have any right whatsoever to pre-empt Railway from claiming Penalties automatically as and when there are performance level defaults by the Licensee.

9.4 निष्पादन स्तर को मानीटर तथा आडिट करने के कार्य के लिए, पार्टी सहमत हैं कि रेलवे को आडिट, पुनर्मूल्यांकन, स्वतंत्र रूप से लाइसेंसदार के निष्पादन को मानीटर और निर्धारण करने का अपना एकमात्र अधिकार है। For purposes of monitoring & auditing the ‘Performance Levels’, the parties agree that Railway shall have the sole & exclusive right to audit, re-evaluate, independently monitor and assess the performance of the Licensee.

अनुच्छेद ARTICLE 10: तीसरे पक्ष के ठेकेदार और सब-लेटिंग की रोकथाम THIRD PARTY CONTRACTORS AND PROHIBITION OF SUB-LETTING

10.1 लाइसेंसदार इस करार या इसके किसी भाग को उप-किराएदारी को देंगे या स्थानांतरण नहीं करेंगे। फिर भी, रेलवे इस प्रकार के लाइसेंस के लिए,लाइसेंसदार सामग्री,माल आदि के विभिन्न पूर्तिकार की सेवाएँ लेने के लिए अनुमति प्रदान करता है। लाइसेंसदार इस प्रकार की तीसरी पार्टी ठेकेदारों को माल और सामग्रियाँ आपूर्ति करने के लिए नियुक्त कर सकते हैं, जिनके विवरण रेलवे को सूचित करना है। पार्टियों द्वारा यह सहमत है कि लाइसेंसदार द्वारा कोई अन्य तीसरी पार्टी की नियुक्ति अनुमत नहीं किया जा सकता है। The Licensee shall not sublet, transfer or assign this Agreement or any part thereof. However, the Railway appreciate that for a license of this nature, the Licensee may have to take services of various suppliers of materials, goods etc. The Licensee may appoint such third party contractors for supply of goods and materials, whose details should be disclosed to the Railway. It is agreed by the parties that no other appointment of third parties by the Licensee shall be permitted.

10.2 इस करार के कार्य के लिए, उप-किराएदारी, स्थानांतरण या समनुदेशन मना करने में निम्नलिखित शामिल है लेकिन सीमित नहीं है - For the purposes of this Agreement, the prohibition of sub-letting, transfer or assignment shall be deemed to include but not limited to the following:

1. लाइसेंसदार इस करार द्वारा अनुमत किए बिना, लाइसेंस के अधीन सेवाओं के निष्पादन को प्रत्यायोजित या उप प्रत्यायोजित नहीं कर सकते।The Licensee shall not delegate or sub-delegate the performance of any of the services under the license except as permitted in this Agreement.

2. लाइसेंसदार उप-किराएदारी, स्थानांतरण, समनुदेशन नहीं कर सकते या किसी एंटिटी,कार्मिक या निगम को इस करार के लाभ को अनुमत नहीं कर सकते हैं।The Licensee shall not sublet, transfer, assign or allow any entity, personnel or corporation the benefits of this Agreement.

10.3 अगर तीसरे पार्टियों को इस करार के अनुच्छेद 10.1 के अनुपालनानुसार नियुक्त किया जाता है तो, लाइसेंसदार सभी समय रेलवे को मूलतः उत्तरदायी होंगे और कि इस करार के अधीन उनका दायित्व का कोई अपवाद नहीं हो सकता है। इस करार की अवधि के दौरान लाइसेंसदार ठेका के एकमात्र अंश पर,सभी सेवाओं के संबंध में,रहेंगे। If third parties are appointed pursuant to Article 10.1 under this Agreement, then the Licensee shall at all times remain principally liable towards the Railway and that there shall be no exception to their liability under this Agreement. The Licensee will also remain at the sole point of contact regarding all the services during the Term of this Agreement.

10.4 अगर रेलवे किसी समय किसी तीसरे पार्टी उप ठेकेदार (अनुच्छेद 10.1के अधीन नियुक्त) के बारे में लाइसेंसदार को किसी असंतुष्टि अभिव्यक्त करता है तो,लाइसेंसदार रेलवे की आवश्यकताओं का अनुपालन करेंगे, जिसमें रेलवे द्वारा उक्त उप ठेकेदार आदि को हटाने के निदेश भी शामिल हो सकता है। If the Railway at any point of time expresses any concerns to the Licensee regarding any third party sub-contractor (appointed under Article 10.1), then the Licensee will comply with the requirements of the Railway forthwith; which may include the direction by the Railway to remove the said sub-contractor, etc.

अनुच्छेद ARTICLE 11: साम्पत्तिक अधिकार PROPRIETARY RIGHTS

11.1 इस करार कार्य के लिए, पार्टियों द्वारा यह स्वीकृत किया जाता है कि, इस करार लागू करने के दौरान, हरेक पार्टी के संबंधी प्रोप्राइटरी राइटस,उस पार्टी के अपने और एकमात्र अधिकार रहेगा। For purposes of this Agreement, it is agreed by the parties that the respective proprietary rights of each party at the time of execution of this Agreement shall remain as the sole and exclusive rights of that party.

11.2 इस करार के अधीन, अगर किसी पार्टी की किसी संपत्ति को दूसरे पार्टी द्वारा शामिल सेवाओं के प्रबंध कार्य के लिए उपयोग करना पडे तो, उक्त पार्टी (संपत्ति का मालिक) दूसरे पार्टी को, विशिष्ट कार्य के लिए तथा इस करार के शर्ताधीन, उपयोग करने का सीमित अधिकार प्रदान करेंगे। उपयोग करने के उपरोक्त लाइसेंस विशिष्ट कार्य के लिए तथा इस करार के शर्ताधीन प्रतिबंधित किया जाएगा और किसी भुगतान की आवश्यकता नहीं लाएगा क्योंकि इस करार ऐसी कार्यों के लिए लागू निर्णय के आधार बने रहेगा। If any property of either party is to be used by the other party for purposes of provision of services included, etc. under this Agreement, then the said party (owning the property) will grant a limited right to use to the other party for the specific purpose and Term of this Agreement only. The aforesaid license to use shall be restricted for the specific purpose and Term of this Agreement and shall not involve any need for the payment of consideration as this Agreement shall form part and basis of valid consideration for such purposes.

अनुच्छेद ARTICLE 12: गोपनीयता CONFIDENTIALITY

12.1 पार्टी इस प्रकार सहमत हैं और स्वीकार करते हैं कि वर्तमान समझौते के हर पहलू में वाणिज्यिक शर्तों, तकनीकी मानकों इत्यादि शामिल हैं लेकिन सीमित नहीं हैं, प्रत्येक पार्टी के लिए अमूल्य हैं और गोपनीय जानकारी के रूप में दोनों मानते है। Parties hereby agree and acknowledge that every aspect of the present Agreement including but not limited to the commercial terms, technical parameters, etc. are invaluable to each party and are to be collectively regarded as part of confidential information.

12.2 लाइसेंसधारक यह स्वीकार करता है कि लाइसेंसधारक के साथ रेलवे द्वारा साझा की गई सभी प्रणालियों, डेटा, सामग्री, आदि, को लाइसेंसधारक गोपनीय रखेंगे। The Licensee acknowledges that all information, data, material, etc, of its systems and operations shared by Railway with the Licensee, shall be regarded as part of confidential information by the Licensee.

12.3 लाइसेंसधारक इस बात से सहमत है कि विशेष रूप से ग्राहक डेटा के संबंध में गोपनीयता का कोई भी उल्लंघन इस समझौते के प्रयोजनों के लिए भौतिक उल्लंघन का गठन करेगा। The Licensee agrees that any violation of confidentiality especially with regards to customer data shall constitute material breach for purposes of this Agreement.

अनुच्छेद ARTICLE 13: परीक्षणाधिकार AUDIT RIGHTS

13.1 समझौते के तहत रेलवे, सेवा लाभार्थी होने के कारण, उसके पास समझौते की पूरी अवधि के दौरान लाइसेंसधारक पर लेखा परीक्षा और निरीक्षण अधिकार होंगे। Railway being the service beneficiary under the Agreement shall have audit and inspection rights upon the Licensee during the entire Term of this Agreement.

13.2 रेलवे को नियमित अंतराल पर लाइसेंसधारक की सुविधाओं के लेखा परीक्षा के साथ जीएमयू पर आवधिक लेखा परीक्षा आयोजित करने का अधिकार होगा। ऐसे लेखापरीक्षा में लाइसेंसधारक के तकनीकी और प्रदर्शन रिकॉर्ड का लेखा परीक्षा शामिल होगा जो यात्री प्रतिक्रिया और रेलवे द्वारा निर्धारित अन्य मानकों पर आधारित हो सकता है। Railway shall have the right to conduct periodic audits on the GMU along with audits of the facilities of the Licensee at regular intervals. Such audits shall include the audit of technical andperformance records of the Licensee which may be based on passenger feedback and other parameters set forth by Railway.

13.3 उपर्युक्त अनुच्छेद 13.2 के तहत लेखापरीक्षा अधिकारों के अतिरिक्त, रेलवे को लाइसेंसधारक के विशिष्ट प्रदर्शन रिकॉर्डों का लेखा परीक्षा करने का अधिकार होगा जिसमें भुगतान रिकॉर्ड इत्यादि शामिल हैं। In addition to the audit rights under Article 13.2 herein above, Railway shall have the right to audit particular performance records of the Licensee including payment records, etc.

13.4 रेलवे की प्रत्येक लेखापरीक्षा टीम को विशिष्ट रूप से रेलवे द्वारा मनोनीत किया जाएगा और लाइसेंसधारक को रेलवे द्वारा किसी भी लेखापरीक्षा दौरे को सूचित नहीं किया जाएगा। लेखापरीक्षा का स्थान, समय इत्यादि रेलवे द्वारा विशिष्ट रूप से तय किया जाएगा और लेखापरीक्षा से संबंधित लागत रेलवे द्वारा ली जाएगी। पार्टियां यह भी मानती हैं कि प्रत्येक लेखापरीक्षा के समापन पर, दोनों पक्षों के प्रतिनिधियों को प्रत्येक लेखापरीक्षा के संयुक्त रूप से तैयार मिनटों पर पारस्परिक रूप से साइन-ऑफ करना होता है। Each audit team of Railway shall be nominated by Railway exclusively and the Licensee shall not be intimated any audit visits by Railway. The location, time, etc. of the audit shall be decided by Railway exclusively and costs relating to the audit shall be borne by Railway. The parties also agree that upon the conclusion of each audit, representatives of both parties are to mutually sign-off on the jointly prepared minutes of each audit.

13.5 यदि रेलवे द्वारा निर्धारित किसी भी लेखापरीक्षा में रेलवे द्वारा निर्धारित किसी भी विसंगति का खुलासा होता है, तो उसे रेलवे द्वारा लाइसेंसधारक को लिखित रूप में सूचित किया जाएगा; जो रेलवे से लिखित संचार प्राप्त होने के 30 दिनों के भीतर रेलवे के लेखापरीक्षा परिणामों / दिशानिर्देशों का अनुपालन करने का दायित्व होगा। In the event that any audit by Railway reveals any discrepancy as determined by Railway, the same would then be communicated by Railway in writing to the Licensee; who shall be under obligations to comply with the audit results/directions of Railway within 30 days of receipt of written communication from Railway.

13.6 रेलवे अधिकृत / निर्धारित स्वतंत्र तृतीय पक्ष लेखा परीक्षा एजेंसियां खानपान इकाई का लेखा परीक्षा आयोजित करेगी जिसके लिए यह लाइसेंस जारी किया गया है और जहां रसोईघर / खाद्य पदार्थ प्रभावी गुणवत्ता नियंत्रण के लिए खानपान इकाई के लिए तैयार किया जाता हैं। लेखापरीक्षा रिपोर्ट में रिपोर्ट की गई किसी भी विसंगति / कमी के मामले में, रेलवे इस समझौते को समाप्त करने सहित लाइसेंसधारक के खिलाफ उपयुक्त कार्रवाई शुरू करने का हकदार होगा। Railway authorized/prescribed independent third party audit agencies will conduct audit of the catering unit for which this license is issued and the kitchen/s where food is/are prepared for the catering unit for effective quality control. In case of any discrepancy/deficiency reported in the audit report, the Railway will be entitled to initiate suitable action against the Licensee including termination of this Agreement.

13.7 आवश्यक आईएसओ प्रमाणीकरण और उससे संबंधित लागत, यदि कोई हो, प्राप्त करने के लिए लाइसेंसधारी जिम्मेदार होगा। Licensee shall be responsible for acquiring requisite ISO certification and the cost related to it, if any.

अनुच्छेद ARTICLE 14: बीमा और क्षति पूर्ति INSURANCE & INDEMNITIES

14.1 इस करार की अवधि के दौरान, लाइसेंसदार अपने खुद की खर्च में पर्याप्त बीमा, उसकी सभी बाध्यता को इस करार के अधीन प्राप्त करेंगे जिसमें, श्रमिक प्रतिपूर्ति के लिए बीमा, जीवन बीमा, स्वास्थ्य बीमा, दुर्घटना और रिस्क बीमा, आदि शामिल हैं जो कर्मचारियों के लिए हैं जिसमें लाइसेंसदार के खान-पान कर्मचारी भी शामिल हैं। लाइसेंसदार एतद्वारा स्वीकार करते हैं और पुष्टी करते हैं कि, रेलवे लाइसेंसदार के कार्मिक, कर्मचारी, निदेशक आदि की ओर से किसी भी दावे के लिए जिम्मेदार नहीं होगा। During the Term of this Agreement, the Licensee will obtain and maintain at its own expense, adequate insurance with regards all its obligations under this Agreement including insurance for workers compensation, life insurance, health insurance, accident & risk insurance, etc. for employees including the catering staff of the Licensee. The Licensee hereby agrees and confirms that Railway shall not be responsible in any manner whatsoever towards claims of the personnel, employees, directors, etc. of the Licensee.

14.2 लाइसेंसदार क्षति पूर्ति करने, नुकसान रहित बने रहने तथा रेलवे को किसी भी या सभी नष्टों,दावे,कार्रवाई, क्षति,दायित्व,लागत और खर्च,अटार्नी शुल्क सहित जो,लाइसेंसदार द्वारा इस करार के शर्तों के तोडने या उल्लंघन करने या गैर अनुपालन इत्यादि से रेलवे को हुआ हो या रेलवे से दावा किया गया हो, उससे रेलवे को बचायेंगे। लाइसेंसदार द्वारा प्रदान की गई उपरोक्त क्षति पूर्ति को करार की अवधि के दौरान और उसके बाद, किसी भी समय रेलवे द्वारा प्रयोग किया जा सकता है और लाइसेंसदार को बिना किसी विलंब,विरोध अनुपालन करना होगा। The Licensee agrees to indemnify, hold harmless and defend Railway from any and all losses, claims, actions, damages, liabilities, costs and expenses, including attorneys' fees that may be claimed upon or incurred by Railway due to breach or violation or non-compliance or whatsoever of the terms of this Agreement by the Licensee. The aforesaid indemnity granted by the Licensee can be invoked by Railway at any time during the tenure of the Agreement and after and the Licensee shall comply without any delay, protest or demur.

14.3 लाइसेंसदार दायित्व, सिविल और क्रिमिनल दायित्व को प्रतिपूर्ति/क्षति के लिए कन्सूमर प्रोटेक्शन अधिनियम 1986 या उसके सांविधिक परिशोधन या किसी अन्य कानून के जो तत्काल संदर्भ में लागू है, लापरवाही, सेवा में कमी, लाइसेंसदार, उनके श्रमिक, सेवक और एजंट द्वारा अधूरा या अनियमित निष्पादन के कारण हुए कार्य के लिए स्वीकार करते हैं। लाइसेंसदार रेलवे को उक्त अधिनियम या कानून के प्रावधानों के अधीन किए गए सभी भुगतान को लागत सहित क्षति पूर्ति करेंगे। उपरोक्तानुसार रेलवे द्वारा भुगतान किए जानेवाली किसी राशि को लाइसेंसदार द्वारा रेलवे को देय राशि माना जाएगा और रेलवे द्वारा मांग करने से सात दिनों के अंदर लाइसेंसदार द्वारा चूकने के मामले में,रेलवे को सुरक्षा जमा से उसे वसूल करने का अधिकार है। ग्राहक शिकायतों के लिए तथा कन्सूमर कोर्ट से किसी निदेश/फैसले के मामले में, लाइसेंसदार ही आवश्यकताँ पूरी करने के लिए जिम्मेदार होंगे। The Licensee accepts liability, civil and criminal for compensation/damages in accordance with provision of Consumer Protection Act, 1986 or any statutory modification of the Act or any other law for the time being in force for action occasioned by negligence, deficiency of service, imperfect or improper performance by the Licensee, his workmen, servants and agents. The Licensee shall indemnify the Railway from and against all payments made under the provision of the said Act or law including all costs. Any money which may become payable by the Railway as aforesaid shall be deemed to be money payable to the Railway by the Licensee and in case of failure by the Licensee to repay the Railway any money paid by it as aforesaid within seven (7) days after the same have been demanded by the Railway, the Railway shall be entitled to recover the same from the Security Deposit. The licensee shall be solely responsible for consumer complaints and in case of any direction/judgment from Consumer Court(s), the Licensee shall be solely responsible for fulfilling the requirements.

14.4 अगर लाइसेंसदार रेलवे द्वारा या किसी सक्षम प्राधिकारी द्वारा गैर कानूनी कार्र में लगे रहने के कारण रोके जाने की स्थिति में, किसी तरह का नुक्सान अनुभव करता है ,तो रेलवे किसी क्षति पूर्ति /प्रतिपूर्ति देने के लिए जिम्मेदार नही होगा। रेलवे ,लाइसेंसदार के चल /अचल संपत्ति,अगर हो तो, दुर्घटनाओं में उनको हुए नुक्सान/क्षति के लिए जिम्मेदार नही होगा। In case the Licensee suffers any loss on account of it being restrained by the Railway or any competent authority for indulging in illegal activities or any contravention of law, the Railway shall not be liable to pay any indemnification/compensation to the Licensee. Railway shall bear no liability in case of loss/damage to the licensee’s moveable/immovable property, if any, due to accidents.

14.5 लाइसेंसदार या उनके कर्मचारियों के द्वारा की गई गलती के कारण रेलवे को हुए सभी दावे और शस्तियों/जुर्माना के लिए, लाइसेंसदार निम्नलिखित कानूनों के उपबंधों के अनुपालन के लिए क्षति पूर्ति करेंगे –The Licensee shall, at all times indemnify the Railway against all claims and penalties which may be suffered by the Railway or its employees by reason of any default on the part of the Licensee or its staff in due observance and performance of provision of:

1. कर्मचारी प्रतिपूर्ति अधिनियम 1923 Employee’s Compensation Act, 1923

2. शिशु रोजगार अधिनियम 1938 Employment of Children’s Act, 1938 and

3. तत्काल के लिए लागू किसी अन्य लागू कानून। Any other relevant laws any other applicable for the time being in force

अनुच्छेद ARTICLE 15: डिफॉल्ट/मेटीरियल ब्रीच की घटनाएं EVENTS OF DEFAULT/MATERIAL BREACH

15.1 निम्नलिखित घटनाएं लाइसेंसदार की ओर से डीफाल्ट या मेटीरियल ब्रीच माने जाएँगे। The following event(s) shall be deemed to be the event(s) of default or material breach on the part of the Licensee:

1. अगर लाइसेंसदार प्रारंभिक दिनांक से, मास्टर लाइसेंस अग्रीमेंट के अनुच्छेद 1.1 में उल्लिखितानुसार, एक महीने के अंदर केटरिंग सेवा शुरू करने में चूकते हैं तो, If the Licensee fails to start catering service within one (1) month from the Commencement Date as defined in Article 1.1 of the Master License Agreement.

2. अगर रेलवे पहचानता है कि बिड्डर ने इस लाइसेंस को झूठी सूचना/ब्यौरा बिड दस्तावेज में देकर प्राप्त किया है, तो रेलवे को लाइसेंस को समाप्त करके लाइसेंस करार को समाप्त कर तथा, इसे ठेके का मेटीरियल ब्रीच मानकर, किसी क्षेत्रीय रेलवे/आईआरसीटीसी पर केटरिंग इकाइयों के आबंटन में आगे से भाग लेने से वर्जित/ काली सूची में लगाने का अधिकार है। If the Railway finds that the bidder has obtained this license by giving false information/details in the bid document at any time, Railway has the right to annul the license and terminate the license agreement and debar/black-list the licensee from participating further in allotment of catering units on any zonal railway/IRCTC, treating the same as material breach of contract.

3. अगर लाइसेंसदार लाइसेंस के अधीन संतोषजनक सेवाएँ प्रदान करने में चूकते हैं या If the Licensee fails to provide satisfactory services as under the License; or

4. अगर लाइसेंसदार अपेक्षित निष्पादन स्तर का पालन, रेलवे द्वारा करार की अवधि के दौरान कभी निर्णितानुसार करने में चूकते हैं या If the Licensee fails to adhere to the desired Performance Levels as determined by Railway at any time during the term of this Agreement; or

5. अगर रेलवे यात्रियों से या अन्यता, लगातार शिकायतें प्राप्त करता है या If the Railway receives persistent complaints against the Licensee from the passengers or otherwise; or

6. अगर लाइसेंसदार लाइसेंस फी को ब्याज के साथ,अगर हो तो,रेलवे को देय तारीख पर या उसके पूर्व भुगतान करने से चूकते हैं If the Licensee fails to pay license fee along with interest, if any, to the Railway on or before due dates; or

7. अगर लाइसेंसदार करार के अधीन केटरिंग सेवाएँ दिए जाने में भ्रष्ट या कपटपूर्ण व्यवहारों में लगे रहते हैं तो। If the Licensee engages in corrupt or fraudulent practices in execution of catering services under the Agreement; or

8. अगर लाइसेंसदार रेलवे द्वारा समय समय पर मांगे गए किसी सूचना/दस्तावेज को निर्धारित समय के अंदर न दे पाते हैं तो If the Licensee fails to provide any information/record within the prescribed time as may be demanded by the Railway from time to time; or

9. अगर रेलवे के संतोषजनक अपेक्षानुसार इस करार के शर्तों व प्रावधानों के निभाने में लाइसेंसदार की ओर से कभी कोई चूक या डीफाल्ट है तो,If there is any failure or default at any time on the part of the Licensee to carry out the terms and provisions of this Agreement to the satisfaction of the Railway.

अनुच्छेद ARTICLE 16: शास्ति/जुर्माना PENALTIES

16.1 रेलवे द्वारा अनुच्छेद 15 में बताई गई किसी भी घटनाओं पर लगाई गई शास्ति में निम्मलिखित शामिल होगा लेकिन उन तक सीमित नहीं होगा - The penalty(ies) that may be levied by the Railway on the Licensee in any of the instances mentioned in Article 15 above shall include but not limited to the following:

1. लाइसेंसदार द्वारा दिए गए सुरक्षा जमा पर पूरी तरह या आंशिक रूप से जब्ती/ विनियोजन और/या /forfeiture/appropriation of the Security Deposit in whole or part thereof, furnished by the Licensee; and/or

2. लाइसेंस को निष्प्रभाव करना और उसके साथ लाइसेंस करार को समाप्त करना और/या to annul the license and forthwith terminate the License Agreement; and/or

3. पांच वर्ष के लिए आईआरटीसी सहित क्षेत्रीय रेलवे के सभी खानपान ठेके/लाइसेंस में भाग लेने से वर्जित करना debar the Licensee from participating in all catering contracts/license of the Zonal Railways including IRCTC for a period of five (5) years.

16.2 शस्तियों के विवरण इस करार के अनुलग्नक में स्पष्ट बताया गया है। The details of penalties have been explained in Annexure II of this Agreement.

अनुच्छेद ARTICLE 17: समाप्ति TERMINATION

17.1 करार के दूसरे पार्टी लागू कानूनानुसार परिसमापन या दिवाला होने की स्थिति में रहे तो,पहले भाग के पार्टी,घटित ऐसी पुष्टीकृत घटनाओं पर समाप्ति सूचना जारी करके इस करार को समाप्त करेंगे। If party of the other part to the Agreement is subject to liquidation or insolvency under the applicable law, then the party of the first part may forthwith terminate this Agreement by issuing a notice for termination upon such confirmed events having taken place.

17.2 पार्टी सहमत हैं कि लाइसेंसदार के लिए मेटीरियल ब्रीच का तात्पर्य(इस करार में बताए गए उन अंशों के अलावा),अपेक्षित निष्पादन स्तर को बनाए रखने में चूकना और या अनुच्छेद 1.1 में वर्णित प्रारंभ दिनांक लक्ष्य पूरा करने में विलंब या एतत् प्रावधानों के अनुसार लाइसेंसदार द्वारा न्यूनतम लाइसेंस फी का गैर भुगतान और / या कोई गलत प्रत्यावेदन या पूरे करार में बताए गए गलत प्रत्यावेदन या स्वीकृत उपबंधों का उल्लंघन या बिड्डर के जवाब में लाइसेंसदार का,इस करार में बताए गए स्वीकृत उपबंधों का इस प्रकार ब्रीच या गैर अनुपालन रहे कि ब्रीच और गैर अनुपालन इस करार के उद्देश्य को ही विफल कर देता है। The parties agree that ‘Material Breach’ for the Licensee shall also mean (other than those instances set forth in this Agreement), the failure to maintain the desired Performance Levels’ and/or the delay in achieving the Commencement Date as described in Article 1.1 and/or non-payment of the minimum license fee by the Licensee in accordance with the provisions herein contained and/or any misrepresentation or violation of the commitments set forth in this entire Agreement or in response to the Bidder the breach or non-compliance by Licensee of its fundamental obligations under this Agreement, such that the breach or non-achievement defeats the object and purpose of this Agreement.

17.3 ठेके के शर्तों में किसी एक का लाइसेंसदार द्वारा मेटीरियल ब्रीच किए जाने या किसी भी कारण से करार में बताए अनुसार निष्पादन न कर पाने के मामले में, अन्य अधिकार और उपायों पर बिना किसी पक्षपात, रेलवे को, ठेका के समाप्त करने तथा लाइसेंसदार की गैर समाप्त अवधि के कार्य को लाइसेंसदार के रिस्क व लागत पर या रेलवे को हुए या होनेवाले नुक्सान, क्षति, खर्च या लागत को बराबर करने के लिए वसूल करवाने को रेलवे द्वारा निर्णितानुसार करवाने का अधिकार है। लाइसेंसदारा की ओर से उल्लंघन/चूक से संबंधित रेलवे का निर्णय अंतिम होगा और लाइसेंसदार के लिए बाध्यक बंधनकारी होगा और उसपर प्रश्न नहीं उठाया जा सकता है। Railway shall also have, without prejudice to other rights and remedies, the right, in the event of ‘Material Breach’ by the Licensee of any of the terms and conditions of the contract, or due to the Licensee’s inability to perform as agreed for any reason whatsoever, to terminate the contract forthwith and get the work done for the un-expired period of the License at the ‘risk and cost’ of the Licensee or in the manner Railway deems fit to recover losses, damages, expenses or costs that may be suffered or incurred by the Railways. The decision of the Railway about the breach/failure on the part of the Licensee shall be final and binding on the Licensee and shall not be called into question.

17.4 अनुच्छेद 17.1 के प्रावधानों के अलावा, रेलवे या लाइसेंसदार इस करार को, लासेंसदार /रेलवे को बिना किसी कारण बताए, लाइसेंसदार/रेलवे को लिखित रूप से 6 माह की पूर्व सूचना देकर समाप्त कर सकते हैं। Notwithstanding the provisions of Article 17.1 above, Railway or the Licensee may terminate this Agreement without assigning any reason to the Licensee / Railway by giving 6 (six) months prior notice in writing to the Licensee / Railway.

17.5 अगर करार को दोनों पार्टी द्वारा अनुच्छेद 17.1 के अधीन या रेलवे द्वारा अनुच्छेद 17.4 के अधीन समाप्त किया जाता है, तो रेलवे को किए जानेवाले निश्चित भुगतानों को प्रभावी समाप्ति तारीख तक करार के शर्ताधीन देय होगा तथा निपटाना होगा। In the event that the Agreement is terminated by either party pursuant to Article 17.1 or by Railway under Article 17.4, then the undisputed payments accruing to Railway shall be due and settled in accordance with the terms of the Agreement until the effective date of termination.

17.6 लाइसेंसदार द्वारा अनुच्छेद 17.4 के अधीन करार समाप्त करने के मामले में, रेलवे, लाइसेंसदार द्वारा भुगतान किए गए पूरे लाइसेंस फी को जब्त करके सुरक्षा जमा से लेना होगा। In the event the Agreement is terminated by the Licensee under Article 17.4, the Railway shall forfeit the entire License Fee paid by the Licensee and invoke the Security Deposit.

17.7 प्रारंभ तारीख के पूर्व अगर दोनों पार्टियों द्वारा करार समाप्त किया जाता है तो, करार के पार्टियों को, समाप्ति की प्रभावी तारीख पर परिचालन की शुरुआद की योजना के लिए काम करने से रुकना है। In the event that the Agreement is terminated by either party prior to the achievement of the Commencement Date, then the parties to the Agreement agree to stop working on the plan for commencement of operations on the effective date of termination.

अगर प्रारंभ तारीख के बाद रेलवे द्वारा करार समाप्त किया जाता है तो, लाइसेंसदार उसकी पावती देता है और किसी भी पार्टी द्वारा करार समाप्त करने की स्थिति में, रेलवे द्वारा यथा पुष्टीकृत प्रभावी समाप्ति तारीख तक,करार के अधीन सेवाओं के निष्पादन को निरंतर करने के लिए सहमत होगा। किसी भी परिस्थिति में, समाप्ति की प्रभावी तारीख, सूचना की तारीख से 8 माह से ज्यादा नहीं होना है। और, लासेंसदार, करार की अवधि के दौरान दी गई उसी शर्तों पर सेवाएं करने को सहमत देता है। In the event the Agreement is terminated by Railway after Commencement Date, then the Licensee acknowledges and undertakes to continue performance of the services under the Agreement until the effective date of termination as confirmed by Railway, irrespective of whichever party has terminated the Agreement. However, the effective date of termination shall not be more than 6 (six) months from the date of notice. Further, the Licensee agrees to provide services on the same terms as it were being provided during the tenure of the Agreement.

17.8 लाइसेंसदार द्वारा देय तारीख से 90 दिनों के अंदर भुगतान करने से चूकने पर, लाइसेंस समाप्त करने का अधिकार, रेलवे मात्र को है। Railway reserves the right to terminate the license, in case the licensee fail to make payment within 90 days of the due date.

17.9 लेखा परीक्षा रिपोर्ट में कोई विसंगति/कमी पाये जाने के मामले में, रेलवे को लाइसेंसदार के विरुद्ध समुचित कार्रवाई करार समाप्ति के साथ, लेने का अधिकार है। In case of any discrepancy/deficiency noticed in the audit report, the Railway will be entitleto initiate suitable action against the Licensee, including termination of the agreement.

अनुच्छेद ARTICLE 18: रद्दीकरण CANCELLATION/वापसी WITHDRAWAL/जीएमयू का गैर परिचालन NON-OPERATION OF THE GMU और AND लाइसेंस फी का धन वापसी REFUND OF LICENSE FEE

18.1 रेलवे द्वारा जीएमयू सेवा के निरंतर रद्दीकरण वापसी/गैर परिचालन के मामले में, इस करार को, लाइसेंसदार को, बिना किसी सूचना या बिना कोई कारण बताए समाप्त किया जाएगा। ऐसे मामले में, लाइसेंस फी को प्रो रेटा आधार पर लाइसेंसदार को धनवापसी किया जाएगा। In the event of permanent cancellation/withdrawal/non-operation of the GMU service by the Railway, this Agreement shall be terminated without any notice or assigning any reason to the Licensee. In such an event the License Fee shall be refunded to the Licensee on pro-rata basis.

18.2 अनुच्छेद में अन्यथा विपरीत न हो तो, लाइसेंसदार, रेलवे द्वारा जीएमयू के निरंतर रद्दीकरण/वापसी के लिए, कोई परिणामस्वरूप व्यापार नुक्सान/क्षति के लिए कोई भी दावा नहीं करेंगे।

Except as otherwise provided in this Article, the Licensee shall not make any claim for any consequential loss of business/damages due to permanent cancellation/withdrawal of the GMU by the Railway.

अनुच्छेद ARTICLE 19: मत भेद संकल्प DISPUTE RESOLUTION

19.1 पार्टियों के बीच,इस ठेके के निर्माण या परिचालन या विविादास्पद किसी भी मामले पर पार्टियों से संबंधित अधिकार व बाध्यता, किसी भी कारण का डिस्प्यूट या भिन्नता होने पर, उसी को समय समय पर संशोधित रेलवे संकर्म के ठेके की सामान्य स्थितियों के शर्तों के अनुसार तथा माध्यस्थम व सुलह संशोधन अधिनियम 2015 के प्रावधानों के अनुसार तथा समय समय पर संशोधि यथा-नियमानुसार और रेलवे बोर्ड द्वारा जारी किए गए वर्तमान नियमानुसार समाधान किया जाएगा। In the event of any dispute or difference between the parties hereto as to the construction oroperation of this contract, or the respective rights and obligations of the parties on any matter in question, dispute or difference on any account, the same will be resolved in terms of the General Conditions of Contract for works of Railways as amended from time to time and as per the provisions of Arbitration and Conciliation Amendment Act 2015 and the rules there as amended from time to time, and as per the extant instructions issued by Railway Board.

19.2 पारित निर्णय अंतिम होगा और दोनों पार्टियों के लिए बंधनकारी होगा। The award passed shall be final and binding both the Parties,

19.3 यह और भी स्पष्ट किया जाता है कि, विवाद/झगडे के दौरान, उसके समाधान होने तक, लाइसेंसदार को करार के अधीन बाध्यतानुसार निष्पादन को लगातार बनाये रखना है। It is further clarified that during the resolution of the Disputes, the Licensee shall be obligated forthe continued performance of its obligations under the Agreement until the resolution of the Disputes.

19.4 माध्यस्थम के स्थान और भाषा का निर्णय रेलवे प्रशासन द्वारा किया जाएगा। The place and language of Arbitration will be decided by Railway Administration.

अनुच्छेद ARTICLE 20: विविध MISCELLANEOUS

20.1 अर्थलगाना/ व्याख्या Interpretation

यह करार और पार्टियों के बीच व्यवस्थापन को सदा इस बिड के शर्तों और बिड के लाइसेंस के प्रत्युत्तर के साथ पढा जाएगा।. पार्टियों के बीच इस व्यवस्थापनों के उपबंधों के व्याख्या के मामले में, दस्तावेजों को निम्नलिखित प्राथमिकता क्रमानुसार पढा जाए। This Agreement and the arrangement between the parties shall at all times be read along with the terms and conditions of this bid and the response of the Licensee to the bid In the event of any interpretation of the provisions of this arrangement between the parties, the documents shall be read in the following order of precedence:-

1. रेलवे के समय समय पर लागू वर्तमान नीतियाँ Railway’s latest policies as applicable from time to time

2. इस करार के अनुच्छेद The Articles of this Agreement

3. इस करार के अनुबंध के विषय सूची The contents of the Annexures(s) to this agreement.

20.2 पार्टियों के बीच का संबंध Relation between the Parties

इस करार के पार्टी स्वतंत्र ठेकेदारों के रूप में इस व्यवस्थापनों में प्रवेश कर रहे हैं और इस करार किसी भी पार्टी को दूसरे के विरुद्ध,पार्टनर, एजंट, प्रिन्सिपल एंप्लायर या जाइंट वेंचर या किसी अन्य विधिपूर्व संगठन के रूप में किसी भी तरह का अधिकार नहीं देता है। The Parties to this Agreement are entering into this arrangement as independent contractors, and this Agreement does not bestow either Party the right against the other, as partner, agent, principal employer or joint venture or any other form of legal association.

20.3 सर्वैवल Survival

यह करार बिड के साथ तथा लाइसेंसदार के रेसपांस, पार्टियों के बीच पूरा और संपूर्ण व्यवस्थापन उस विषय के संबंध में, संग्रहित रूप है। किसी कारण से इस करार की कालावधि या समाप्ति किसी भी एक पार्टी को, इस करार में बताए गए किसी दायित्व या बाध्यता से मुक्त नहीं करता और ऐसी अनुच्छेद(जैसा पार्टियों के लिए लागू) इस करार की किसी भी समाप्ति के पश्चात भी लागू रहेगा। This Agreement along with the Bid and the response of the Licensee collectively constitute the full and complete arrangement between the Parties with respect to the subject matter hereof. The expiration or termination of this Agreement for any reason will not release either Party from any liabilities or obligations set forth herein this Agreement and such Articles (as applicable to the parties) will survive any termination of this Agreement.

20.4 लाइसेंस का हस्तांतरण Transfer of License

मूल लाइसेंसदार की मृत्यू पर ही उनके पति या पत्नी/विधिपूर्व xxxxx को लाइसेंस का हस्तांतरण अनुमत किया जाएगा। लाइसेंस को विधिपूर्व वारिस के नाम पर, ठेका की गैर समाप्त अवधि के लिए रेलवे के सामान्य ठेका शर्तो के अनुसार हस्तांतरित किया जाएगा। किसी भी उप किराएदारी के लिए अनुमति नहीं है। Transfer of license to the spouse/legal heir would be allowed only in the event of death of the original licensee. The license shall be transferred in the name of legal heir for the unexpired period of the contract as per General Conditions of Contract (GCC) of Railways. No subletting will be allowed.

20.5 अधिकार - क्षेत्र Jurisdiction

इस करार गणतंत्र भारत के कानूनों के अनुसार शासित व प्रशासित किया गया है और चेन्नै, मदुरै बेंच के माननीय न्यायालयों को इस करार से संबंधित सभी मामलों में विशेष एकमात्र अधिकार - क्षेत्र है। This Agreement will be governed by and construed in accordance with the laws of the Republic of India and the Courts at Hon’ble High Court of Madras, Madurai Bench shall have exclusive jurisdiction in all matters relating to this Agreement.

20.6 संशोधन Amendments

इस करार में या इसके अनुबंधों में किसी परिवर्तन या संशोधन को दोनों पार्टियों द्वारा आपसी लिखित और हस्ताक्षरित संशोधन द्वारा ही किया जाना है। Any changes or modifications to this Agreement or its Annexure(s) can only be made by a written amendment mutually signed by the Parties.

20.7 वेय्वर Waiver

इस करार में अन्यथा विशेष रूप से बताए बिना, दोनों में किसी एक पार्टी द्वारा इस करार के अधीन इनके अधिकारों के प्रयोग करने में विलंब या चूक को वेय्वर नहीं माना जा सकता है। Unless otherwise expressly provided in this Agreement, a delay or omission by either Party to exercise any of its rights under this Agreement will not be construed to be a waiver.

20.8 Assignment

यह करार इसके उत्तराधिकारी और स्वीकारे गये हरेक पार्टी पर बंधित है। फिर भी किसी भी पार्टी को इस करार को दूसरे पार्टी के लिखित सहमति के बिना दूसरों को सौंपने का अधिकार नहीं है। This Agreement is binding on the successors and permitted assigns of each party; however neither party has the power to assign this Agreement without the prior written consent of the other party.

20.9 सूचना Notice

किसी भी पार्टी द्वारा इस करार के अधीन, जारी सभी सूचनाएँ लिखित रूप में होगी और अगर कोरियर/पंजीकृत xxx डाक द्वारा सुपुर्दगी किए जाने पर, उसे दिया जाना माना जाएगा। इस करार के अधीन सभी सूचनाएँ निम्नलिखित को भेजना है। All notices under this Agreement by either party will be in writing and will be deemed to have been duly given if delivered by courier/registered AD Post. All notices under this Agreement are to be addressed as under:

उपरोक्त पार्टी के पते में किसी परिवर्तन हो तो उपरोक्तानुसार तुरंत दूसरे पार्टी को सूचित करना है। Any change in the aforesaid address of either party shall be immediately informed to the other party by way of a notice as aforesaid.

20.10 दुर्घटना और अप्रत्याशी परिस्थितियाँ Accidents and unforeseen circumstances

लाइसेंसदार रेलवे को पदार्थों को दुर्घटनाओं व अपसामान्य घटनाओं के समय अनुमोदित दर पर जब कभी आवश्यक हो तब आपूर्ति करना है। Licensee shall supply items to Railway as and when required at the approved rates like accidents / unusual incidents.

20.11 अप्रत्याशित घटना Force Majeure

इस करार की अवधि के दौरान होनेवाली अप्रत्याशित घटना जो लाइसेंस के परिचालन को बाधित कर सकती है, उदाहरण के लिए यूद्ध, इनसरेक्शन, सरकार द्वारा लागू प्रतिबंध, लेजिस्लेचर के अधिनियम, या अन्य प्राधिकार, विस्फोट, दुरघटना, हडताल, रयट, लाकाउट, जनविरोध कार्य, ईश्वर का कार्य, सेबोटेज आदि के कारण ,लाइसेंसदार इसके शुरुआद से एक सप्ताह के अंदर उसी को रेलवे को न्यायपूर्व सबूत के साथ सूचित करेंगे। ऐसे मामले में, अगर दोनों पार्टी द्वारा आपस में स्वीकृत है , तो इस करार की अवधि को, इस लाइसेंस परिचालित न होने की अवधि के लिए, विस्तार किया जा सकता है। In the event of any unforeseen event directly interfering with the operation of license arising during the currency of this Agreement; such as war, insurrection, restraint imposed by the Government, act of legislature or other authority, explosion, accident, strike, riot, lock out, act of public enemy, acts of God, sabotage, etc., the Licensee shall, within a week from the commencement thereof, notify the same in writing to the Railway with reasonable evidence thereof. In such event of force majeure, if mutually agreed by both parties, the tenure of this Agreement may be further extended for the period during which license was not operational.

20.12 करार के कार्यनिष्पादन Execution of the Agreement

इस करार को लाइसेंसदार द्वारा, कानून द्वारा निर्धारित मूल्य के एक नान-जुडीशियल स्टेंप पेपर में हस्ताक्षरित करके प्रारंभ करना है और पंजीकरण, स्टैंप ड्यूटी आदि के लागत और खर्च लाइसेंसदार की होगी। This Agreement shall be executed/entered only with the Licensee on a non-judicial stamp paper of the value as prescribed by law, and all cost and expenses for registration, stamp duty, etc. thereof shall be borne by the Licensee.

पार्टियों ने पूरी तरह से इस करार को निष्पादित किया है और प्रभावी रूप से उनके अधिकृत प्राधिकृत प्रतिनिधियों द्वारा इस समझौते को वितरित किया है। IN WITNESS WHEREOF, THE PARTIES HAVE DULY EXECUTED AND DELIVERED THIS AGREEMENT BY THEIR DULY AUTHORIZED REPRESENTATIVES AS OF THE EFFECTIVE DATE.

Annexure I

Scope of Work

1. The Licensee shall be provided with a GMU number/name ________/________________at ______________ station of _______ category of the Railway.

2. The Licensee shall be responsible for providing catering services of items as authorized by Railways from the GMU number/name ____________/______________ at ______________ station.

3. Licensees shall set up Modular Catering Stalls to maintain uniformity in design and colour scheme as authorized and approved by Railways. The Licensee shall be responsible to display the “Rail Ahaar” logo prominently at all places including the packaging material of food, uniform of waiters and other staff etc. The Licensee will abide by the instructions of Railway in this regard from time to time.

4. In case licensee is permitted for sale of packaged drinking water then, it is mandatory for the licensee to sell Rail Neer (Packaged Drinking Water – 1000 ml) chilled or in such quantities & rates prescribed by Railway from time to time. The licensee will be responsible for storing, cooling and distributing ‘Rail Neer’ to the passengers. In case of non-availability/inadequate supply of Rail Neer by Railway, the Licensee shall be permitted to sell only packaged drinking water of brands as approved by Railways.

5. The Licensee may be encouraged to provide regional cuisines, dietary and infant foods, food for patients or ailing passengers, jain food at tariff approved by Railway subject to authorization from Railway.

6. The licensee should provide service across the counter only. No Platform Vending will be permitted.

7. Licensee shall be responsible for availability/provision of adequate number of garbage bins at appropriate places. Licensee shall also ensure to place bio-degradable bags in garbage bins for easy disposal and proper handling. These should be cleaned outside the production area. Licensee shall avoid use of metallic dustbins, which become rusted over a period of time. Segregation of waste should be done as bio-degradable and bio non-degradable. Licensee shall be responsible for disposing the garbage suitably as per the instructions framed by Railway/Division. All garbage bins must be labeled, cleaned and sanitized regularly. All instructions in regard to disposal of garbage issued from time to time by Health, Mechanical and Commercial Directorate are to be adhered to by licensee.

8. The Licensee shall be responsible for ensuring the quality and quantity, maintaining proper hygiene and cleanliness while handling raw materials, preparation, packaging, supply, service, etc. of food in accordance with the parameters specified in Section -C.

9. The Licensee shall further be responsible to make adequate arrangements in terms of all equipment and manpower, at its own cost, as per policy directives.

10. The Licensee shall depute staff who will be required to manage the catering operations and serve food to the passengers. The number of staff deputed shall not be more than the number prescribed by Railway administration. The Licensee shall ensure that the staff deputed on the unit should maintain good conduct, etiquette, personal hygiene, politeness and courtesy, issue computerized bills to passengers etc. The licensee shall also ensure computerized billing for all the items sold in the unit and the licensee shall provide the facility for cashless transaction viz. POS/Swipe machine, BHIM, Mobile Wallets, Bharat QR code, any new schemes/tools/instruments introduced by Government of India or Ministry of Railways for promoting cashless transaction etc. compulsorily available in the unit. Further, the Licensee shall ensure that the catering staff should be well groomed, wear proper uniforms, badges displaying their names, carry photo identity cards, display at all times. The Railway reserves the right to prescribe a standard uniform for all staff working for GMUs on a station. The cost of all the above has to be borne by the licensee.

11. In consideration of the award of the License to the Licensee, the Licensee shall be liable to pay Annual License Fee. The license fee will be fixed for the first three years and in the fourth year it will be enhanced by 10% License fee for the fourth and fifth year will remain same. There will be no other increase in the License Fees during the tenure of contract (including in case of revision in menu and tariff), other than this increase of 10% in the fourth year.

12. The Annual License Fee shall be paid every year. For the first year, the licensee shall pay the annual license fee within 15 days on receipt of LOA, and for subsequent years, it shall be paid at least fifteen (15) days before the completion of each preceding year of License.

13. The licensee shall ensure availability of hand held fire extinguishers with the staff having knowledge of operation of the equipment.

14. The Ceiling Limit for Minor Units (as per clause no.13.4 of catering policy 2017), applicable for all bidders will be as follows:

A Licensee will be allowed to hold a maximum of five minor catering units per division. Trolleys are also treated as separate unit as per catering policy 2017 and will be counted for the purpose of ceiling limit of 5 units. The bidders should submit an undertaking on non-judicial stamp paper (Annexure – 3).

15. The licensee shall get conducted third party audit periodically by an independent agency authorized/prescribed by Railways every six months along with regular in-house audit.

Annexure – III

Assessment of Performance of Licensee

1. Railway Officials / Inspector(s) or any agency authorized by Railway will conduct inspection to ascertain the catering performance of the Licensee

2. As per provisions of the catering policy, 2017 and/or other instructions issued by the Railway from time to time, the performance of the licensee will be monitored/assessed by the Railway which will inter-alia include the following:

1. Superior quality material should be used in fabrication/construction of all static units to improve on aesthetics, durability and convenience for maintenance.

2. To provide hygienic and quality food to the travelling passengers. Monitoring of quality will be made through inspections and food quality checks by the Railway.

3. Licensee Managed Units will be monitored for their mechanization and modernization along with their performance. Supervision of the services will be made constantly.

4. There should be no cooking on platforms at stations.

5. All systems and processes and equipment such as deep freezers, hot cases, microwave ovens, refrigerated storage units, bain-maries should progressively replace the existing traditional equipments and manual methods in static units.

6. All catering units should liberally provide garbage bins properly lined with garbage bags. Garbage thus collected should be disposed off in the prescribed manner which should be incorporated in all agreements and should adhere to extant pollution control and environmental norms. All instructions in regard to disposal of garbage issued from time to time by Health, Mechanical and Commercial Directorate are to be adhered to by licensees.

7. Zonal Railway shall maintain a data base of the various catering establishments to ensure that the ceiling limits on holding of catering licenses as per the Catering Policy 2017 and/or instructions issued by the railway administration from time to time are complied with.

2. The Licensee will be selected along all the parameters stated above. All efforts shall be made by Licensee to control the deficiencies. Railway shall extend sufficient cooperation to the Licensee to make good the deficiencies, as the case may be.

2. Any deficiency in any of these parameters will be counted as “Deficiency in Service”.

PENALTIES

1. For deficiency in any parameter, Licensee will be suitably counseled for three times depending upon the nature of deficiency (i.e. major or minor as decided by Railways). In case the deficiencies persist and the Railway determines that despite three counseling the Licensee does not take adequate steps to improve, one written warning shall be issued to the Licensee.

2. However, after the warning, if the performance of Licensee does not improve, the Licensee shall be imposed with a penalty (fine).

3. At the first instance, as determined by the Railway, a token penalty of Rupees FiveHundred (Rs.500/-) shall be imposed by the Railway.

4. At the second instance, as determined by the Railway, a penalty of Rupees One Thousand (Rs.1000/-) shall be imposed by the Railway.

5. At the third instance, as determined by the Railway, a penalty of Rupees Five Thousand (Rs.5,000/-) shall be imposed by the Railway.

6. At the fourth instance, as determined by the Railway, a penalty of Rupees Fifty Thousand (Rs.50,000/-) shall be imposed by the Railway.

7. In case of further occurrence of deficiency, Railway may decide to serve a notice for termination of License Agreement.

8. Banning and suspension of business with the errant contractors shall be strictly enforced following due process.
