AMENDMENTS AND WAIVERS. 32.1 Required consents (a) Subject to Clause 32.2 (All Lender matters) and Clause 32.3 (Other exceptions) any term of the Finance Documents may be amended or waived only with the consent of the Required Lenders and the Borrower and any such amendment or waiver will be binding on all Parties.
