Common use of Assignment Clause in Contracts

Assignment. The Subscriber shall not assign, transfer or license any of its rights or obligations under this Agreement unless it obtains the prior written consent of Elsevier, which consent shall not be unreasonably withheld. In the event of any assignment of rights or delegation of duties PPA § 141 shall be taken into consideration.
