PEDOMAN KERJA KOMITE NOMINASI DAN REMUNERASI CHARTER OF NOMINATING AND REMUNERATION COMMITTEE PT XL AXIATA TBK

1.0 PURPOSE	1.0 PURPOSE
1.1.Struktur Komite Nominasi dan Remunerasi (“NRC”) adalah komite yang berada dibawah Dewan Komisaris (“BOC”) Perseroan berdasarkan Peraturan Otoritas Jasa Keuangan No 34/POJK.04/2014 tanggal 8 Desember 2014 tentang Komite Nominasi dan Remunerasi Perusahaan Publik (“POJK No. 34/2014”). Pedoman Kerja ini mengatur antara lain, rapat- rapat dan pelaksanaan peran NRC. Pedoman Kerja ini harus dibaca dalam kaitannya dengan POJK No. 34/2014. Apabila terdapat hal-hal yang berdasarkan POJK No.34/2014 tidak tertulis dalam Pedoman Kerja ini, maka ketentuan POJK No.34/2014 tersebut tetap berlaku. Apabila terdapat hal-hal yang tidak konsistenan dengan POJK No.34/2014, maka ketentuan POJK No.34/2014 tersebut adalah yang berlaku. Pedoman Kerja ini tidak membatasi kuasa dan wewenang BOC.	1.1.Structure The Nominating and Remuneration Committee (“NRC”) is a committee of the Board of Commissioners (the “BOC”) of the Company pursuant to the Indonesian Financial Services Authority (“Otoritas Jasa Keuangan/OJK”) Regulation No. 34/POJK.04/2014 on Nominating and Remuneration Committee of Issuer or Public Company issued on 8 December 2014 (“OJK Rule No. 34/2014”). This charter governs the meetings and proceedings of the NRC. This xxxxxx should be read in conjunction with the OJK Rule N0. 34/2014. To the extent that this charter does not expressly provide, the provisions under the OJK Rule No. 34/2014 will apply to the NRC. To the extend there is any inconsistency between this charter and the OJK Rule No. 34/2014, the OJK Rule No. 34/2014 will prevail. Nothing in this charter limits any powers or responsibilities of the BOC.
1.2.Ketentuan Umum Dalam Pedoman Kerja ini maka belaku ketentuan umum sebagai berikut: 1. Komite Nominasi dan Remunerasi adalah komite yang dibentuk dan bertanggung jawab kepada Dewan Komisaris dalam membantu Dewan Komisaris untuk menentukan remunerasi masing-masing anggota Dewan Komisaris dan Direksi. 2. Nominasi adalah pengajuan kandidat untuk	1.2.General Purpose Under this Terms of Reference (“TOR”), the following definitions shall apply: 1. Direksi adalah organ Perseroan yang bertanggung jawab penuh atas fungsi pengurusan untuk kepentingan terbaik bagi Perseroan sesuai dengan maksud dan tujuan Perseroan. 5. Dewan Komisaris adalah organ Perseroan yang bertanggung jawab untuk mengawasi manajemen secara umum serta memberi nasihat kepada BOD. 6. Komisaris Independen adalah anggota Dewan Komisaris yang berasal dari luar Perseroan yang menyatakan independensinya berdasarkan peraturan yang berlaku.

Remuneration shall mean fees and/or allowances set out and disburse to members of the Board of Directors or the Board of Commissioners on compensating the execution of their duties, roles and responsibilities as well as authorities as members of the BOC and BOD. 4. Board of Directors shall mean organ of the Company fully responsible for the management roles, in the best interest of the Company as per its objective and purpose. The BOD can represent the Company in and outside of court as prescribed under the Company’s Articles of Association. 5. Board of Commissioners shall mean organ of the Company having its fiduciary duty to supervise the management in general and provide advisory to the BOD. 6. Independent Commissioner shall mean an external member of the Board of Commissioner which confirms its independency as per prevailing regulations

Provide recommendation to the BOC with regards to : (i) composition of members of BOC and/or BOD; (ii) required policy and criteria for the process of nomination; (iii) policy on evaluating the performance of members of BOC and/or BOD; and (iv) development program for members of the BOC and/or BOD; b. Oversight the performance of members of BOC and/or BOD based on criteria and/or indicators set out; c. Propose qualified candidate(s) for members of BOC and/or BOD to be further recommended to the General Meeting of Shareholders.

1.4.Tujuan NRC a. Peran NRC adalah untuk membantu Dewan Komisaris dalam efektivitas pelaksanaan tanggung jawab mereka dalam rangka memastikan bahwa Dewan Komisaris terdiri dari para individu yang mampu melaksanakan tanggung jawab sebagai Dewan Komisaris dan Direksi, dengan memperhatikan hukum, standar tertinggi tata kelola dan keragaman keanggotaan. b. NRC tidak membebaskan masing-masing anggota BOC dari tugas dan tanggung jawabnya. c. NRC adalah Komite yang berada dibawah BOC. Komite ini memiliki peran sebagai penasihat dan berwenang untuk menjalankan peran BOC yang didelegasikan sebagaimana tercantum dalam Pedoman Kerja ini.

1.4. Purpose of the NRC a. The NRC role is to assist the BOC in the effective discharge of their responsibilities for ensuring that the BOC comprise individuals who are best able to discharge their responsibilities as members of BOC and BOD, having regard to the law, the highest standards of governance and the diversity of the membership. b. The NRC does not relieve any members of the BOC of their responsibilities for these matters. c. The NRC is a committee of the BOC. It plays an advisory role and is authorized to exercise those BOC powers expressly delegated to it in this charter. d. Other than to the BOC, the NRC has no direct obligation to or from any

1.5. Fungsi NRC a. Dalam menjalankan perannya yang sebagaimana disebut dalam butir 1.3.1, NRC wajib memastikan adanya kebijakan, mekanisme dan prosedur sebagai berikut : (i) Struktur remunerasi yang terdiri dari gaji, imbalan, insentif dan/atau tunjangan yang sifatnya tetap atau variable (ii) Kebijakan remunerasi; dan (iii) Nilai remunerasi. NRC juga wajib mempertimbangkan hal- hal berikut ini dalam menentukan struktur kebijakan, dan prosedur tersebut : (i) Remunerasi harus selaras dengan tingkat remunerasi industri dengan bidang usaha yang dijalani oleh Perseroan yang berlaku serta tingkat skala usaha Perseroan terhadap industri tersebut. (ii) Tugas, tanggung jawab dan kewenangan anggota BOC dan/atau BOD dalam kaitannya dengan kinerja Perseroan. (iii) Target kinerja atau kinerja individu anggota BOC dan/atau BOD; dan (iv) Keseimbangan antara tunjangan tetap dan tunjangan variable. NRC wajib mengevaluasi kebijakan mekanisme dan nilai remunerasi paling sedikit satu (1) kali dalam setahun. b. Dalam menjalankan perannya yang sebagaimana disebut dalam butir 1.3.2, NRC wajib memastikan adanya struktur kebijakan dan prosedur untuk hal-hal

1.5. Function of the NRC a. In exercising the roles in above clause 1.3.1., the NRC must ensure the policy framework and procedures for the following matters are in place : (i) On remuneration structure, comprising of salary, fees, incentive and/or fixed and/or variable allowances; (ii) Policy on the remuneration; and (iii) Amount of the remuneration. The NRC must also consider the following matters upon setting up the policy framework and procedures: (i) Such remuneration shall align with prevailing industry remuneration as per Company’s line of business as well as taking into consideration Company’s business scale within such industry; (ii) Duties, responsibilities and authority of members of BOC and/or BOD in relation to the performance of the Company; (iii) Performance target or each of individual performance of members of BOC and/or BOD; and (iv) Balance between fixed and variable allowances. The NRC must evaluate the policy framework and amount of remuneration minimum once (1 time) every year. b. In exercising the roles in above clause 1.3.2, the NRC must ensure the policy framework and procedures for the

(b) Terdapat penilaian independen yang dibuat atas itikad baik terhadap informasi tersebut.

The members of the NRC are not employee of the Company. The NRC : (i) is not required to personally conduct studies, reviews, interviews and all communications; and (ii) is entitled to rely on employees of the Company or professional advisers or consultants engaged by the Company where : (a) there are reasonable grounds to believe that the employee, adviser or consultant is reliable and competent; and (b) the reliance was made in good faith and after making an independent assessment of the information.

2.0 KOMPOSISI NRC	2.0 COMPOSITION OF NRC
2.1. Keanggotaan a. NRC terdiri dari ( sebagaimana ditunjuk melalui rapat BOC ) sekurang-kurangnya tiga (3) anggota, dengan satu (1) Ketua NRC yang merangkap anggota dan anggota lainnya terdiri dari : (i) Anggota BOC (ii) Pihak luar Perseroan yang kompeten ( tidak terafiliasi dengan BOC/BOD/ Perseroan dan bukan merupakan anggota dari Komite Perseroan lainnya) (iii) Pihak yang menduduki jabatan senior HR ( sumber daya manusia ) dibawah BOD b. Ketiadaan anggota yang berasal dari Pihak	2.1. Membership a. The NRC will consist of (as appointed by the BOC in their meeting) at least three (3) members, with one (1) NRC Chair counted as member, and other members comprising of:- (i) member of BOC (ii) competent party external to the Company (non-affiliated to the BOC/BOD/Company and is not a member to any committees of the Company); or (iii) a senior HR personnel under the BOD. b. 2.3. Imbalan Tidak ada imbalan yang dibayarkan kepada Ketua NRC atau anggota komisaris lainnya yang merangkap sebagai anggota NRC sehubungan dengan peran yang dijalankan oleh mereka dalam NRC.	2.3. Fees No fees shall be paid to NRC Chair or any BOC member acting as NRC members for their service on the NRC.
2.4. Masa Jabatan a. Anggota NRC dapat diangkat untuk periode tertentu dan dapt diangkat kembali. b. Masa jabatan anggota NRC tidak boleh lebih lama dari masa jabatan anggota BOC yang sebagaimana ditentukan oleh Anggaran Dasar Perseroan.	2.4. Tenure a. Members of NRC shall serve for certain period and can be reappointed. b. Tenure of members of NRC shall be no longer than the tenure of BOC members as per Company’s Articles of Associations.
2.5. Sekretaris Sekretaris NRC adalah Sekretaris Perusahaan.	2.5. Secretary The NRC Secretary will be the Company Secretary
2.6. Kode Etik Anngota NRC wajib mematuhi Kode Etik Perseroan yang berlaku.	2.6. Code of Conduct The members of NRC will comply with the Company’s applicable Code of Conduct as amended from time to time.
3.0 WEWENANG NRC	3.0 POWERS OF THE NRC
3.1 Access to Management NRC dalam menjalangkan fungsinya memiliki wewenang : a. Meminta karyawan Perseroan untuk menghadiri Rapat NRC; dan b. Memiliki akses yang tidak terbatas ke	3.1. Access to Independent Advise The NRC may obtain reasonable independent professional advice to assist in the proper exercise of its power and responsibilities, with the cost to be borne by the Company.
4.0 RAPAT	4.0 MEETINGS
4.1.Penyelenggaraan Rapat a. Rapat NRC diadakan sekurang-kurangnya sekali dalam empat (4) Bulan. b. Rapat dapat diadakan melalui pertemuan langsung atau melalui telefon atau video konferensi yang ditetapkan oleh Ketua NRC. c. Anggota NRC dapat meminta untuk mengadakan Rapat. d. Ketua NRC dapat memangging Rapat diluar yang telah di jadwalkan jika diminta oleh BOC, salah satu anggota NRC , Presiden Direktur /CEO atau Sekretaris Perusahaan	4.1. Holding of Meetings a. The NRC will meet at least once (1 time) every four (4) months. b. Meetings may be face-to-face, or via telephone or video conference as considered appropriate by the NRC Chair. c. A member of the NRC may request that a meeting of the NRC be convened. d. The NRC Chair should consider calling an unscheduled meeting if requested to do so by the BOC, an NRC member, the President Director/CEO or the Company Secretary.
4.2. Kuorum Kuorum ditentukan dengan setidaknya lima puluh persen tambah satu dari seluruh anggota NRC (salah satu diantaranya adalah Ketua NRC) hadir dalam rapat atau dengan mengunakan sarana teknologi lain	4.2. Quorum At least fifty percent plus one of the members of the NRC (one of which is the NRC Chair), present in person or by using any technology, shall constitute a quorum.
4.3. Kehadiran Dalam Rapat a. Anggota NRC, kuasanya, Sekretaris Perusahaan dapat menghadiri seluruh rapat NRC, pertemuan-pertemuan lain atau bagian dari Rapat NRC yang tertutup bagi manajemen. b. Ketua NRC dapat mengundang pihak-pihak berikut untuk menghadiri Rapat NRC : (i) Karyawan Perseroan. (ii) Pihak luar Perseroan.	4.3.Attendance at Meetings a. The NRC Chair and members or their proxy, the Company Secretary may attend all meetings of the NRC, other than those meetings or part of NRC meetings which are deemed to be closed to the management. b. The NRC Chair, may invite any of the following to attend a meeting of NRC: (i) any other employee or officer of the Company; and

(ii) a party external to the Company. Each invitee must undertake to keep the relevant communications of the proceedings of the NRC meeting confidential, in accordance with clause 7.0 below
4.4.Bahan Rapat NRC Kecuali ditentukan oleh Ketua NRC, Sekretaris wajib membagikan agenda dan bahan-bahan rapat selambat-lambatnya tujuh (7) hari sebelum rapat NRC kepada : a. Masing-masing anggota NRC b. CEO c. Direksi ( berdasarkan kebutuhan)	4.4.NRC Papers Unless directed by the NRC Chair, the Committee Secretary shall distribute in advance no later than seven (7) days of a meeting of NRC, an agenda and any related papers to: a. each member of the NRC; b. the CEO; and c. if requested, to any Director (on a need basis)
4.5.Risalah Rapat a. Sekretaris Komite wajib membuat risalah rapat yang di periksa oleh anggota NRC. b. Risalah rapat disetujui oleh Ketua NRC dan anggota NRC lainnya dan akan menjadi bukti konklusif dari hal-hal yang tercatat dalam risalah rapat tersebut.	4.5.Minutes NRC a. The Committee Secretary shall prepare minutes of meetings and have them reviewed by all NRC members. b. Minutes of meeting subsequently approved by NRC Chair and another NRC member, and shall be conclusive evidence of the matters recorded in such minutes
4.6.Keputusan NRC a. NRC dapat memutuskan hal –hal secara musyawarah mufakat. Dalam hal musyawarah mufakat tidak tercapai, maka keputusan dapat diambil melalui pengambilan suara melalui suara terbanyak dari anggota NRC yang hadir dalam rapat. b. Selain keputusan yang diambil melalui rapat, keputusan tertulis lainnya (keputusan sirkular sebagai hasil dari telekonferensi atau system komunikasi lainnya) juga dapat dianggap mengikat dengan syarat keputusan tersebut ditandatangani oleh masing-masing anggota NRC.	4.6. Resolutions of NRC a. The NRC shall resolve all matters amicably. In any case the NRC fails to come with amicable resolution, voting will be required with simple majority vote from NRC members present at the Meeting. b. Apart from passing resolutions at actual NRC meetings, the NRC may also pass Written Resolutions (by means of circular, conference call or any communication system) is deemed as adopting valid and binding resolutions provided that all NRC members granting their signatories.

5.0 EVALUASI OLEH NRC NRC melakukan evaluasi terhadap Pedoman Kerja, dan kinerja dan melaporkan hasil evaluasi tersebut secara berkala kepada BOC	5.0 NRC REVIEW The NRC shall review its charter and performance and that of its members from time-to-time and report to the BOC on the result of this review.
6.0 PELAPORAN NRC a. Ketua NRC atau representasi dari NRC wajib menyampaikan laporan kepada BOC: (i) Pelaksanaan Kinerja NRC; dan (ii) Hal-hal lain yang terkait dengan fungsi, peran dan tanggung jawab NRC. b. Laporan tersebut termasuk dalam laporan BOC kepada Rapat Umum Pemengang Saham sebagai bagian atas pelaksanaan peran dan tanggung jawab BOC.	6.0 REPORTING OF NRC a. The NRC Chair, or delegate, must report to the BOC, concerning: i. the proceedings of the NRC; and ii. all matters relevant to the NRC function, roles and responsibilities. b. Such report shall be included in BOC report to the General Meeting of Shareholders as part of execution and implementation of BOC roles and responsibilities.
7.0 KERAHASIAAN Kecuali diwajibkan oleh undang-undang, perintah pengadilan atau POJK No. 34/2014, maka anggota NRC wajib menjaga kerahasiaan hasil diskusi rapat serta bahan-bahan rapat.	7.0 CONFIDENTIALITY Unless otherwise required by law, any court order or the OJK Rule No. 34/2014, the members of the NRC are required to keep NRC discussions, papers and deliberations confidential.
8.0 KETIDAKKONSISTIAN TERHADAP PERATURAN OJK Pedoman kerja ini dapat diamandemen dari waktu kewaktu oleh BOC sehubungan dengan POJK No. 34/2014 dan peraturan perundang- undangan lainnya yang berlaku. Pedoman Kerja ini mengikat NRC dan masing-masing anggotanya.	8.0 INCONSISTENCY WITH OJK REGULATION This charter may be amended by the BOC from time to time subject to the requirements of the OJK Rule No. 34/2014 and the prevailing regulations. This charter binds the NRC and each of the committee members
