Unless otherwise agreed upon with a supplier, Baxter Japan K.K (hereinafter referred to as “Baxter”) and the supplier (hereinafter referred to as “Supplier”) shall be pursuant to this “Purchasing Terms and Conditions of Baxter Japan K.K,” (hereinafter referred to as these “Terms and Conditions”) which are published on the day when such transaction is effected, and agreement on these Terms and Conditions between the parties is legally binding. Defined words in these Terms and Conditions have meanings provided for in Article 37. Article 2-2, Article 10-2, Article 14-2 and Article 16-2 shall be applicable while Supplier falls under subcontractors subject to the Act against Delay in Payment of Subcontract Proceeds, Etc. to Subcontractors (hereinafter referred to as the “Subcontract Act”).
