DEFINITION OF CONFIDENTIAL INFORMATION. The Discloser (including its agents, advisers and representatives) may disclose certain Confidential Information (as defined below) to the Recipient in connection with ……………………….. The term “Confidential Information” shall mean: (i) all information (whether in written, oral, electronic or any other form) relating to the Project including, without limitation, product plans, designs, costs, prices, names, finances, marketing plans, business opportunities, personnel, research, development and know how, business data such as suppliers and client lists, purchase orders, good-in receipt, invoices, (ii) the fact that negotiations or discussions are taking place between the Parties or that Confidential Information has been made available to the Recipient; and (iii) any information regarding the Disclosers’ strategic plans, for example, the intention to commence a particular activity or enter into an alliance with a third party. Confidential Information shall include all information derived from the aforementioned information including without limitation, all reports, analyses, compilations, studies or other documents prepared by the Recipient which contain or otherwise reflect such information.
