Applicable Law. If all parties hereto have their registered office within the Peoples Republic of China, the sole place of jurisdiction for disputes arising from or in connection with this contract is the court with subject-matter jurisdiction at Customer’s headquarters. In all other cases, the sole place of jurisdiction for disputes arising from or in connection with this contract is the court with subject-matter jurisdiction for Linz, Austria. However, Customer is also entitled, at its own discretion, to assert claims against Supplier before the court with subject-matter jurisdiction for Supplier’s registered office.

Applicable Law. 本契約両当事者の間で署名された本契約および個別の購入契約は、法令条項の抵触に関係なく、スイス国で施行されている法に準拠し、それに基づいて解釈される。国際物品売買契約に関する国連条約(1980 年 4 月 11 日 ) の適用は排除される。 This Agreement and individual purchase contracts signed between the Parties hereunder shall be governed by and construed in accordance with the law in force in Switzerland without reference to its conflicts of law provisions. Applicable Law. Dispute Resolution This Agreement shall be governed by, construed and enforced in accordance with, the laws of the State of New York, without regard to conflict of law principles. You agree that any disputes relating to this Agreement, the Services, or the Privacy Policy, shall be resolved individually, without resort to any form of class action, exclusively by confidential arbitration in New York City before a single arbitrator pursuant to the then-current arbitration rules of the American Arbitration Association. Any award rendered shall be final and conclusive upon the parties and a judgment thereon may be entered in the highest court of any forum, state or federal, having jurisdiction, provided, however, that the party that commences an action to enforce, vacate or otherwise modify an arbitration award shall not include any confidential information in such filing unless required to do so by applicable court rules and, if so required, shall take all reasonable actions to prevent the disclosure of such confidential information, including but not limited to moving for permission to make its initial filing under seal or filing a redacted version of its filing that omits such information. The parties to the arbitration will share equally the administrative costs of such arbitration proceedings. You agree to commence any arbitration proceeding with respect to this Agreement within one year after the claim arises. You agree that a proceeding commenced after this date is barred.

Applicable Law. 22.1 Unless otherwise agreed in writing, the contractual relationship between the Parties shall be exclusively governed by the laws of the jurisdiction in which the Supplier`s office is located. With the exception of International Private Law Rules, any reference norms of these laws and the provisions of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded. 22.2 All disputes arising out of the Contract shall be subject to the exclusive jurisdiction of the competent courts at Supplier`s principal place of business.
