Force Majeure Event means any flood, extraordinary weather conditions, earthquake or other act of God, fire, war, terrorism, insurrection, riot, labor dispute, accident, action of government, communications or power failures, or equipment or software malfunctions.

Force Majeure Event means any event or circumstance, the occurrence and the effect of which the party affected thereby is unable to prevent and avoid notwithstanding the exercise of reasonable foresight, diligence and care on the part of that party. Examples of Force Majeure Event in a sentence

  • In any event, if the Force Majeure Event causes the delivery under this Contract to be delayed for more than thirty (30) days, either Party shall be entitled to terminate this Order without incurring any liability for breach.

  • Purchaser will not be liable to Supplier for any costs or expenses incurred by Supplier as a result of any Force Majeure Event.

  • If Supplier's performance is delayed or hindered due to a Force Majeure Event, Purchaser will not be obligated to pay any price to Supplier in respect of any Goods or Services not actually supplied or rendered.

  • Neither Purchaser nor Supplier will be liable for the failure to perform or delay in the performance of its obligations under this PO, to the extent such failure or delay is caused by or results from a Force Majeure Event.

  • The party affected by the Force Majeure Event will immediately notify the other party using the fastest possible means of communication available to it, describing the circumstances of the Force Majeure Event, and will promptly notify the other party when the Force Majeure Event (or its impact on such party) has been abated.

  • In case of a Force Majeure Event, Purchaser will have the right to defer the date of delivery of the Goods or the Services or to cancel this PO or reduce the volume of Goods or amount of Services.

  • Surfly shall not be liable to you, your Agents, End Users or any other person for any delay or failure in the performance of the Agreement or for loss or damage of any nature whatsoever suffered by you or such persons due a Force Majeure Event as defined herein.
