0d Governmental Consents. Except for the requirements of the Competition Act and any Other Antitrust Regulations that are required for the consummation of the Transactions, no declaration, filing or registration with, or notice to, or authorization, consent or approval of, any Governmental Body is required to be made or obtained by any Seller in connection with any of the execution, delivery or performance of this Agreement or the other Seller Documents by such Seller or the consummation by such Seller of any other transaction contemplated hereby and thereby, other than as would not reasonably be expected to prevent or materially delay the consummation of the transactions contemplated by this Agreement or the Seller Documents to which such Seller is, or will be, a party or to materially impair such Seller’s ability to perform its obligations under this Agreement or any other Seller Documents to which such Seller is, or will be, a party.
