2Opinion of Counsel. Seller shall deliver to Buyer an opinion of counsel (which may be an opinion of its in-house counsel) within thirty (30) Days after the Seller receives written notice from Buyer stating that the Effective Date has been achieved, in a form and substance reasonably satisfactory to Buyer, containing the opinions that this Agreement has been duly and validly executed and delivered by Seller, and that this Agreement constitutes a legal, valid and binding obligation of Seller enforceable against it in accordance with its terms, subject to customary assumptions, qualifications and exceptions.
2Opinion of Counsel. Receipt by the Administrative Agent of opinions of legal counsel to the Loan Parties in form and substance reasonably acceptable to the Administrative Agent, addressed to the Administrative Agent and each Lender, dated as of the date hereof.
