3Title and Duties. The Company agrees to employ Executive and Executive accepts employment as Founder, Chief Executive Officer and Chairman of the Board. Executive will perform all duties normally associated with such position and or such other duties as may be assigned from time to time during the term of this Agreement. Executive shall report to the Board or its designee. During the term of this Agreement, Executive agrees to devote his full business time, attention, efforts, and energies in performance of his duties and responsibilities hereunder and to use Executive’s best efforts, skill and abilities to promote the interests of the Company and to perform Executive’s duties in accordance with the policies and practices established from time to time by the Company for the benefit of the Company. Executive may continue to participate in such civic and charitable activities as he was performing as of June 1, 2020. Any additional professional commitments must be discussed and approved by the Board. Compensation in any form from any source other than the Company must be disclosed immediately to the Board. Any such compensation may result in a decrease in salary and/or bonus payments, at the discretion of the Board. If such compensation is not in the form of cash, the Board will have the right to assign a value to such consideration. Executive’s primary place of employment will be in the greater Los Angeles, California area.
