Common use of Absence of Sensitive Payments Clause in Contracts

Absence of Sensitive Payments. The Company has not, nor to the knowledge of the Company or any Seller have any of the Company's directors, officers, agents, stockholders or employees or any other person associated with or acting on behalf of the Company: (a) made or agreed to make any solicitations, contributions, payments or gifts of funds or property to any governmental official, employee or agent where either the payment or the purpose of such solicitation, contribution, payment or gift was or is illegal under the laws of the United States, any state thereof, or any other jurisdiction (foreign or domestic) or prohibited by the policy of the Company or of any of its suppliers or customers; (b) established or maintained any unrecorded fund or asset for any purpose, or has made any false or artificial entries on any of its books or records for any reason; or (c) made or agreed to make any contribution or expenditure, or reimbursed any political gift or contribution or expenditure made by any other person to candidates for public office, whether federal, state or local (foreign or domestic) where such contributions were or would be a violation of applicable Law.

The Company has not, nor to the knowledge of the Company or any Seller have any of the Company's ’s or any of the Company Subsidiaries’ directors, members, officers, agents, stockholders or employees or any other person Person associated with or acting on behalf of the CompanyCompany or any of the Company Subsidiaries: (a) made or agreed to make any solicitations, contributions, payments or gifts of funds or property to any governmental official, employee or agent where either the payment or the purpose of such solicitation, contribution, payment or gift was or is illegal under the laws of the United States, any state thereof, or any other foreign jurisdiction (foreign or domestic) or prohibited by the policy of the Company or of any of the Company Subsidiaries or of any of its suppliers or customers; (b) established or maintained any unrecorded fund or asset for any purpose, or has made any false or artificial entries on any of its books or records for any reason; or (c) made or agreed to make any contribution or expenditure, or reimbursed any political gift or contribution or expenditure made by any other person Person to candidates for public office, whether federalnational, state regional or local (foreign or domestic) where such contributions were or would be a violation of applicable Law.
