Academic Grant Upon Termination. In the event (1) Employee's employment is terminated by Employer without Cause, (2) the next position obtained by Employee within six (6) months of such termination of employment with Employer, and requiring at least fifty (50%) percent of Employee's business time and efforts, is with an academic institution (the "Institution") and (3) at the time of the termination of employment with Employer, either (a) Employer's net revenue from the sale of products during the prior twelve (12) full calendar months exceeds Two Hundred Million Dollars ($200,000,000.00) or (b) Employer's Market Cap exceeds $1 Billion Dollars ($1,000,000,000.00), then Employer will provide a research grant to the Institution on the following terms and conditions:
