Accelerated Dilution. On not less than five (5) Business Days prior notice to the Defaulting Participant of its intention to exercise its rights under this Section 10.13, the Non-defaulting Participant may elect, as its sole and exclusive remedy such that the Default Amount and all Delay Interest shall no longer be due and owing, with respect to any such default not cured within such five (5) Business Day notice period, to have the Defaulting Participant’s Participating Interest reduced by calculating the Participating Interest of the Participants before default and after default, and multiplying the change in the percentage point reduction by [REDACTED - COMMERCIALLY SENSITIVE INFORMATION] (“Accelerated Rate”). For this purpose, the formula in Section 11.3 will be used to calculate the Participating Interest of the Defaulting Participant both before and after default, with the Default Amount contributed by the Non-defaulting Participant under Section

Accelerated Dilution. If the default by the Delinquent Member is the second or any subsequent default during the period of any adopted Budget, the Non-Defaulting Member may elect under this Section 3.5(d), to contribute the Default Amount to the Company on behalf of the Delinquent Member and to reduce the Interest of the Delinquent Member by an amount (expressed as a percentage) equal to: (i) the Dilution Multiple; multiplied by the Default Amount; divided by (ii) the aggregate Contributed Capital of all Members (determined after taking into account the contribution of the Default Amount on behalf of the Delinquent Member). The Interest of the Non-Defaulting Member will be increased by the reduction in the Interest of the Delinquent Member.

  • Stock Acceleration If the Change in Control Date occurs during the Term, then, effective upon the Change in Control Date, (a) each outstanding option to purchase shares of Common Stock of the Company held by the Executive shall become immediately exercisable in full and will no longer be subject to a right of repurchase by the Company and (b) each outstanding restricted stock award shall be deemed to be fully vested and will no longer be subject to a right of repurchase by the Company.

  • Accelerated Vesting Notwithstanding the terms of any Award Agreement heretofore or hereafter granted to the Executive, in the event of a Change of Control, all Options and Restricted Stock granted to the Executive which do not constitute deferred compensation for Code Section 409A purposes shall become fully vested on the date of the Change of Control.
