Acceptance of Each Party’s Last Will and Testament. XXXX agrees to accept the provisions of any last will and testament and codicils that may be in effect at the time of ALLISON’s death in full discharge, settlement, and satisfaction of any and all right, title, and interest that he, as ALLISON’s spouse, might otherwise acquire in her estate and property. Unless designated as a named beneficiary under a written instrument, XXXX waives and releases to XXXXXXX, her executors, administrators, or assigns, any and all rights of election given to him as the spouse of XXXXXXX, or through him to his heirs, to take against her last will and testament under any statutes, now or hereafter in force, in Texas or any other state or foreign nation in which XXXXXXX xxx have property at the time of her death. If the marriage of the parties is dissolved by the death of XXXXXXX, XXXX agrees and hereby binds his personal representatives and heirs to agree to release and convey to ALLISON’s estate any interest he may then have or claim to have in the separate property of XXXXXXX, including any property described in this Agreement as being the separate property of XXXXXXX or as belonging to ALLISON’s separate estate, other than any benefit conferred on XXXX in this Agreement. XXXX agrees to execute on request all instruments of release or conveyance that are necessary to give effect to this Agreement. XXXXXXX hereby binds her personal representatives and heirs to release and convey to XXXX all of the interest, if any, that XXXXXXX or her estate may have in the then separate property of XXXX and in all the property described in this Agreement as being the separate property of XXXX or as belonging to MARK’s separate estate unless otherwise provided for in this Agreement.   • Prompt Payment to Subcontractors (a) Within 7 days of receipt by the Contractor of each payment from the City under this contract, the Contractor shall pay all Subcontractors (which term includes subconsultants and suppliers) based on work completed or service provided under the subcontract. Should any payment to the Subcontractor be delayed by more than 7 days after receipt of payment by the Contractor from the City under this contract, the Contractor shall pay the Subcontractor interest, beginning on the 8th day, at the rate of 1% per month or fraction thereof on such unpaid balance as may be due. By appropriate litigation, Subcontractors shall have the right to enforce this subsection (a) directly against the Contractor, but not against the City of Durham.

  • Acceptance of Services Not a Waiver The City’s acceptance of any service or deliverable is not a waiver or release of any professional duty of care applicable to such service or deliverable, or of any right of indemnification, any insurance requirements, or any other term or condition of this Master Agreement.

  • Acceptance of Services Services furnished under this Contract are subject to acceptance by OSU. If OSU finds services furnished to be incomplete or not in compliance with the Contract, OSU, at its sole discretion, may either reject the services, require Contractor to correct any defects without charge, or negotiate with Contractor to reduce the price, whichever OSU deems appropriate under the circumstances. If Contractor is unable or refuses to cure any defects within a time deemed reasonable by OSU, OSU may reject the services and cancel the Contract in whole or in part.

  • Acceptance of Agreement This Agreement shall not be considered accepted, approved or otherwise effective until the statutorily required approvals and certifications have been given.

  • Selection of Subcontractors, Procurement of Materials and Leasing of Equipment The contractor shall not discriminate on the grounds of race, color, religion, sex, national origin, age or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall take all necessary and reasonable steps to ensure nondiscrimination in the administration of this contract.

  • Contractor’s Xxxxxxxx to City Compensation. The Contractor shall send invoices to the City on a monthly or bi-monthly basis for the amounts to be paid pursuant to this contract. Each invoice shall document, to the reasonable satisfaction of the City: such information as may be reasonably requested by the City. Within 60 days after the City receives an invoice, the City shall send the Contractor a check in payment for all undisputed amounts contained in the invoice.
