Access of Parties. Seller or Buyer shall provide the other Party and its respective Representatives with reasonable access, upon reasonable prior notice and during normal business hours, at the sole cost and expense of the other Party, to the personnel of Seller or Buyer, who have material responsibility relating to the Records to the extent such Records are only in Seller’s or Buyer’s possession.

  • Rights of Parties Nothing in this Agreement, whether express or implied, is intended to confer any rights or remedies under or by reason of this Agreement on any Persons other than the parties hereto and their respective successors and assigns, nor shall any provision give any third Persons any right of subrogation or action over against any party to this Agreement.
