Common use of Access to Marketplace Services Clause in Contracts

Access to Marketplace Services. Upon execution of this Agreement, Oppizi will establish a Client account that will enable the Client to request Distribution Services by way of the Marketplace Services for the benefit of the Client and provide the Billing Facility on behalf of the Client. The Client expressly acknowledges and agrees that (a) any and all Distribution Services provided to Client are not provided by Oppizi, but by Distribution Providers, who are independent third-party providers, and (b) that the Client is the principal in the contract for Distribution Services with such Distribution Providers. The Client agrees to provide and maintain during the Term a valid Client credit card number or any other payment method as authorised by Oppizi (the ‘Client Card’) that may be charged for the Billing Facility as set forth herein. The Client acknowledges that any Distribution Services requested by the Client by way of the Marketplace Services is for the benefit of the Client and will incur Distribution Fees to the account of Client. Subject to Client's compliance with this Agreement, Oppizi agrees to use commercially reasonable efforts to provide the Marketplace Services and Billing Facility to the Client as set forth herein.
