Accommodation Payment for Recapture of Bonus Depreciation Deductions. In connection with the consummation of the Tax-Free Disposition of the Contributed Properties on or about on the Amendment Effective Date, the Managing Member has agreed to pay Xxxxxxx Court II for distribution to certain of its members, a one-time payment in the amount of $565,000.00 (the “Accommodation Payment”) to cover a portion of the tax liabilities that will result from the recapture of the Bonus Depreciation Deductions that were previously specially allocated to Xxxxxxx Court II and certain of its members with respect to the Valencia Property and Huntington Beach Property. Xxxxxxx Court II hereby acknowledges and agrees that neither the Company nor Managing Member is obligated to make such Accommodation Payment and that the same is being made solely as an accommodation to Xxxxxxx Court II and its members, and Xxxxxxx Court II for itself and on behalf of its members hereby waives, relinquishes and releases the Company, Managing Member and each other Indemnitee from any losses, claims, damages, liabilities (including tax), joint or several, expenses (including, without limitation, attorney’s fees and other legal fees and expenses), judgments, fines, settlements and other amounts that may arise out of or otherwise relate to the recapture of all or any portion of the Bonus Depreciation and/or the receipt of the Accommodation Payment by Xxxxxxx Court II and/or any of its members.

  • Incentive Payment During the period of Executive's employment under this Agreement, the Executive shall be eligible to participate in an incentive compensation program implemented by the Board (the "Annual Incentive Bonus").

  • Payment of Bonus Within fifteen (15) days of such termination, the Company shall pay to the Executive his Target Bonus pursuant to Section 3(b), prorated for the number of days of employment completed by the Executive during the year in which his employment terminated.

  • Payment of Reimbursement Amount To effect the expense reimbursement provided for in this Agreement, the Fund may offset the appropriate Reimbursement Amount against the management fees, Rule 12b-1 fees and/or shareholder servicing fees payable under the Investment Management Agreement, Rule 12b-1 Plan and/or the Shareholder Servicing Agreement. Alternatively, the Reimbursement Amount shall be paid directly by IICO, IDI and/or WISC. Such offset shall be taken, or such direct payment shall be paid, two times per year within 30 days following the date of a Fund’s applicable semi-annual or annual reporting period.

  • Cash Severance Payment Provided that Executive complies with Section 5 below, Executive shall receive a lump sum cash payment in an amount equal to fifteen (15) months of Executive’s the effective base salary (less applicable withholding), paid within ten (10) business days of the effective date of the Termination Upon a Change of Control.

  • Payment of Bonuses The Bonus payable to an Executive for any Fiscal Year shall be paid in accordance with the following provisions:

  • Incentive Payments (i) Amount in the Event of a Termination Pursuant to Sections 7(a) or 7(c). In the event of a termination pursuant to Sections 7(a) or 7(c) of this Agreement, Employee shall be offered the opportunity to receive Incentive Payments in a total amount equal to 0.500 times the sum of Employee’s most recent annual base salary and target bonus, payable in equal installments on the same pay schedule in effect at the time of termination over a period of twelve (12) months from the date of termination.

  • Additional Bonus Executive shall be eligible for such year-end bonus, which may be paid in either cash or equity, or both, as is awarded at the discretion of the Compensation Committee of the Board of Directors of the Company after consultation with the Company's Chief Executive Officer.

  • Bonus Payment Executive will receive a lump-sum payment equal to one hundred fifty percent (150%) of the higher of (A) the greater of (x) Executive’s target bonus for the fiscal year in which the Change of Control occurs (as in effect immediately prior to the Change of Control) or (y) Executive’s target bonus as in effect for the fiscal year in which Executive’s termination of employment occurs, or (B) Executive’s actual bonus for performance during the calendar year prior to the calendar year during which the termination of employment occurs.
