Common use of Accrued Obligations; Survival Clause in Contracts

Accrued Obligations; Survival. Neither expiration nor any termination of this Agreement shall relieve either Party of any obligation or liability accruing prior to such expiration or termination, nor shall expiration or any termination of this Agreement preclude either Party from pursuing all rights and remedies it may have under this Agreement, at law or in equity, with respect to breach of this Agreement. In addition, all terms and provisions of this Agreement which would reasonably be expected to survive expiration or termination shall so survive, including the Parties’ rights and obligations under Sections 4.12, 7.4, 7.5, 8.1, 8.2, 8.4, 8.6, 9.3, 9.4, 10.1, 10.3(b), 10.5(d), 10.6, 11.5, 11.6, 11.7, 11.8 and 11.9 and Articles 12, 13 and 14 of this Agreement shall survive expiration or any termination of this Agreement.

Accrued Obligations; Survival. Upon any termination or any expiration of this Agreement, all rights and obligations of the parties under this Agreement shall terminate, except as expressly provided in this Section 10.5 or elsewhere in this Article 10. Neither expiration nor any termination of this Agreement shall relieve either Party party of any obligation or liability accruing prior to such expiration or termination, nor shall expiration or any termination of this Agreement preclude either Party party from pursuing all rights and remedies it may have under this Agreement, at law or in equity, with respect to breach of this Agreement. In addition, all terms and provisions of this Agreement which would reasonably be expected to survive expiration or termination shall so survive, including the Partiesparties’ rights and obligations under Sections 4.122.7, 7.4, 7.57.1, 8.1, 8.2, 8.48.3, 8.69.8, 9.39.9, 9.410.4, 10.110.5, 10.3(b), 10.5(d), 10.6, 11.5, 11.6, 11.7, 11.8 10.6 and 11.9 10.7 and Articles 126, 11, 12 and 13 and 14 of this Agreement shall survive expiration or any termination of this Agreement.

In addition, if this Agreement is terminated before expiration of the Standstill Period, Section 13.1 shall survive such termination until […***…].

SymBio's right in the first sentence of Section 8.8 shall survive on a Product-by-Product and country-by-country basis after expiration of the Royalty Term for a Product in a country.
