ACCURACY 0F REPRESENTATIONS AND WARRANTIES 0F BAYLOR. The representations and warranties of Baylor contained in this Agreement shall be true as of the Closing Date as though such representations and warranties had been made at and as of such date (subject to any changes resulting from the transactions contemplated hereby). All of the agreements of Baylor to be performed by Baylor on or before the Closing Date shall have been duly performed in all material respects. Baylor shall have delivered to USP at the Closing a certificate with respect to the matters set forth in this Section 12.1 and in Section 12.3.
