Common use of Achievement of Return on Invested Capital Clause in Contracts

Achievement of Return on Invested Capital. (a) One-half of the number of Performance Shares to be earned under this Agreement shall be based upon the achievement of the Company’s three-year average annual Return on Invested Capital (“ROIC”) goal as approved by the Committee for the Performance Period (such Performance Shares, the “ROIC Shares”), based on the following chart: Return on Invested Capital ​ Payout Level Average ROIC Goal Percent of ROIC Shares Earned Maximum 11.5% or more 200% Target 10.0% 100% Threshold 8.0% 50% Below Threshold Less than % 0% ​ Linear interpolation shall be used to determine the percent of ROIC Shares earned in the event the Company’s three-year average annual ROIC does not fall directly on one of the average ROIC goal percentages listed in the above chart.
