Acknowledgment of Assignments. The Seller hereby acknowledges and consents to the assignment by the Purchaser of Receivables and the rights of the Purchaser under this Agreement to the Receivables Trust, the Issuer and the Trustee pursuant to the Indenture. The Seller further acknowledges that, in accordance with the terms of the Transaction Documents, the Receivables Trust, the Issuer and the Trustee may, under certain circumstances exercise some or all of the rights of the Purchaser hereunder. The parties hereto acknowledge and agree that the Purchaser and each assignee of its rights hereunder shall be an assignee of any rights of the Seller with respect to refunds of sales taxes.

The Seller further acknowledges that, in accordance with the terms of the Transaction Documents, the Receivables Trust and the Indenture Trustee may, under certain circumstances exercise some or all of the rights of the Purchaser hereunder and the Indenture Trustee may, under certain circumstances, exercise some or all of the rights of the Receivables Trust hereunder. The parties hereto acknowledge and agree that each of the Purchaser and the Receivables Trust and each assignee of their respective rights hereunder shall be an assignee of any rights of the Seller with respect to refunds of sales taxes.
Acknowledgment of Assignments. Each of the Originators hereby acknowledges and consents to the assignment by the Purchaser of Receivables and the rights of the Purchaser under this Agreement pursuant to the Pooling and Servicing Agreement.
Acknowledgment of Assignments. Originator hereby acknowledges and consents to the assignment by Purchaser of the Purchased Assets and the rights of Purchaser under this Agreement to the Administrator pursuant to the Loan Agreement. Originator further acknowledges that, in accordance with the terms of the Loan Agreement, the Administrator may, under certain circumstances, exercise some or all of the rights of Purchaser hereunder.
Acknowledgment of Assignments. The Borrower, Guarantors, Agent and the Banks acknowledge and agree as follows: (i) Branch Banking and Trust Company assigned its Commitment and its obligations under the Licensee Loans to Branch Banking and Trust Company of Virginia (the “Branch Bank Assignment”); (ii) all Letters of Credit issued and Licensee Loans made prior to the effective date of the Branch Bank Assignment shall continue to be Letters of Credit and Licensee Loans for all purposes under this Agreement (including without limitation Sections 2.03(c) and 2.16(c)); (iii) all Letters of Credit issued (whether issued by Branch Banking and Trust Company or Branch Banking and Trust Company of Virginia) and all Licensee Loans made after the effective date of the Branch Bank Assignment shall be Licensee Loans and Letters of Credit for all purposes of this Agreement (including without limitation Sections 2.03(c) and 2.16(c)); and (iv) the Licensee Loan Guarantees continue to remain in full force and effect.
Acknowledgment of Assignments. The Loan Parties hereby acknowledge (and consent and agree to) the sale and assignment of all Loans and other Obligations mentioned in the documents attached as Schedule E to the assignee Lenders set forth therein and the Lenders listed on the signature pages to this Amendment (and the appointment of Deerfield Management as successor Administrative Agent as set forth in the LSAA).
Acknowledgment of Assignments. Each Seller hereby acknowledges and consents to the assignment by the Company of Receivables and Receivables Property and the rights of the Company under this Agreement pursuant to the Pooling and Servicing Agreements. Each Seller acknowledges that the Company will grant a security interest in the Lockbox Accounts, the Eligible Segregated Accounts, the Collection Concentration Account and the Collection Account to the Trust for the benefit of the Holders. Each Seller agrees to take any action that the Company or the Trust may reasonably request in connection with such assignment or security interest.
