Receivables Property taxes are levied in December on the assessed value as of the prior January 1.
Upon each Purchase, the Buyer shall have acquired a valid and perfected ownership interest in each Receivable now existing or hereafter arising and in the Receivables Property with respect thereto, in each case free and clear of any Adverse Claim (other than Adverse Claims created by the Buyer or its assigns).
Subject to the terms and conditions set forth herein, the Buyer hereby agrees to purchase the Receivables and Receivables Property of the Seller from time to time until the Termination Date.
