ACME OPERATING AGREEMENT. ACME has provided to the Members a true and complete copy of the ACME Operating Agreement, a true copy of which is annexed hereto as EXHIBIT E. The issuance of the Ownership Interest to the Members has been authorized by all required actions, corporate and otherwise, and when issued to the Members the Ownership Interest be duly and validly issued, fully paid and nonassessable and will conform to the description thereof contained in the ACME Operating Agreement.

  • Operating Agreement The Borrower will not amend, modify, waive or terminate any provision of its operating agreement without the prior written consent of the Administrative Agent.
