Acquisition and Dedication for Wastewater Facilities. The Force Main shall be located as depicted on Exhibit B attached hereto and as further described below: 1) A new public right-of-way known as Tillage Farms Right-of-Way shall be dedicated for the Additional Property; 2) The five (5) existing easements owned by Culleoka Water Supply Corporation and shown on Exhibit B shall be utilized; 3) A public right-of-way known as Bridgewater Right-of-Way dedicated at or before final acceptance of the Tillage Farms Subdivision shall be dedicated by Lennar; and 4) An easement for the Force Main shall be dedicated by Lennar to the City at the east side of the Branch Village community.

Acquisition and Dedication for Wastewater Facilities. Owner shall be responsible for acquiring and dedicating to the City, at Owner’s sole expense: (i) any easement encompassing areas across privately or publicly owned land or sites which the Owner reasonably determines are necessary for the construction, operation and maintenance of the Wastewater Facilities; and (ii) any governmental approvals necessary to construct the Wastewater Facilities in public land or rights-of-way. Owner shall use its good faith efforts to acquire non-exclusive easements which allow for the City to install future wastewater lines and other municipal utilities; provided, however, that such future facilities shall not interfere with the operation, maintenance or use of the Wastewater Facilities.

Notwithstanding the foregoing, neither the Company nor any of its Subsidiaries will provide any material, non-public information to the Purchaser unless the Purchaser signs a confidentiality agreement and otherwise complies with Regulation FD, under the federal securities laws.
