Acquisition of Minority Shares. In the event that, following the purchase of Shares pursuant to the Offer, Parent, Newco and any other subsidiary of Parent shall own an aggregate of at least 90% of the outstanding Shares, the Parties agree, at the request of Parent or Newco, to take all necessary and appropriate action to effect the compulsory acquisition of those outstanding Shares not owned by Parent, Newco or any other subsidiary of Parent in accordance with Section 87 of the Companies Law.

Acquisition of Minority Shares. Buyer shall have entered into agreements with the Minority Shareholders (the "Minority Shareholder Purchase Agreements"), pursuant to which Buyer shall have the right to acquire the Minority Shares, such that, upon the consummation of this Agreement and the Minority Shareholder Purchase Agreements, Buyer shall be entitled to own at least 95% of the Company.
