Actions and Deliveries by the Buyer. Subject to all of the terms and conditions herein contained, the Buyer shall tender and deliver to the Seller each of the following items, instruments and documents at or prior to each relevant Closing.
Actions and Deliveries by the Buyer. At Closing, CMS shall, subject to the fulfilment of the actions to be fulfilled by DKSHI pursuant to clause 8.4.1 above: pay to DKSHI the amount of CHF _____ pursuant to clause 2.4 (i). deliver to DKSHI a board resolution whereby CMS’ board of directors resolves on CMS’ authority and entitlement to enter into and duly execute this Agreement. deliver to DKSHI the guarantee of CMS’ parent company as set out in clause 2.4 and in the form as attached hereto in Annex 11. deliver to the Seller duly executed versions of Annexes 10 and 12 (Documentation Escrow Agreement and Supply Agreement).
