ACTIONS BY THE CORPORATION UNDER SUPPORT AGREEMENT. 11.1 The Corporation will take all such actions and do all such things as shall be necessary or advisable to perform and comply with and to ensure performance and compliance by Parent and the Corporation with all provisions of the Exchangeable Share Support Agreement applicable to Parent and the Corporation, respectively, in accordance with the terms thereof including, without limitation, taking all such actions and doing all such things as shall be necessary or advisable to enforce to the fullest extent possible for the direct benefit of the Corporation all rights and benefits in favour of the Corporation under or pursuant to such agreement.
ACTIONS BY THE CORPORATION UNDER SUPPORT AGREEMENT. 11.1 The Corporation will take all such actions and do all such things as shall be necessary or advisable to perform and comply with and to ensure performance and compliance by OSI with all provisions of the Support Agreement, the Voting Trust and Exchange Agreement and OSI's Certificate of Incorporation applicable to the Corporation and OSI, respectively, in accordance with the terms thereof including, without limitation, taking all such actions and doing all such things as shall be necessary or advisable to enforce to the fullest extent possible for the direct benefit of the Corporation all rights and benefits in favour of the Corporation under or pursuant thereto.
ACTIONS BY THE CORPORATION UNDER SUPPORT AGREEMENT. 12.1 Actions by the Corporation The Corporation will take all such actions and do all such things as shall be necessary or advisable to perform and comply with and to ensure performance and compliance by US Gold and Callco with all provisions of the Support Agreement applicable to US Gold, Callco and the Corporation, respectively, in accordance with the terms thereof including, without limitation, taking all such actions and doing all such things as shall be necessary or advisable to enforce to the fullest extent possible for the direct benefit of the Corporation all rights and benefits in favour of the Corporation under or pursuant to such agreement.
ACTIONS BY THE CORPORATION UNDER SUPPORT AGREEMENT. 12.1 The Corporation will take all such actions and do all such things as shall be necessary or advisable to perform and comply with and to ensure performance and compliance by VESTCOM with all provisions of the Support Agreement as well as the Liquidation Call Right, the Redemption Call Right, the Retraction Call Right and the Put Right contained in the Share Purchase Agreement applicable to the Corporation and VESTCOM, respectively, in accordance with the respective terms thereof including, without limitation, taking all such actions and doing all such things as shall be necessary or advisable to enforce to the fullest extent possible for the direct benefit of the Corporation and the holders of Dividend Access Shares all rights and benefits in favour of the Corporation and such holders under or pursuant to such agreements.
ACTIONS BY THE CORPORATION UNDER SUPPORT AGREEMENT. 26.1 The Corporation will take all such actions and do all such things as shall be necessary or advisable to perform and comply with and to ensure performance and compliance by JAG with all provisions of the Support Agreement, the Voting Trust and Exchange Agreement and JAG's Certificate of Incorporation applicable to the Corporation and JAG, respectively, in accordance with the terms thereof including, without limitation, taking all such actions and doing all such things as shall be necessary or advisable to enforce to the fullest extent possible for the direct benefit of the Corporation all rights and benefits in favour of the Corporation under or pursuant thereto.
ACTIONS BY THE CORPORATION UNDER SUPPORT AGREEMENT. 3.12.1 The Corporation will take all such actions and do all such things as shall be necessary or advisable to perform and comply with and to ensure performance and compliance by Spinco, Nxxxx, Xxxxx Xxxxxxx, Xxxxx Xxxxxx and the Corporation with all provisions of the Support Agreement applicable to Spinco, Nxxxx, Xxxxx Xxxxxxx, Xxxxx Xxxxxx and the Corporation, respectively, in accordance with the terms thereof including, without limitation, taking all such actions and doing all such things as shall be necessary or advisable to enforce to the fullest extent possible for the direct benefit of the Corporation all rights and benefits in favour of the Corporation under or pursuant to such agreement.

(1) The Corporation will take all such actions and do all such things as shall be necessary or advisable to perform and comply with and to ensure performance and compliance by AMVESCAP, Callco and the Corporation with all provisions of the Support Agreement applicable to AMVESCAP, Callco and the Corporation, respectively, in accordance with the terms thereof including, without limitation, taking all such actions and doing all such things as shall be necessary or advisable to enforce to the fullest extent possible for the direct benefit of the Corporation all rights and benefits in favour of the Corporation under or pursuant to such agreement.
