Actions Following Termination Notice. Upon receipt of a notice of termination, and except as otherwise directed by the GGBHTD, the MCTD shall: (1) stop work under the Contract on the date and to the extent specified in the notice of termination; (2) place no further orders or subcontracts for materials, services, or facilities, except as may be necessary for completion of such portion of the work under the Contract as is not terminated; (3) terminate all orders and subcontracts to the extent that they relate to the performance of work terminated by the notice of termination; (4) assign to the GGBHTD in the manner, at the times, and to the extent directed by the GGBHTD, all of the right, title, and interest of the MCTD under the orders and subcontracts so terminated; (5) settle all outstanding liabilities and all claims arising out of such termination of orders and subcontracts, with the approval or ratification of the GGBHTD, to the extent the GGBHTD may require, which approval or ratification shall be final for all the purposes of this Section; (6) transfer title to the GGBHTD and deliver in the manner, at the times, and to the extent, if any, directed by the GGBHTD, supplies, equipment, and other material produced as a part of, or acquired in connection with the performance of the work terminated, and in which the GGBHTD has acquired an ownership interest, and any information and other property which, if the Contract had been completed, would have been required to be furnished to the GGBHTD; (7) complete any such part of the work as shall not have been terminated by the notice of termination; and (8) take such action as may be necessary, or as the GGBHTD may direct, for the protection and preservation of the property related to the Contract which is in the possession of the MCTD and in which the GGBHTD has or may acquire an interest. Except as otherwise provided, settlement of claims by the MCTD under this Section shall be in accordance with the provisions set forth in 48 CFR Part 49, as amended from time to time.

  • Termination Following a Change of Control If the Employee's employment terminates at any time within eighteen (18) months following a Change of Control, then, subject to Section 5, the Employee shall be entitled to receive the following severance benefits:

  • Contents of Termination Notice A Termination Notice shall specify: (a) the nature of the relevant Event of Default; (b) a date and time, which shall be reasonable in the circumstances, at which termination is to take effect; and (c) whether the party serving the Termination Notice reasonably considers that the Event of Default is capable of remedy, and where the relevant Event of Default is capable of remedy: (i) the steps which the party serving the Termination Notice believes are reasonably required to remedy the Event of Default; and (ii) a reasonable grace period within which such steps may be taken (where the Event of Default is a failure of the Train Operator to pay Track Charges or other amounts due, seven days is a reasonable grace period).

  • Employment Status Termination Following Change in Control (a) No benefits shall be payable under this Agreement unless there has been a Change in Control of the Company during the Term. You acknowledge that this Agreement does not constitute a contract of employment or impose on the Company any obligation to retain you as an employee. You may terminate your employment at any time, with or without Good Reason. If your employment with the Company terminates for any reason and subsequently a Change in Control shall have occurred, you shall not be entitled to any benefits hereunder. (b) Any termination of your employment by the Company or by you following a Change in Control of the Company during the Term shall be communicated by written notice of termination that indicates the specific provision in this Agreement relied upon and sets forth in reasonable detail the facts and circumstances claimed to provide a basis for termination of your employment under the provision so indicated ("Notice of Termination"). A Notice of Termination shall be delivered to the other party hereto in accordance with Section 6.
