Acts, Undertakings, etc. Each of the acts, undertakings, covenants, obligations and agreements of the Purchaser to be performed at or before the Closing Time pursuant to the terms of this Agreement or under agreements contemplated hereby shall have been duly performed by it, and the Vendor shall have received a certificate of a senior officer of the Purchaser to that effect, dated as of the Closing Date.

To accomplish this objective, information will be acquired through a survey of practices of the Hospitals. The parties agree that from time to time they will endorse best practices that demonstrate creative joint quality of initiatives.
