Additional Conditions Precedent to the Obligations of the Vendors. The obligations of the Vendors to complete the transactions contemplated by this Agreement shall also be subject to the representations and warranties of the Purchaser contained in this Agreement being true and correct at the Closing. Such condition precedent is for the exclusive benefit of the Vendors and may be waived by the Vendors.
