Additional Insolvency Opinion any bankruptcy non-consolidation legal opinion that would be satisfactory to a prudent lender and is required to be delivered subsequent to the Effective Date pursuant to, and in connection with, the Loan Documents. Affiliate: as to any Person, any other Person (i) which directly or indirectly through one or more intermediaries Controls, or is Controlled by, or is under common Control with, such Person; or (ii) which, directly or indirectly, beneficially owns or holds ten percent (10%) or more of any class of stock or any other ownership interest in such Person; or (iii) ten percent (10%) or more of the direct or indirect ownership of which is beneficially owned or held by such Person; or (iv) which is a member of the family (as defined in Section 267(c)(4) of the Code) of such Person or which is a trust or estate, the beneficial owners of which are members of the family (as defined in Section 267(c)(4) of the Code) of such Person; or (v) which directly or indirectly is a general partner, controlling shareholder, managing member, officer, director, trustee or employee of such Person.

Additional Insolvency Opinion. Notwithstanding (and without limiting) the foregoing, if an Insolvency Opinion was required to be delivered pursuant to Section 11.1(b)(i) hereof, no transfer of any direct or indirect ownership interests in Borrower may be made such that the transferee owns, in the aggregate with the ownership interests in Borrower of transferee’s Affiliates, more than a forty-nine percent (49%) interest in Borrower unless such transfer is conditioned upon the delivery of an Additional Insolvency Opinion. An Additional Insolvency Opinion shall be not be required in connection with the transfer of direct or indirect ownership interests in Borrower to a transferee who owns, in the aggregate with the ownership interests in Borrower of transferee’s Affiliates, more than a forty-nine percent (49%) interest in Borrower if an Insolvency Opinion or Additional Insolvency Opinion has previously been delivered to Lender with respect to such transferee.
