Adequacy of Representations and Warranties. None of the representations and warranties made by eLandia herein contains any untrue statement of a Material fact or omits to state a Material fact necessary in order to make the statements herein not misleading.

Neither the warranties and representations made by Seller in this Agreement and the Other Seller Instruments, nor the financial statements furnished by Seller, nor any certificate or memorandum furnished or to be furnished by Seller, or on its behalf, contains or will contain any untrue statement of a material fact or omits or will omit to state a material fact necessary to make the statements herein or therein not misleading. All representations and warranties of the Seller shall be true on and as of the Closing Date with substantially the same effect as if made on and as of such date.

None of the representations and warranties made by Corporation or Shareholders herein, nor any of the written material required under this Agreement or in the Schedules hereto, contain any untrue statement of a material fact. All such representations and warranties shall be deemed made on and as of the date hereof and on and as of the Closing Date. The continuing existence, truth and accuracy of all of the facts and matters represented and warranted herein by Corporation and Shareholders to Buyer until the Closing Date shall constitute a condition precedent to the closing of this transaction.

No representation or warranty made by the Seller in this Agreement or any certificate or schedule delivered by the Seller pursuant hereto contains, or will contain on the Closing Date, any material misstatement of fact or omits, or will omit on the Closing Date, to state a material fact necessary to make the statements contained herein or therein not misleading.

None of the warranties and representations made by Seller and Shareholders of Seller in this Agreement, or in the Schedules to this Agreement, or in the certificates furnished by Seller under this Agreement, contains or will contain any untrue statement of a material fact, or omit to state a material fact necessary in order to make the statements contained herein or therein not misleading.

None of the (i) warranties and representations made by the Shareholders herein or in the Schedules, amended Schedules, or documents related thereto, (ii) financial statements furnished by the Shareholders or the Company, or (iii) certificates or memoranda furnished by the Shareholders or the Company, or on any of their behalf, contains or will contain any untrue statements of a material fact or omits or will omit to state a material fact necessary in order to make the statements contained herein or therein not misleading. All representations and warranties of the Shareholders and the Company herein contained shall be true on and as of the Closing Date with the same effect as if made on or as of such date. The Shareholders and the Company further agree to deliver such additional information and documents to TEI as TEI may reasonably request.
