Common use of Adequacy of Technical Documentation Clause in Contracts

Adequacy of Technical Documentation. The Software includes the source code, system documentation and schematics for all Software Programs, as well as any programmer comments for documentation and pertinent commentary or explanation that may be reasonably necessary to render such materials understandable and usable by a trained computer programmer. The Software also includes the programs (including compilers), workbenches, tools and higher level language, if any, used for the development, maintenance and implementation of the Software Programs.

Adequacy of Technical Documentation. The technical documentation of the Software Programs (the "Technical Documentation") includes the source code, system documentation and schematics code (with comments) for all Software Programs, as well as any programmer pertinent comments for documentation and pertinent commentary by or explanation that may be reasonably necessary to render such materials understandable and usable by a trained computer programmerusable. The Software technical documentation also includes the programs any program (including compilers), "workbenches," tools, tools and higher level language, if any, (or "proprietary") language used for the development, maintenance maintenance, and implementation of the Owned Software Programs.
