Adequate Investigation. The undersigned acknowledges that the undersigned is acquiring the Membership Interest after what the undersigned deems to be an adequate investigation of the Company by the undersigned and the undersigned's advisors.
Adequate Investigation. Executive represents that Executive has made such investigation of the facts pertaining to this Agreement as Executive deems necessary, and in executing this Agreement, Executive assumes the risk of mistake with respect to such facts. This Agreement is intended to be final and binding upon Executive, regardless of any claims of mistake.
Adequate Investigation. Each Marpai Seller acknowledges and agrees, on behalf of itself and its Affiliates, that it (a) has made or waived the opportunity to make its own inquiry and investigation into, and, based thereon, has formed an independent judgment concerning the Buyer and Company, and the financial condition, results of operations, assets, liabilities, properties and projected operations thereof and (b) has been furnished with or given adequate access to such information about the Buyer and Company as it has requested.
Adequate Investigation. The Doctor and the LP each acknowledges that Diomed has granted him and it the opportunity to make a thorough investigation of the business affairs of Diomed and he and it has availed himself and itself of such opportunity, either directly or through his or its authorized representatives. In particular, Diomed has made available to the Doctor and the LP and their respective representative, access to Diomed officers and employees for the purpose of discussing and responding to questions concerning Diomed and its business and Diomed has furnished to the Doctor and the LP all agreements, financial statements and other documents pertaining to Diomed and its business requested by him or it. The Doctor and the LP each acknowledges that he and it has made an independent investigation of Diomed and an independent evaluation of the risks and merits of acquiring the Options and entering into this Agreement and has received all the information that he or it has requested in connection with deciding whether to accept the Options.
Adequate Investigation. The Doctor and the LLC each acknowledges that Diomed has granted him and it the opportunity to make a thorough investigation of the business affairs of Diomed and he and it has availed himself and itself of such opportunity, either directly or through his or its authorized representatives. In particular, Diomed has made available to the Doctor and the LLC and their respective representative, access to Diomed officers and employees for the purpose of discussing and responding to questions concerning Diomed and its business and Diomed has furnished to the Doctor and the LLC all agreements, financial statements and other documents pertaining to Diomed and its business requested by him or it. The Doctor and the LLC each acknowledges that he and it has made an independent investigation of Diomed and an independent evaluation of the risks and merits of acquiring the Options and entering into this Agreement and has received all the information that he or it has requested in connection with deciding whether to accept the Options. Marpai acknowledges and agrees, on behalf of itself and its Affiliates, that it (a) has made or waived the opportunity to make its own inquiry and investigation into, and, based thereon, has formed an independent judgment concerning the Buyer and Company, and the financial condition, results of operations, assets, liabilities, properties and projected operations thereof and (b) has been furnished with or given adequate access to such information about the Buyer and Company as it has requested.
Adequate Investigation. Each Party represents and warrants that he, she, or it has carefully read the contents of this Settlement Agreement, and that this Settlement Agreement is signed freely by each person executing this Settlement Agreement on behalf of each of the Parties. The Parties, and each of them, further represent and warrant to each other that he, she, or it has made such investigations of the facts pertaining to the settlement, this Settlement Agreement, and all of the matters pertaining thereto, as he, she, or it deems necessary.

CPE acknowledges and agrees, on behalf of itself and its Affiliates, that it (a) has made or waived the opportunity to make its own inquiry and investigation into, and, based thereon, has formed an independent judgment concerning CSSE, and the financial condition, results of operations, assets, liabilities, properties and projected operations thereof and (b) has been furnished with or given adequate access to such information about the CSSE as it has requested.
Adequate Investigation. CSSE acknowledges and agrees, on behalf of itself and its Affiliates, that it (a) has made or waived the opportunity to make its own inquiry and investigation into, and, based thereon, has formed an independent judgment concerning Crackle, and the financial condition, results of operations, assets, liabilities, properties and projected operations thereof and (b) has been furnished with or given adequate access to such information about Crackle as it has requested.
