Adjusted Cash Flow. To maintain on a consolidated basis for each fiscal year Adjusted Cash Flow not less than negative Three Million Dollars ($-3,000,000).
Adjusted Cash Flow. Borrower shall not permit Adjusted Cash Flow, as defined below to be less than $1,000,000.
Adjusted Cash Flow. Subsection 8.16(e) of the Credit Agreement is hereby amended by deleting it in its entirety and substituting the following therefor:
Adjusted Cash Flow. The earnings of the Surviving Entity after payment of all expenses associated with the Surviving Entity before tax as adjusted as set forth on Schedule 1.2 attached hereto, calculated in accordance with GAAP and Schedule 1.2 of this Agreement.

Maintain for each Fiscal Quarter end set forth below an Adjusted Cash Flow of not less than (a) negative $2,250,000 for the five months ended December 31, 1998, (b) negative $3,500,000 for the three months ended March 31, 1999, (c) negative $5,250,000 for the six months ended June 30, 1999, (d) negative $3,000,000 for the nine months ended September 30, 1999, and (e) $750,000 for the twelve months ended December 31, 1999 and on the last day of each Fiscal Quarter thereafter calculated on a rolling four-quarter basis.
Adjusted Cash Flow. The Company and its consolidated subsidiaries ------------------ shall have Adjusted Cash Flow, on a consolidated basis, for the fiscal year ending in December 2001 of at least $1.00. As used herein, the term (x) Cash Flow shall mean as to any Person, with respect to any period of determination, the net income before taxes of such Person for such period, calculated in accordance with GAAP, consistently applied, plus depreciation and amortization expenses of such Person for such period (to the extent the same are deducted from net revenues in determining Net Income for such period) minus the aggregate amount of all payments of principal made during such year with respect to indebtedness scheduled to mature in more than one year from the date of calculation, minus the aggregate amount of all dividends and other similar distributions made in cash to the holders of the equity interests of such Person during such period, minus the aggregate amount of non-financed Capital Expenditures made by such Person during such period, and (y) Adjusted Cash Flow shall mean, as to the Company and its consolidated subsidiaries, with respect to the fiscal year ended on December 31, 2001, Cash Flow on a consolidated basis for such period minus one-time, non-recurring charges, severance charges and other cash charges and costs related to the Company's Comprehensive Restructuring and Cost Reduction Program, as set forth in that certain informational package dated September 17, 2001, prepared by the Company and delivered by it to the Lender on or about such date.

Adjusted Cash Flow. The Company and its consolidated subsidiaries shall have Adjusted Cash Flow, on a consolidated basis, for the fiscal year ended on December 31, 2001 of at least $1.00.
Adjusted Cash Flow. (i) In the event that Holdings shall have received any Cash Flow after the Closing Date, Company shall immediately prepay the Loans in an aggregate amount equal to one hundred percent (100%) of such Cash Flow, less any Quarterly Expenses, and (ii) in the event that Company shall have received any Cash Flow after the Closing Date, Company shall immediately prepay the Loans in an aggregate amount equal to one hundred percent (100%) of such Cash Flow.
