Administration and Enforcement. The Plan shall be administered by the Employer, who shall be responsible for the operation of the Plan in accordance with its terms. From time to time, the Employer shall furnish to the Custodian a written instrument, in a form acceptable to the Custodian, specifying the person or persons authorized to give instructions and directions on behalf of the Employer under the Plan, and the Custodian shall be conclusively entitled to rely on the identity of such person or persons as disclosed in the most recent such instrument. The Employer shall have discretionary authority to determine all questions arising out of the administration, interpretation and application of the Plan, which determinations shall be conclusive and binding on all persons. In the event that any contract or arrangement which is entered into pursuant to the Plan conflicts in any manner with the provisions of the Plan, the provisions of the Plan will govern. Should any provision or provisions of this Plan be deemed to be invalid, such invalidity shall not affect the remaining provisions of the Plan.
