Administrative Cost Distributions. The Company shall distribute (i) to each of the Investor Blockers and SK Retail Inc., within seventy five (75) days following the end of each taxable year of the Company, an amount in cash equal to the reasonable legal, accounting and other administrative costs incurred by such Member that is attributable to such Member holding its Interests in the Company and maintaining its existence (including, without limitation, any doing business fees or taxes or franchise taxes or capital net worth and similar taxes relating to maintaining its existence) and (ii) to each Investor Blocker holding Series B Convertible Preferred Units on the Series B Original Issue Date, within thirty (30) days following the Series B Original Issue Date, an amount in cash equal to the reasonable legal, accounting and other administrative costs incurred by such Member that is attributed to such Member forming an Investor Blocker for purposes of holding its Interests in the Company (the “Administrative Cost Distribution”); provided, however, that such costs and fees set forth in clause (i) above (excluding any legal fees relating to the documentation of any corporate actions taken by SK Retail Inc. or the Investor Blockers) shall not exceed a cap of $25,000 dollars for each such Member per fiscal year; provided further, however, that, in the case of both clause (i) and (ii) above, the Company shall make such distributions to no more than seventeen (17) Investor Blockers holding Series B Convertible Preferred Units and that all Investor Blockers to which the Company makes such distributions shall be owned by Investor Parents advised by X. Xxxx Price Associates, Inc., Xxxxxx Xxxxxxx Investment Management Inc., Wellington Management Company, LLP, Fidelity Management & Research Company, Viking Global Investors LP or Iconiq Strategic Partners. The Investor Blockers and SK Retail Inc. shall provide such documentation as the Company shall reasonably request evidencing the amount payable as the Administrative Cost Distribution.

  • Administrative Costs The Payment Amount will include following:

  • Interest Distributions On each Distribution Date, the Trustee shall withdraw from the Distribution Account the Interest Remittance Amount and apply it in the following order of priority (based upon the Mortgage Loan information provided to it in the Remittance Report, upon which the Trustee may conclusively rely), and the calculations required to be made by the Trustee, to the extent available:

  • Administrative Expense Payments The Fund Administrator recognizes the Company, on behalf of the Accounts, as the shareholder of shares of the Funds purchased under the Participation Agreement on behalf of the Accounts. The Fund Administrator further recognizes that it will derive a substantial administrative convenience by virtue of having the Company be the shareholder of record of shares of the Funds purchased under the Participation Agreement, rather than multiple shareholders having record ownership of such shares. The Fund Administrator recognizes that the Company will provide administrative services necessary to facilitate investment in the Funds. In consideration of the Administrative Services provided by the Company and the administrative convenience resulting to the Fund Administrator described above, the Fund Administrator agrees to pay the Company a fee as set forth in Schedule B.

  • Cash Flow Distributions The Cash Flow of the Company, if any, shall be distributed to the Member subject to any limitations on the Company’s ability to make distributions imposed by the Company’s lenders or by applicable law.

  • Interim Distributions At such times as may be determined by it in its sole discretion, the Trustee shall distribute, or cause to be distributed, to the Beneficiaries, in proportion to the number of Trust Units held by each Beneficiary relating to the Trust, such cash or other property comprising a portion of the Trust Assets as the Trustee may in its sole discretion determine may be distributed without detriment to the conservation and protection of the Trust Assets in the Trust.

  • Administrative Expenses Borrower shall pay any reasonable fees, expenses and disbursements, including reasonable legal fees, of the Lender related to this Agreement, the Obligations, the perfection and protection of any collateral security required hereunder, the transactions contemplated by this Agreement, and the administration of this Agreement and the Obligations. Such payments shall be due on the Closing Date and thereafter as incurred by the Lender.

  • Administrative Fees The Borrower agrees to pay to the Administrative Agent an annual fee as agreed to between the Borrower and the Administrative Agent.
